1 1.1. UNDERSTANDING THE IMPORTANCE OF RAISING FUND Raising Fund for a project seems to be one of the most complicated and difficult task to be successfully completed. It is the core or the essence for realization of a project. A proposed project will be unable to take off if the principal or the promoter of the project fails to raise the required funds for the project. Funds seems to be the core for any project to manifest. Almost 99% of commercially viable projects fails due to inability of the principal to raise the required funds. Funds are the life line of a project. In reality, failure to raise the required funds for a proposed project means FAILURE OF THE PROJECT ITSELF FUNDING FROM THE PRESPECTIVE OF LENDERS AND INVESTORS From the perspective of a Lender or an Investor, funding seems to be a business opportunity which comes attached with risk. In other words, Funding means an opportunity for them to make more money or loose their money. As an Investors or a Financer business is providing funding facilities for businesses, they need to seek for viable projects to be funded in order to continuously be in business. However they are also exposed to the danger of fund failing project, which would results in losing their money and

2 eventually end up to be out of business. It is a Financer s or an Investor s priority to ensure that the investment is secured and the possibility of losing their money is almost nil. No Financer or Investor are interested to loose their hard earned money at any cause. They will only accommodate funding opportunities in the market as long as their funds have absolutely no risk concerning repayment which is tantamount to not funding noncollateral able or unsecured ventures. 3 The Borrower 1 Competency The individual exposure and understanding of the market and industry in which he/she will be competing? Does the borrower have industry contacts and know the industry players? Does the individual have experience in starting and running a business? 2 Character Does the individual display characteristics of honesty and integrity? Borrowers should present themselves as upstanding, responsible members of the community and be able to back up this claim with references. 3 Borrowers also need to show they can be trusted to be upfront and transparent about problem areas. 4 Commitment Is the individual committed to the business ventures and willing to do what is necessary to make it successful and repay the loan? 5 Track record Does the individual have a track record of successfully starting new businesses or did past attempts fizzle? Does the borrower have a track record of loan repayment? The Business 1 Track record If this is an existing business, what has been the financial track record of the business over recent years? Does the business model seem viable and profitable? Have sales increased? Has equity grown? 2 Leverage Can the business take on additional debt and maintain a reasonable debttoasset ratio? Is the business positioned to adequately meet its loan repayment requirements along with covering the other financial demands of the business? The Circumstances 1 Industry The state of the industry in which the borrower will operate is also important to the lender. 2 Is it a new and expanding industry or a mature and stable one? The lender will be interested in who your competitors are and your strategies for competing with them. 3 General economy What are the conditions of the general economy at the time of the loan request and the projected state of the economy for the coming several years (during the repayment period of the loan)? Are there societal trends that will affect the viability of the business and loan repayment capacity? Will impending regulations create problems? The Loan 1 Returns (cash flow) Will the use of the loan funds create sufficient returns (cash) to repay the loan? Remember that the returns must first cover all of the costs associated with the project or investment before funds are available for loan repayment. 2 You may need to create a cashflow budget to show how the investment will create sufficient cash flow to meet the loan principal and interest payments. 3 It is also important that the timing of the cash flows correspond to the loan repayment schedule. 4 If the loan will not create an income stream, describe and document how the loan will be repaid. 5 Risk What can go wrong with the investment? What is the probability that something will go wrong? Is the business sufficiently capitalized to handle risk? What risk management strategies are available to help mitigate the risk? Are there contingency plans in place to mitigate risk? Are there alternative sources of cash from which payments can be made? 6 Collateral Lenders often want protection in case of default on the loan by the borrower. 7 The lender may use the property being purchased as collateral for the loan. 8 Additional collateral may be required as well as a personal guarantee by the borrower or other representative. A Lender or an Investors need to conduct a test on each funding application against the Basic Elementary Funding Criteria to determine the overall soundness of the proposed project. In order the funding application to be considered seriously, the Lenders or Investors need to be comfortable with the combined strength of the borrower with regards to these criteria.

It requires a thorough evaluation and analysis of several aspects that are constituent to the project itself, to the specific country where it is located and the project owner. All our Clients are required to read and understand SSS General Info & Procedures prior to submission of their application. It is required to ensure that our clients understand the Funding processes and able to comply & cooperate accordingly for a smooth Funding completion. 2. The Client need to submit a formal application by filing the SSS Project Submission Form and send us the full documentation as per the Documentation Required List. 3. Upon submission of the required information SSS will conduct an evaluation on your project and confirm on our ability to assist the Client in securing the Funding. 4. If the project is viable, we will discuss with the clients on the options available to fund their project and the terms of appointing us as their consultant. 5. If the Client accepts our offer, we will prepare Terms of Business & Confidentiality Agreement (TOB&CA) indicating our commitment to proceed with the application and the Terms of the funding being offered to the client. 6. The Client has Seven (7) days to sign and fax the Terms of Business & Confidentiality Agreement (TOB&CA) to our office in DUBAI or our main consultant office in Zurich. (The and Fax copy is acceptable as a valid

13 agreement of our appointment as your consultant till the signing of the original Agreement at our First meeting with the Client.) 7. Client transfer the First stage of Facilitation Fee as advised, SSS will immediately conduct a thorough study on the project to identify the risks and weakness involved in the project and advise on the necessary protection measures need to be taken to address all these issues. 8. Upon completion of the above procedures, SSS will prepare the previsit documentation and itinerary for our first meeting with the client at the project location. 9. Due Diligence and case relative investigation will be carried out accordingly. 10. SSS will proceed with the funding structuring works, feasibility studies in order to complete the funding packaging procedures. 11. The project will be customized, structured and packaged to meet it s most suitable funding solution that will support the realization of the project. 12. Finally SSS will present your case to the identified funding sources and negotiate the closure of the funding successfully. IMPORTANT NOTE The Clients are required to render their full cooperation in providing documentation, information and transfer of the required Facilitation Fee, Success Fee as per stated on the Terms of Business & Confidentiality Agreement accordingly for a smooth completion of the Funding DOCUMENTATION REQUIRED LIST SSS is required to collect documents on both the project itself and the application company and individuals. The following is the list of documents that you are required to submit : 1 A Completed SSS Project Submission Form. 2 A comprehensive Business Plan or an Executive Summary 3 Financial Statements (if available/at least 3 years) of the applicant company 4 A detailed quarterly/monthly Project Cost Schedule

14 5 A list of Corporate Directors 6 A list of Shareholders and % of ownership of the corporation 7 A list of hard equity presently available ( assets : land, properties, cash & etc) 8 Details of collateral or guarantees offered ( if available) 9 Any other additional documentation that will assists us in successfully funding your proposed project. IMPORTANT NOTE The above list is only the basic list of required documentations. It is impossible to issue the final list of required documents till the completion of the loan structuring works. We may request our client to provide additional documentation is necessary based from case by case TIME FRAME FOR COMPLETION It is impossible to be precise but on average is takes around 45 to 180 days from due diligence to complete the processing work. In some cases it takes shorter or longer time but it is in our interest as much as our clients to complete the matter as quickly as possible. Everything depends on: The size and complexity of your case. The type of funding or investment you require. The completeness of your original business plan and how much work has to be done on that. The speed you respond to information or documentation request. Other issues such as approval from the authorities or government that are outside our control.

FEE STRUCTURE FACILITATION FEE AND SUCCESS FEE It is very important for our clients to understand and accept our Facilitation and Success commission structure before they submit their Application to us. Facilitation Fee We are highly committed towards delivering result to all our clients. This is one of the reasons why our initial Facilitation Fee is not high. The objective of the Facilitation Fee is to cover our cost, time, work, travelling and expenses, We do not charge high and go to great lengths to protect our client s money, where advance payments are concerned. Facilitation Fee are payable in three stages which provides maximum security and protection to our clients by allowing payments as the case proceeds, and not 100% in advance. The client will pay progressively as the project progress. We do not have a fixed amount for Facilitation Fee. The Facilitation Fees differ from case to case. The average amount for Facilitation Fee is estimated approximately EURO 3,00,000 EURO 3,500,000. We charge the Facilitation Fee based on the amount of work and costs involved on the proposed project. The intention of this is to ensure that we are able to provide the minimum charges and to protect our client interest. Success Fee The Success Fee is where we make our earnings or profit for our consultancy services.

16 Our actual earning comes from here. We earn when our client had successfully secured their funding. The Client will pay us Success Fee, after their funding is completed and drawn down. This is our commitment. We Win after Our Client had Won their funding. The success fee for each projects varies. Basically the Success Fee will be from 1.5% to 3% of the project face value. The sum for Success Fee will be fixed at the Terms Of Business & Confidentiality Agreement (TOB&CA), which is issued after we have studied your case papers. The total amount expenses to successful completion of your funding is stated on the Terms Of Business & Confidentiality Agreement (TOB&CA). This will ensure that our clients are well informed and understand about the expenses that are payable at each stage of the process.
