1 HOW IT WORKS E-SIGNLIVE 1 INTRODUCTION With e-signlive, Silanis hosted service, you can invite other people to conveniently and securely sign documents over the web. Your documents can be easily signed at a fraction of the time compared to pen and paper. As well, using e-signlive reduces signing errors and strengthens your legal and compliance position with the most comprehensive electronic evidence. This document presents the features and functionality of e-signlive Standard edition. An Integration edition is also available for customers looking to integrated programmatically with business applications. 2 OVERVIEW The process for preparing a document package and obtaining secure e-signatures involves a few easy steps: create a package, add signers, add and prepare documents and send an notification to each signer. Step 1: Create a package The package is a container for the documents that need to be reviewed and signed by identified signers. Step 2: Add signers You identify the people who must sign documents in the package and provide the information necessary to contact them by . For each signer, you provide an address, first name, and last name. Optionally, you can add title, company and configure advanced options. If multiple signers must sign documents in the package, you can optionally define the order in which they must sign. When you send the package, e-signlive ensures that signers receive the package in this order. Step 3: Add documents You add the documents that you want signed to this package, and, optionally, choose the order in which documents must be signed. For example, if a package includes a mortgage application and a life insurance application, you may require that the mortgage application is signed first, and then the life insurance application. 2 After adding documents to the package and identifying its signers, you add signature boxes to documents. Several types of signature boxes are available.. For example, a click-to-sign signature box simply requires that the signer click the box. Another type of signature box, capture signature, prompts the signer to draw the signature. In addition to signature boxes, you can add other types of fields while preparing documents. For example, you can add a date field, in which e-signlive automatically fills in the date when the signature is provided. Step 5: Send the package notification to signers After you've added documents to the package, identified signers, and prepared documents, you send the signers a notification by simply clicking a Send button. What does e-signlive do next? Once you send the notification, e-signlive takes care of the process of obtaining the e-signatures and securing the documents: e-signlive automatically notifies each signer by that documents are available for signing. The includes a link to the package. When a signer opens this message, they click its link to access the documents in the package. They only require access to a standard web browser for the remaining steps. Access is secure and encrypted to meet privacy law. Signers may be required to provide additional information that proves they are the intended recipient of the package before e-signlive provides access to the documents. Whether these options are required depends on options selected by the package owner when creating the package. e-signlive guides the signer through all the documents in the package via a message bar, and identifies where e-signatures are required using yellow sticky notes and a next signature indicator. Once all signers have signed their documents, e-signlive completes the package. A completed package is one where all documents have been e-signed with a tamper-evident seal. By default, a package is automatically completed when the last signer has signed documents, but, as the package owner, you can change this option if you want to review documents and signatures before the package is completed. e-signlive sends an message to all signers indicating where they can download a copy of the completed package, including all signed documents. E-SignLive retains the original signed documents along with all associated electronic evidences. During the process managed by e-signlive, as the package owner, you can check the status at any time. For example, you can check how many signers for a package have completed the signing process. 3 DETAILLED LOOK AT SENDING A PACKAGE FOR SIGNATURE 3.1 STEP 1: CREATE A PACKAGE FOR YOUR DOCUMENTS A package contains the documents that you need e-signed. 3 When you create a package, you provide a name and, optionally, a description. You can change these details when uploading documents or adding signers. You may also want to define advanced options for a package. These options include: Expiry date By choosing an expiry date, you indicate to all signers that the documents are to be e-signed by a specific date. For example, you would probably set an expiry date for documents related to an interest rate that is expected to change. A reminder is sent to signers automatically three days before the expiration date. The expiry date is used to assist you to manage your packages. The package remains open after the expiry date. message You can include a message to all signers in the message that notifies signers that documents are available for e-signing. For example, you may want to include a message that thanks signers for taking the time to review and sign the documents. Your message appears after the link. In Person signing For convenience, documents in a package can be signed by the package owner and all signers on the same device. For example, a life insurance agent may visit clients in their homes. Using a mobile device such as a tablet, the agent can prepare the insurance package while meeting with the clients, and both the agent and the clients can e- sign documents during one meeting. Auto-completion of the package By default, once all signers have e-signed their documents, the package is completed. A completed package cannot be changed without breaking the tamper-evident seal. You can change the default such that the package remains open until you explicitly choose to complete it manually. For example, you may want to review the package and its signed documents before completing it. 3.2 STEP 2: ADD ONE OR MORE SIGNERS You add the people who need to e-sign documents as signers for the package. By default, the package owner is listed as a signer AUTHENTICATE THE IDENTITY OF THE SIGNER Before e-signlive provides access to a package, each signer must be authenticated as the person that the package is intended for. You choose the authentication method for each signer when adding the signer. You can use different methods for different signers. Three authentication methods are available: Silanis Technology Inc. 4 The identity of a signer is verified based on their ability to access the message indicating that the package is available. A signer can only receive this if they can log in to their account by providing the correct user name and password. is the default method of authentication, and you do not need to do anything to use this method, except provide the required information about the signer. The authentication method depends on the authentication required by the system. The Q&A and SMS authentication methods provide an enhanced level of security. Q&A The identity of a signer is verified based on correctly answering one or two questions when attempting to access the package. You define one or two questions and respective answers when selecting this method. SMS The identity of a signer is verified based on their ability to provide a code when attempting to access the package. You provide the signer's mobile phone number when selecting this method. e-signlive automatically sends a onetime 4-digit code to this number when the package is sent PERSONAL NOTIFICATION MESSAGE OPTION When you send a package, e-signlive sends signers an message to notify them that documents are available for signing. You can define a personal message for this signer that's displayed in this message, below the link used to access documents. If you defined an message for the package, this personal message is displayed instead DELIVERING SIGNED DOCUMENTS AS ATTACHMENTS OPTION Once a package is complete, e-signlive sends an message to all signers. This message includes a link that signers can use to access the package and download copies of the signed documents for their records. In addition to this download option, you can choose to also include the signed documents as attachments in the message. Note that the download option should be used if documents contain personal information subject to privacy laws CHANGE SIGNER OPTION You can allow a signer to assign someone else to sign the package instead of the original signer that is defined by you. The signer will then be asked to enter the address and full name of their delegated signer, along with an optional message to the delegate. You are notified when signers have been changed, and copied on the message (if used) DEFINE A SIGNER WORKFLOW By default, signers can e-sign in any order. If more than one document is included in the package, each signer must sign documents in the order they are listed in the Documents list. If it's important that signatures are obtained in a specific order, define a signer workflow. For example, as the package owner, you may require that other signers 2013 Silanis Technology Inc. 5 sign before you do. When a signer workflow is defined, e-signatures are obtained from signers in the order they are listed in the Signers list. 3.3 STEP 3: ADD DOCUMENTS After creating a package, you add the documents that you want e-signed. A package can include three types of documents: Adobe Portable Document Files (.pdf) Microsoft Word documents (.doc or.docx) Open Office documents (.odt) e-signlive automatically includes the Electronic Disclosures and Signatures Consent document in all packages. With the exception of the package owner, signers must agree and accept the terms of this Consent Agreement before accessing documents for signature. The Consent document is only required for consumer applications requiring legal disclosures and this feature can be disabled by contacting Silanis. Signers must sign documents in the order they are listed in the documents list. You can change this order to impose a different behavior. 3.4 STEP 4: PREPARE DOCUMENTS Once you have created a package and added at least one document, you can prepare documents. Preparing a document includes: Identifying the e-signatures required for each signer by adding signature boxes Adding other fields, such as title and date boxes, if necessary ADD SIGNATURE BOXES TO A DOCUMENT Signature boxes define where each signer must e-sign the document. You can include one or more signature boxes for each signer on a document by dragging and dropping them on the document. Also, you do not have to add a 2013 Silanis Technology Inc. Proprietary 5
6 signature box for a signer. For example, a package may include several documents, where one of the documents requires e-signatures from only two of three signers. e-signlive provides three types of signature boxes: Click-to-Sign To e-sign this signature box, the signer clicks the box. The signer's name is displayed on the box. Click-to-sign is the default signature box type. Click-to-Initial To e-sign this signature box, the signer clicks the box. The signer's initials are displayed on the box. Capture signature To e-sign this signature box, the signer clicks the box and draws their signature in a separate pop-up box. The drawing is displayed on the box ADD OPTIONAL FIELDS TO A DOCUMENT You can add fields to a document, in addition to signature boxes. For example, you can add a date field for a signature box. After the signer e-signs the signature box, e-signlive automatically displays the current date. Fields are associated with a specific signer, and are not displayed when documents are provided to other signers. You can include any number of each type of field. Fields include: Signing date. e-signlive automatically fills in this field with the current date. Signer name. e-signlive automatically fills in this field with the signer's first and last name. You provided these names when adding the signer to the Signers list. Signer title. e-signlive automatically fills in this field with the signer's title if you provided this when adding the signer to the Signers list. Signer company. e-signlive automatically fills in this field with the signer's company if you provided this when adding the signer to the Signers list. If the signer's company was not provided, the field remains blank, and is not visible on the document. Textfield. A textfield provides a box where the signer can type information. Textfields are useful when you want to allow the signer to provide additional information at the time of signing, such as the reasons why they are applying for your services Silanis Technology Inc. 7 Checkbox. A checkbox can be used by signers to select an option or to indicate that the signer has completed an action. For example, a document may include text such as "Have you applied for a mortgage with another financial institution?", with the text "Yes" or "No". Note that name, title, and other similar fields will be automatically filled in even if not supplied by the sender, if the signer has an e-signlive account and has stored the value of those fields in his preferences. 3.5 STEP 5: SEND THE NOTIFICATION After you've prepared the documents in the e-signlive package by adding signature boxes and any other fields, you're ready to send the package to signers EDITING A PACKAGE AFTER SENDING IT If you need to make changes to a package after sending it, you can edit the package. For example, you may need to add a signer or a document. Any documents where at least one signature has been obtained cannot be modified. For example, if you add a signer, you cannot add a signature box for that signer to any documents where at least one signature has already been obtained. However, you can add another document to the package, and prepare it using all signers, including the new one. Once you've completed your changes, you can send a new notification to signers directing them to continue the signing process. 3.6 DEFINE A PACKAGE USING TEMPLATES As a sender you can reuse prior work when defining new packages by using templates. There are two types of templates document layouts and package templates: Document layouts You can reuse previously saved document layouts to prepare new documents. Useful if you have to apply the same signature blocks and fields locations to a document over and over again. Package templates Package templates replicate an entire package and include signers, documents, and signature locations for each document. You can define template roles (unnamed signer place holders) and assign the roles to actual signers when it s time to create a new package. Templates can also be shared amongst colleagues within an organization. You can use document layouts in conjunction with package templates. 4 OBTAIN AND SIGN DOCUMENTS 4.1 STEPS FOR SIGNERS When a package owner sends a package notification that includes documents you need to sign, you'll receive an message. This message indicates that you have been added to the package as a signer, and identifies the name of the package. The message includes a link that you click to access the package through the e-signlive service. The package owner may have also included a message to you, which follows the link. 8 download an unsigned version of the document during the process if for example you prefer to print the documents and do a paper review before signing SIGNERS AUTHENTICATED BY Q&A Once you click the link, e-signlive prompts you to provide answers to one or more questions. By providing the correct answers, you are authenticated (verified) as the correct individual who is intended to receive and sign these documents. The package owner should have provided you with these answers or used questions to which only you should know the answers SIGNERS AUTHENTICATED BY SMS When a package owner sends a package that includes documents you need to sign, a 4-digit one-time code is sent as a text message to your mobile phone. Once you click the link in the , e-signlive prompts you to provide the code that was sent to your mobile phone. By providing the code, you are authenticated (verified) as the correct individual who is intended to receive and sign these documents FIND AND APPLY SIGNATURE Each signature location where an e-signature is required is identified using a signature box. When a document is opened for signing, images of yellow sticky notes in the left margin identify where signature boxes appear in the document. Three types of signature boxes can prompt signers to either click the signature box to e-sign using initials, click to sign by name or to sign by drawing a signature. 4.2 STEPS FOR THE PACKAGE OWNER Immediately after you send a package to signers, you might be prompted to e-sign documents. By default, e- SignLive automatically completes the package after all e-signatures have been obtained. When creating the package, you may have changed this default by selecting the Do Not Auto-Complete option when defining the package details. In this case, you must manually complete the package. e-signlive prevents you from doing this until all signers have e-signed all documents. 4.3 REASSIGN E-SIGNATURES The package owner may allow a signer to reassign their signature, such that another person can sign on their behalf. After signing, the delegated signer's signature appears in the signature box, not the original signer's signature. If you are the signer, you access the documents, providing any necessary authentication information first. You can sign any of your signature boxes before reassigning the remaining signatures to your delegate. To reassign signatures, you provide the contact information of the delegate. This information is required by e-signlive to send the package to your delegate. If you are the delegated signer, e-signlive notifies you by that documents are available for signing, and who has assigned their signing permission to you. The includes a link to access the documents. You are not required to provide any authentication information because the signer's identity was confirmed previously Silanis Technology Inc. 9 5 MONITOR AND MANAGE TRANSACTION e-signlive provides four folders to organize, act on and monitor your packages: Inbox This folder lists the packages that you've sent and received (sent by other e-signlive users). For each package, you can view the status of signatures and the status of the package (such as whether it's been completed). Drafts This folder lists the packages that you've created, but haven't sent. Archived Over time, the list of packages in your Inbox may become long. You can clean up your Inbox by archiving packages that you want to keep a record of, but don't need to access anymore. These packages are available from the Archived folder. Trashed This folder lists the packages that you've deleted. 5.1 MONITOR PACKAGE WITH PROGRESS BAR Furthermore each document in a package has a progress bar associated with it. The progress bar shows you how many signers have signed (or accepted) their documents. 5.2 ACTIONS ON PACKAGES In the Inbox, Drafts, Archived, and Trashed folders, a number of actions can be taken on packages. Depending on the state of the package you can: Save the package as a template Delete/Restore the package Prepare the documents Send the package Edit the package details Download all documents 2013 Silanis Technology Inc. 10 View messages sent when declining 6 DOWNLOAD E-SIGNED DOCUMENTS After all signers have e-signed documents in a package, e-signlive completes the package. A completed package is secured with a tamper-evident seal. Any attempt to tamper with (change) the documents in the package or their signatures breaks the seal and the signatures are no longer valid. e-signlive sends an to all signers indicating that signing is complete, and identifies the name of the package. The message includes a link that signers click to download the package with e-signed documents. The may also include the documents as attachments, depending on options selected by the package owner when creating the package. Signers aren't required to download documents. They remain available for download until the package owner archives or deletes the package. 6.1 REVIEW E-SIGNED DOCUMENTS After downloading a package, you can review its documents. Each document in a package is available as a PDF that you can open to see your own signatures and signatures for all other signers. When viewing a document using Adobe Reader, you can verify that a document and its signatures have not been tampered with. 7 ELECTRONIC EVIDENCE e-signlive captures an extensive audit trail and electronic evidence. The audit trail is embedded directly within the e-signed document so that the document can be sent, stored, viewed and verified at any time with the embedded digital signature, digital certificate, signature block image, time stamp and other audit trail data. Two dimensional QR code can also be added to documents by the sender to point to a secure URL for easy access to the associated audit trail information in the future Silanis Technology Inc. 11 e-signlive also captures electronic evidence of the signing session by capturing every displayed web page and the process that the signer followed (entering the transaction, authenticating, approving consent forms, signing documents), as well as the date/time of the events. A record of any sent is also stored within the electronic evidence by e-signlive. The Silanis ewitness process viewer allows Silanis customers to review the signers entire session including notification s.
