1 CONTRACTOR PARTICIPATION AGREEMENT Southern California Edison HVAC Optimization Program This Contractor Participation Agreement ( Agreement ) is entered into between ( Contractor ) and Portland Energy Conservation, Inc. ( PECI ) as program management consultant for Southern California Edison ( SCE ) for the purposes specified herein. Contractor and PECI are sometimes referenced in this Agreement individually as Party and collectively as Parties. I. Background 1. SCE is implementing the HVAC Optimization Program ( Program ) to encourage improvements in the energy efficiency of unitary packaged HVAC units ( HVAC Units ) installed on commercial buildings located within SCE s service territory. 2. This Program is funded by California utility ratepayers under the auspices of the California Public Utilities Commission ( CPUC ), and administered by SCE. PECI is a consultant to SCE and is responsible for recruiting qualified HVAC contractors to perform services under the Program and managing the implementation of the Program. 3. Contractors that participate in the Program by providing products or services to Customers resulting in reduced energy demand, also known as Energy Efficiency Measures ( EEM s ) while the Program is in effect can qualify to receive incentives funded by the Program. 4. By signing this Agreement, Contractor hereby affirms that Contractor wishes to participate in the Program, subject to Program requirements. This Agreement is comprised of the following Exhibits, all of which are made part of this Agreement: Exhibit A: Incentives Amounts and Claiming Instructions Exhibit B: Technician s Toolkit Exhibit C: Components and Tools to be Provided by the Contractor Exhibit D: Contractor Requirements Exhibit E: Program Application II. Definitions When used in this Agreement, the following terms, with initial capitalization, have the meanings specified below: Customer means eligible business that has current SCE commercial electric service. Measures, Energy Efficiency Measures or EEM refer to products or services provided to Customers that are designed to save energy and reduce peak period energy demand. Incentive or Incentive Payment means those dollar amounts specified in Exhibit A of this Agreement representing the incentive amounts available to Contractor through the Program. Page 1 of 15

2 Qualified HVAC Contractor means only those Contractors who meet the minimum requirements as set forth in this Agreement (specifically those set forth in Exhibit D) at all times during the Term and as approved by PECI. Qualified HVAC Technician means only those Contractor employees or subcontractors that meet, at minimum, the requirements as set forth in this Agreement (specifically those set forth in Exhibit D) at all times during the Term and as approved by PECI. SCE HVAC Optimization Maintenance Agreement, or Maintenance Agreement means the Agreement between Contractor and Customer for services to be provided under the Program. III. Term This Agreement is effective upon the date it is executed by both Parties and will continue until December 31, 2014, unless terminated in accordance with the provisions in this Agreement. All Incentives paid under this Program are available on a first-come, first served basis until allocated funds are depleted, therefore, this Program may be modified or terminated at any time without notice. IV. Program Equipment/Services/Incentives During the Term of this Agreement, PECI shall provide Contractor with each of the following equipment and support services to Contractor: 1. Techni cian s Tool kit. PECI will furnish the SCE HVAC Optimization Toolkit ( Toolkit ), components as described in Exhibit B, for use by Contractor trained by PECI. In addition to the components as listed in Exhibit B, and will also include a web based software application designed for the Program. The software will provide step-by-step instructions to the Contractors, and shall be used to collect HVAC Unit data and report collected data back to SCE and PECI. Contractor must have access to a computer or other device capable of uploading the data and executing the web based software. All tools and materials not contained in the Toolkit are Contractor s responsibility to obtain, including any tools commonly used in the industry as further specified in Exhibit C. Upon termination of this Agreement, the Program or at any time upon PECI s request, Contractor shall return all components of the Toolkit to PECI in good working order including any unused Program stickers. 2. Technical Support. During regular business hours (holidays excluded), PECI shall make its personnel available to answer questions through a toll-free number. 3. Training. PECI shall offer training for the Contractor s technicians, sales and operations staff. Training will take place hands-on, in the field, at sites determined by PECI and the Contractor. 5. Program Incentives. PECI on behalf of SCE shall disburse Incentives in accordance with the Contractor Incentive rates described in Exhibit A. The procedures and requirements to receive incentive payments outlined in Exhibit A. To be eligible for Program Incentives, Contractor s Page 2 of 15 All training sessions shall be free of charge and conducted during regular business hours (holidays excluded), unless otherwise agreed by the Parties. Contractor s technicians are required to attend all technical trainings. Formal training is supplemented by on-call technical support. Contractor acknowledges that attendance at training sessions is limited solely to Contractor s personnel, unless otherwise approved by PECI. 4. Marketing Materials. SCE and PECI will provide Contractor with marketing materials to allow Contractor to communicate the benefits of the Program to eligible SCE commercial Customers. All marketing efforts on behalf of the Program produced by the Contractor must be approved by PECI prior to use. Use of the SCE or PECI logo without Program approval could result in termination from the Program.

3 completed work must meet Program terms and conditions as set forth in the Contractor Resource Manual as provided by PECI from time to time. V. Terms and Conditions for Contractor Participation 1. Completion Requirements. Contractor has a maximum of six (6) months to bring all eligible HVAC Units into a baseline operating functional condition, and complete available EEM s after customer signs the HVAC Optimization Maintenance Agreement. In order to be considered for acceptance into the Program, Contractor must sign this Agreement and complete and sign the Program Application attached to this Agreement as Exhibit D. i. Access, monitoring and verification. SCE, PECI, and the CPUC will verify and monitor some or all the Program services performed by Contractor to ensure compliance with Program requirements and to verify the energy savings achieved through the Program. Contractor agrees to cooperate with SCE, PECI, and the CPUC as necessary to obtain access to the Customer s premises as necessary to monitor Program performance. 2. Insurance Requirements. Contractor, and any party engaged by Contractor shall carry and maintain throughout the Program Term, insurance meeting at least the minimum coverage amounts set forth below. All policies shall be written only by insurers admitted to do business in the state of California and having a rating of at least A and a financial rating of at least VIII on the most current edition of Best s Key Rating Guide or comparable rating by another generally recognized rating agency. PECI on behalf of SCE shall be given no less than thirty (30) days advance written notice of cancellation or material change in coverage. Contractor shall send certificates of insurance to PECI prior to performing work, upon completion of this Agreement, unless otherwise specified. i. Insurance Limits. Contractor shall obtain, and maintain the following: 5. Waiver of Damages. Contractor acknowledges and agrees that although PECI is receiving funds from SCE to pay Incentives SCE and PECI are not liable to Contractor for any losses or Page 3 of 15 a. Commercial general liability insurance with coverage of at least $1,000,000 per event of bodily injury, property damage or personal injury or death. b. Worker s compensation and employers liability insurance with coverage in accordance with statutory minimums, but no less than $1,000,000 per event of injury or death each accident. c. Automotive liability insurance with coverage of at least $300,000 per event of bodily injury or property damage. If any policy of insurance required under any subsection of this obligation is subject to a general aggregate limit, then such aggregate limit shall be at least twice the event limit. 3. Customer Data. SCE, PECI, and Contractor will have access to all customer information collected under the Program, and both parties agree not to disclose this information and only use this information for analysis and reporting to SCE and PECI under the Program. Contractor and PECI agree that certain information, including this Agreement, energy savings, and incentives paid may be disclosed to SCE and to the CPUC if requested. 4. Contractor as Service Provider. Contractor specifically agrees and acknowledges that neither PECI nor SCE is in the business of installing HVAC systems or servicing such systems. In performing any Program service, Contractor shall represent to its Customers that such services are provided by Contractor alone, and not by PECI or SCE.

4 damages, including incidental or consequential damages, arising from this Agreement. Furthermore, SCE makes no representation or warranty, and assumes no liability with respect to quality, safety, performance, or other aspect of any design, system or appliance installed pursuant to this Agreement, and expressly disclaims any such representation, warranty or liability. 6. Indemnity. To the fullest extent permitted by law, Contractor shall indemnify, defend, reimburse, and hold harmless the PECI, SCE and the Program, their respective successors, directors, officers, members, employees, representatives, and agents from, for, and against any and all allegations, claims, liens, liabilities, losses, demands, damages, expenses, suits, actions, proceedings, judgments, and costs of any kind whatsoever, whether actual or merely alleged and whether directly incurred or from a third party, including, without limitation, settlement costs, court costs, and attorneys and expert witness fees and expenses, arising out of, or relating to: (a) this Agreement; (b) conduct of the Contractor, its employees, agents, subcontractors at any tier or Contractor s independent contractors (including the filing of any liens); (c) infringement or misappropriation of any intellectual property right of any third party; (d) personal injury (including death) and property damage (real and personal, tangible or intangible, resulting in physical or solely economic losses); (e) negligence or willful misconduct; or (f) breach of confidentiality obligations. In any and all claims against PECI or SCE by a contractor or any subcontractor or their respective employees or agents, the indemnification obligation stated above shall not be limited in any way by any limitation on the amount or type of damages, compensation, or benefit payable by or for contractor or any subcontractor under the applicable worker s compensation act, disability acts, or other employee benefits acts. 7. Customer Damages. Contractor is solely responsible for any damage incurred by Customer as a result of Contractor s services under the Program, and neither PECI nor SCE are responsible for Customer complaints or damages. 8. Consequential Damages. NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES. 9. Compliance with Laws, Contractor Representations. The Parties agree to comply with all federal, state, and municipal laws, ordinances, rules, orders, and regulations, which apply to its actions under the Program. 10. Termination. PECI reserves the right to terminate this Agreement or any part of this Agreement for any reason or for no reason in its sole discretion. In the event of such termination, the Contractor shall immediately cease participation in the Program, including but not limited to any applicable use of Program materials, logos or other advertising tools, equipment and incentive forms. PECI will not pay Contractor for post-termination activity including but not limited to any incentives dated and submitted after receipt of notice of termination or for any costs incurred by the Contractor post-termination. PECI reserves the right to terminate this Agreement for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any of the terms and conditions of this Agreement. Examples of cause include, but are not limited to: (a) failure to return Program equipment; (b) damage to Program equipment; (c) failure to properly complete incentive forms; (d) failure to properly process incentives; (e) loss of certifications necessary for participation in the Program, insolvency; or (f) failure to provide PECI reasonable assurances of future performance. In the event of termination for cause, the Contractor shall be liable to the Program for any and all damages sustained by reason of the default, which gave rise to termination. 11. Double Dipping. Contractor certifies that they have not and will not receive any incentive payments for the same product, equipment or service from more than one California investorowned utility or third party energy efficiency program offering incentive(s) for the same product, equipment, or service funded with CPUC Public Purpose Program surcharge. 5 understands this prohibition applies three years prior to and three years after receiving the incentive(s) for the same product, equipment or service. 12. Commencement of Participation. In order for this Agreement to be accepted and considered in effect, PECI on behalf of SCE must review and verify all documentation requested in Exhibit E (Program Application) of this contract. PECI will notify an applicant of their approval or denial. 13. Subcontracting. Contractor may use a subcontractor to change filters only; provided, however that: (a) the subcontractor is enrolled in the program and the technician doing the work is a Qualified HVAC Technician who records the data and relevant information about the filter change into the Program s web application; or (b) the subcontractor who is changing filters is not enrolled in the program and a Qualified HVAC Technician employed by the Contractor verifies the filter installation on site within seven (7) business days of the installation and records the date of and relevant information about the filter installation in the Program s web application. The Parties, by their respective duly authorized representatives, have executed this Agreement on the date shown below. This Agreement shall not bind either Party until executed by both Parties. 6 EXHIBIT A Incentive Amounts and Claiming Instructions Below is a list of available incentives paid to Contractors based on work completed in accordance with program terms and conditions. Contractor Program Incentive PECI will pay $75 to Contractor for each HVAC Unit that is covered by a signed HVAC Optimization Maintenance Agreement. This incentive will help cover the cost of additional administration required for participation in this program Contractor Baseline Incentive PECI will pay Contractor $50 for each HVAC Unit that Contractor brings to baseline condition in accordance with the Contractor Resources Manual. This incentive will be paid after the HVAC Unit has been brought to baseline and the contractor has submitted a list of incidentals and repairs. Cooling Service Analysis (CSA) Incentive All of the required repairs and maintenance for a HVAC Unit must be completed and the HVAC Unit brought to a baseline condition for the contractor to be eligible for this incentive. Most of the prequalified repairs and tasks can be done on the first SCE HVAC Optimization Program visit by Contractor. The Program recognizes that some tasks have specific outdoor temperature requirements or might require additional parts that will need to be ordered. Contractors will have a six month window to complete all of the Cooling Service Analysis Tasks. All HVAC Units must be in baseline condition to qualify for payment, and incentives require the completion of a Contractor Incentive Application. All Cooling Service Analysis (CSA) and Contractor Baseline Incentives require that tasks are completed on each eligible HVAC Unit within six (6) months of after customer signs the Maintenance Agreement and an Incentive Application are completed for each HVAC Unit. All measures are processed based on review of data collected from the HVAC Unit via the Program s web application. Data gathered from the HVAC Unit is verified through a quality control process by the Program. HVAC Unit data is submitted via the web based software application synchronization process. It is strongly recommended that Contractors submit a list of buildings and addresses to PECI for eligibility review prior to performing any services. Contractor will receive incentive payment after the Program has verified the following: 1. Completed Incentive Applications for each HVAC Unit. Page 7 of 15

8 2. The EEM's completed must be approved through the Program s quality control process. The following information must be provided prior to payment: a. SCE electric account number. b. The contact name, first and last, and phone number of the person at the site serviced who can provide access for verification of the EEM completed. 3. Eligible Customers: Must be located within SCE territory, and receive commercial electric service from SCE. Contractor specifically acknowledges and agrees that any Program services performed under this Program for non-sce customers will not be processed, nor will incentives be paid. 4. Completed EEMs must meet or exceed Program quality standards to receive payment of incentives. 5. Once eligibility is confirmed, and the measure completed has been verified through the quality control process, payment will be mailed to the Contractor. PECI on behalf of SCE will process incentive payments once a week. Failure to meet any of the above requirements will result in loss of incentive payment. Taxable Income Incentive payments are taxable and if greater than $600 will be reported to the IRS, unless Contractor is exempt. The Program will report incentive payments as income on IRS Form 1099, unless the corporation or exempt tax status box below is checked. Please consult your tax advisor concerning the taxability of incentives. The Program is not responsible for any taxes that may be imposed on Contractor as a result of Contractor s receipt of incentive payment(s). 10 EXHIBIT C Components and Materials to be Provided by the Contractor Each Contractor will need to make sure that their HVAC technician is equipped with the following items, if they will be needed to perform the SCE HVAC Optimization Cooling Service Analysis. These tools will not be provided by the Program: 1. Mi-Fi hot spot, Bluetooth Modem or other device to ensure rooftop internet connectivity, if needed 2. Temperature probes: +/- 1.8 deg F = Type K thermocouples; calibration interval = mfr. standard 3. Humidity: +/- 2%; calibration interval = mfr. standard 4. Pressure: +/- 1%= digital gauges; calibration interval = mfr. standard 5. Digital scale, refrigerant fill and recovery tanks (EPA section 608, as required by 40 CFR 82 Subpart F) 6. Digital or analog tools to take readings to ensure refrigerant is charged to +/- 10% of Manufacturer s specification or as determined based on specified Acceptance Test Temperatures. 7. Standard HVAC service and hand tools, appropriate for the equipment being serviced 8. Multi Meter that measures AC/DC voltages and resistance 9. Amp meter for measuring current 10. 11 CONTRACTOR REQUIREMENTS I. EXPERIENCE The Contractor shall demonstrate a minimum of (5) years of experience in the commercial mechanical temperature control business by submitting copies of state and local licenses and certificates. The Contractor shall have no unresolved claims with the Better Business Bureau (BBB). II. III. IV. LICENSING The Contractor shall be fully licensed, as applicable, and with a minimum of a C-20 license. Contactors must be insured to do business at SCE customer s sites, in order to provide complete service. PERMITS Contractor shall comply with any and all required License or Code requirements and obtain all necessary or advisable permits. INSURANCE REQUIREMENTS Contractor must meet all insurance requirements specified in this Agreement. V. PREVENTIVE MAINTENANCE SCHEDULING The Contractor shall schedule preventive maintenance tasks using a computer software program to assure a uniform and detailed method of scheduling work. VI. VII. ENGINEERING SUPPORT The Contractor is required to employ at least one (1) full time professional who has an engineering degree or at least 10 years of experience in the field of refrigeration, boilers, and pneumatic, electric, and electronic controls. TECHNICIAN REQUIREMENTS The Contractor shall employ a minimum of (3) full time, HVAC service technicians. A maximum of (5) Qualified HVAC technicians per Contractor may be enrolled in the Program. Enrollment and training of additional technicians will require pre-approval by SCE (please contact the Program for pre-approval). The service technicians assigned to maintain mechanical systems under the Program must meet the following requirements: TECHNICIAN REQUIREMENTS FOR LEVEL 2 TECHNICIANS: FULLY-QUALIFIED TECHNICIANS a. Requirements: Full service technicians assigned to maintain mechanical systems under the Program must meet the following requirements: i. A minimum of five (5) years Heating, Ventilation & Air Conditioning service experience. AND ii. Hold a valid Refrigerant Transition and Recovery Certification, Type II or Universal, as required by 40 CFR Part 82, Subpart F of Section 608 of the Clean Air Act of Valid 608 technician certifications must be issued under a Program approved by the U.S. Environmental Protection Agency. 12 iii. Hold appropriate certification from recognized industry certification bodies. iv. NOTE: 1. Recognized providers shall include those with ANSI recognition providing commercial HVACR certification that is highly related to HVAC service and system maintenance. At a minimum, the certification credential must include refrigerant cycle fundamentals, troubleshooting and optimization, electrical fundamentals, troubleshooting and optimization and air side fundamentals, troubleshooting and optimization focused on commercial HVAC systems. 2. Credentials that are currently accepted include: a. (UA HVACR S.T.A.R. HVACR Service and/or Mastery) (NATE Heat Pump Service, Air Conditioning Service or HVAC Efficiency Analyst), (HVAC Excellence Light Commercial, Air Conditioning, Heat Pump Service or Master Specialist Certification), (RSES CM, CMS in any designation with CM, or SM in only Commercial Air Conditioning, or Heat Pump without a CM), (Journeymen- HVAC Mechanic) 1. SCE HVAC Optimization will verify and document all submitted certifications. Additionally, any questions or uncertainties that arise regarding technician certifications or qualifications are to be discussed with the SCE Program Manager for approval. 2. If a technician does not meet requirement iii, but has another form of industry certification, the Program will consider those individuals on a case-by-case basis. TECHNICIAN REQUIREMENTS FOR LEVEL 1 TECHNICIAN: LESS-QUALIFIED TECHNICIAN a. Requirements: Level 1 Technicians assigned to assist fully-certified technicians in maintaining mechanical systems under the Program must meet the following requirements: i. Be currently employed by the contractor ii. Have a minimum of twelve (12) months experience in the HVAC industry field iii. Hold an active EPA Card iv. Work under the direct supervision of a Program-certified technician v. Submit a signed Level 1 Technician Application documenting their sincere commitment to continued HVAC education vi. Be currently involved in an approved HVAC education program with the commitment of becoming a fully-certified technician 1. Approved HVAC education Programs include: a. i. 13 learn more about professional development and career advancement opportunities. b. Registered Apprenticeship Program c. IHACI NATE Certification Training Series d. Accredited Trade/Career Tech Training Programs 2. If a technician is not enrolled in one of the 4 items listed above but is enrolled in another HVAC education Program, the SCE HVAC Optimization Program will consider those individuals on a case-bycase basis. b. Level 1 Technicians will only perform work related to the SCE HVAC Optimization Program while under the direct supervision of a mentor that is a Program-approved Level 2 Technician. i. Level 1 Technicians will have a login with limited privileges and visibility. ii. The certified technician with the MPS login is responsible for all work completed on any HVAC systems under their supervision. All accountability falls on the Program-qualified technician onsite. iii. We will allow no more than two (2) Level 1 Technicians to work under one (1) Level 2 Technician. This 2:1 ratio is designed to ensure quality work, while also creating an environment conducive to training and workforce development. IX. EMERGENCY SERVICE 1. Every activity performed under this agreement is designed to minimize the incidence of emergency situations; however, backup emergency service will be provided by the Contractor to minimize downtime and inconvenience. The Contractor shall provide emergency service on an as-required basis. Emergency service shall be considered as calls in addition to the scheduled preventive maintenance calls. a. All labor, overtime, travel costs, parts, supplies, and any other expenses incurred and expended on such a call shall be provided by the Contractor and shall be disclosed to SCE Customers. b. The Contractor shall respond to all emergency situations within two (2) days after notification of system problems. c. The Contractor shall supply two (2) phone numbers. A person or persons under direct employment of the Contractor must answer these phones, and they must be trained on HVAC systems and their operation. 2. If an emergency service call is requested and inspection does not reveal any defect in the systems and equipment for which the Contractor is responsible, compensation shall be made to the Contractor by the customer at the regular rates prevailing for such service. X. CONTRACTOR PRE-ASSESSMENT TEST 1. Contractor applicants must take and pass an online exam about the content of ANSI/ASHRAE/ACCA Standard as a requirement for Program enrollment.
