9 PRODUCT TERMS AND CONDITIONS For the purpose of these terms and conditions, the word Company shall refer to UBA Asset Management Limited. Any person(s) opening or operating an investment account with the Company will be deemed to have read, understood and accepted the terms of account and the applicable charges issued and amended from time to time, by the Company. 1. No account shall be opened by the Company unless an account opening form is fully completed and attached Documents are attested to by the Client Manager. 2. Upon submission of duly completed forms, the Company will communicate account details to customer s Address stated in the account opening form.. The Company has a statutory responsibility to apply applicable tax from customer s accounts. The Company will require at least a notice of 24 hours for any withdrawal or termination of investment. Please note that withdrawals before maturity date attracts a 20% penalty on earned interest income. Only valid means of identification (International Passport, Work Permit, Resident Permit or Driver s License) issued by recognized authorities will be accepted before the Company opens any account in its sole discretion. Each account shall possess a distinctive number, which shall be quoted in all correspondence with the Company relating to the account. Any change in the address or personal details of the investor should be immediately communicated in writing to the Company. The delivery of all correspondence to the address stated in the account opening forms or any subsequent changes in address communicated to the Company by the investor shall be deemed to have been properly delivered. No responsibility shall be accepted by the Company for delay, non delivery, etc. The Company is authorized to make such disclosures in respect of the investment accounts as may be required by any court order or competent authority or agency under the provisions of applicable laws and/or otherwise to safeguard the interest of the Company. The Company will take due care to see that the debit and credit entries are correctly recorded in the accounts of the investor, but in case of any error, the Company shall be within its right at all times to make the correct adjusting entries without prior notice and recover any amount due from the account of the investor without prior notice. The Company shall not be liable for any damage or losses, consequent upon errors/adjustments. In case an investment matures on a public holiday, the Company shall pay the investor the interest/return thereon the next working day when the Company is open for ordinary business. In the case of the Company receiving notice on the demise of an individual client, the Company will not be Obligated to allow any operation or withdrawal except on production of death certificates, probate letter, letters of administration or other court order, from a court or competent jurisdiction. The Company solely reserves the right to terminate any type of relationship with the investor without assigning reason. The Company is subject to all applicable circulars, orders, directives, rules, regulations, laws, decrees and restrictions issued by competent government and other regulatory authorities in Nigeria and the liability of the Company for payment is governed by applicable laws and regulations in force in Nigeria at the relevant time. Repayments of any investment, account balances, or interest thereon are subject to any act of the government of Nigeria or any competent governmental or other regulatory authority in Nigeria. 8
