2 Agreement for Dispatch Services 1. RECITALS This agreement made as of this day of. 20 by and between Big Dog Dispatch, hereinafter referred to as Dispatch and (Contact Name) of (Company Name), hereinafter referred to as Client, desires to retain Big Dog Dispatch by executing a Limited Power of Attorney form to secure freight for and dispatch Client's equipment. Client must prior to the implementation of this agreement furnish to Big Dog Dispatch the following: l. A signed Limited Power of Attorney form. 2. Copy of Client's Authority. 3. Proof of Insurance Certificates, listing Big Dog Dispatch as a Certificate holder. Our address is 2208 South. Statement of the Work Big Dog Dispatch will: 1. Find freight that best matches profile for the Client. 2. Upon the Client agreeing to the load, Big Dog Dispatch will fax to shipper/broker the Clients, Authority, W-9, proof of insurance, and order insurance certificates if required, along with any other required supporting documentation. 3. Handle the setting of appointments if necessary. (depending on agreement) 4. Prepare directions to shipper/consignee, if necessary (depending on agreement) 5. Assist with any problems that arise in the transit of the load when necessary of within our capabilities. (depending on agreement) Client is responsible for own equipment, we can direct you to a service that maybe helpful.

3 6. All load information is available to the client at all times, Big Dog Dispatch will hold on to the dispatch, accessorial information, etc. until the load is completed. Once completed Big Dog Dispatch will mail all documents to the Client, unless the Client has chosen for Big Dog Dispatch to perform the invoicing. 7. If the Client chooses to have Big Dog Dispatch do the invoicing all paperwork will remain at Big Dog Dispatch until the invoicing is complete and they will be returned to the Client. 8. Big Dog Dispatch can handle any and all invoicing, collections, etc. for the Client for a fee. Additional paperwork is necessary. (agreement specific) 9. Big Dog Dispatch can assist in Factoring your invoices, giving you access to up to 90% of the invoice within 24 hours, once the Bill of Lading or Proof of Delivery is received. (fees may apply). Offered through our partnership factoring services "Not Available" **You, may agree to retain Big Dog Dispatch to send only selected invoices to the agreed factoring company and to factor the invoices that I select. Upon forwarding the final load confirmation, and mailing all documentation to the Client, the services of Big Dog Dispatch have been fully performed, unless you select the Invoicing Plan, then we will invoice the shipper/broker for you, the payment will be made to you and you will be required to pay the agreed fees to Big Dog Dispatch. 4. Consideration The client agrees to pay Big Dog Dispatch as per the agreed quotes and terms, as stated in Section 2 of this agreement. This agreed term rates will be required to be paid to Big Dog Dispatch as per the conditions of the agreement. (i.e. a 30 day subscription) A 5 day grace period will be allowed before the account becomes overdue. At 13 days the account will be suspended and a reactivation fee of $200 will apply in addition to any overdue fees. After 30 days the account may be placed for collection. Big Dog Dispatch will invoice Client as per the terms of the agreement via E- Mail, U.S. Mail or faxing said invoice by paypal. Payment can be made to Big Dog Dispatch by Certified Check, Money Order, T:Check or Com Check, PayPal and bank transfer. Once the payment is processed Client will be sent a confirmation receipt via , fax or US Mail. 5. Additional Provisions Once a load has been set up for the Client and all information given, it will be the responsibility of the Client to handle directly with the shipping party any problems, issues, delays, overages, shortages, damages, or billing and

4 collections issues. Unless you have made arrangements for additional services from Big Dog Dispatch. In no event will Big Dog Dispatch be liable for any incidental, consequential, or indirect damages for the loss of profits, or business interruption arising out of the use of the service. Client agrees to hold harmless, before during and after the contract, all direct or indirect damages resulting from Client hauling of shipper's freight. This includes, but is not limited to loading problems or issues, delays, overages, shortage, damages, and billing and collection issues and hours of services. Big Dog Dispatch can handle or assist with any collections and invoice factoring, however there may be an additional fee. Client will be responsible for notifying Big Dog Dispatch, of changes to authority, insurance, client profile or ownership. Big Dog Dispatch will work within the established parameters of the Clients Company/Carrier Profile. Big Dog Dispatch will notify Client of best-matched loads for approval prior to making haul commitment. Big Dog Dispatch will fax all necessary documentation to the broker/shipper directly, along with final approval once Client has approved load or a designated representative. Big Dog Dispatch will notify Client if load required qualifications or additional insurance necessary. In the event that Big Dog Dispatch books a load matching the Client's truck posting, the Client agrees to pay Big Dog Dispatch as agreed in Section 2 of this Agreement for services rendered. NOTE: To avoid charges for unavailable equipment, it is imperative to notify Big Dog Dispatch immediately if the truck is loaded from another source. Client agrees to notify Big Dog Dispatch before 8:00 am CST on the day the truck or trucks are available for dispatch and to advise Big Dog Dispatch of any immediate status change or delays. If you do not give the proper notice that the truck is no longer available, you may be subject to a $50 fine that MUST be paid BEFORE we can accept any further opportunities for the truck. Client agrees that if a higher line haul rate is needed for the shipment they will notify Big Dog Dispatch, dispatcher BEFORE the load is secured. Once the carrier tells the dispatcher at Big Dog Dispatch they will accept the shipment at a specific rate, this is verbal acceptance and the load is secured. Should the carrier back out or ask for more money after the load has been secured, there will be a penalty of $100 for the first occurrence, $200 for the second occurrence that

5 MUST be paid before we can accept another load on the carrier's behalf. If this happens more than twice (2), Big Dog Dispatch has the right to terminate the agreement between Big Dog Dispatch and the Carrier. Client agrees that they will advise Big Dog Dispatch in a timely fashion should the client not be available for dispatch more than I day at a time. (If you are not working for any amount of time, please let us know ASAP so that we do not plan any loads for your truck.) 6. Disclaimer Big Dog Dispatch is NOT responsible for: 1. Billing Issues 2. Load problems 3. Advances (All advances will have to be handles directly between Client and shipper/broker) 4. Handling ad storage of paperwork (All documents will be sent to Client unless other arrangements are made) 5. DOT compliance issues. 6. SPIKE lnsurance 7. Governing Law This agreement shall be governed by and construed in accordance with laws of the State of Kansas without giving effect to any choice of law or conflict of laws provision or rule (whether of the State of Kansas or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of Kansas. 8. Jurisdictions and Venu Big Dog Dispatch and Client hereby consent to and agree to submit to the jurisdiction of the Federal and state courts located in Shawnee County, Kansas in connection with any claims or controversies arising out of the Agreement. 6 Limited Power of Attorney This Limited Power of Attorney (the "Agreement') is made and effective (Date). BETWEEN: Big Dog Dispatch (the "Attorney), a company organized and existing under the laws of the State of Kansas, with its head office located at: 2208 South East 21st Terrace, Topeka, Kansas AND: (the "Client'), a company organized ad existing under the laws of the State of with its head office located at: (Enter your Complete Address below) RECITALS KNOWALL MEN BY THESE PRESENTS, that this Power of Attorney is given by Client to Big Dog Dispatch and that the Client hereby appoints Big Dog Dispatch, to be its attorney and to do its name and on its behalf anything that the Client can lawfully do by an attorney, including but not limited to: Professional Dispatch Services 1. General Grant of Power To exercise to perform any act, power, duty, right or obligation whatsoever that Client now has or may hereafter acquire. Client agrees to Big Dog Dispatch full power and authority to do everything necessary in exercising any of the powers granted here as fully as Client might or could do if personally present, with full power of substitution or revocation, ratifying and confirming all that Big Dog Dispatch shall lawfully do or cause to be done by virtue of this power of attorney and powers granted here. 2. Contract Powers To make, do, and transact every kind of business of whatever nature, and also for Client and in its name, and as its act and deed, to sign, seal, execute, deliver and acknowledge such transportation contracts, agreements, bills of lading, bills, releases and such other documents and instruments in writing of whatever kind and nature as may be necessary or proper in the premises, as fully as Client might do if done in its own capacity. 3. Settlement Powers To adjust, submit to shippers and brokers matters, which are now subsisting or may hereafter arise between Client or Big Dog Dispatch and any other person or persons, or in which any property, right, title, interest or claimed by Client may be concerned.

Business Interests To continue to conduct or participate in any business in which Client may be engaged or to carry out, modify or amend any agreement to which Client may be a party, modify or terminate such interest to or with such person or persons as Big Dog Dispatch may deem proper and on such terms and with such security as Big Dog Dispatch may deem appropriate; execute partnership agreements, Big Dog Dispatch; carry out the provisions of any agreement. 5. Photographic Copies Photographic or other facsimile reproductions of this executed power may be made and delivered by Big Dog Dispatch and may be relied upon by any person to the same extent as though the copy were an original. Anyone who acts in reliance upon any representation or certificate of Big Dog Dispatch, or upon a reproduction of this power, shall not be liable for permitting Big Dog Dispatch to perform any act pursuant to this power.
