1 General Counsel Panel: Risk Management in International Expansion Panelist Biography Robert C. Donohoo Vice President & General Counsel RadioShack Corporation Robert C. (Bob) Donohoo joined RadioShack in August 2007 as Vice President, General Counsel and Corporate Secretary. Prior to that Bob served as Senior Vice President, General Counsel and Secretary with EFJ, Inc. Bob also previously served as Senior Vice President, General Counsel and Secretary of i2 Technologies, Inc. and in the tax department with Arthur Andersen. Bob graduated from Texas Tech University with a BBA in Accounting and a MS in Taxation and from St. Mary's University School of Law. Bob is also a Certified Public Accountant (inactive status).

2 Carlos M. Hernandez is senior vice president, chief legal officer and secretary for Fluor Corporation (NYSE: FLR). He joined Fluor in Prior to joining Fluor, Mr. Hernandez served as general counsel and secretary for ArcelorMittal Americas of the ArcelorMittal (NYSE: MT) steel group. Mr. Hernandez also served as general counsel and secretary of International Steel Group (NYSE: ISG), Inc. prior to its acquisition by Mittal Steel Company. Carlos M. Hernandez Senior Vice President, Chief Legal Officer & Secretary Fluor Corporation Before joining ISG, Mr. Hernandez served as executive vice president, general counsel and secretary for a large, NYSE-listed consumable products distribution and retail company in Dallas. From 1984 to 1999, Mr. Hernandez served in a number of different legal capacities for Armco Inc. a diversified public company, with interests in steel, manufacturing, oil-field equipment, financial services, including insurance, and aerospace. Early in his career, Mr. Hernandez worked as a civil engineer with HNTB. Mr. Hernandez holds a bachelor of science in civil engineering from Purdue University and a juris doctorate from the University of Miami School of Law. Mr. Hernandez has previously served on the board of a non-profit organization serving troubled youths, The Whale s Tale, in Pittsburgh, PA and is currently on the Board of Advisors of the Southern Methodist University Corporate Counsel Symposium, the United Way of Metropolitan Dallas Campaign Cabinet and the Board of Governors of the Dallas Symphony Orchestra.

3 Joseph F. Hubach Senior Vice President, Secretary & General Counsel Texas Instruments Incorporated Joseph F. Hubach is Senior Vice President, Secretary and General Counsel and a member of the executive committee of Texas Instruments Incorporated. TI is one of the world s leading semiconductor companies, with manufacturing, design and sales operations in more than 25 countries, and is headquartered in Dallas, Texas. Mr. Hubach joined TI s law department in 1984, and earlier in his career held positions in its corporate and securities, litigation and commercial practice groups. From , Mr. Hubach was assigned to TI s office in Tokyo, Japan, where he lived as an expat and provided legal support for the company s Asia operations. He was appointed Vice President and Assistant General Counsel in 1998, and appointed to his current position in Mr. Hubach is a member of the executive board of the Dallas Symphony Association.

4 As Chief Legal Officer and Secretary at Mary Kay Inc., Nathan Moore manages all aspects of the company s Legal, Government Relations and Corporate Public Relations Departments. Staff supporting Mary Kay s Corporate Social Responsibility efforts, Corporate Heritage, Academic Outreach, as well as the Mary Kay Foundation and the Mary Kay Museum, also report to Mr. Moore. Nathan P. Moore Chief Legal Officer Mary Kay Inc. Mr. Moore joined Mary Kay Inc. in 1995 as a Staff Attorney and has held several positions in the Company s Legal Department. He earned a bachelor s degree in business administration (finance) from Texas A&M University with honors and a law degree from St. Mary s University in San Antonio, Texas. Mr. Moore received the Dallas Business Journal s Best General Counsel award in 2005, being named Champion of Diversity. He proudly received the Minority Corporate Counsel Association s 2006 Employer of Choice award for the Company s diversity efforts. Mr. Moore is very active in industry matters, serving as Vice Chairman of the Direct Selling Association (DSA) and a member of the Direct Selling Education Foundation and is a member of the Legal Executive Committee of the Personal Care Products Council.

5 Leo B. Wegemer is Vice President and General Counsel of Lockheed Martin Aeronautics. He is responsible for the overall direction and leadership of the Aeronautics Legal Department, providing legal advice and guidance to the programs, functions, and senior management of the company. In addition, the Legal Department defends LM Aero against lawsuits, protects its intellectual property, oversees export /import control and ensures compliance with all applicable laws and regulations. Leo B. Wegemer Vice President & General Counsel Lockheed Martin Aeronautics Company Before assuming his current position, Mr. Wegemer was Chief Counsel Programs for Aeronautics Company since its consolidation in In that role, he was responsible for providing legal advice for all programs and business transactions across the entire Aeronautics line of business. Prior to that assignment, Mr. Wegemer was Vice President and General Counsel for Lockheed Martin Aeronautical Systems based in Marietta, Ga. From 1996 to 1998, he was Division Counsel in Lockheed Martin Missiles and Space where he was the principal counsel to the Fleet Ballistic Missile program. From 1994 to 1996, he was General Counsel for the Lockheed Martin Armament and Ordnance Systems companies. Prior to joining Lockheed Martin, Mr. Wegemer served in the U.S. Air Force. His assignments included Staff Judge Advocate at Scott AFB, General Counsel for the USAF Office of Scientific Research and Contracts Litigation Attorney at HQ USAF where he worked with the Department of Justice representing the Air Force in federal courts throughout the country. Mr. Wegemer earned his Bachelor of Science degree from the University of Pittsburgh and a Master of Business Administration from Southern Illinois University. He earned his law degree from the University of Alabama and a graduate law degree (LLM) from George Washington University. Leo and his wife Terry reside in Fort Worth, Texas.

6 José de Lasa serves as Of Counsel in the New York office, and is a member of the Corporate and Securities Practice Group. He provides advice to general counsel of client companies, on a no-fee basis, with respect to corporate governance, board affairs, compliance programs, internal investigations and the organization and management of global law departments. He serves on the Steering Committees of the Global and North American Pharmaceutical and Healthcare Industry Group. He is also involved with the Firm s diversity and pro-bono initiatives. Prior to joining Abbott, he was employed for 19 years at Bristol-Myers Squibb where he served in senior positions in the legal department, including a 3-year assignment in Brussels, as European Counsel to the company, and serving as chief counsel to the company s pharmaceutical and nutritional businesses worldwide. His last position at BMS was that of Vice President, Associate General Counsel and Secretary. Mr. de Lasa is a member of the Association of General Counsel and the North Shore General Counsel Association. He serves on the Board of Directors of the American Arbitration Association. Mr. de Lasa is a member of the American Bar Association, Illinois Bar Association and the Association of the Bar of the City of New York. Mr. de Lasa received his B.A. magna cum laude in 1968 from Yale University. He received his J.D. with honors from Yale Law School in He is admitted to practice in the States of Illinois and New York. Mr. de Lasa serves on the Board of Directors of the Resource Foundation. He is a member of the Cuba Study Group. Mr. de Lasa has served on the Board of Directors of the Chicago Council on Foreign Relations, New York Legal Services and as a Trustee of the International Institute of Rural Reconstruction. He is also a member of the Council on Foreign Relations in New York. His efforts to promote diversity in the profession have been recognized by Fortune, Chicago Lawyer, and Diversity and the Bar. Mr. de Lasa is the recipient of several awards in connection with pro-bono legal services, including the 2003 Exemplar Award of the National Legal Aid and Defender Association.

7 John F. McKenzie is a Partner in the San Francisco office and a member of the International Commercial Practice Group. Mr. McKenzie s practice is focused on crossborder transactions and international trade regulation, including planning and structuring international investments; international mergers, acquisitions, consolidation and reorganization transactions; international commercial and technology development and transfer transactions; and customs and import regulations, export controls and international corporate compliance. Mr. McKenzie has written and spoken extensively on United States export controls, import trade regulation, anti-boycott regulation, international antitrust matters, the Foreign Corrupt Practices Act and the international distribution and protection of computer software. His articles on those topics have appeared in the proceedings of the University of Southern California Tax Institute, the Vanderbilt Journal of Transnational Law, the Boycott Law Bulletin, the proceedings of the Arizona State University Computer Law Institute, the proceedings of the University of Southern California Computer Law Institute, the Computer Lawyer and the International Lawyer. Mr. McKenzie is a member of the International Section of the American Bar Association, the Legislative Council of the California Council for International Trade, the District Export Council for Northern California, and an Associate member of the Northern California Chapter of the Association of Freight Forwarders and Customs Brokers. Mr. McKenzie received his B.A. degree (Phi Beta Kappa; magna cum laude) from Williams College in 1969, and his J.D. degree (cum laude) from Harvard Law School in He was articles editor at the Harvard Law Review from Between college and law school Mr. McKenzie served in the Peace Corps in the northwestern mountains of Guatemala. Mr. McKenzie is admitted to practice in California (1976), the Northern District of California (1976), the 10th Circuit Court of Appeals (1984), and the Court of International Trade.

8 Paul J. McNulty is a partner in the Washington D.C. office, and a member of the Litigation Practice Group. He joined Baker & McKenzie LLP in 2007 after a long career of public service. He currently chairs the Firm s Global Corporate Compliance Steering Committee, and plays a key leadership role in the Business Crimes and Investigations practice. He works with a global team, including highly experienced former prosecutors, in conducting internal investigations, offering strategic counsel for dealing with the Government, and advising on best practices for compliance with U.S. and international legal requirements and regulations. McNulty Partner Baker & McKenzie paul.mcnulty@ bakermckenzie.com For more than two decades, Mr. McNulty played a leading role in shaping US law enforcement policy, serving as U.S. Deputy Attorney General from 2005 to 2007, the second highest-ranking official in the Department of Justice and chief operating officer of its more than 100,000 employees. In that role, he chaired the President s Corporate Fraud Task Force, where he oversaw several high-profile corporate fraud prosecutions. He launched a national initiative to combat fraud in government contracting. He also served as the Justice Department's representative on the Committee on Foreign Investment in the United States (CFIUS) where he negotiated mitigation agreements involving international companies. Mr. McNulty has held other high-level positions in the United States Government including US Attorney for the Eastern District of Virginia, Chief Counsel for the Majority Leader of the US House of Representatives, Chief Counsel for the House Judiciary Committee s Subcommittee on Crime, Principal Associate Deputy Attorney General, and Director of Policy and Communications at the U.S. Department of Justice. Confirmed as U.S. Attorney three days after the terrorist attacks on September 11, Mr. McNulty was entrusted with many of the United States highest profile terrorist prosecutions. His experience in providing strategic advice and counsel to leaders at the highest levels of federal and state government including Presidents, Governors, Attorneys General, and top Congressional leaders is a valuable resource to clients. Additionally, Mr. McNulty is a member of the Ethisphere Advisory Panel Global Anti-Corruption Quotient and the SAI Global Compliance Law Ethics Advisors. He was been named as Top Gun by Ethisphere Magazine for 2009, and selected as a Washington D.C. Local Litigation Star in the 2010 Benchmark Litigation Survey. He received his J.D. and LLD, with honors, from the Capital University School of Law, and his BA and PhD, with honors, from Grove City College. Mr. McNulty is admitted to practice in Pennsylvania, as well as the U.S. Supreme Court and U.S. Court of Appeals for the Fourth Circuit.
