2 Cheryl Turner is a former trial attorney representing both Plaintiffs and Defendants in cases involving residential and commercial construction, insurance litigation, consumer class action/multiplaintiff litigation, deceptive trade practices, fraud, fiduciary duty, defamation, and general business litigation. Currently, she is Vice President of Customer Relations and General Counsel for Darling Homes, a single-family luxury homebuilder with communities in the Dallas and Houston areas. Licensed to practice in 1994, Cheryl received her B.A. and J.D. from the University of Texas at Austin. She is a former Chairman of the State Bar of Texas Consumer Law Section, a former Director of the Dallas Association of Young Lawyers, a member of the Construction Law Section, a Texas Bar Fellow and a frequent speaker and author on the DTPA and residential construction. Her professional certifications include Texas Real Estate Commission Certified Instructor and National Association of Home Builders Certified Green Builder. In 2006 and 2007, Cheryl was named a "Super Lawyer" by Texas Monthly in the area of construction law. In 2008, Cheryl was named Best Solo Corporate Counsel by the Dallas Business Journal.

3 JEFFREY W. CARR is FMC Technologies, Inc. s Vice President, General Counsel and Secretary. Mr. Carr has extensive experience in commercial and corporate counseling, corporate governance and compliance, dispute resolution including mediation, arbitration and litigation, negotiations involving international joint ventures, acquisitions, divestitures, privatizations, international trade law, customs, export control. In addition, he designed and implemented the ACES risk/reward law firm engagement model, the FMC Technologies Corporate Compliance Program, and 1 Law an integrated internet/intranet/extranet enabled financial, administrative, internal/external counsel collaboration, matter management, and knowledge management model. Mr. Carr is a frequent contibutor to legal publications on various topics including compliance, law department management and outside counsel relationships. He received a Lexis-Nexis Distinquished Legal Services Award in 2002, was included in the 2005 Texas Lawyer In-House 50 and the 2005 Inside Counsel Power Broker 50, serves on the Boards of the Association of Corporate Counsel (ACC), the Texas General Counsel Forum (TXGCF), and the International Institute for Conflict Prevention & Resolution (CPR), and is an active participant in MAPI/ Manufacturers Alliance. The FMC Technologies Legal Team was featured in the Corporate Legal Times in 2004 and Inside Counsel in 2008 as one of the 10 most innovative law departments, and has also been recognized by the ACC and the General Counsel Roundtable for its cutting edge legal delivery services ideas.

4 Catherine Q. Morse Bio Catherine is a graduate of Louisiana State University and the University of Houston Law School. Upon her graduation from law school, Catherine worked in the labor & employment law section of Vinson & Elkins in Houston and later joined the Austin Office of Fulbright & Jaworski, where she also specialized in labor and employment law. In October of 1997, Catherine began her in-house counsel career with Applied Materials in Austin. She subsequently worked at Freescale Semiconductor as the director of labor & employment law. Catherine has served as general counsel of Samsung Austin Semiconductor since August of Catherine has been active in the Austin community for many years. She has served on the Board of Directors of Mobile Loaves and Fishes, Goodwill Industries of Central Texas, Any Baby Can and the Travis Light House for the Blind. She is the mother of two boys, Robbie, 14, and Mitch, 18. Her husband, Kevin Morse, is an Assistant Travis County Attorney.

5 Joel R. (Jody) Styles Senior Vice President and General Counsel Jody has BBA and Juris Doctor Degrees from The University of Arkansas. Jody initially worked for Hartford Insurance as a multi-line claims adjuster. He subsequently joined Dillard Department Stores, working in the Risk Management Department handling self-insured, self-administered claims and litigation. Jody advanced to the position of Risk Manager and was responsible for placing all insurance for casualty, professional liability, and employee benefits. In addition, he was responsible for managing claims, litigation, corporate safety, OSHA compliance, cobra administration, cafeteria plans, and other matters associated with Risk Management and Benefits Management. He also created and managed one of the largest nonsubscriber programs in Texas which resulted in saving several million dollars per year. Jody left Dillard s to start a new centralized Risk Management program for another nationally known retailer. After setting up a successful risk management program, Jody joined Regions Insurance, Inc. (formerly Rebsamen Insurance, Inc.) in 2004 as an Associate General Counsel and is acting as a claims advocate and legal resource for clients of Regions Insurance.

6 ELAINE E. WHITBECK Senior Vice President, Chief Legal Officer, General Counsel and Corporate Secretary Elaine E. Whitbeck is senior vice president, chief legal officer, general counsel and corporate secretary for Alcon, the world s largest eye care company. Ms. Whitbeck joined Alcon in 1986 and is responsible for all Alcon legal matters, including those pertaining to securities, intellectual property and patents, acquisition and divestiture transactions, employment issues, litigation, transactional matters, environmental law, real estate/construction, computer/internet issues, regulatory concerns (FDA, FTC, PDMA, OSHA), antitrust issues, benefits, banking/treasury, contract administration and records management. Ms. Whitbeck was also elected to the Supervisory Board of WaveLight AG in March Prior to joining Alcon, Ms. Whitbeck was the director of legal operations and shareholder services for Mary Kay Cosmetics, Inc., where she handled product liability claims/litigation, antitrust issues and securities-related matters. Previously, she was a trial attorney with the Dallas law firm of Vial, Hamilton, Koch & Knox. Ms. Whitbeck also served as protocol assistant to Secretaries of Defense James Schlesinger and Donald Rumsfeld in Washington, D.C. Ms. Whitbeck received a Bachelor of Arts, Highest Distinction, Summa Cum Laude, Phi Beta Kappa, and Echols Scholar, and a Juris Doctor degree from the University of Virginia. She completed the Harvard Business School s Program for Management and Development in Ms. Whitbeck served as the statewide president for the Texas General Counsel Forum in 2002 and 2003 and continues to serve on the statewide board. She also serves on the Advisory Board for the SMU Corporate Counsel Symposium, was a 2004 Honoree for the YWCA s Tribute to Women in Business and was honored with a Women of Influence Award for the "2005 Great Women of Texas Event" by the Fort Worth Business Press. Ms. Whitbeck was a board member of Prevent Blindness America Texas Chapter from and the Lena Pope Home (child protection and adoption). Ms. Whitbeck is a board member of ORBIS International (the Flying Eye Hospital ). Ms. Whitbeck received the Dedman Ethics and Law Award in 2009.
