1 Regulations Coalition Representative List of Controlled Transactions Eligible for the Cost-based Safe Harbor (the White List ) Service Offering HUMAN RESOURCES Staffing & Development Labor Relations & HR Ops HR Planning Training Expatriate Administration Compensation, Benefits & LAW Advisory, Planning and Litigation Examples of Representative Types of Rendered Workforce planning and deployment, assimilation, employee & executive development, interchange transfers, performance appraisal process. Union relations, employee relations, employee services. HR internal analyses, work plans. Leadership training, personal effectiveness training, operations/skill training. Providing training and technical information necessary to implement and utilize technology jointly developed and owned pursuant to a Qualified Cost Sharing Agreement. 1 Assignment management, coordination activities. Compensation (including incentives, profit sharing, and stock plans (e.g., restricted stock, stock rights, and stock options)) payroll, benefits, policies, retirement services, EEO/diversity, professional recruiting, office and clerical support. Work by in-house lawyers on legal matters including, but not limited to, contracts, legal reorganizations, acquisitions, divestments and other transactions. Defending patents and intellectual property rights. Compliance Corporate Secretary Outside Legal Legislative/Regulatory Affairs Development and implementation of corporate compliance program to ensure that companies worldwide are in compliance with applicable rules and regulations. Maintenance of corporate books and records; updating of officers and directors. Coordination of work by outside lawyers on legal matters. Monitoring federal, state, and foreign legislative and regulatory developments. 1 These services involve the routine implementation and instruction in use of technology already owned by a taxpayer pursuant to a license under a qualified cost sharing agreement, and do not involve the development of new technology.
2 ACCOUNTING AND FINANCIAL SERVICES Controller s Activities Reporting to public, third parties, internal management. Consolidation of worldwide results per business area for use in management accounting. Overseeing control environment, improving processes. Development of accounting manual prescribing company wide accounting methods and policies. Recording of product transactions, validation of inventories through reconciliation of book to physical counts and mass/volumetric balancing, reconciliation of balances with exchange partners and others. Continuous improvement and effectiveness of the in-country shared service Controller's organization. Accounting for operations, activities; consolidation of legal entities per country for use in statutory financial statements and tax returns. Payroll Operation of automated payroll system that integrates benefit and payroll information. Processing of wage payments. Processing of federal and state payroll taxes, unemployment insurance premiums, state disability insurance premiums, and workers compensation premiums. Preparation of all required payroll tax forms including Forms 940, 941, and W-2. Internal Audit Accounts Receivable Accounts Payable Performance of operational and financial audits of various business areas. Process and collection of customer invoices. Invoice receipt and processing. Supplier payment. Travel & expense reimbursement. Tax Advise business lines on the tax implications associated with investment/divestment decisions, corporate restructuring, transfer pricing and other major transactional issues. Preparation, filing, payment of income, franchise, property, sales/use, excise and other miscellaneous tax returns. Manage tax audits and maintain proper documentation for audit support. In the local, state, federal, and foreign context, protesting audit adjustments, filing refund claims, representing the taxpayer in administrative appeals procedures, and litigating unresolved issues. Coordination of work done by outside tax lawyers on U.S. and non-u.s. tax matters. Monitoring local, state, federal, and foreign tax legislative and regulatory developments that may
3 affect the tax compliance and planning functions. Treasurer s Activities Advice on and participation in project economics and studies (e.g., organizing, structuring, etc., third party or internal project financing); investments/divestments, joint ventures. Financial advice to business units; development of model to use for budgeting and investment evaluations. Advice on and participation in activities relating to affiliate capital structure; interest cost minimization; debt guarantees. Provide risk assessments of customers, establish credit limits, monitor credit exposure, release credit blocked orders, assess the adequacy of and arrange custody for security provided by customers and manage doubtful receivable accounts deemed uncollectible including receivables from bankrupt customers. Administer banking operations including establishment of bank accounts, overdraft facilities, lines of credit and lockboxes; bank fees; foreign exchange and currency hedging; cash management security and control procedures. Activities relating to investing/financing/administering employee benefit plans; transacting/investing employee funds; actuarial services. Insurance advice and risk management services for affiliates; arranging property & liability insurance; handling claims. Corporate risk management services. INFORMATION SERVICES Computing Infrastructure Applications Mainframe Desktop/Laptop Wide Area Network Telecom (Voice/Video) Management Internet/Intranet/Electronic Data Interchange Infrastructure services related to computing systems, both company wide and non-company wide, and including mainframe, mid-range and PC-based servers. 2 Ongoing maintenance and repair of existing computer applications; Help Desk services and training for applications users. Online Processing, batch processing, and data storage related to mainframe operating systems; retrieval of tapes and attachment to tape readers to make data accessible to users. Desktop and laptop computer applications services related to connectivity to local and wide area networks, and other collaboration software. related to the interconnection of local area networks. Provision of fixed voice, long distance, video and telecommunications services and management of related resources. Internet and intranet services; electronic data interchange systems, which provide a standard data formatting convention to enable communications between affiliates operating on different systems. 2 These services involve the routine implementation and maintenance of established computer system infrastructures, and do not involve the development of new computer system infrastructures technologies.

Health Risk Management Common health risk management systems development; clinical services, industrial hygiene, alcohol and drug testing services (laboratory analyses done by third parties); advice to business management. Advice to business management: claims resolution. Security Threat assessment, risk assessment, security surveys, travel security, investigations, general security awareness training, operations protection reviews, information protection awareness

Health & Safety Provide guidance and support operations integrity management support implementation, coaching and conducting operations integrity management assessments, development and implementation of safety behavior based programs, reporting and accident investigations. Provide technical support, external advocacy, regulatory interpretation, compliance planning and compliance assistance. Provide strategies, resources and training for effective crisis preparedness and response. Provide development of remediation strategies and execute remediation programs for soil and groundwater contamination. Real Estate and Building Management provided to related parties purchasing, selling or leasing real estate, including office and other facilities. Building management services, including operational aspects such as maintenance and repair, lighting, heating and cooling, parking and landscaping. Tenant support services such as office migration and reconfiguration projects. Travel Management Managing and providing corporate travel services. Establishing global travel policies. Selecting and monitoring travel agencies. Negotiating airline, hotel, and car rental contracts. Meeting management services. Managing motor pool and fleet.
