3 PART I ASIS/ARS SERVICES INTRODUCTION & BACKGROUND Alliant Specialty Insurance Services/Alliant Risk Services (ASIS/ARS) is pleased to provide the CSAC Excess Insurance Authority with the enclosed proposal to expand the contract for Underwriting Services to include the Workers Compensation programs. As we currently provide these services to your property and liability programs, and due to our close association with Driver Alliant Insurance Services, we feel that we are in a particularly advantageous position to provide the Authority with quality underwriting services in a very competitive and efficient manner. ASIS/ARS is owned and operated as a division of Driver Alliant Insurance Services and Alliant Resources Group. ASIS/ARS was founded in 2002 by Driver Alliant in response to the need to establish consistent, quality underwriting services in support of the firm s numerous group purchase programs. The firm was established out of the Agoura Hills, California office with the primary focus of providing underwriting services for the Driver Alliant s PEPIP property program. ASIS/ARS now has ten (10) employees and has added a San Francisco, California office. ASIS/ARS has also successfully expanded our scope of services to include support for other Driver Alliant programs as well as services to outside clients. This includes the current contract with CSAC Excess Insurance Authority for underwriting services to the Primary General Liability, Liability Program I, General Liability Program II and the Property Program. In addition, the San Francisco office now provides workers compensation underwriting services to a non-profits Self Insurance Group as well as liability services to the California State University Auxiliary Organizations 1
4 PART II SUSAN ADAMS BACKGROUND The services under this contract will be provided exclusively by Susan Adams. Susan began her public entity underwriting experience in the 1990 s with the alternative risk division of American Reinsurance, originally known as AmRe Managers and then when purchased by Munich Reinsurance, renamed Munich-American Risk Partners. She was hired as a casualty underwriter, underwriting General Liability, Automobile Liability, Excess Liability and Workers Compensation for private sector and public sector clients. AmRe Managers reorganized into client groups and Susan was named manager of the Public Entity and Non Profit client group in the San Francisco Branch office. During her career at Munich-American Reinsurance, Susan underwrote the CSAC-EIA s GL1, PWC and EWC programs as well as many other public entity individual accounts, joint power authorities and non-profit clients located in California and nationally. Prior to joining American Reinsurance, Susan underwrote and developed Workers Compensation loss sensitive programs for private sector Fortune 1000 accounts. 2
5 PART III RESUME SUSAN ADAMS MUNICH-AMERICAN RISK PARTNERS AMERICAN RE-INSURANCE, San Francisco 12/90 10/2003 Vice President I began my career with American Re as a casualty underwriter working in the alternative risk department of American Re. I underwrote Fortune 1000 companies and then specialized in public and non-profit entities. I was promoted to manager of the San Francisco Public and Non Profit Entities office managing a staff of 4. We provided excess or catastrophic coverage programs to clients with self-insured retentions in excess of $250,000. In addition to management, my responsibilities included analysis of the risk including both the self-insured layer and the excess layer, analysis of the risk s claims history and claims handling procedures, coverage analysis, structuring an excess insurance or reinsurance program that met the client s financial and risk transfer needs, pricing of the account including actuarial analysis and writing reinsurance contracts. My clients were national public entity risk pools, risk retention groups, captives, individual municipalities, states and schools and non-profit organizations including religious organizations. I underwrote excess workers compensation, automobile, general liability, professional liability and umbrella coverage for these entities. I structured reinsurance programs of the pools or individual entities where reinsurance was legal in their state and insurance programs for other entities. I had a very good working relationship directly with both the clients and the brokers as we found that was beneficial in meeting the client s needs. I met with the clients annually and was involved in audits or reviews of their operations. I was involved in the PRIMA, AGRIP and CAJPA organizations and their respective conferences. CIGNA SPECIAL RISK FACILITIES, San Francisco 10/85 12/90 Account Manager I was responsible for supervising a unit of 4 underwriting casualty coverage for Fortune 1000 clients providing insurance programs to meet their risk management needs. I structured excess large workers compensation programs for these clients either via captives, large deductible programs or retro or retention programs. I worked closely with ESIS, the claims sales operation of CIGNA as we offered combined programs of insurance and claims. Most of the accounts I underwrote were cable television companies, TCI, United Artists and 3
6 Comcast Cable. I also was the account executive for Budget Rent a Car, DHL, Arkansas Best and other Fortune 1000 companies where the broker was located in the western region of the US. I left CIGNA for an opportunity to underwrite alternative risk clients with a reinsurance company and to gain knowledge of reinsurance companies, as all reinsurance was placed by CIGNA s Home Office staff. CNA, San Bruno, CA 6/83-10/85 Senior Casualty Underwriter I was responsible for underwriting first dollar Workers Compensation, Automobile Liability and General Liability for an assigned territory. I also underwrote association business and was responsible for agents that had binding authority for these programs. I obtained underwriting knowledge of contractors, truckers and other types of business that had more liability exposure than my prior employer Kemper chose to insure. I left CNA for the opportunity to underwrite large accounts at CIGNA SRF. KEMPER, San Francisco, CA 11/80 6/83 Casualty Underwriter I started my career with Kemper. I attended their underwriting schools and was trained on the job. I underwrote first dollar, primary casualty lines of coverage and worked closely with the property underwriters on package programs. Kemper provided me with the basic knowledge of ISO rating, classifications, workers compensation rating, experience modifications promulgation that is necessary to really understand the pricing of accounts. This was a great training company. I left to expand my knowledge of underwriting as Kemper s appetite was plain vanilla accounts. 7 PART V SCOPE OF SERVICES Following is a summary of the services ASIS/ARS will provide on a case-by-case basis, as requested by the CSAC Excess Insurance Authority. EWC EXCESS WORKERS COMPENSATION PROGRAM: Review exposures and losses of each prospect in relation to the premium calculated by the existing pricing mechanisms (EWC formula) and provide input to appropriate committees as to suggested changes to pricing, terms or conditions. PWC PRIMARY WORKERS COMPENSATION PROGRAM: Review exposures and losses of each prospect in relation to the premium calculated by the existing pricing mechanisms (via actuarial study or minimum premium calculation) and provide input to the PWC Committee as to suggested changes to pricing, terms or conditions. If the actuarial pricing process does not apply (i.e. the entity is too small), ASIS/ARS will provide a specific recommended quotation for the new member (pricing and terms). In addition to the above, Susan will also be available as a reference to assist the EIA with Workers Compensation issues that may arise. 5
8 PART VI COMPENSATION As compensation for performance of the scope of services outlined in Part V, we would suggest an arrangement where ASIS/ARS receives a percentage of the premium contribution for all written business where ASIS/ARS has an active underwriting role, both new and renewal. Our suggested percentage of annual premium contribution as compensation would be 2% for both the PWC and EWC Programs, applicable to new and renewal business, with a maximum fee of $20,000 for each account. 6
