6 2 Project Overview 2.1 Introduction The City of Ottawa and the Province of Ontario have recognized that Ottawa, a world-class city and our Nation s Capital, is in need of a destination which can foster and support the creative entrepreneurial minds currently struggling to find the necessary resources and services to launch innovative new products and services. As the success of these entrepreneurs directly correlates to the success of our economy and the prosperity of our future, an investment now will yield major returns in social and economic capital in the future. Therefore, Ottawa and Ontario have chosen to jointly invest in developing an Innovation Centre at Bayview Yards, and the Innovation Centre at Bayview Yards Inc., a not-for-profit corporation (referred to in this Request for Qualifications as the Owner), was established to undertake this Project. The Innovation Centre at Bayview Yards Inc. and the City of Ottawa are independent of each other and do not represent themselves to be the agent, joint venture, partner or employee of the other. The Bayview Yards Building is an abandoned City of Ottawa property which was formerly used as a public works facility, but has remained empty for a number of years. Most of the building systems are non functioning or near the end of lifecycle and severely compromised. This two storey, concrete and brick building is approximately 45,000 sq.ft., and is located near a key nexus point on the Light Rail Transit (LRT) transit line which is currently under construction. This building has a large open structure and terrific potential for transformation and growth, with open neighbouring land which will come available for development after the completion of the LRT. Once constructed, the Innovation Centre at Bayview Yards will house a variety of working and public gathering spaces for innovative and creative minds. It will support these activities with leading services in Digital Media, rapid prototyping, maker equipment, and high-tech digital collaboration spaces. Over time, this space will expand, with the addition of up to 180,000 sq.ft., through the construction of a large tower in the second phase of development. This is not part of this project. For Ottawa, innovation will be the most important investment for the next generation. This innovation centre will allow various levels of government, Invest Ottawa, entrepreneurs and the community to work together in a harmonious way for the benefit of the City of Ottawa and, as a result, Canada. The existing Bayview Yards building has strong architectural potential with respect to fostering growth as an Innovation Centre. Its mid-century open industrial structure is large enough to receive various different types of tenants, programs, equipment and lends itself to change and modify extensively over time. The square frame-work of the 20 x 20 architectural grid creates a clean and simple structure on the inside and the outside, and the high ceilings make the space compatible with almost any use, from office to light industrial. The property is in the process of receiving a Heritage Designation under Part IV of the Heritage Act in the Province of Ontario. The building has elements of the building that are considered of heritage value: Structural frame of reinforced concrete with panels of red brick, in a simple, flat roof, two storey massing Large multi-pane windows consisting of panels in steel frames with inset hopper windows to provide ventilation Wooden loading dock doors with windows on the south elevation Single bay with large wooden service door on the south elevation Series of four large bays with hinged doors on east elevation with paired two over two windows City of Ottawa Work Shops name incised on south elevation Future master planning of the adjacent 16 acres of City owned lands could encourage and support provision of facilities and destinations that are compatible with the Innovation Centre and its Vision. 7 THE VISION The Innovation Centre project is conceived to achieve the following: Heritage values of the building (including windows, doors, exterior brick work) to maintain the character of a 1940s industrial building Accessibility for people with disabilities Environmental technology adoption High level of interaction among the tenant community The architectural Vision is based on the concept of nine key types of spaces, which are further explained in the document in the data room, The Innovation Centre at Bayview Yards Architectural Vision, as prepared by Prototype D. They are: Public engagement Incubation Acceleration Corporate offices Digital media lab Maker-space Rental offices Rooftop patios Green rooftop As outlined in the Architectural Vision document, there are several major considerations in the design of the Innovation Center, as outlined below: 1. Accessibility The building will need to meet the highest standards in barrier free design, complying with the universal accessibility requirements as set out by the City of Ottawa. 2. Sustainability The building retrofit will be required to meet LEED CS (core and shell) 2009 Gold level. Several key elements will contribute to achieving this objective, including provision of: Building envelope upgrades to improve thermal performance Exterior shading devices, in particular over existing large glazed areas on south and west exposures to support passive solar heating and cooling Green roof-top intensive and/or extensive Solar array Water saving fixtures Grey-water re-use Landscape and site design features such as use of native and adaptive plant use in landscape, permeable paving, reduction of heat-island effect, managing all storm water on site Car share co-op parking, cyclist facilities (lock-up, showers and change rooms), alternate fuel charging stations Re-use of existing building elements as appropriate Use of local or regional materials and suppliers Adaptable design, where the building design supports extensive re-use, retrofit and expansion Construction waste management to divert construction waste from the land-fill Use of natural light Page 7 of 33

8 Use of sustainable life-cycle building materials from raw materials and production through to ability to adapt/re-use/re-cycle at the end of the useful life of the material 3. Technology The provision of supporting infrastructure utilizing innovative technology will be a key element for the design of this building. Building systems and controls shall be automated, utilizing state of the art smart building technology. In addition, the building systems (mechanical, electrical and communications) must be designed to support the unique requirements of equipment being used by the various tenants and users of the Innovation Centre, particularly in the maker space and the digital media/vr/animation lab. The functional and technical requirements in the Request for Proposals for Design Build Contractor will be built on these initial concepts. The building will be renovated to meet current building code requirements, including seismic upgrades, energy use, life safety and accessibility. The space will be primarily Group D Occupancy Classification, with some Group A2 and F3. The renovations will include new vertical circulation (stairs and elevators), new ground floor slab elevations in some areas, and new mezzanines. There also anticipated to be rooftop patios and new paving and landscaping at grade. 2.2 Project Objectives and Outcomes The Innovation Centre at Bayview Yards Inc. intends to engage a Design Build Contractor to be responsible for the design and construction of the project. The following desired outcomes have been established for the Project. Additional details will be included in the RFP. The overall project objectives include: providing an attractive and well-designed Innovation Centre and surroundings, creating community pride providing a well-constructed building incorporating flexibility to accommodate changing needs over time enhancing technology levels in the building and infrastructure creating facilities that reflect sustainable design best practices including energy efficiency maximizing operational efficiencies to minimize long term operating and maintenance costs while ensuring a natural physical flow and a logical, comfortable ergonomic design providing accessible, safe and secure facilities for building tenants and visitors providing suitable facilities to accommodate all modes of transportation to and from the Innovation Centre at Bayview Yards. The Owner s Advisor Consulting Team will carry out reviews throughout the design and construction stages of this project in order to ensure that the work is compliant with the terms and conditions set out in the Design-Build Agreement. 2.3 Project Scope The scope of the Design Build contract will consist of the design and renovation/redevelopment of the existing building to include: overall site planning (Municipal site plan approval and rezoning are not required) site development including walkways, parking, landscaping, and service relocations and / or new services, such as water, sewer, storm sewer and utilities performing site works including clearing, grubbing, excavation, backfilling and grading Page 8 of 33

9 design and construction of renovations and redevelopment of the 7 Bayview Road base building, including interior design of shared common areas such as building lobbies, concourse areas, cafe/break out areas, auditorium/presentation space, washrooms, exits, etc. interior fit-up of the Corporate Office area (approximately 7,000 square feet) design and construct the project to a LEED Gold standard for Core and Shell prepare a heritage impact statement for the adaptive re-use design of the building obtain and pay for all necessary permits, approvals, licenses and permissions for the Project undertake proactive and effective community relations activities during construction, as coordinated by the Owner ensure neighbouring properties are not unduly affected by construction activities 2.4 The Site The site is relatively flat and bordered on the south by Bayview Road, on the west by Slidell Street, and bounded on the north and east by City owned property. Neighboring uses are a mix of commercial, industrial and residential uses. The civic address is 7 Bayview Road. The site is zoned MC [1282] S(309)- h. This is a Mixed Use Centre zone with a site-specific exception The proposed uses for the Innovation Centre at Bayview Yards are permitted under the existing zoning. General information about the Project the site is available in the Data Room and accessible to registered Interested Parties to this RFQ. The Request for Proposals will include additional information. A property survey plan is shown in Appendix Site Environmental Risk Assessment A Record of Site Condition is not required for this project, as there is no change to a more sensitive land use as per Ontario Regulation 153/04. The Phase I & II ESA and Risk Assessment completed for the project were for due diligence purposes only, although the studies were generally completed to the requirements of the regulation. Any risk management measures outlined in the risk assessment report should be implemented during the construction project as needed. 2.5 Responsibilities of the Owner The Owner (Innovation Centre at Bayview Yards Inc.) will own, operate and maintain the Innovation Centre at Bayview Yards. In addition, the Owner will coordinate with key stakeholders in the Project, and coordinate communications specific to public relations and community engagement. 2.6 Responsibilities of the Design Builder In addition to responsibility for the design and construction of the Project as described above, the Design Build Contractor will be responsible for applying for, obtaining and paying fees for all necessary permits, approvals, licenses and permissions for the design and construction of the Project. There is no requirement for site plan approval for the Project, based on the current design concept. 3 Procurement Process 3.1 Overview of Stages The Owner is utilizing a two stage procurement process to identify a Preferred Proponent to enter into a Design-Build Agreement ( DB Agreement ) for the Project. 10 3.1.1 Request for Qualifications The first phase of the procurement process is the RFQ phase which is intended to shortlist qualified Respondents. The shortlist is based on pre-established evaluation criteria. Proponents demonstrate through their Responses that they have the relevant expertise and capacity to undertake the design and construction of the Project. Those shortlisted Respondents may proceed to the RFP phase of the procurement process Request for Proposals The RFP phase is the second phase of the procurement process, open to the Respondents shortlisted during the RFQ phase. The Owner expects to issue the RFP to the Proponents mid December, Proponents will be expected, in accordance with the RFP, to commit to submit binding Proposals to design and build the Project. Following an evaluation of these Proposals, the Owner expects to select a Preferred Proponent and to enter into the DB Agreement with that Preferred Proponent Honorarium The Owner is considering the provision of an honorarium in return for the design work that will be conducted to prepare a proposal for the RFP Responses. Details about the honorarium will be provided in the RFP document. 3.2 Estimated Schedule Following is a general overview of the project timelines: Activity Anticipated Start Anticipated End Issue RFQ November 2014 November 2014 Prepare RFP October 2014 December 2014 Issue RFP December 2014 February 2015 DB Contractor Proposal Review and Award February 2015 March 2015 Detailed Design March 2015 July 2015 Construction June 2015 June 2016 Close Out and Post Construction Activities June 2016 October 2016 Tenant fit-up work that is not part of the design/build contract is assumed to be carried out over the summer of Removal of designated substances will be completed prior to the Design Build Contractor starting work on site. 3.3 Fairness Monitor The Owner will retain the services of Louise Panneton as Fairness Monitor to oversee the procurement process generally, and specifically the evaluation of submissions. The Fairness Monitor will provide a written opinion to the Owner regarding the procurement process following signing of the DB Agreement. The Fairness Monitor will also review potential conflict of interest issues and provide advance rulings regarding such issues during the procurement process. Page 10 of 33

11 4 Request for Qualifications 4.1 Purpose of the Request for Qualifications The Owner expects to shortlist up to three qualified Respondents that have the relevant expertise and capacity to undertake the design and construction of the Project. The Owner explicitly reserves the right to shortlist fewer Respondents in its sole discretion. The shortlisted Respondents will be invited to respond to a Request for Proposals to provide Design Build services for the Innovation Centre at Bayview Yards. 4.2 Contact Person The information for contacting the Contact Person for the RFQ is described in the Summary of Key Information. Although Interested Parties may contact the Contact Person by telephone regarding administrative or procedural matters pertaining to the RFQ, any information obtained in such calls should not be relied upon. Interested Parties are strongly encouraged to provide any questions in writing. Refer to Section 4.3 for additional information related to questions regarding the RFQ. Interested Parties should restrict their contact to the Contact Person in accordance with Section Inquiries Any questions with respect to the RFQ should be sent to the Contact Person by . Questions will be summarized and the Owner will forward questions and answers that clarify the RFQ to all registered Interested Parties. Questions from Interested Parties will considered provided they are received in writing by the Owner at least five (5) calendar days prior to the RFQ Closing Time. Questions submitted to any person other than the Contact Person will not be answered. Questions and answers are intended to clarify the RFQ. In the event of any inconsistency or ambiguity, the wording of the RFQ shall govern. If the Owner determines that, as a result of a question, a change to the RFQ is necessary an Addendum will be issued and posted on MERX. Proponents shall carefully examine the RFQ documents and shall fully inform themselves as to the intent, existing conditions and limitations which may affect their response. No consideration will be given after submission of a response to any claim that there was any misunderstanding with respect to the conditions imposed. 4.4 Registration Interested Parties should register by completing and submitting the Registration Form at the beginning of this RFQ to the Contact Person, in order to receive access to the Data Room. Interested Parties are solely responsible for obtaining all information necessary to respond to this RFQ and for ensuring that they have all available information to prepare their Responses. The Owner is not responsible to any Interested Party or any Respondent for failure to obtain all necessary information to respond to this RFQ. Page 11 of 33

12 4.5 Data Room Access The Owner has established a virtual Data Room. Background materials for the Project will be available in the Data Room to Interested Parties which have completed and submitted the Registration Form. The Contact Person will provide the password and instructions for accessing the site to Interested Parties which have submitted a Registration Form Materials Materials in the Data Room are not part of this RFQ and are only provided for reference purposes. Interested Parties are responsible for ensuring that they have all of the information necessary to respond to this RFQ and for independently informing and satisfying themselves with respect to the accuracy, relevance and sufficiency of any of the information contained in the RFQ and the Data Room. The Owner has no obligation to provide Interested Parties with any additional information regarding the Project. The Owner does not guarantee or warrant the relevancy, sufficiency, accuracy, appropriateness or completeness of any of the documents, data or information provided either in the Data Room or as part of the RFQ phase of the procurement process. 4.6 Addenda Addenda issued by the Owner will be posted on MERX. Addenda are the only means of changing, amending or correcting the RFQ. Any Addendum issued will supersede and amend the RFQ. Amendments or additions made in any manner other than Addenda will not be binding upon any party. In order to ensure that Respondents have sufficient time to prepare their Responses, the Owner will not issue substantive Addenda after the date that is three (3) calendar days prior to the RFQ Closing Time. 4.7 Conflict of Interest Respondents are asked to disclose in their Responses any conflict of interest, real or perceived, which now exists or may reasonably arise in the future, with respect to the Project. In this regard, the following firms and their affiliates are not eligible to participate as member of any Respondent team: Windmill Development Group Dentons Canada LLP Prototype D Meloshe and Associates Ltd. McLarty & Co. Professional Corporation MHPM CBL Consulting Ltd. Chmiel Architects Incorporated Exp Services Inc. Hanscomb Limited Goodkey Weedmark & Associates Ltd. Parsons Brinckerhoff Halsall Inc. Deloitte Canada Cleland Jardine, CSV Architects, T. Harris, Axcel Innovation LLC, AMEC Environment and Infrastructure, were previously contracted to complete preliminary studies concerning the Project. These companies have completed their assignments and are no longer providing professional advisory services to the Page 12 of 33

13 Project. In order to ensure full disclosure and a fair procurement process, all relevant documentation prepared by these companies has been included in the Data Room. Accordingly, these companies are not considered to be Restricted Parties. The Owner has the right to reject any proposal from a Respondent during the procurement process which, in the sole opinion of the Owner, now has or may in the future have an actual or perceived conflict of interest. The Fairness Monitor will be asked to review any possible conflict of interest raised by the Owner or by any Interested Party by written request to the Contact Person. Such requests should include all relevant information concerning the possible conflict of interest and any mitigation that is proposed. Any requests from an Interested Party should be received by the Contact Person no later than seven (7) calendar days prior to the RFQ Closing Time. Upon receipt, the Fairness Monitor s determination will be forwarded to the Interested Party by the Contact Person. 5 Submission Details 5.1 Submission Requirements Respondents shall submit four bound hard copies, one unbound copy and one complete searchable electronic file copy (PDF, in one file) of its Response. The four bound copies, the one unbound copy and one electronic file copy should be submitted in a sealed opaque package and labelled: Innovation Centre at Bayview Yards [Respondent s name and address] The Respondent s name and address should be shown on the outside of the package. Responses to the RFQ must be received in the office of: CBL Consulting Ltd., c/o MHPM 1900 City Park Drive, Suite 402, Ottawa, Ontario K1J 1A3, Office no later than 2:00:00 PM on November 24th, The clock at the MHPM office is the official clock. Respondents are cautioned to take into consideration any transportation constraints as applicable to the Submission Location when submitting their Responses by courier. It is the Respondent s sole responsibility to ensure that its Response is received on time. Late Responses will be returned unopened. 5.2 Response Contents The content and documentation requirements outlined below should be adhered to. The Owner may, in its sole discretion, decide to give no further consideration to Responses which fail to provide the requested information. The Owner may also, in its sole discretion, evaluate any incomplete Responses or Responses in any format or sequence other than described herein. Each Response should include complete information in responding to the content requested in this Section and the information should be organized according to the headings listed in this Section. 5.3 General Criteria for Successful Respondent The Owner will evaluate Responses based upon, but not limited to, the following: Page 13 of 33

14 Mandatory Requirements - Capability to undertake the project Rated Requirements - Demonstrated proven experience of the team and key team members, understanding the objectives and vision of the project Interview (as described in section 5.6) Successful Respondents must confirm their capability to undertake this project by providing: Respondent Declaration Conflict of Interest Declaration Bonding Undertaking; and Professional Liability Insurance Undertaking (requirements outlined in Appendix 4) Letter from financial institution WSIB Clearance Successful Respondents will most likely have both design and construction experience with innovation centres or similar research and development facilities and should, among other things: be familiar with the operations and requirements of organizations such as Invest Ottawa, or similar be familiar with City of Ottawa standards and requirements related to heritage buildings, accessibility, parking and access. have demonstrated ability in managing aggressive project schedules that indicates a thorough understanding and ability to capitalize upon the flexibility of the design-build process and include innovations in areas such as space planning and building systems efficiency, enhancements to the innovation and start-up business environment, construction quality, durability and economy demonstrated ability relevant to the design and construction of LEED Gold projects, or similar sustainable design standards have experience in restoring and repurposing older buildings be capable of appropriately assessing and quantifying the risks associated with the Project and in working to a firm fixed price to complete the Project be capable of performing the design and construction work to a schedule that meets the required substantial completion and occupancy dates for the Project proven experience with local trades and suppliers 5.4 Mandatory Requirements - Capability to Undertake the Project Provide: Completed Forms in Appendix 3 (pass/fail), bonding undertaking and all required insurance undertaking (as outlined in Appendix 4). Each Respondent must pass all Mandatory Requirements as outlined below in order to be evaluated on Technical Requirements. Submissions not fully complying with any of the Mandatory Requirements will be deemed non-responsive and will be given no further consideration. 16 5.5 Rated Requirements Respondents are requested to provide proof of capability, experience and working practices in the format as outlined in the following chart. Proponents are strongly encouraged to follow the page limitations noted as response material exceeding the 40 page limitation will not be evaluated. Respondents should also provide information on the proposed duties and relevant qualifications, expertise and experience of the Key Personnel for the following Team Members: project manager / general contractor structural subcontractor (unless this work is performed by "own forces" of the general contractor) mechanical HVAC subcontractor mechanical plumbing subcontractor (if the mechanical HVAC subcontractor does not perform plumbing) mechanical sheet metal subcontractor (if the mechanical HVAC subcontractor does not perform sheet metal work) electrical subcontractor masonry subcontractor To assist the Owner with the evaluation the construction Team Members, Respondents should provide a brief list of completed projects (minimum of three) that are relevant to this Project, including for each project: Page 18 of 33

19 relevance to this Project; schedule management; completion date; size; cost; and any other relevant information involvement and level of responsibility of the proposed Key Personnel (project manager(s), site superintendent(s) and other construction specialist(s)) on the Respondent team for each project, and detail regarding individual responsibilities references, including the Client name, Client contact person, phone number and address, and brief description of the project and the role of the Respondent and key Team Members. CVs may be appended Project Understanding and Vision (15 Points) Provide: 5 pages maximum, font size 10, in the body of the Response Respondents should demonstrate an understanding of the Project objectives and an understanding of the challenges that must be overcome to complete the Project successfully. Accordingly, Respondents should describe: their understanding of the Project objectives and challenges that could be encountered; and their vision for achieving successful outcomes for the Owner and the Respondent Respondents should demonstrate a commitment to the development of an effective working relationship with the Owner and the implementation of sound project management and quality management practices. To do so, Respondents should describe how an effective working relationship will be maintained with the Owner during design development, construction documentation and construction. 5.6 Interviews The Owner may, in its absolute discretion, interview Respondents on one or more occasions in order to obtain explanation or clarification from the Respondents concerning their Response, as per the conditions set out in section 6.1. The Owner will provide details as early as possible in the evaluation process regarding specific timing of any Respondent interviews and those Key Personnel that should attend such interviews. 6 Evaluation Process A public opening of responses to the RFQ will not be held. An evaluation team led by Owner s Representative and observed by the Fairness Monitor, will review all submissions received and score the submissions using a consensus approach, in relation to the criteria and points that are identified. Each submission will be evaluated solely on its content. 6.1 Basis of Shortlist The Owner will evaluate the Responses on the basis of the information submitted by each Respondent in response to this RFQ and the mandatory and rated evaluation criteria as set out in section 5.4 and 5.5. Respondents that pass the mandatory criteria, and score higher than 70 out of the possible 90 points, will be invited to an interview. The interview score, out of a possible 10 points, will be added to the rated criteria score, for a total possible number of points of 100. Page 19 of 33

20 The three Respondents that score the most points out of 100 will be shortlisted and are eligible to respond to the RFP. A written notice to the Respondents based on the contact information provided in the response to this RFQ will be used to notify all Respondents shortlisted by the Owner. The decision of the Owner regarding the Shortlist of Respondents will be final. 6.2 Modifications of Shortlist The parties that were shortlisted through the Request for Qualifications (RFQ) process are eligible to participate in the RFP process. In the event that any of the three (3) highest scored Respondent Teams drops out before or during the RFP, the Owner reserves the right to invite the next highest scoring Respondent Team from the RFQ stage, providing the Respondent Team had achieved a minimum score of 70 out of 90 on each rated criterion (R1-R4 in table in section 5.5) of the RFQ. The Owner reserves the right to invite this Respondent Team to participate in the RFP following the RFP release date and to accommodate CCMs and Site Tours outside of the timeframe allocations provided in the RFP Timeline. 6.3 Clarification of Responses During the RFQ evaluation process, the Owner may request any Respondent to provide further or clarification in regard to any aspect of its Response. All such requests will be forwarded by or fax to the person designated by the Respondent as its contact. Responses by the Respondent to the request for further information or clarification should be returned by or fax to the Contact Person. 6.4 Changes to Team Members or Key Personnel The Respondent will not substitute or replace any Team Member or Key Personnel identified in its Response at any time after Closing Time and before it is shortlisted. If a Respondent proposes to add, delete or change the composition of a Respondent team including Key Personnel or if the Respondent proposes any material change to a Team Member or Key Personnel at any time after short-listing, the Respondent should notify the Contact Person in writing of such proposed change including sufficient documentation to enable the Owner to consider the implications of the proposed change. The Owner, in its sole discretion, may accept the change provided that the Respondent has demonstrated to the satisfaction of the Owner that the proposed addition, substitution or change will be equivalent or better. Additions, deletions or changes to the composition of a Respondent team including Key Personnel without the consent of the Owner as required above, may result in disqualification of the Respondent. 6.5 Debriefing After announcement of the Shortlist of respondents, upon request, the Owner will conduct a debriefing for any unsuccessful Respondent. In such a debriefing, only the strengths and weaknesses of the individual Respondent s Response will be discussed. The Owner will not disclose or discuss any information, confidential or otherwise, of any other Respondent. Page 20 of 33

21 7 General Terms and Conditions 7.1 Confidentiality Information received by Interested Parties as part of the RFQ phase of the procurement process may be used only for the purpose of submitting a Response to the RFQ. This restriction will survive the procurement process. Interested Parties, Respondents and their Team Members may not make any public comment or carry out any activities to publicly promote their qualifications or interest in the Project except as permitted by this RFQ. If the Owner determines, in its sole discretion, that there has been a breach of that confidence by an Interested Party or a Respondent, the Owner may decide to not consider the Response of that Respondent further. 7.2 MFIPPA All submissions and attached materials received in response to this RFP are deemed to be the property of the Owner as of the date of their submission except to the extent they are protected as third party material under applicable privacy law. The Municipal Freedom of Information and Protection of Privacy Act (MFIPPA or the Act) applies to all tenders, quotations and Proposals submitted to the Owner. Responses will be received in confidence and are subject to the disclosure requirements of the Act. Pursuant to orders made by the Information and Privacy Commissioner/Ontario, the Owner shall not withhold the following information from Responses, if requested through the MFIPPA process by any person or business: the cover letter to the Response; the table of contents; lists of figures, tables, and appendices; and any information regarding the form and structure of a Response (i.e. information which may disclose the manner in which the document is constructed). Respondents should identify any portions of their Response which contain a trade secret, scientific, technical, financial, commercial or labour relations information supplied in confidence and which will cause harm if disclosed. The Owner cannot ensure that any given portion of any materials received in response will not be ordered released under MFIPPA. 7.3 Ownership of Responses All documents including Responses submitted to the Owner become the property of the Owner. Documents will be received and held in confidence by the Owner subject to the MFIPPA). This Request for Proposals and all associated documentation is the property of the Owner and shall not be copied or distributed without the prior written approval of the Owner. 7.4 RFQ is Not an Offer This RFQ does not constitute an offer to enter into a contract with any party nor does it represent a contract or agreement between Interested Parties and the Owner. The Owner is not bound to award a contract to any party. Neither the acceptance of Responses by the Owner nor execution of a Design Build Agreement constitutes an approval of any activity or work undertaken by any Interested Party or Respondent. 22 7.5 Acknowledgements by Respondent By responding to this RFQ and submitting a Response, the Respondent and all Team Members agree and acknowledge that: except as permitted under this RFQ, the Respondent will not substitute or replace any Team Member identified in its Response the Respondent and its Team Members have read, understood, and agree to the provisions of this RFQ the Owner takes no responsibility as to the accuracy, sufficiency or completeness of any information supplied during his stage of the Project; and the Owner will not be responsible for any costs incurred in responding to this RFQ. 7.6 Rights of the Owner The Owner is not bound to evaluate or respond to questions from Interested Parties or Respondents or to evaluate or accept any submission or Response. The Owner reserves the right, in its sole discretion, to: clarify the terms or contents of this RFQ at any time amend this RFQ by Addendum determine a Shortlist of Respondents based on this RFQ verify any and all information regarding a Respondent, whether or not it is contained in the Response, and to conduct any background investigations that it considers necessary in the course of the evaluation of the Responses request clarification of Responses or request and receive further information from any or all Respondents waive any irregularity or deficiency in a Response or any failure to comply with the criteria described in this RFQ that, in the sole discretion of the Owner, is deemed not to be material amend the procurement schedule and suspend, postpone or cancel any part or phase of this procurement process at any time and for any reason 7.7 Costs are Responsibility of Respondents All costs incurred by Interested Parties, Team Members and Respondents in the preparation and submission of a Response will be the responsibility of that Interested Party, Team Member or Respondent including all costs related to all questions and answers, requests for clarification or further information and interviews. The Owner shall not be liable for any costs or damages incurred by the Interested Parties, Team Members or Respondents during this RFQ phase. Without limitation, the Owner is not liable for, and Interested Parties, Team Members and Respondents waive any claim against the Owner for, any costs, loss, damages or loss of anticipated profits including those that result from: disqualification or rejection of a Response; a Respondent not being shortlisted; or, the postponement or cancellation of the RFQ or the procurement process. The Owner and its respective representatives, agents, consultants and advisors will not be liable to any Interested Party, Respondent or any Team Member of a Respondent, for any claims, whether for costs, expenses, losses or damages, or loss of anticipated profits, or for any other matter whatsoever incurred or sustained by the Interested Party, Respondent, Team Member or any individual member of an Interested Party or Respondent in preparing a Response, or y other activity related to or arising out of this RFQ. 23 7.8 No Collusion Respondents and their representatives must not communicate, directly or indirectly, with any representatives of another Respondent regarding their Responses. It is the responsibility of each Respondent to ensure these requirements are met. 7.9 No Contact or Lobbying Interested Parties and Respondents should not contact any of the following persons, directly or indirectly, with respect to the Project or the procurement process: any Restricted Parties, other than the Contact Person any member of Board, or sub-committees or advisors of the Board of the Innovation Centre at Bayview Yards Inc Accessibility The Owner is committed to providing equal treatment to people with disabilities with respect to the use and benefit of the Innovation Centre services, programs, and goods in a manner that respects their dignity and that is equitable in relation to the broader public. All contractors with the Owner must comply with all laws applicable to the performance of the work.
