1 TASK ORDER FOR CONTINUING CONTRACT DESIGN SERVICES FORM INSTRUCTIONS 1) The task order form including attachments is intended to stand alone as an authorization for design work under continuing services agreements. Design firms are encouraged to use the form to submit proposals, in lieu of providing a separate proposal followed by a subsequent task order. Separate proposals submitted for the purpose of fee negotiation will not be included as an attachment to any subsequent task order. 2) Form includes editable fields. The form is protected to allow editing of the form fields only, except for the schedule exhibit and at the end of the form where free form entry is allowed. The form will automatically expand to multiple pages with the appropriate headers and footers when required. Please note that the headers, footers and signature blocks include fields that will automatically update when the form is printed. 3) To prepare the form, replace the text in each field by double-clicking the field and then typing or pasting the appropriate data. Move from field to field using the Tab key. Drop-down fields require a selection from the available options. Typing an x or clicking in check-box fields toggles between checked and unchecked. 4) Number the authorizations sequentially for each project executed under the master agreement. 5) All proposals for design services must include a cost breakdown. Design firms using the form to communicate a proposal must submit a cost breakdown supporting the proposed fee in conjunction with submission of the form. However, the cost breakdown shall not be added as an exhibit. 6) The exhibits identified in the form must be included with each task order. If additional exhibits are required, they must be listed in the ATTACHMENTS section and inserted in the document. Note: a. At a minimum, the list of key personnel must identify a project manager. b. Master project schedule milestones must be identified in the schedule exhibit. Typically, District staff will provide a schedule for inclusion with the form. A simple list of milestones may be acceptable for studies and reports executed via the form. c. Insurance requirements shall be established for each task order, and separate projectspecific insurance certificates must be provided. 7) Design firms are to submit drafts of completed forms in Microsoft Word document format, along with any additional exhibits proposed for inclusion. (Exhibits to be added must labeled similar to the exhibits included herewith, and may be provided in either a Microsoft Word or portable document file (PDF) format.) District staff will complete the form and create a final PDF version for execution. Upon distribution of the final PDF for execution by District staff, design firms must print and sign two original copies of the form and return to the District for execution. A fully executed original and a scanned copy will be returned to the design firm following execution by the District. (Design firms that do not need a paper copy with original signatures may return a single signed form and so indicate on their transmittal.)

2 ADD L BASIC OWNER TASK ORDER (Design Services) Task Order No. XX In accordance with the agreement for MISCELLANEOUS DESIGN SERVICES ON A CONTINUING BASIS dated SELECT DATE between The School Board of Hillsborough County, Florida (OWNER) and (DESIGN PROFESSIONAL), professional architectural and/or engineering services shall be provided for PROJECT NAME (the PROJECT) as provided for in the agreement and described herein. PROJECT SCOPE: Enter general description of the PROJECT scope here. Construction shall be accomplished by SELECT CONTRACTING METHOD. The PROJECT has an anticipated construction cost of Enter cost, TBD, or NA Study or Service. SCOPE OF SERVICES: Except as indicated below, DESIGN PROFESSIONAL is to provide as part of its Basic Services hereunder all professional architectural and engineering services required to support delivery to the Owner by CONSTRUCTION CONTRACTOR a safe, finished and usable PROJECT. 3 The services to be provided shall be in accordance with the requirements of the agreement and applicable District Standards for the phases established by Exhibit B Master Project Schedule. The required services are further described and clarified as follows: Provide any additional description or clarification of the services to be provided here. 8 EXHIBIT C INSURANCE COVERAGE The amounts and types of insurance shall conform to the minimum requirements listed below with the use of Insurance Services Office (ISO) forms and endorsements or broader where applicable. If DESIGN PROFESSIONAL has any self-insured retentions or deductibles under any of the below listed minimum required coverages, DESIGN PROFESSIONAL must identify on the Certificate of Insurance the nature and amount of such self-insured retentions or deductibles and provide satisfactory evidence of financial responsibility for such obligations. All self-insured retentions or deductibles will be DESIGN PROFESSIONAL'S sole responsibility. I. Worker's Compensation and Employers Liability Insurance shall be maintained by DESIGN PROFESSIONAL during the term of this Agreement for all employees engaged in the work under this Agreement, in accordance with the laws of the State of Florida. The amount of such insurance shall not be less than: Workers' Compensation - Florida Statutory Requirements Employers Liability - 100,000 Limit Each Accident 500,000 Limit Disease Aggregate 100,000 Limit Disease Each Employee If sole proprietor, a copy of an exemption form is required with the insurance certificate. The insurance company shall waive its Rights of Subrogation against OWNER. II. Commercial General Liability Insurance, written on an "occurrence" basis, with Defense Costs outside the policy limits shall be maintained by DESIGN PROFESSIONAL. Coverage, as provided by 1986 (or later) ISO Commercial General Liability form, shall include, but not be limited to, Bodily Injury, Contractual for this Agreement, Independent Contractors, Broad Form Property Damage, Personal Injury and Fire Legal Liability Coverages. Limits of coverage shall not be less than the following for Bodily Injury, including Death, Property Damage and Personal Injury Combined Single Limits: DESIGN PROFESSIONAL SUBCONSULTANT General Aggregate (Annual) 2,000,000 1,000,000 Personal and Advertising Injury 1,000,000 1,000,000 Each Occurrence 1,000,000 1,000,000 Fire Damage (Any One Fire) 50,000 50,000 Medical Expenses per Person 5,000 5,000 Site Specific Project Aggregate Limits same as above same as above The aggregate limits shall be separately applicable to this Project through the use of an endorsement approved by OWNER. Applicable deductibles or self-insured retention, not to exceed 50,000, shall be the sole responsibility of DESIGN PROFESSIONAL. EXHIBIT C HCPS Design Task Order Page C-1

Automobile Liability Insurance shall be maintained by DESIGN PROFESSIONAL as to ownership, maintenance, and use, including loading and unloading, of all owned, non-owned, leased or hired vehicles with limits of not less than: Bodily Injury, including Death & Property Damage 1,000,000 Combined Single Limit Each Accident Liability IV. Umbrella Liability Insurance or Excess Liability Insurance shall not be less than 3,000,000 each occurrence and annual aggregate, with Defense Costs outside the policy limits. Coverage shall be excess of the Employers Liability, Commercial General Liability and Automobile Liability coverages required herein and shall include all coverages on a "following form" basis. Coverage shall drop down as primary on the exhaustion of any aggregate limit. The aggregate limits shall apply separately to this Project, and the specific project aggregate limits shall be evidenced by the use of an endorsement approved by OWNER. V. Professional Liability Insurance shall be maintained by DESIGN PROFESSIONAL insuring its legal liability arising out of the performance of professional services under this Agreement. Such insurance shall have limits of not less than 2,000,000 each claim and aggregate for DESIGN PROFESSIONAL (1,000,000 each claim and aggregate for each subconsultant), with Defense Costs outside the policy limits. DESIGN PROFESSIONAL may provide professional liability insurance having limits of not less than 2,500,000 each claim and aggregate (1,500,000 each claim and aggregate for each subconsultant), in lieu of providing coverage for Defense Costs outside the policy limits. As an alternative to professional liability coverage including additional coverage for Defense Costs, DESIGN PROFESSIONAL may provide umbrella or excess liability insurance meeting the requirements of section IV that is also excess to the professional liability coverage. DESIGN PROFESSIONAL waives its right of recovery against OWNER as to any claims under this insurance. Any deductible or selfinsured retention applicable to any claim shall be the sole responsibility of DESIGN PROFESSIONAL and shall not be greater than 50,000 each claim. DESIGN PROFESSIONAL must continue this coverage for a period of not less than five (5) years after completion of its services to OWNER. The policy retroactive date will always be prior to the date services were first performed by DESIGN PROFESSIONAL for OWNER, and the date will not be moved forward during the term of this Agreement and for 5 years thereafter. DESIGN PROFESSIONAL shall promptly submit Certificates of Insurance providing for an unqualified written notice to OWNER of any cancellation of coverage or reduction in limits, other than the application of the aggregate limits provision. In addition, as provided in paragraph 9.1 of this Agreement, DESIGN PROFESSIONAL shall also notify OWNER by certified mail, within twenty-four (24) hours after receipt, of any notices of expiration, cancellation, non-renewal or material change in coverages or limits received by DESIGN PROFESSIONAL from its insurer. VI. Annual Aggregate Declining Balance. The DESIGN PROFESSIONAL is required to provide the OWNER with an accounting of claims paid under policy(ies) which reduces the annual aggregate limit. In the event of a reduction in the aggregate limit of any policy to an amount less than eighty percent (80%) of the limits specified herein, DESIGN PROFESSIONAL shall immediately take steps to have the aggregate limit reinstated. DESIGN PROFESSIONAL shall promptly submit a certified, true copy of the policy and any endorsements issued or to be issued on the policy if requested by OWNER. 10 DESIGN PROFESSIONAL agrees to provide the following information when requested by OWNER: a. The date the professional liability insurance renews. b. Current policy limits. c. Current deductibles/self-insured retention. d. Current underwriter. e. Amount (in both dollars and percent) the underwriter will give as a credit if the policy is replaced by an individual project policy. f. Affirmation that the design firm will complete a timely project errors and omissions application. Before design begins, Certificate(s) of Insurance confirming insurance must be provided to OWNER for OWNER S insurance broker compliance review and acceptance. All Certificate(s) of Insurance must reference project number and project description, including address. These certificates and the insurance policies required by this Section shall contain a provision that coverages afforded under the policies will not be canceled or allowed to expire until at least 30 days' prior written notice has been given to the OWNER. If any of the foregoing insurance coverages are required to remain in force after final payment and are reasonably available, an additional certificate evidencing continuation of such coverage shall be submitted with the final Application for Payment. Information concerning reduction of coverage on account of revised limits or claims paid under the General Aggregate, or both, shall be furnished by the DESIGN PROFESSIONAL with reasonable promptness in accordance with the DESIGN PROFESSIONAL S information and belief. All written notices to be given to OWNER shall be given by registered mail, return receipt requested. The DESIGN PROFESSIONAL shall furnish to the OWNER or OWNER S Representative with copies of any endorsements that are subsequently issued amending coverage or limits. Failure of the DESIGN PROFESSIONAL to obtain and maintain required insurance shall be grounds for termination of the Contract by the OWNER. The OWNER shall be listed as a named additional insured by appropriate endorsements concerning all insurance coverages furnished by DESIGN PROFESSIONAL other than the Professional Liability policy and the Workers Compensation policy.
