1 Integrity and Trust Guideline for Rolls-Royce Power Systems AG suppliers and service providers

2 Chapter 1 The Rolls-Royce Power Systems AG and its Group companies expect that all suppliers and service providers as well as their affiliated companies (hereinafter referred to jointly as Suppliers ) will act in a socially responsible manner whenever engaging in any business activities and that their business practices and decisions will be in compliance with all applicable laws and other relevant provisions of the countries in which they operate. Business partners must be treated fairly. 3 Chapter 2 1. Human rights 5. Freedom of association ensure their compliance with internationally recognized human rights law. respect the rights of their employees to form coalitions within the framework of the rights and laws applicable in the countries where their employees operate. 2. Forced labour Rolls-Royce Power Systems AG Suppliers shall reject all forms of forced labour. 3. Child labour Rolls-Royce Power Systems AG Suppliers shall observe United Nations regulations on human rights and children s rights. The Rolls-Royce Power Systems AG expects its Suppliers in particular to comply with the Convention concerning Minimum Age for Admission to Employment (convention 138 of the International Labour Organisation) and with the Convention concerning the Prohibition and Immediate Action for the Elimination of the Worst Forms of Child Labour (convention 182 of the International Labour Organisation). Any national regulations stipulating stricter standards regarding child labour shall take precedence. 6. Compensation and working hours comply with all applicable laws governing working hours and to provide their employees with compensation and social security benefits that meet the minimum standards mandated by law or their collective bargaining agreements. 7. Occupational safety and health comply with the occupational safety and health provisions applicable in their respective countries and to take measures to continuously improve working environments. 8. The foregoing applies in particular to discrimination against employees based on sex, race, disability, ethnic or cultural background, religion, worldview, age or sexual orientation. be committed to the goal of sustainably protecting the environment for present and future generations. 4 Chapter 3 1. Corruption The Rolls-Royce Power Systems AG expects its Suppliers not to tolerate corruption in any form and to be firm in combatting corruption. The Rolls-Royce Power Systems AG expects its Suppliers in particular to strictly separate both their own interests and the private interests of their employees whenever dealing with business partners (clients, suppliers) and public institutions. Neither issues unrelated to business nor personal interests may be considered when taking action and making (purchasing) decisions. All applicable criminal law provisions on corruption must be complied with. 1.1 Business conduct with government officials Suppliers and their employees are not permitted to grant personal benefits (in particular cash or cash equivalents, such as payments and loans, including small gifts given over an extended period of time) to government officials (such as civil servants or employees in public service) with the aim of obtaining benefits for the company, for personal use or for third parties. 1.2 Conduct in the course of business dealings Personal benefits of monetary value may not be offered, promised, granted, approved or requested in exchange for preferential treatment in the course of business dealings. Similarly, personal benefits of monetary value may not be requested or accepted when dealing with business partners. Rolls-Royce Power Systems AG Suppliers shall prohibit their employees from offering, granting, approving, requesting, accepting or accepting a promise of such benefits. The Rolls-Royce Power Systems AG expects its Suppliers not to offer, approve, promise, request, grant or accept any gifts, payments, hospitality or services in the course of business dealings which may be granted with the intention to influence a business relationship in a prohibited manner or which may carry the risk of compromising the professional independence of the relevant business partner. The foregoing shall generally not apply to gifts and hospitality which fall into the category of generally accepted business hospitality, customs and courtesies of the relevant country. Rolls-Royce Power Systems AG Suppliers may adopt binding guidelines for accepting and granting gifts, hospitality and invitations to entertainments and events. These may contain exceptions for reasonable, symbolic gifts of little monetary value, reasonable business meals and reasonable events put on by the company in question or by business partners (clients, suppliers). As required, Rolls-Royce Power Systems AG Suppliers shall have contact persons available who may be contacted if employees of the company encounter a conflict of interest or if they are unsure whether a conflict of interest exists or could arise. 03 Conduct in a business environment 6 Rolls-Royce Power Systems AG Guideline for suppliers and service providers Rolls-Royce Power Systems AG Guideline for suppliers and service providers 7

Conduct toward competitors respect the principle of fair competition and comply with applicable laws which protect and promote competition, in particular applicable antitrust laws and other laws governing competition. When dealing with competitors, these provisions prohibit in particular making agreements and other activities which influence prices or conditions, divide up sales areas or clients, or illegitimately hinder free and open competition. Furthermore, these provisions prohibit clients and Suppliers from making agreements among themselves which are intended to limit clients freedom to independently set prices and other conditions when reselling (provision on prices and conditions). In light of the fact that the division between prohibited restrictive practices and legitimate cooperative practices may be unclear, Rolls-Royce Power Systems AG Suppliers must make a contact person available to their employees who they may contact in cases of doubt. 4. Trade secrets obligate its employees to treat business and trade secrets as confidential. Confidential information and documents may not be passed on to third parties without authorization or made available in any other manner, unless appropriate authorization has been granted or the information is publicly available. 5. Export Control comply with all applicable legal provisions for importing and exporting goods, services and information. 3. 6 Chapter 4 Chapter 5 04 Suppliers 05 Compliance provide this Guideline to its employees as well as to its direct suppliers and its subcontractors as appropriate and to promote compliance with this Guideline to the greatest extent possible. In particular, the Rolls-Royce Power Systems AG also expects its Suppliers to demand that their suppliers and subcontracts also comply with the provisions of this Guideline and expects its Suppliers to recommend to these parties that they call on their own suppliers to respect the principles of this Guideline. The foregoing applies in particular to corruption, antitrust law, forced labour and child labour. Suppliers are responsible for introducing additional guidelines with stricter requirements for ethical behavior for their own companies and their employees. Rolls-Royce Power Systems AG Suppliers shall inform their employees and management of the Guideline and the provisions contained therein. The Rolls-Royce Power Systems AG also expects its Suppliers to work toward aligning their companies with the principles of this Guideline, in particular by creating and adapting their own guidelines and processes as necessary. If required, the Suppliers shall provide The Rolls-Royce Power Systems AG with the name of a contact person responsible for issues relating to the implementation of the principles set out in this Guideline. The Rolls-Royce Power Systems AG will consider any breach of the principles stipulated in this Guideline to be a significant impairment of the contractual relationship on the part of the Supplier. Where there are indications of non-compliance with the principles of this Guideline (e.g., through reports in the media), the Rolls-Royce Power Systems AG reserves the right, notwithstanding any further rights, to demand information about the relevant facts and circumstances. 10 Rolls-Royce Power Systems AG Guideline for suppliers and service providers Rolls-Royce Power Systems AG Guideline for suppliers and service providers 11
