13 GENERAL CONDITIONS OF SALE AND DELIVERY The following conditions apply for all sales and deliveries unless otherwise agreed in writting. PRICES Prices stated are retail prices in EURO and excluding VAT and Toll. Prices are inclusive of cardboard packaging. ORDERS All orders are accepted on the basis of our current general sales conditions. Orders are not accepted untill they are confirmed by us in writting. We reserve the right to change the price, form and appearance of the listed models. DELIVERY TIMES Delivery times are approximate. No penalties or responsability for late delivery is accepted. Partial deliveries may be made. Each partial delivery may be invoiced separately. DELIVERY Delivery is ex works and excluding installation. TRANSPORT DAMAGE We are not liable for transport damage. This is to be in writting on receipt of the goods. The goods, the quantity and the condition of the packaging should be checked before acceptance. Transport damage and shortfalls in delivery must be notified and confirmed by the shipping agents in writting. FORCE MAJEURE Force majeure, breakdowns, strikes or other disruptive influences beyond our control or that of our suppliers release us from our delivery commitments for the duration of the disruptive influence and of the consequences thereof. TRANSFER OF RISK All risks devolve to the customer as soon as the goods are handed over to the shipping agents or placed at the customer s disposal. Should the customer not take delivery immediately of goods notified as being ready for dispatch, this will be stored at his expense. PAYMENTS The amount considered as paid shall be that which is actually credited to us by a bank. Should payment be delayed, interest in arrears shall be automatically charged at a level corresponding to that normally charged by a bank. Failure to pay or late payment, even partial, of a single invoice entitles us to suspend executions of supplies in progress or to cancel contracts, with the right of compensation for damages suffered. OWNERSHIP We reserve the right to ownership of goods supplied by us untill the customer has fulfilled his obligations arising out of the business transaction with us. COMPLAINTS Defects in the goods supplied, discrepancies in qualities or incorrect delivery must be notified not later than eight days from receipt of goods. Concealed defects are to be notified in writting immediately after their discovery. Should this condition be disregarded, the customer loses his right of complaint. Returned goods are not accepted without prior written agreement. WARRANTY Standard goods are warranted for two years against manufacturing defects (i.e. materials and design). Normal tear and wear are not covered by this warranty. RETURNS Returns of goods are not accepted unless expressly authorised in writting and delivered free of all charges to our premises. NON-AUTHORISED COPIES The customer agrees not to offer or distribute non-authorised copies of products from Vertigo Bird collection. A nonauthorised copy of products is each product which has been produced without the consent of the holder of the rights (Copyrights, Design Rights, Utility Model Rights, Patent Rights, Trade and Service Mark Rights or the Rights deriving from the Laws of Unfair Competition) or which has been imported without his lawfully required consent. In case of violation of this clause we shall have the rights to terminate the supply and contract with immediate effect and shall have the right to a penalty payment and damage claims. JURISDICTION In any disputes the place for jurisdiction shall be Ljubljana, Slovenia. Slovenian law should apply.
