1 Shionogi to Announce Appointment of Directors, Corporate Officers and Corporate Reorganization Osaka, Japan, February 24, Shionogi & Co., Ltd. Corporate Reorganization (see attached organization charts) (1) Shionogi shall establish the Corporate Strategy Meeting as the body responsible for guiding its business operations toward achievement of the New Medium-Term Business Plan, SGS2020. It will also establish the Corporate Strategy to operate and manage the Corporate Strategy Meeting. The Senior Vice President of the will be appointed the Chair of the meeting. The Corporate Planning, the Finance & Accounting, the Human Resources, the Corporate Communications and the Office of the Secretary will become part of the Corporate Strategy. In addition, the current Global New Product Planning group, and the portfolio strategy and management functions of the Global Development Office will be combined into a new Product Portfolio & Planning, which will also be under the umbrella of the new Corporate Strategy. The Global Development Office will be dissolved and its residual functions will be integrated into the Global Pharmaceutical Development. (2) In order to strengthen the global regulatory and quality assurance functions of the Quality, Safety and Regulatory Affairs Management, the Global Regulatory Affairs team, currently in the Global Pharmaceutical Development, will be brought into the Quality, Safety, and Regulatory Affairs Management, and combined with the current Regulatory Affairs and Quality Assurance in that to form a new integrated Regulatory Affairs. A Global Quality Assurance will also be established in that to ensure global compliance with GXPs (excluding GMP), including the management of the drug information and validation of computerized systems. (3) To improve our capabilities relating to the collection and interpretation of data on our Japanese domestic marketed products, including analysis of the latest medical and pharmaceutical information and evidence-based benefit assessment, the current medical affairs function will be separated from the Product Marketing and will now be established as an independent organization, the Medical Affairs. The Drug Information will be moved into the Medical Affairs to ensure full integration of our activities in the collection and delivery of information about our products in the market. (4) In order to deliver appropriate information for pain treatment, one of our key therapeutic areas of focus, the current Cancer Pain Management Business in the Product Marketing will be renamed the Pain Relief Management, and its activities will be expanded to include therapies for both for cancer and non-cancer pain, including, for example, our efforts to address unmet medical needs through the pursuit of additional future indications for Cymbalta. (5) The current Production Strategy under the Global SCM will be renamed the Global Sourcing Strategy, in order to emphasize its increased focus on global sourcing, including raw material procurement and outsourcing, as a core strategic component of our efforts to globalize our supply chain. (6) The Global Innovation Office will be brought under the umbrella of the Business Development, such that all of our business development activities, including in- and outlicensing across the entire spectrum, from drug seeds to drug candidates through to marketed products, and including alliance activities with both research organizations and business partners, will be fully integrated and aligned. (7) The Intellectual Property will be separated from the Pharmaceutical Research as an independent organization in order to enhance its capabilities to manage all of our intellectual property as a core Corporate function. (8) The Career Support Office will be established to enhance the human resources development of the Company focusing on career progression. 2/4
