1 APPENIDX I: PROJECT UDPATE PROJECT OVERVIEW The Plains & Eastern Clean Line, an overhead ± 600 kilovolt (kv) high voltage direct current (HVDC) transmission line, will deliver up to 3,500 megawatts (MW) of wind power from the Oklahoma Panhandle region to load-serving entities in the Mid-South and Southeast. Wind developers will connect to the western terminus of the Project, located in Texas County, Oklahoma via a collector system of alternating current (AC) lines. The wind power will then be converted from AC to direct current (DC) and transmitted across Oklahoma, Arkansas, and Tennessee, a distance of approximately 700-miles, via the Plains & Eastern Clean Line. Once it arrives in Tennessee, the power will be converted back to AC so it can be distributed and used by customers throughout the Mid-South and Southeast. The western portion of the Project will interconnect to the transmission system operated by the Southwest Power Pool (SPP) in Texas County, Oklahoma. The eastern portion of the proposed project will interconnect to the transmission system operated by the Tennessee Valley Authority (TVA) in Shelby County, Tennessee. The $2 billion Project will enable more than $7 billion of investment in new wind farms that will power more than 1 million homes per year and as a result, reduce carbon dioxide emissions by an average of 10 million tons annually. 2 June 2013 PLAINS & EASTERN CLEAN LINE RFI: APPENDIX I Page 2 of 8 PROJECT STATUS Developing a 700-mile transmission project that traverses three states is a complex enterprise that requires coordinating outreach, engineering, interconnection, environmental, financial and commercial efforts. In the past four years, Clean Line has methodically set and achieved key milestones in each of these areas, while maintaining its commitment to transparency and consideration of stakeholder input. Clean Line expects the Project to achieve commercial operation in late 2017 or early Figure 2 outlines the current Project schedule. Outreach Stakeholder outreach is the foundation of Clean Line s development process. Reaching out to all stakeholders landowners, local businesses, local, state, and federal government officials and environmental groups to get feedback early and often in the development process ultimately leads to a successful project. In 2012 alone, members of the Plains & Eastern team hosted 35 roundtables with local leaders, nine local business opportunity meetings to gather information about local suppliers, and 20 public open houses for landowners and stakeholders to gather feedback on the proposed network of potential routes. Interconnection and Transmission Planning Coordination Southwest Power Pool On the western side of the line, Clean Line has worked with SPP, the Regional Transmission Organization which operates the bulk electric transmission system in Oklahoma and other states in the mid-continent, to ensure that the Project can reliably interconnect to the grid. In November 2012, SPP s Transmission Working Group unanimously confirmed that the Plains & Eastern Clean Line s reliability studies met the SPP planning requirements to ensure grid reliability. The studies were performed in conjunction with SPP staff as well as affected parties including TVA, Oklahoma Gas & Electric, Xcel

This marked the successful conclusion of a study process that was kicked off in May In June 2013, SPP s Economic Studies Working Group voted to include the Plains & Eastern Clean Line in the base case for ITP 10, a value-based integrated transmission plan that analyzes the transmission system for a 10-year horizon. Plains & Eastern Clean Line s inclusion in the base case indicates SPP s assumption that the Project will be interconnected within the next ten years and recognition of the technical viability of using HVDC lines in its transmission expansion plan. Tennessee Valley Authority Historically, the southeastern U.S. uses a higher percentage of coal and nuclear power than the rest of the country. In its Integrated Resource Plan issued in March 2011, TVA s analysis showed that about 59% of the electricity used to serve its customers was generated by coal and nuclear plants. TVA s ability to develop substantial amounts of economic renewable energy within its footprint is limited by low wind speeds in the region. TVA has shown leadership in acquiring wind outside its footprint and delivering the energy to their system through the AC system, but this is not an efficient means of integrating thousands of MW of renewables into their system. Clean Line is working cooperatively with TVA to study the interconnection of the Project s delivered wind power. Currently TVA is in the process of completing the System Impact Study to identify transmission upgrades needed to interconnect the Project into the system. Clean Line s internal studies have confirmed that the Project can reliably interconnect thousands of megawatts of Oklahoma wind power to the TVA system. As part of the TVA System Impact Study, Memphis, Light, Gas and Water (MLGW) also performed an affected systems study and found that the Plains & Eastern Clean Line would not cause reliability problems on its system. HVDC Technology The Plains & Eastern Clean Line will use HVDC technology, which is the most efficient means of moving large amounts of energy over long distances. By employing HVDC technology to transmit electricity along the 700-mile route, less energy is lost than would be in an equivalent AC system. Using HVDC technology means that the line will impact less land than would be the case with an equivalent AC buildout as the right-of-way required for DC is narrower. Furthermore, HVDC provides a number of reliability benefits, including complete control of power flows. Unlike AC lines, where electrons flow in the path of least resistance, HVDC technology allows the operator to directly control the exact withdrawal and injection of electricity on the line. This is an especially helpful characteristic for integrating large amounts of variable generation while maintaining the reliability of the bulk electric transmission system. As wind penetration levels in SPP approach 20%, it will become increasingly expensive to integrate additional wind resources for export unless these new resources are balanced in their import region; the controllability of HVDC facilitates this solution. Many HVDC facilities are currently being installed in China. Similar to the U.S., China s strongest renewable energy resources, primarily hydro-electric dams, lay hundreds of miles away from population centers located near the coast. In order to develop these resources to fuel growing demand for electricity, China has already installed 11 projects with 35,000 megawatts of HVDC transmission capacity and has plans to install an additional 33 projects with 217,000 MW of HVDC transmission capacity to connect both hydropower and wind resources over the next two decades.

4 June 2013 PLAINS & EASTERN CLEAN LINE RFI: APPENDIX I Page 4 of 8 Wind Integration Clean Line works with wind developers, load serving entities, and meteorologists to analyze and understand the effects of delivering more than 3,500 MW of Panhandle wind to the Southeast. Wind integration is a broad topic that is developing rapidly as wind becomes a bigger part of the country s generation mix. Clean Line commits substantial internal resources and works with firms like 3Tier, GL Garrad Hassan, VBAR and AWS Truepower to stay at the forefront of research on wind s capacity value, geographic diversity, turbine technology variability, and impact on systems operating requirements. For example, utilities are continuing to develop more rigorous methods for determining wind s contribution to resource adequacy. Using many of the common methodologies for determining wind s capacity value, Clean Line has determined that Oklahoma Panhandle wind makes significant contributions. Figure 4 shows the performance of modeled wind during Georgia Power s top 20 annual peak load hours in The modeled Oklahoma Panhandle wind farm achieves at least 33% of its rated output for 75% of peak hours. 5 June 2013 PLAINS & EASTERN CLEAN LINE RFI: APPENDIX I Page 5 of 8 worked with POWER Engineers to complete initial engineering on the transmission line as well as construction budgets and schedules. Plains & Eastern Clean Line signed a memorandum of understanding with Fluor Corporation for Fluor to provide development support and engineering, procurement and constructions services for the transmission line. As part of the agreement, Fluor with Pike Electric Corporation as a subcontractor to Fluor has been providing initial permitting and EPC development support services for the Plains & Eastern Clean Line. Plains & Eastern Clean Line is committed to using qualified local and regional suppliers and contractors for the Project to promote local economic development and benefits. In March 2011, Clean Line and General Cable, a worldwide leader in electrical wire and cable, signed an agreement to source all bare overhead transmission conductors for the Plains & Eastern Clean Line from General Cable s facility in Malvern, Arkansas. The order is expected to require approximately 25 million feet of high voltage aluminum, steel-supported conductor whose value could exceed $100 million and would take approximately two years to produce. The Malvern plant currently employs more than 100 associates, represented by the United Steel Workers of America. In June 2011, Clean Line signed a memorandum of understanding for Pelco Structural to be a preferred supplier for the tubular steel transmission structures that will be used for the Plains & Eastern Clean Line. Under the agreement, Pelco Structural will supply structures from its facility with approximately 100 employees in Claremore, Oklahoma. Routing & Environmental Clean Line takes an iterative approach to transmission line routing. Through direct outreach and various workshops and meetings, Clean Line solicited stakeholder input to determine a potential network of routes based on multiple routing criteria. Clean Line takes into consideration guidelines and criteria consistent with transmission line siting principles used by federal entities such as paralleling existing infrastructure where possible and avoiding population centers, federal, state and Native American lands, and threatened and endangered species habitats. The siting process started with identification and evaluation of potential endpoints. Once approximate endpoints were identified, Clean Line began an iterative route selection process to identify a network of potential routes for the HVDC transmission line, depicted in Figure 5 below. The proposed network of potential routes consists of interconnected mile wide links that provide multiple options for connecting endpoints in Oklahoma and Tennessee.

Proposed network of potential routes The Plains & Eastern Clean Line is in the midst of environmental review under the National Environmental Policy Act (NEPA) with the Department of Energy (DOE) serving as the lead agency and U.S. Fish and Wildlife Service, the Army Corps of Engineers, TVA, the Bureau of Indian Affairs, the Environmental Protection Agency, and the Natural Resources Conservation Service serving as cooperating agencies. Scoping was completed in March 2013 and at this time a draft Environmental Impact Statement is expected in Q1 of Section 1222 of the Energy Policy Act of 2005 allows the DOE, through the Southwestern Power Administration (Southwestern) to partner with private developers to expand transmission infrastructure. Prior to making a determination on whether to participate in the proposed project under Section 1222, DOE must complete an environmental impact statement evaluating the potential environmental impacts of the Plains & Eastern Clean Line Project pursuant to NEPA as well as undertake and complete federal consultations pursuant to Section 7 of the Endangered Species Act and Section 106 of the National Historic Preservation Act. Along with completion of the NEPA Process, Clean Line would like the DOE to sign a participation agreement that will allow Clean Line to work with DOE and Southwestern and provide them with contributed funds for the purposes of land acquisition, construction and operation. This does not require any new legislation or regulations, but simply requires DOE and Southwestern to elect to participate under the existing framework laid out in Section Commercial Clean Line is developing the Plains & Eastern Clean Line using a participant funded model, which means that only the direct beneficiaries of the line will pay. As mentioned above, TVA and neighboring utilities have demonstrated interest in serving their customers with substantially more renewable energy but lack the high-quality wind resources in their regions to economically meet these needs. Clean Line meets frequently with wind developers, TVA, TVA customers, and other southeastern load serving entities to keep them informed of the Project s status, discuss possible commercial contract structures, and determine ways the Project can help meet their reliability and energy needs. On October 2011, Plains & Eastern Clean Line entered into an agreement with TVA to identify the full range of benefits that HVDC transmission projects may provide to TVA s stakeholders and to explore non-discriminatory methods for TVA to utilize independent transmission as a means to ensure system reliability, increase resource flexibility, and enhance the potential for the integration of renewable

TVA s largest customer, Memphis Light, Gas and Water passed a resolution unanimously in support of the development of HVDC transmission to transport clean energy to western Tennessee. TVA also recently announced that it will update its Integrated Resource Plan (IRP), a framework that specifies target levels for generation types to meet projected electric demand. Rapid developments in the electric sector prompted TVA to update its IRP sooner than expected to account for low natural gas prices, new regulations on coal, and the falling cost of wind and solar. TVA is just beginning its current IRP process, which is on schedule to be finalized by the end of As part of the IRP, TVA has committed to carry out a detailed review of renewable options. TVA s recent efforts to incorporate more wind from outside its footprint suggest that it will continue to give low-cost renewable energy due consideration in its IRP. Clean Line expects wind energy from the Great Plains to be highly competitive in this consideration. Also encouraging is the fact that TVA invited Clean Line, along with wind generators and turbine manufacturers to provide data for the current effort. Information gathered from this RFI can help increase TVA s confidence in additional wind purchases as viable options. Financing Clean Line is supported by investors who bring long-term perspective, patient capital and an understanding of the complexity of siting and building long distance, interstate infrastructure projects. National Grid is a key investor in Clean Line. National Grid is one of the largest investor-owned energy companies in the world, with extensive experience building, owning and operating large HVDC electricity transmission interconnectors and transmission networks in the U.S. and the U.K. National Grid shares Clean Line s vision of enabling a cleaner energy future by investing in transmission projects that facilitate the development of renewable energy resources. Clean Line s other investors include the Houston-based Zilkha family and funds associated with ZBI Ventures. Regulatory In line with its approach to project development, Clean Line takes a proactive approach to working with state regulators and legislators to ensure state-level buy-in for the Project. Clean Line is in constant communication with state congressional delegations and works hard to ensure that these stakeholders are kept up to date with the latest project developments. Plains & Eastern Clean Line has garnered substantial support at the state level and congressional delegations from all three states have written letters of support for the Project. Oklahoma Clean Line currently has all of the key authorizations from the state of Oklahoma necessary to site, construct, own, operate and sell capacity on the Project. On October 28, 2011, the Oklahoma Corporation Commission (OCC) approved Clean Line s Oklahoma subsidiary to become a public utility in Oklahoma and found that the Plains & Eastern Clean Line is in the public interest. Under Oklahoma law, public utility status confers the right to construct, own and operate electric transmission lines within the state of Oklahoma.

8 June 2013 PLAINS & EASTERN CLEAN LINE RFI: APPENDIX I Page 8 of 8 Clean Line continues to garner support from a number of other Oklahoma stakeholders as well: Oklahoma Corporation Commission, state legislators, state agencies, and environmental and conservation organizations. Clean Line has a consulting agreement with The Nature Conservancy Oklahoma Field Office to obtain their input and buy-in for our proposed transmission routes. Other NGO outreach has included the Sierra Club, Oklahoma Sustainability Network and Land Legacy. Arkansas In May 2010, Plains and Eastern Clean Line LLC filed an application for a Certificate of Public Convenience and Necessity requesting utility status in Arkansas. The Arkansas Public Service Commission (PSC) received 18 letters supporting Clean Line s application. There was no public opposition. In January 2011, the PSC denied the application. However, the order praised Clean Line s efforts as laudable and its work is to be commended. The order further stated that the Commission wholly supports the development of transmission infrastructure in the state of Arkansas as well as the development of opportunities to use and transmit renewable power for the benefit of Arkansas utilities and their ratepayers. As reasons for denial, the PSC cited the language of the relevant statutes, Clean Line s lack of current ownership of transmission facilities and a lack of contracts with Arkansas entities. Clean Line is working to secure customers in Arkansas, including studying an interconnection in Arkansas, and continuing to build support from a broad number of stakeholders. Clean Line is currently focused on the federal Section 1222 process, described below, as a preferred regulatory structure for project siting. Arkansas Governor Mike Beebe is extremely supportive of the renewable energy industry, and has worked hard to attract wind equipment manufacturing facilities to the state. The late head of the Arkansas Economic Development Commission publicly backed our project and the current head is supportive. Clean Line has a consulting agreement with The Nature Conservancy Arkansas Field Office to obtain their input and buy-in for our proposed transmission routes. Several organizations, including the Sierra Club and the Arkansas Wildlife Federation, are supportive and others are appreciative of Clean Line s openness and early outreach. Tennessee Clean Line plans to file for a Certificate of Public Convenience and Necessity to own and operate electric transmission lines and to operate as a public utility providing electric transmission service in the state from the Tennessee Regulatory Authority in Clean Line has engaged state agencies (including Tennessee Department of Transportation, and Tennessee Department of Environment & Conservation) early regarding routing and permitting and has a positive relationship with these parties. Federal Energy Regulatory Commission (FERC) The Plains & Eastern Clean Line is being developed as a merchant transmission line that will cover its cost by charging a transmission tariff to those will use capacity on the line to deliver affordable renewable energy to market. In September 2012, Plains & Eastern Clean Line received negotiated rate authority from FERC. This approval indicates that FERC found that Clean Line s rate structure proposal was just and reasonable and that granting this authority was in the public interest.
