14 Global Solar Power Overview of sector The solar industry is growing rapidly. Global revenues rose 49% pa from 2003 to USD82bn in Companies through the solar supply chain raised USD10bn of finance in the year to March The market is forecast to grow 9% pa to Viability Solar technologies generally require government subsidies to be viable. However, costs have fallen dramatically and the technology is now at or near competitiveness (grid parity) in some locations. Size Installed (or generating) capacity rose from virtually zero in 1992 to 24 GW in 2010 (CAGR 36%). Total solar installations are estimated to reach 300 GW by Costs Solar is nearing competitiveness in sunny locations with high-priced electricity (eg parts of Italy, Japan, Spain, Turkey and the US). Expected technology advances will make more locations viable. 14
15 Global Solar Power Overview of sector Current outlook European governments have reduced subsidies, cutting demand just as supply increases in Asia. The resulting fall in prices increases the viability of projects but also puts pressure on manufacturers with higher costs, smaller scale or less efficient products this is an important trend. Further consolidation in the sector is expected, with manufacturing increasingly in low-cost locations. Regional breakdown 2010 installations were in: Germany 50%; the rest of Europe 27%; the US 7%; and China 3%. Growth markets to 2016 are forecast to be: the US 30% CAGR; China 28%; Japan 20%; and India 45%. Manufacturing is increasingly by Asian companies (or those switching to Asia) Chinese companies increased from 39% to 55%, with much of their products still bound for the West. Medium-term drivers - Rising demand for energy; energy security concerns; the switch to low-carbon energy to mitigate climate change; technological innovation increasing efficiency; and reducing costs. 15
16 Green Bonds Like traditional bonds, green bonds are issued as a means to raise capital. Buyers of the debt, or lenders, typically receive regular interest payments over a defined period of time, along with their principal investment when the bond matures. The key difference is that the proceeds are used specifically to fund projects with environmental benefits, such as energy efficiency, clean energy, and land and waste management schemes. Green bonds are a form of sustainable investment, which is becoming increasingly popular. More than 1,200 institutional investors, representing around USD45 trillion of assets under management, have pledged to incorporate environmental, social and governance factors into investment practices through the UN-backed Principles for Responsible Investment. Institutions such as the World Bank, IFC and the European Investment Bank were the first and biggest issuers of green bonds, followed by governments and large companies. Major institutional investors have also started buying this type of debt. 16
17 Green Bonds - China China will have spent about USD817 billion (RMB5 trillion) on environmental protection between 2011 and the end of this year, according to official figures. And the government is planning to boost investment in this area through private capital. The market for green bonds has grown quickly since the first one was issued in Last year's sales increased the total value of securities issued globally to more than USD36 billion, three times the amount reached in 2013, according to Climate Bonds Initiative. Issuance this year will push the market value above USD100 billion, according to HSBC estimates. China could account for 10 to 20 per cent of that total. 17

19 Solar M&A HSBC plc acted as Sole Financial Adviser to Abdul Latif Jameel (ALJ) in relation to the 100% acquisition of Fotowatio Renewable Ventures (FRV) from Denham Capital, Qualitas Venture Capital and the Founder shareholders for an undisclosed amount. HSBC provided critical advice to ALJ under a highly competitive auction process enabling a transformational deal that positions ALJ as the largest GCC-based Solar PV developer and one of the leading Solar PV developers in the world. The transaction includes acquisitions of both mature and early stage Solar PV assets (3.8GW total) across 4 continents and over 16 jurisdictions including Australia, Uruguay, Brazil and Egypt. The transaction also reinforces HSBC's credentials across both sector and M&A products. ALJ is one of the largest and oldest CMB relationships of HSBC. Established in 1945, ALJ is a conglomerate of businesses, which includes automotive distribution and parts manufacturing, real estate, renewable energy and others. ALJ currently has operations in 32 countries. 19
