4 4 Annual report 2002 Introductory Dear Friends, As an institution which cares about the problems of our society, Česká spořitelna, a. s. has always felt morally obliged to support projects that serve the public. On Jan. 30, 2002 Česká spořitelna, a. s. established the Foundation of Česká spořitelna. The foundation was set up in order to support projects in the areas of culture, education and science, public and social matters, health care, charity, community activities, sports and environmental protection. Futhermore, the foundation is allowed to provide support to individuals, who find themselves in emergency circumstances due to catastrophic events. The foundation s bodies are the Administrative Board and the Supervisory Board. Our thanks belong to Česká spořitelna, a. s. which not only established the foundation but is also its most significant contributor. We believe that the foundation will succeed in serving its mission and will help to do much good.

Depending on a result of subtraction, the amount is entered as positive or negative value. Description of The Foundation and main activities 1.1 Constitution of The Foundation The Foundation of Česká spořitelna (further referred to as "The Foundation") was established by Česká spořitelna, a.s., Prague 4, Olbrachtova 62 čp The Foundation was enlisted in foundation register at Municipal Court on 30 January 2002, N, 433. Purpose of The Foundation is support of projects in the area of culture, education and science, public and social matters, medical care, charity, municipal activities, sport and ecology support of individuals in difficult situation caused by unpredictable events, Seat of The Foundation Nadace České spořitelny Olbrachtova 1929/62 Praha 4 Česká republika IČ: Members of Administrative and Supervisory board as at 31 December 2002 Members of Administrative Board Members of Supervisory Board Ing. 17 Nadace České spořitelny Summary of Significant Accounting Principles 2.1 Bookkeping procedures Bookkeeping of The Foundation is being carried out in accordance with the Act on Accounting No. 563/1991 Coll. and based on the chart of accounts designate for non-for-profit organizations (further on reffered to as "chart of accounts") in accordance with Provision of Ministry of Finance ref. No. 283/76 102/2000 as amended by Provision ref. No 283/77 225/ Foundation Capital Foundation was registered with initial foundation capital of Kč. During the year the foundation capital was increased by 250, Kč. Foundation capital is monetary value of total of financial and natural deposits and donations enlisted in the foundation register. Foundation capital amounts to 250, Kč and is composed of 2, allotments of Fiducia fund ISIN AT administered by Česká spořitelna a.s., IČ , registered office at Olbrachtova 1929/62, Praha 4, according to Agreement on Administration of bonds and securities of 20 February Total value of Foundation capital must be in excess of Kč and can not drop below this limit during existence of The Foundation. 2.3 Costs related to administration of The Foundation Costs of - and related to administration of The Foundation are recorded separately from contributions.

18 18 Annual report Additional information to Balance Sheet and Profit and Loss Account 3.1 Financial Assets and participation bonds Cash is being maintained in current accounts in Czech Crowns. Balance as of 31 December 2002 amounted t Kč. Long term financial assets are composed of 2, allotments of Fiducia fund ISIN AT administered by Česká spořitelna based on agreement on asset management of securities in total value of t Kč. These allotments are registered in Foundation capital. Apart of these, the Foundation also holds allotments of Fiducia fund ISIN in total value 1, Kč AT which are not registered in Foundation capital. 3.2 Liabilities Balance of Trade liabilities amounts 7 t Kč, and is represented by upaid invoices for accounting and legal services and charge related to opening of current accounts. All liabilities lie within payment terms. 3.3 Received donations Donations from corporate bodies in 2002 amounted t Kč. Donations from individuals amounted 238 t Kč. Substantial part of donations from corporate bodies (250, Kč) is formed by the donation from Ceska sporitelna. This donation was in accordance with the decision of Administrative Board of Nov. 18, 2002 transferred and registered as increased foundation s capital. Entry in the register was made on Dec. 23, Administered contributions The Foundation did not administer contributions to corporate bodies in Contributions to individuals in 2002 amounted t Kč and were aimed to employees of Financial group of Česká spořitelna to remedy damages in consequence of floods. 3.5 Revenues from Financial Assets Tax-exempt interest from cash balances on current accounts amounted 178 t Kč. Interest from term deposits subject to income tax amounted 535 t Kč.

Composed of: in Kč Bookkeeping 32 Legal advice 7 Bank fees 7 Income tax 73 Total 119 Foundation did not charge labour costs as foundation s activities were limited. Administration of foundation was executed by employees of Ceska sporitelna. Costs connected with this service in 2002 do not exceed amount of 40 t Kč. 4. Additional information In accordance with the decision of Česká spořitelna, a. s., the founder of the foundation, merger of the Foundation CS-Heart and Foundation of Česká spořitelna is being prepared for 2nd half of The purpose of the original foundation is identical with the purpose of the Foundation of Česká spořitelna. Total costs connected with administration of foundation amount to 0,05 % of the value of foundation s capital as of Dec. 31, 2002, ie. below 2,5 % which is stated in the foundation s statutes. Thus the rule on expenditure on foundation s administration in accordance with 22, par. 1, letter b) on foundations and foundation funds (No. 227/1997 Coll.) was observed.
