2 Principal Global Credit Opportunities Fund 1 ABOUT Principal Global INVESTORS (AUSTRALIA) LIMITED Principal Global Investors (Australia) Limited is the responsible entity of the Principal Global Credit Opportunities Fund (Fund) and issuer of units in the Fund. References to we, us and our throughout this PDS mean Principal Global Investors (Australia) Limited. Our role as responsible entity is to operate and manage the Fund in line with the parameters set out in this PDS, the Fund s Constitution and the Corporations Act. We have appointed Principal Global Investors LLC (PGI) as investment advisor for the Fund. Principal Global Investors (Australia) Limited and PGI are part of Principal Global Investors, the global investment management business of the Principal Financial Group. PGI utilises the expertise and resources of other companies within Principal Global Investors in its role as investment advisor. With operations in the United States, Europe, Asia and Australia, Principal Global Investors draws on the expertise of investment professionals around the world. As at 31 December 2012 Principal Global Investors managed $US281.5 billion in assets globally, primarily for retirement plans and other institutional clients. Principal Global Investors investment capabilities are extensive, encompassing real estate, fixed income and equity investments, as well as specialised overlay and advisory services. Registered trademark of Principal Financial Services, Inc., a member of the Principal Financial Group. 2 How the Principal Global Credit Opportunities Fund Works The Fund is an unlisted registered managed investment scheme that invests predominantly in a broad portfolio of global fixed income securities. Investments in the Fund may be made directly by wholesale clients (as defined in the Corporations Act) or indirectly through an Investor Directed Portfolio Service, or similar service such as a master fund or wrap account (collectively referred to in this PDS as an IDPS ). Amounts invested in the Fund are pooled together and used to buy assets (investments) which are professionally managed on behalf of all investors in the Fund. Investors are issued units in the Fund in exchange for the amount invested. The number of units issued is calculated by dividing the amount invested by the application price applying at the time the investment is processed, typically the unit price released the business day after the application is received. Each unit represents a beneficial interest in the assets of the Fund as a whole, rather than an entitlement to any particular asset in the Fund. Investors can increase their investment by applying for more units. Investors may be able to decrease their investment by making a request for us to redeem some or all of their units. Redemption requests are normally processed within three business days, using the redemption price released the business day after the request is received. In some circumstances, such as when there is a freeze on withdrawals, investors may not be able to redeem their units within the usual period on request. the time for processing redemptions before making a decision. Investing Through an IDPS or Similar Service If you are considering investing in the Fund through an IDPS you may use this PDS to obtain general information about the Fund. We authorise the use of this PDS as disclosure to clients and prospective clients of an IDPS. You should also contact the operator of your IDPS ( IDPS operator ) for further information, including information about how to make an initial or additional investment, how to redeem and any minimum amounts applying. Please be aware that, if you invest in the Fund through an IDPS, you do not become a unitholder in the Fund and do not have the rights of a unitholder. Units are issued to the IDPS and the IDPS operator acquires the rights and may exercise them, or decline to exercise them, on your behalf. Investing Directly in the Fund If you are a wholesale client you may invest directly in the Fund by completing an Application Form and sending it to the address on the Application Form, together with your investment amount. 2

We may accept lower amounts at our discretion and reserve the right not to accept an application to invest. Calculating Unit Prices Unit prices are usually calculated and released each business day by dividing the net asset value of the Fund at the close of the previous business day by the number of units on issue and then adjusting the amount to allow for transaction costs. See Transaction Costs in Section 6 for information about transaction costs. Unit prices will vary as the market value of the Fund s assets rises or falls. In exceptional circumstances, including interruption of regular trading in the market for assets of the Fund or lack of liquidity in the markets in which the Fund invests, the calculation of the unit price may be delayed and may occur less frequently than daily. We reserve the right to change our practice so that the Fund is valued less frequently than daily. If we do so, we will notify you. Further information about how the Fund s unit prices are calculated can be found in our Unit Pricing Policy, a copy of which is available free of charge on request. Distributions Net income earned by the Fund is normally distributed to investors quarterly, following the end of March, June, September and December. The amount per unit to be distributed is calculated by dividing the net income available for distribution by the number of units on issue. Net income may include income such as interest and dividends, and net realised capital gains. The distribution amount will vary from period to period and there may be times when there is no income available to distribute. The Fund s use of derivatives, including the hedging of the Fund s currency exposures, may, for example, have the effect of realising profits or losses in the Fund, which at times could enhance or restrict the Fund s ability to distribute income. The Fund s Constitution also allows us to distribute an amount of income or capital at any time. Distributions may be reinvested in additional units in the Fund or paid into a nominated financial institution account. Distributions to IDPS operators are reinvested in the Fund, unless requested otherwise. If you invest in the Fund through an IDPS, you should contact your IDPS operator to find out how any distributions may be made to you. Units issued on reinvestment of a distribution are issued at the last unit price calculated at the end of the distribution period. Distribution payments are generally made within 12 business days of the end of the distribution period. 3 Benefits of Investing in the Principal Global Credit Opportunities Fund The key features and benefits of investing in the Fund include: Investing overseas enhances the investment universe and opportunity set. The Fund is managed by a fixed income team with significant experience in evaluating global corporate debt securities and in managing traditional, opportunistic and alternative fixed income investments. The investment team uses an investment process which combines active asset allocation with flexible investment guidelines. The team uses in-depth proprietary research designed to facilitate best-ideas security selection and actively manages volatility to seek to mitigate downside risk and enhance returns. The Fund is actively managed providing an opportunity for returns to achieve those of the Fund s Investment Return Objective in both up and down markets over the medium term whilst aiming to limit downside risk during extreme market scenarios. The Fund s Constitution and Compliance Plan The Fund is governed by a Constitution which, together with the Corporations Act, sets out the rules and procedures under which the Fund operates and our rights, responsibilities and duties as responsible entity, as well as those of investors. This PDS outlines some of those rules and procedures. A copy of the Fund s Constitution can be inspected or provided free of charge on request. The procedures that we apply in order to comply with the Constitution and Corporations Act are set out in a Compliance Plan. A Compliance Committee, with a majority of independent members, oversees these procedures. the Constitution before making a decision. 4 Principal Global Credit Opportunities Fund 4 Risks of Managed Investment Schemes All investments involve a certain degree of risk due to market conditions. Risk is generally regarded as the variability in returns and the possibility that the value of your investment may fall. The level of risk may be different for different funds. Typically, the level of risk depends on a fund s investment strategy and the assets in which the fund invests. Investments with the highest long-term returns may also carry the highest level of short-term risk. The level of risk you are willing to accept will depend on a range of factors including your age, investment time frame, where other parts of your wealth are invested and your overall tolerance to risk. The value of your investment in the Fund may be affected by the following significant risk factors: Active Investment Risk This is the risk that active investment decision making to seek capital appreciation (as distinct from passive holding of securities) might result in losses due to the selection or timing of investments. Asset or Sector Risk The Fund invests predominantly in a particular asset class. This means that factors affecting that particular asset class will have a greater effect on the Fund than if the Fund was diversified across other asset classes. Credit Risk This is the risk that the issuer of a fixed income security (or counterparty) may be unable to meet its obligations to pay interest and principal when it is due. Derivative Risk Derivative risk is the risk that a derivative cannot be traded or the risk that the counterparty to the derivative cannot meet their payment obligations when they are due. Distribution Risk It is not guaranteed that distributions of income from the Fund will be made on a regular basis. Investors should not rely on distributions from the Fund to service other obligations. Equity Risk The Fund from time to time may invest in equity volatility swaps, which are used to manage volatility of the Fund. These swaps expose the Fund to changes in equity volatility. Individual Investment Risk This is the risk that the value of an individual security in the Fund s portfolio may fall due to factors affecting the issuer of that security. This may cause the Fund s investment return to be lower than expected or the Fund to incur a capital loss on disposal of the security. Interest Rate Risk Changes in interest rates can affect the value and returns of investments in the Fund. As the Fund invests in Australia and overseas it will be sensitive to both domestic and international interest rates. Liquidity and Redemption Risk Liquidity risk arises when trading volume, lack of a market or legal restrictions impair the Fund s ability to sell particular securities at an advantageous time or price. Securities are more likely to become illiquid at times of global economic uncertainty or market turmoil. Market Risk The value of the Fund s investments may decline simply because of economic changes or other events that impact large portions of investment markets. Prepayment Risk Certain debt securities can be prepaid at the option of the issuer. As there is no assurance that proceeds received from a prepayment can be invested in similar securities generating the same level of return, this can expose the portfolio to prepayment risk. Our risk management process aims to ensure that the level of risk within the Fund is commensurate with the expected return, both at a portfolio level and for the various individual securities that make up the portfolio. One of the most effective ways of managing risk is through diversification. This involves spreading investments across different assets so that if a specific investment is performing poorly, another investment may help offset this by performing well. Constraints are applied to ensure the Fund is diversified across issuers of securities and fixed income sectors (see section 5). The maximum holding in any single issuer is 5%, or where the issuer is non-recourse, the maximum aggregated exposure to any underlying pool of assets is 5%. These limits do not apply to Government Debt. Investors should note that the actions we take to manage the above risks do not mean that those risks are removed from investments in the Fund. See Fund Assets below. The Fund is actively managed by a specialist fixed income investment team with a focus on identifying the best sectors for investment opportunities and then within the sectors to the most attractive high yielding securities to generate the potential for both income and capital appreciation. Active hedging is utilised to manage risks. The Fund is designed for Australian investors seeking access to a diversified, multi-sector fixed income portfolio with the potential to achieve a relatively high total return and to provide regular income. Investments denominated in foreign currencies are hedged into Australian dollars. The Fund aims to achieve a total return above the Barclays Global Aggregate Corporate Index # (hedged to Australian dollars), before fees, over rolling three-year periods. The Fund invests in a diversified range of fixed income securities across a number of sectors, within the limits shown in the table below. Derivatives may be used for hedging and for the efficient management of the Fund s portfolio, but are not intended to be used to gear (leverage) the Fund. We may change the Fund s current investment strategy and asset allocation, or terminate the Fund. The primary consideration is the financial viability of an investment. All investments are assessed on a case by case basis as and when such factors arise. Small differences in both investment performance and fees and costs can have a substantial impact on your long-term returns. For example, total annual fees and costs of 2% of your Fund balance rather than 1% could reduce your final return by up to 2 over a 30-year period (for example, reduce it from $100,000 to $80,000). You should consider whether features such as superior performance or the provision of better member services justify higher fees and costs. You may be able to negotiate to pay lower contribution fees and management costs where applicable. Ask the Fund or your financial adviser. Please note that this is just an example. In practice, the actual investment balance of an investor will vary daily and the actual fees and expenses we charge are based on the value of the Fund, which fluctuates daily. ASIC provides a managed fund calculator on its website, which can be used to calculate the effect of fees and costs on account balances. Additional Explanation of Fees and Costs Management Costs Management costs represent the total ongoing management fees and other costs we are entitled to be paid, or reimbursed for, from the Fund. The management cost specified in the fees and costs table is the amount currently applying. It includes the net effect of the Goods and Services Tax (GST) and the benefit of reduced input tax credits. We are also entitled to be reimbursed out of the Fund s assets for all expenses incurred by us in performing our duties, including administering the Fund. These expenses, which may fluctuate from time to time, form part of the management costs. We may negotiate the payment of different levels of management fee rebates with wholesale clients. Transaction Costs Transaction costs, such as brokerage and stamp duty, are incurred when buying and selling Fund assets. An allowance for these transaction costs is made when calculating the Fund s unit prices, resulting in the application and redemption prices for the Fund being different. The difference between the Fund s application price and redemption price is known as the buy/sell spread. The allowance for transaction costs is an additional cost to you when you invest in the Fund or redeem from the Fund. It is retained within the Fund to offset transaction costs incurred. It is not a fee paid to us. The allowance for transaction costs (buy/sell spread) applying at the time this PDS was prepared was 0.1 / 0.1. The buy/sell spread is reviewed whenever necessary and may change from time to time without prior notice. The latest buy/sell spread is available from us on request. Changes to the Fees and Costs We may change the fees and costs outlined in the fees and costs table, up to the following amounts specified in the Fund s Constitution: Contribution fee: 1% of each amount invested Management fee: 2% p.a. of the value of the Fund s assets, plus GST. The material relating to fees and costs may change between the time when you read this PDS and the day you 7 How Managed Investment Schemes are Taxed Warning: Investing in a managed investment scheme is likely to have tax consequences, and we strongly recommend you seek your own professional tax advice. Australian tax laws are complex and change from time to time, and the tax treatment applicable to individual investors may differ. In general, managed investment schemes do not pay tax on behalf of investors. Net income generated by a managed investment scheme is typically fully distributed to investors and investors are in turn assessed for tax on their share of the Fund s income and net capital gains based on their individual circumstances, even if the distribution is reinvested. We are required to determine the net taxable income of the Fund each year and it is our intention to distribute all of the Fund s net income to investors. This means that the Fund itself should not be subject to Australian income tax. If you invest directly in the Fund we will provide you with a Tax Statement following the end of each financial year to enable you to complete your tax return. If you invest through an IDPS, the IDPS operator will provide you with the relevant tax information. If the Fund makes a loss for tax purposes, the Fund cannot distribute the loss to investors. However, the Fund may be able to offset any losses against income or gains in future years. There may also be tax implications when you redeem from the Fund and again we recommend you seek your own tax advice before making a redemption request. 7

8 8 How TO APPLY Investing Through an IDPS If you are investing through an IDPS you are not required to complete the Application Form for the Fund. Instead you should complete the relevant forms and/or follow the instructions provided to you by your IDPS operator. Direct Investors To invest directly in the Fund you must complete an Application Form for the Fund and return it to the address specified on the form, together with your initial investment amount and certified identification documents, as applicable. Please contact us to request an Application Form. Please ensure you read this document together with the Additional Information Booklet available at www. principalglobal.com/au/strategies/creditopportunities.aspx before submitting your application. Please note, as part of the application process we are required by law to verify your identity before accepting your application. Please refer to the Anti-Money Laundering and Counter-Terrorism Financing Act information included in the Additional Information Booklet in section 6 and Application Form for further information when completing the applicable section(s) of the form. Direct investments on the basis of this PDS are only available to wholesale clients receiving the PDS (electronically or otherwise) in Australia. If you have received the PDS electronically you may request a paper copy from us. In certain circumstances, for example if we receive an incomplete application, we may hold application money received in a trust account. Any interest earned on the account is retained by us. Cooling Off Under the Corporations Act, a cooling-off period does not apply to direct investments in the Fund. If you invest in the Fund through an IDPS, you should consult your IDPS operator about any cooling-off rights you may have. We will work with your IDPS operator to resolve any queries or concerns relating to the Fund.
