1 PEPSI CMA MUSIC FESTIVAL SWEEPSTAKES AND INSTANT WIN PROMOTION Official Rules NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. MULTIPLE ENTRY DEADLINES APPLY. PROMOTIONAL PERIOD: Promotion begins on March 21, 2016 at 12:00 a.m. Eastern Time ( ET ) and ends on May 13, 2016 at 11:59 p.m. ET (the Promotional Period ). The Promotion consists of eight (8) weekly sweepstakes (each a Weekly Sweepstakes, together Sweepstakes ) and an instant win ( Instant Win ). Each Weekly Sweepstakes during the Promotional Period will begin on Monday at 12:00 a.m. ET and end on Sunday at 11:59 p.m. ET as described in Section 4 (each is the applicable Weekly Sweepstakes Entry Period ). The time clock of the Administrator is the official clock for this Promotion. 2. HOW TO ENTER: There are two (2) ways to enter the Promotion. (a) During the Promotional Period, purchase one (1) Pepsi trademark beverage in any package size or flavor in a single transaction at a participating Dollar General retail store location and receive a code printed at the bottom of your store receipt (the Code ). Once you have obtained a Code, visit (the "Website") and follow the online instructions to enter the Code along with your first and last name, mailing address, address, date of birth and daytime phone number in the designated fields on the Website. Entries will be entered into the then current Weekly Sweepstakes. All Codes must be entered by 05/19/16. (b) To enter without making a purchase by obtaining a free Code via , hand print your name, address and date of birth on a 3½ x 5 inch paper. Mail completed entry postmarked by 05/13/16 to: Pepsi CMA Music Festival Sweepstakes and Instant Win at Track Marketing Group, P.O. Box 20054, New York NY Each entry must be mailed separately in a hand-addressed, stamped envelope. Mail-in entries must be postmarked by 05/13/16 and received by noon on 05/18/16 to be eligible. No photocopied or mechanically reproduced entries accepted. Sponsor not responsible for lost, late, incomplete, illegible, misdirected entries or postage-due mail. You will be sent a Code via at the address provided except for any entry postmarked 5/9/16 or later. NOTE: Any mail-in entry postmarked 5/9/16 through 5/13/16 will be automatically entered into the 8 th Weekly Grand Prize Drawing. The judging agency will play the Instant Win game on their behalf. If eligible, the automatic entry into the 8th Weekly Grand Prize Drawing will also be entered into the Final Drawing. Limit five (5) entries per person/ address/household per day regardless of method of entry. A day is defined as a twenty-four (24) hour time period beginning at 12:00 a.m. (midnight) ET and ending at 11:59 p.m. ET. The name of the person submitting the address upon Promotion entry must be (a) the name of the person who registered on the Website for such address, and (b) the name of the authorized account holder of such address, otherwise, entry may be deemed void. In the event of dispute over the identity of a potential winner, entries will be declared made by the authorized account holder of the address submitted at the time of entry, and potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of the address submitted upon entry. It is solely the responsibility of the entrant to notify the Sponsor in writing if the entrant changes his or her address during the Promotional Period. Proof of submitting an entry does not constitute proof of delivery or entry. Every entry submission must be manually keystroked and manually entered by the individual entrant; automated and/or repetitive electronic submission of entries (including but not limited to entries made using any script, macro, bot or sweepstakes service) will be disqualified and transmissions from these or related or IP addresses may be blocked.

2 3. ELIGIBILITY: Promotion open only to legal residents of the United States (excluding AK, D.C., HI, ID, MT, ND, WA and WY) who are 18 years of age (19 in AL or NE) or older at time of entry. Employees of Country Music Association, Inc., Sports Authority of the Metropolitan Government of Nashville and Davidson County, Cumberland Stadium, Inc., Track Marketing Group, LLC, Dollar General Corporation, PepsiCo, Inc., Pepsi Beverages Company ( Sponsor ), Pepsi-Cola Company and its bottlers and any of their respective affiliates, subsidiaries, advertising agencies, shareholders, directors, officers, members, successors, agents or any other company or individual involved with the design, production execution or distribution of the Promotion (collectively, "Sponsor and Promotion Parties ) and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members (people who share the same residence at least three (3) months out of the year) of each such employee are not eligible. 4. SWEEPSTAKES DRAWINGS: There will be eight (8) separate grand prize drawings during the Promotional Period. There will be one (1) potential grand prize winner selected for each Weekly Sweepstakes. Each Weekly Sweepstakes, on or about the drawing dates below, the Sweepstakes Administrator will select one (1) entry for the weekly prize in a random drawing of all valid entries received from all methods of entry during that specific Entry Period. Non-winning entries from one Entry Period do not carry over into subsequent Entry Periods but all non-winning Entries will be automatically entered into the Final Sweepstakes Drawing to be held on or about 05/20/16. Entries submitted during the Promotional Period are only eligible for this Promotion and do not remain eligible for any subsequent promotions. All prizes will be awarded. FINAL DRAWING: On or about 05/20/16, there will be one Final Drawing from among all nonwinning entries during the Sweepstakes Period. 6. INSTANT WIN PRIZES: Three hundred fifty (350) Instant Win prizes will be awarded during the Promotional Period. One hundred (100) Instant Win prizes will be awarded, each consisting of one (1) Pepsi Ear Buds (Estimated Retail Value: $14.99 USD) and two hundred fifty (250) Instant Win prizes will be awarded, each consisting of one (1) Pepsi Sunglasses (ERV: $9.99 USD). Limit one (1) Instant win prize per person/household for the entire Promotional Period. Odds of winning depend on the number of eligible entries received. 7. SWEEPSTAKES PRIZES: Eight (8) Grand Prizes will be awarded during the Promotional Period (one Grand Prize per Weekly Sweepstakes). Each Grand Prize consists of a flyaway trip to CMA Music Festival 2016 in Nashville, TN. Trip consists of a four (4) night/four (4) day trip for four (4) persons (Winner and three (3) travel guests) to Nashville, TN to attend the 2016 CMA Music Festival on June 9-12, Travel will commence on June 9, 2016, returning to winner s home on June 12, Trip includes: Round trip coach air transportation for four (4) from an airport near winner s home within the continental U.S. (airport, carrier and itinerary selected by Sponsor), two (2) double occupancy standard hotel rooms for three (3) nights, ground

3 transportation to and from the airport, hotel and the CMA Music Festival in Nashville, four (4) tickets to the 2016 CMA Music Festival, (4) Pepsi gift bags and $800 USD spending money. ARV: $7,650 USD depending on winner s point of departure. Limit one (1) Grand Prize per person/household for the entire Promotional Period. General conditions for trip: Winner must commence the trip on the stated date and return on the stated date. If winner is unable to travel on stated dates the prize will be forfeited and no other compensation will be provided. If winner lives within 150 miles of Nashville, TN ground transportation may be provided instead of air transportation. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, baggage fees, personal charges at lodging, security fees, taxes or other expenses or incidentals are the responsibility solely of winner. Travel companions must be 18 years of age (19 in AL or NE) or older as of the date of departure (or be accompanied by their parent or legal guardian as the grand prize winner) and must travel on same itinerary and at the same time as the winner. Travel companion will be required to sign a release before going on the trip. No warranty or guarantee will be given by Sponsor with respect to the prize. Any and all guarantees and warranties are subject to the manufacturers or service provider s terms and conditions, and the winner agrees to look solely to such entity for any such warranty or guarantee claim. All tickets and festival attendance are subject to the terms and conditions printed on the ticket and to the rules and regulations of the festival applicable to all attendees. Prize is non-transferable. No substitution, cash redemption, assignment or transfer of prize permitted, except by Sponsor, who reserves the right in its sole discretion to substitute a prize with another prize of greater or equal value. If the date or location for the scheduled activity is change the trip that is stated in these rules can change. All federal, state and local taxes, if any, related to a prize are the responsibility of the individual winner. Any and all guarantees and warranties are subject to the manufacturers or service provider s terms and conditions, and the winner agrees to look solely to such entity for any such warranty or guarantee claim. Prize is non-transferable. Sponsor is not responsible if the scheduled activity is changed, canceled or postponed or date or location for the scheduled activity is change. Selection of travel dates/hotel/airline/seating is selected by Sponsor in its sole discretion. By accepting prize, winners agree to hold Country Music Association, Inc., Sports Authority of Metropolitan Government of Nashville and Davidson Country, Cumberland Stadium, Inc. and each of their respective affiliates, shareholders, directors, officers, employees, members, agents, successors, the Sponsor and Promotion Parties, and assigns harmless against any and all claims and liability arising out of use of the prize or any other participation in this Promotion. Winners assume all liability for any injury or damage caused, or claimed to be caused by participation in this promotion or use or redemption of any prize. Odds of winning depend on the number of eligible entries received. 8. FINAL DRAWING PRIZE: One (1) Final Drawing Prize will be awarded consisting of one (1) fifty dollar ($50) Dollar General Gift card. Estimated retail value $50. Odds of winning depend on the number of non-winning entries during the Sweepstakes Period. 9. WINNER NOTIFICATION: Potential Instant Win winners will get an on screen notification if they are a winner. Potential Sweepstakes winners will notified by phone and/or at the phone and/or address provided upon entry, within one (1) day of the drawing. If a potential prize winner is notified by phone, he/she will be required to respond within seventy-two (72) hours or prize will be forfeited and may be awarded to an alternate winner. Sponsor is not responsible for suspended or discontinued wireless service which may result in a potential winner not receiving initial prize notification. Once potential winner notification is confirmed to Sponsor, the potential prize winner may be sent an Affidavit of Eligibility and Liability/Publicity Release to be signed and returned within the number of days indicated on the Affidavit. In the event (i) the attempted notification is returned as undeliverable without a forwarding address; (ii) a telephone or text message notification is not confirmed to Sponsor within seventy-two (72) hours; (iii) any required documents are not returned within the required number of days; or (iv) if winner is otherwise unable to attend an event when specified or accept the prize as stated, prize will be forfeited and may be awarded to an alternate winner. All prizes will be delivered by May 31, LIMITATIONS OF LIABILITY: Sponsor and Promotion Parties assume no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b)

4 any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Promotion; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Promotion; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or land line phone service; or (f) any injury or damage to participants or to any other person's computer or mobile device which may be related to or resulting from any attempt to participate in the Promotion or download of any materials in the Promotion. If, for any reason, the Promotion is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion in whole or in part. In such event, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor, such as by way of example and not by way of limitation, in a random drawing from among all eligible, non-suspect entries received up to the time of the impairment, and Sponsor shall not have any further liability to any participant in connection with the Promotion. Sponsor may modify and amend these Official Rules as they may appear online from time to time during the Promotion for clarification purposes without materially affecting the terms and conditions of the Promotion 11. WINNERS RELEASE: By participating in the Promotion, entrants release Sponsor and Promotion Parties from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with submitting a play or otherwise participating in any aspect of the Promotion, the receipt, ownership or use of any prize awarded, or while preparing for, participating in or traveling to or from any prize-related activity or any typographical or other error in these Official Rules or the announcement or offering of any prize. The winner shall bear all risk of loss or damage to their prize after it has been delivered. Sponsor and Promotion Parties make no representations or warranties of any kind concerning the appearance, safety or performance of any prize; except for any express manufacturer s warranty as may be included with the prize. Except for residents of Tennessee and where prohibited by law, winner grants to Sponsor the right to print, publish, broadcast and use worldwide in any media now known or hereinafter known, the winner s name, address, voice, statement, picture or other likeness, without additional compensation, for public relations, advertising and promotional purposes as may be determined by Sponsor. 12. GENERAL CONDITIONS: This Promotion is governed by the laws of the United States and of the State of New York without respect to conflict of law doctrines. Prize winner is solely responsible for any and all taxes and related expenses on the prize, and may receive an IRS Form 1099 for the ARV of the prize. Unclaimed prize(s) will not be awarded. Sponsor reserves the right to substitute a prize of equal or greater value in the event a prize or any portion of a prize becomes unavailable. No substitution of prize is offered, no transfer of prize to a third party is permitted, and non-cash prizes may not be redeemed for cash value except at Sponsor s sole discretion. All other expenses on the receipt and use of the prize not specifically mentioned herein are solely the responsibility of the winner. Any difference between the stated value of any prize and the actual retail value will not be awarded. Any portion of a prize not accepted by winner will be forfeited. Upon forfeiture for any reason as stated in these Official Rules, no compensation will be given. All federal, state and local laws & regulations apply. Any personal information provided in connection with participation in the Promotion will only be used by Sponsor to notify a potential winner and/or fulfillment of a prize and shall be subject to the Pepsi-Cola Company s Privacy Policy available at CONDUCT: By participating in this Promotion, participants agree to be bound by these Official Rules and the decisions of the Sponsor that shall be final and binding in all respects. Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right, at its sole discretion, to disqualify any individual found to be tampering with the play process or the operation of the Promotion; or to be acting in any manner deemed by Sponsor to be in violation of the Official Rules; or to be acting in any manner deemed by Sponsor to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person.

5 CAUTION: ANY ATTEMPT BY A USER OR PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS PROMOTION OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS FEES) AND OTHER REMEDIES FROM ANY SUCH PERSON OR PERSONS RESPONSBILE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. 14.
