2 The Office Background TOSTES E ASSOCIADOS ADVOGADOS law firm was established in Rio de Janeiro in April 1973 by the lawyers Sergio Tostes, Edmundo Lins Neto (one of the most traditional lawyers of Rio de Janeiro) and James Clark. Sergio Tostes, master in Comparative Case Law by the University of New York and Law by the Harvard Law School, had been a partner of one of the main Brazilian law firms and foreign associate of one of the most distinguished US Law Firms with headquarters in Washington, DC. The intention of combining the international expertise developed by Sergio Tostes with the vast expertise of Edmundo Lins Neto in litigation law resulted in the establishment of a law firm qualified to operate with equal capacity to provide legal advice to clients and representation services before the Judiciary. The office operates under the management of Sergio Tostes, who, conciliating his work as a lawyer, held a leading position at the Brazilian Bar Association (OAB/RJ), including the Presidency of the Ethics and Discipline Court, which is the maximum body in the legal segment to judge the ethical behavior of legal professionals. The office adopted the name of TOSTES E ASSOCIADOS ADVOGADOS after the retirement of Edmundo Lins Neto, when Dr. Olavo Tostes Filho, formerly a Judge, Associate Justice, General Magistrate of the Supreme Court of the State of Rio de Janeiro and President of TRE-RJ, joined the firm. Structure Besides its headquarters in Rio de Janeiro, TOSTES E ASSOCIADOS ADVOGADOS TAA, presently holds branches in Brasília and São Paulo. It has also affiliated offices in Belo Horizonte (Minas Gerais), Vitória (Espírito Santo), Recife (Pernambuco) and a representative in New York, United States of America. Its team of lawyers is formed by 15 partners, 50 associates, 2 consultants (1 being foreign) and more than 30 trainees. With an organizational structure consistent with the characteristic of personalized approach to clients, the office is currently growing. In order to grow without loosing its main characteristic, it is fully dedicated to meet the specific interests and needs of each client, by adopting a proactive attitude, whereby all the firm s professionals comprise multidisciplinary study groups aiming at the analysis and formulation of legal solutions. The general supervision of the several legal sectors is under the responsibility of the partners Maria Hetilene Gomes Tostes, André Hermanny Tostes, Rui Meier and Antonio Carlos Vasconcellos, who coordinate and integrate the various areas of expertise in the office. The uniform operation of its members, with respect to individual qualities and characteristics, is a trademark of the law firm, which adopts, as a general rule, the philosophy that each client will always be served by a certain partner and his assistants. The leadership and supervision of all activities in the office are currently carried out by the the senior partners Sergio Tostes and Miguel Pachá, former president of the Supreme Court of the State of Rio de Janeiro, who became partner of the office after his retirement as Associate Justice. TAA relies also on the permanent assistance and guidance of Olavo Tostes Filho.

3 The Office Partnerships At TAA the client has an integrated and efficient service structure both in Brazil and abroad, thanks to operating agreements entered into with other specialized law firms in the most varied legal areas. In the national scope, the firm works in cooperation with other specialized firms, such as in the areas of Criminal Law, Family Law and Trademarks & Patents. The office holds an active relationship with some of the most distinguished law firms headquartered in the United States of America, Europe and Latin America, which allows TAA to prepare legal opinions and, if necessary, coordinates and supervises the preparation of external legal opinions from experts in politics and economy, among other areas. 8 Tostes Online TAA, through its Information Technology Department (DTI), invests permanently in the technological improvement and pioneer solutions, aiming at rendering services on a transparent, fast and safe manner in relation to its clients. Therefore, TAA relies on an innovative tool called Tostes OnLine, which allows access via Internet, through its website, to data and stages of legal and administrative proceedings; to research of the last procedural steps; the issuance of procedural follow-up reports and the visualization and printing of procedural briefs. Editorial TAA TAA has a very pro-active approach and has implemented the Editorial Center an area specialized in the management of its intellectual production, whose main product is INFORME TAA - itaa, a monthly communication channel aiming at updating its clients in view of the continuous changes in the Brazilian legislation and at discussing other matters of general interest and broad repercussion. In 2010, following the internationalization of the portfolio firm s clients, has created the Tostes News, a new vehicle of information directed to foreign audiences, covering topics of international scope related to economy, politics and law. Among the various multidisciplinary works that have been carried out, TAA holds of internal seminars conducted by the members of the office and, occasionally, by an outside distinguished speaker, on current matters in the world of Law, Economy and Politics. Such seminars are also intended to the production of papers on the subject discussed, which are subsequently published in books, national and foreign specialized magazines and journals. TAA has an auditorium with capacity for 60 people, where such seminars are held on a quarterly basis. Social-Environmental Responsibility TAA considers as imperative that its work takes into consideration a social responsibility. By entering into joint venture with the Inter-professional Center of Support to Children and Adolescents (CIACA), it has providing young people from underpriviledged classes under social fragility situation with the opportunity to do training and experience a professional development. Care with the environment is also a priority to TAA. The measures adopted include: the use of recycled paper; the rational use of dischargeable glasses, printing paper and electric power; and the adoption of environmental management of the wastes produced in the office, by means of selective collection.
