1 Terms and Conditions The following agreement between you and Carmel Grocery Delivery LLC includes the terms and conditions under which you may use Carmel Grocery Delivery LLC s service. If you use our service, you agree to the following terms and conditions: 1. Terms. Carmel Grocery Delivery LLC, We, and Our refer to any owner, employee, agent, designee, or authorized representative of Carmel Grocery Delivery LLC. You and Your refer to any individual or organization that uses our services. Terms of Service, Terms of Use, and Terms and Conditions used in this document or elsewhere on Carmelgrocerydelivery.com refer to the entirety of this agreement. 2. Unauthorized Use. Carmel Grocery Delivery LLC does not offer any services to individuals under the age of 18 years old. By requesting our service, you warrant that you are at least 18 years old. A Carmel Grocery Delivery LLC order may not be placed in behalf of anyone other than you without their informed consent. Additionally, you may not use this site or our services for the purpose of advertising, solicitation, cyber attacks or hacking of any sort, or any form of unethical or illegal activity. 3. Receiving a Delivery. Delivery will be made to the delivery address associated with your order either by telephone, , provided on our website Registration or website grocery order form. If you would like us to use a different delivery address, phone number, or address with regard to your order, contact us to provide us with that information before 9:00 am of the day of your delivery. You are responsible for ensuring that someone over the age of 18 is present at the delivery address to receive and sign for deliveries at the specified time of delivery. Anyone at the delivery address who receives the delivery is conclusively presumed to be authorized to receive the order. We may arrive at any time during your selected delivery window and, due to time constraints, can only remain at your home, whether waiting for you to answer the door or for you to review your delivery, for up to 5 minutes. 4. Unattended Deliveries and Not At Homes. We do not recommend receiving your Carmel Grocery Delivery LLC order as an unattended delivery. Should you choose to do so, your order will be left unattended at your door or other place designated by you. Carmel Grocery Delivery LLC is not responsible, and you agree not to hold Carmel Grocery Delivery LLC liable in any way, for any

2 damage, spoilage, or theft that occurs to an unattended delivery. We reserve the right to refuse to leave an order unattended if we consider the circumstances to be unsuitable or unsafe for any reason. Should Carmel Grocery Delivery LLC be unable to deliver your order for any reason, including finding nobody home at the time of our delivery, you will have 24 hours to contact us regarding redelivery of your order, and you will be assessed a $20 re delivery fee. As we do not have a warehouse to store customer orders, your groceries are considered forfeited without refund after 24 hours from your delivery window if you have not contacted us to make alternate arrangements within that time frame. 5. Delays, Changes, and Cancellations. There will be no fee to cancel or change your order or delivery time should you provide at least 24 hours notice before the start of your delivery window. Please note that no cancellations or changes can be made after 9:00 am on the day of your delivery. We apologize for any inconvenience. On rare occasions, the delivery window that you choose for your order will be unavailable. If this occurs, we will contact you as soon as possible so that you may choose another acceptable delivery time. Should Carmel Grocery Delivery LLC need to cancel your delivery for any reason, we will likewise provide you with at least 24 hours notice except in the event of an emergency such as, but not limited to, snow emergencies, tornado warnings, or other local or national emergencies % Satisfaction Guarantee. Carmel Grocery Delivery LLC strives to achieve 100% satisfaction with all of our deliveries. If you are not satisfied for any reason with an item purchased through Carmel Grocery Delivery LLC, you may contact us within 24 hours of receiving your delivery. We will make arrangements to pick up the unsatisfactory product from your delivery location and will, at our sole discretion, replace the product or refund your account in the amount of the item. Product replacement or refund will only be authorized after you have returned the unsatisfactory item. 100% Satisfaction Guarantee is only valid within the confines of all other terms and conditions listed herein, and may not apply to products that have been opened or consumed. If you have not contacted us after 24 hours have elapsed from the delivery of your groceries, this guarantee becomes null and void. 7. Weights, Measurements, and Descriptions. It may not be possible to obtain certain items, such as produce or meat, that is of the exact weight or size specified. Thus, we reserve the right to provide you with an product within 5% of the requested weight or size. Product images used on our site are intended to represent brands or types of products and may not represent the exact size,

3 flavor, type, quantity, or other specific details about the product you are purchasing. See written product description for specific information about your purchase. All product descriptions used on our site are believed to be accurate, however we can not be held liable for unintentional inaccuracies or product sizes that are unexpectedly changed by the manufacturer. 8. Out Of Stock Items. If a product you have selected is not in stock at the grocery store we reserve the right to, at our discretion, replace the product with an equivalent or similar product or refund you for the item, unless you specify other instructions for your shopper when placing your order. Similar items may be the same brand but a different type or flavor, or may be the same type of product but a different brand. 9. Payments and Fees. You agree that all payments and fees for services provided by Carmel Grocery Delivery LLC shall be paid prior to or at the time of delivery. Should any dispute arise regarding any payments or fees, you agree to be responsible and liable for any fees, including attorneys fees and collection costs, that Carmel Grocery Delivery LLC may incur in attempts to collect any unpaid balances from you. Should a product price on our site be grossly incorrect, you agree to work with Carmel Grocery Delivery LLC to correct the error, either by paying the difference in prices or by allowing us to retrieve and refund the product. 10. Services Offered and Fees. As a business type, Carmel Grocery Delivery LLC is a combination of a courier and personal assistant. We shop for and deliver groceries at your request. As such, we do not have any inventory nor do we directly sell any goods to you. You pay what we pay at the stores. Any additional surcharge is considered a shopping or standard delivery fee and is not considered profit from purchasing and reselling items. 11. Changes and Updates. We reserve the right to change any of these terms and conditions or any fees or charges related to the Carmel Grocery Delivery LLC service at any time. Your use of our grocery delivery service after any such change will be conclusively deemed acceptance of such change. Carmel Grocery Delivery LLC may discontinue or revise any or all aspects of our service without prior notice to you. Prices and availability of products are also subject to change without notice.

Product photographs and product brand logos on our site are not used to represent either Carmel Grocery Delivery LLC or its services; they are not the property of Carmel Grocery Delivery LLC and no trademark or copyright infringement is intended. If you are the copyright holder of a photograph or product image used on our site and you would like it removed, please contact us regarding your image. 1. LIMITATION OF LIABILITY. You agree to defend, indemnify, and hold Carmel Grocery Delivery LLC harmless from any claims and expenses, including attorney s fees, arising in connection with a violation of these terms and conditions by you. Despite our best efforts, we can not warrant that our website, Carmelgrocerydelivery.com, will be uninterrupted or error-free, or that the website or the server that makes it available are free from viruses or other harmful components. We reserve the right to deny service to anyone, at any time, and for any reason, as allowed by law, or for any other reason. 2. Privacy and Security.
