3 1. Introduction 1.1. Invitation to Submit The ( RFS ) is an invitation to Vendors to put forward a submission for the provision of staff augmentation services to Ontario Medical Association (OMA). In responding to this RFS, you will be deemed to have taken into account all the terms and conditions in the RFS and willing to enter a Statement of Work using the Ontario Medical Association standard Letter of Engagement (Appendix A) About the Ontario Medical Association (OMA) The Ontario Medical Association (OMA) represents the political, clinical and economic interests of the province's medical profession. Practicing physicians, residents, and students enrolled in any of the six Ontario faculties of medicine are eligible for OMA membership. Founded in 1880 as a voluntary association of the province s physicians, the OMA has from its beginning played a vital role in the development and promotion of health-care services across Ontario. Today, the OMA represents Ontario s 39,000 physicians, medical students, and retirees. The organization is governed by a Council composed of over 290 possible delegates, representing 77 territorial divisions and 62 sections, and by the Association s Board of Directors. The Board consists of representatives from 11 districts, a representative of the six faculties of medicine in Ontario, and five Directors elected by Council. Headed by the Association's Chief Executive Officer, OMA staff includes professionals in the fields of administration, practice management, finance, health policy, legal services, economics, computer technology, insurance, hospital services, laboratory proficiency testing, medical services, physician health, marketing, public affairs, and communications. To help serve the clinical and economic interests of Ontario physicians, the OMA has developed a suite of products and services that range from practice management seminars, physician health and wellness, product discounts for members, and a portfolio of insurance products developed specifically for the needs of its members. OMA Insurance has been providing medical students, residents, practicing physicians and their families with information, education and advice on a wide-range of insurance plans since OMA Insurance offers a full portfolio of high-quality insurance products and services exclusively designed and competitively priced to meet the unique lifestyle, income and practice needs of physicians. Currently, over 20,000 OMA members trust OMA Insurance to help protect them and their families. The offerings presently available through OMA and its subsidiary, OMA Insurance Inc., include both group products (life, disability, professional overhead expense, critical illness, extended health care and dental, etc.) and individual products (travel, home and auto, clinic and commercial P&C, individual life, individual disability, long-term care, etc.). Given the highly-regulated nature of the insurance industry, OMA Insurance works closely with its insurers on all aspects of product development and communications to ensure regulatory and contractual compliance. For the purpose of this project, the scope of work relates solely to the Insurance Business Support System (IBSS), an extension of OMA s Microsoft Dynamics system. About the Project In 2014, to better serve and manage its clients/members, OMA Insurance in partnership with the OMA Information Management team implemented the Insurance Business Support System (IBSS). The IBSS allows for improved management of products and services offered by OMA Insurance by providing a centralized tool to perform customer relationship pipeline management (qualify, quote, cross-sell / upsell); client and member account information management; end-to-end tracking of customer interactions in the Insurance context. The graphic below, outlines the key phases of the Insurance process framework and the milestones (which serve as the baseline service platform ) that are currently tracked and managed within the CRM Dynamics application. The system was built as an extension of the OMA s Microsoft Dynamics CRM 2011 which is now being upgraded to Microsoft Dynamics CRM 2015 (targeted completion April 2015). Based on the success of the implementation and the adoption of the processes within the baseline service platform of IBSS, OMA Insurance has identified a number of new features and enhancements in These enhancements include: 1. Activity Tracking Enabling and phone call tracking with clients at specific phases of the sales process Integration / migration of existing messages (currently held outside of IBSS in a separate OMA application called Com-Track) into IBSS Integration of files received from an Insurance carrier (currently received daily and integrated with into Com-Track) 2. CRM Dynamics 2015 integration with SharePoint 2013 Integration of Insurance documents stored in a SharePoint 2013 content management system with the activities and transactions within IBSS 3. Integration of OMA Group Insurance Product information into IBSS Integration of Group Products /Policies information from an Insurance Carrier into IBSS. 5 Defining and evaluating the options to integrate specific data from an Insurance Carrier s underwriting system into IBSS 4. Enabling marketing and campaign tracking of Insurance initiatives The OMA is seeking the services of a Senior Microsoft Dynamics CRM Developer for the period starting April 8, 2015 to December 31, 2015 to provide analysis, solution design and programming/coding services in support of new IBSS feature and enhancement releases planned for Confidential Not For Distribution 5

7 3.3. Response Guidelines Written submissions are requested from respondents corresponding to the Ontario Medical Association response guidelines described below. Respondents must order their submission in the same order as the order of information requested below. 1. Cover Letter This will include an introduction to the Respondent. A clear statement that the Terms and Conditions of this RFS have been read, understood and agreed to in their entirety. The letter summarizes your recommendation with cost specified and be signed by an authorized signing officer of the organization. 2. Vendor Profile The vendor profile includes a description of the vendor s type of business and a vendor contact for all questions and clarifications arising from the Submission. The contact information includes the person s title, address, , telephone and facsimile number. This section can also include a short reference summary describing a previous example of where the Vendor has provided staff to the Ontario Medical Association, OntarioMD or other entities in the health care sector. 3. Declaration of Conflict and/or Relationship Any respondent who has a current or may have had a previous relationship with the Ontario Medical Association, OntarioMD, ehealth Ontario or their directors, officers, agents, employees, and/or clients must disclose such relationship(s). Respondent(s) shall sign and return original copy of the Conflict and/or Relationship Declaration attached in Appendix B Conflict and/or Relationship Declaration. 4. Project Team & Staffing Identify proposed staff for the role(s). Provide details on how the experiences of the proposed staff meet the rated experience criteria. Vendors are reminded that no more than only one candidate may be proposed for any one role. Please use Appendix E Candidate Experience Template to capture responses. A soft copy of the template can be provided upon response confirmation. Once a RFS proposal has been accepted, project staff may not be substituted without written agreement from the Ontario Medical Association. Please identify if any component of this project will be outsourced or subcontracted. Please state the name and location of the outsource company or subcontractor, and the length and nature of the relationship with the Vendor. 5. Project Fees Please summarize the hourly rate for each proposed candidate based on the Ontario Medical Association s expectations of effort described in the Section 5 Requirements. 8 3.4. Evaluation Process A panel of Ontario Medical Association representatives with operational and subject matter knowledge will evaluate the responses to this RFS. Final selection and contracting will result shortly after the vendor presentations if applicable Evaluation Criteria The following criteria will be used by the Ontario Medical Association panel to evaluate submissions. 9 4. Terms and Conditions 1. The OMA requires that all information within this RFS be handled with strict confidence. All information is confidential and cannot be disclosed to anyone outside the Respondent s organization without the written consent of the OMA. 2. We regret extensions cannot be granted. Responses received after the deadline will be sent a notification that their proposal will not be considered. 4. Facsimile submissions in whole or in part will not be accepted. 5. Respondents with proposals that are selected for a short list will be required to make their candidates available for interviews (tentatively scheduled for April 6, 2015) and respond to questions from the OMA. 6. Other than the contact named in 6 above, a Respondent may not contact or attempt to contact, during the RFS process, anyone else for the purposes of obtaining information that relates to this RFS. Any respondent who fails to comply with this requirement will be disqualified. 8. The OMA, without liability, cost or penalty, may at any time prior to or after closing time: Alter any dates in this RFS; Cancel this RFS; Amend or supplement this RFS; Issue a new RFS for the same or similar services. 9. The Proposal with the lowest cost may not necessarily be the winning bid. While the cost is an important element in the selection process, it is to be clearly understood that there are other evaluation criteria in the RFS that the OMA will consider in evaluating Proposals. 10. The OMA, without liability, cost or penalty, may, in its sole discretion, waive irregularities in any Respondent s Proposal. 11. The OMA, without liability, cost or penalty, may, in its sole discretion and at any time after Proposal submission, seek clarification from any Respondent with respect to its Proposal. Any written information received by the OMA from a Respondent in response to a request for clarification from the OMA shall be considered an integral part of the Respondent s Proposal. 12. The OMA may verify any Respondent claim or statement by whatever means the OMA deems appropriate, including contacting references other than those offered by the Respondent, and may reject any Respondent statement or claim, if in the judgment of the OMA the statement or claim is unwarranted or not credible. 10 13. The OMA assumes no responsibility for any costs associated with your response to this RFS. 14. The Respondent must provide a statement in their response that they have read, understood and accept the terms and conditions contained in the Letter of Engagement and that the Respondent will, if requested by the OMA, sign and enter into this Agreement with the OMA and be bound by the provisions of the Letter of Engagement. 11 5. Requirements 5.1. Project Background and Role The OMA is seeking a candidate to fill a Full-Time Microsoft Dynamics CRM Senior Developer role, to provide analysis, design and programming/coding services in support of the IBSS new feature implementations and enhancements. The work is expected to span the period from April 8, 2015 to December 31, Scope of Work The following tasks will be assigned to this role: Participate as required in Joint Application Design (JAD) and or requirement elicitation sessions with cross functional team members of the OMA. Translate business requirements into well-architected solutions that best leverage the Microsoft Dynamics CRM platform. Lead technical design sessions; architect and document technical solutions that are aligned with client business objectives. Prepare relevant technical documentation (i.e. solution architecture, design / technical specifications, etc.). Manage and execute the technical delivery of custom development, integrations, and data migration elements of a Microsoft Dynamics CRM implementation. Manage technical scope and client expectations. Design and execute test plans to test / validate features, business processes and workflows to ensure a quality solution is delivered, meeting business and functional requirements specifications. Provide hands-on, expert-level technical assistance to other developers. Be a credible subject matter expert to clients and partners on sales cycles and marketing events. Support Software Quality Assurance processes and activities, including but not limited to QA and UAT. Fix defects identified. Create release notes, deployment guides and other documentation to support deployment activities. In conjunction with Project Manager, OMA Operations team and other project team members, develop the Production Cut Over and deployment plan(s). Provide post go live support during the first week post Production deployment and support ongoing Production trouble-shooting activities and fixes. Provide Project Manager with detailed work breakdown and activity estimates as well as activity/status reports on an as requested basis. Provide skills and knowledge transfer to OMA team members on an ongoing basis. Other duties as assigned by the Sr. Director, Service Management, Information Management. 12 5.3. Required Skills The evidence of the candidate s skills in these areas will be evaluated to assess the candidate s ability to deliver on the Scope of Work. Post-secondary education in Computer Science, or Engineering. Minimum 5 + years experience developing for Microsoft Dynamics CRM 2011 and later. Experience with Dynamics 2015 preferred. Deep technical understanding of MSCRM. Extensive ASP.NET (C#) development experience within the MSCRM SDK, Web Services and custom report using SQL reporting Services. Proficiency in Advanced Developer Extensions for Dynamics CRM / xrm framework including customizing the entity model and security model. Proficiency in customizing the Web Client or Dynamics CRM for MS Outlook to include scripting integration / development of custom Web pages, using CRM user interface and style guides. Strong background in design and development of enterprise systems as part of a complete software product lifecycle. Familiarity with agile software delivery methodologies such as Scrum. Excellent client-facing written and oral communications skills. Experience with the integration of MSCRM and SharePoint. SharePoint 2013 experience is an asset. 13 Appendix A Letter of Engagement Agreement [Date] [Consultant Name and Address] Attention: [Name] [Title] Tel: [###-###-####] [ address] Dear [Lastname]: Re: Services This letter ( Agreement ), is to confirm that the Ontario Medical Association ( OMA ) is retaining the services of [name of consultant/company] ( [consultant/company acronym] ) to provide the services listed below on the terms set out in this letter. 1. Services and Deliverables [summary definition of the Scope of work ]The detailed scope is set out in the Statement of Work attached hereto as Schedule A ( Services ). Services shall be provided on a time and materials basis as described in this Agreement. [consultant acronym] shall provide the Services in a professional and businesslike manner. The Services and deliverables will be suitable for their intended purposes and be free of all defects, deficiencies, and problems. 2. Consultants [consultant acronym] will use the following consultant to provide our Services (the Consultant ), Name Qualification Hourly Rate 1. [consultant acronym] shall meet regularly with the Report to review the status of the delivery of the Services. OMA may increase the level of detail required in the reports at any time upon notice to [consultant acronym]. 5. Fees, Expenses, Invoicing and Payment Your fees are determined by multiplying the number of hours spent by each Consultant performing your Services by his or her Hourly Rate set out above. Your total fees for each Service you provide will not exceed the Budgeted Fees for each Service set out above unless you received preapproval in writing for an increase to such amount. In addition to your fees, Company may also charge you our reasonable out-of-pocket expenses. Company will seek our written approval prior to incurring any out-of-pocket expenses in excess of $100. Each of the invoices will set out the following information with respect to the Services performed by each Consultant for each phased deliverable as set out in section 3, 1. a brief point form description of each item of work performed, 2. time spent on each item of work ( X.XX hours format), 3. hourly rate, 4. fee for each item of work performed (i.e. item 2 multiplied by item 3), 5. out-of-pocket expenses incurred with respect to the Services, 6. applicable taxes, and 7. total [consultant acronym] shall maintain and provide, upon request, detailed records to support the invoices. Invoices are due for payment within 30 days of receipt by OMA. 6. Term and Termination The term of this Agreement shall commence on the earliest Commencement Date listed above and shall terminate on the latest Completion Date listed above. OMA may terminate this Agreement earlier at any time upon written notice to you. Confidential Information Confidential Information means all information concerning the business, technology, operations and assets of OMA, its subsidiaries and affiliates and their members and suppliers and third parties to whom OMA and its subsidiaries or affiliates owe an obligation of confidentiality, which Confidential Information has been or may hereafter be provided or shown to [consultant acronym] in connection with this Agreement. [consultant acronym] shall keep all such Confidential Information secret and shall not, except with the prior written consent of OMA, use or disclose the Confidential Information except in accordance with the terms of this Agreement. [consultant acronym] shall use reasonable care, consistent with measures it takes to safeguard its own confidential and proprietary information, to ensure that [consultant acronym] keeps the Confidential Information confidential. Confidential Information shall not include: information that has been published or that has otherwise entered the public domain without a breach of this Agreement; information that has been received in good faith by [consultant acronym] from a third party having legitimate possession of the information disclosed and the right to make such disclosure and being under no obligation of non-disclosure with respect to such information; information that was already in [consultant acronym] s possession or was known to [consultant acronym] before its disclosure by OMA, or before it was otherwise obtained by [consultant acronym] in connection with this Agreement; and information that is independently developed by [consultant acronym] without a breach of confidentiality under this Agreement or any other agreement. [consultant acronym] acknowledges that not all Confidential Information will be marked as such. Therefore, if there is any doubt as to whether information is Confidential Information, [consultant acronym] will treat the information as Confidential Information. [consultant acronym] will not attempt to gain access to Confidential Information [consultant acronym] is not specifically authorized to access. At the request of OMA, [consultant acronym] will either destroy all Confidential Information or surrender all originals and all copies of any of the Confidential Information that [consultant acronym] may have in its custody and [consultant acronym] shall provide to OMA, at its request, a certificate which verifies the destruction or the return of such Confidential Information. 8. Privacy Personal Information means, without limiting the generality of the foregoing: personal information, including any factual or subjective information, recorded or not, about an identifiable individual. This includes information in any form, such as age, name, ID numbers, income, ethnic origin, or blood type; opinions, evaluations, comments, social status, or disciplinary actions; and employee files, credit records, loan records, medical records information about an identifiable individual; correspondence and documents designated as personal; human resources records; any information designated as personal information by OMA; and information considered personal information under applicable laws, including privacy legislation. [consultant acronym] acknowledges that not all Personal Information in the possession of OMA will be marked as such. Therefore, if there is any doubt as to whether such information is Personal Information, [consultant acronym] will treat it as Personal Information. [consultant acronym] will not attempt to gain access to Personal Information it is not specifically authorized to access. During the period [consultant acronym] provides Services to OMA under this Agreement, and at all times thereafter, [consultant acronym] will not disclose Personal Information to any person except with the prior written authorization of OMA. [consultant acronym] will not use or copy, or allow anyone else to use or copy, any of the Personal Information unless it is doing so in an approved manner, in the course of providing the Services to OMA. 9. Intellectual Property [consultant acronym] agrees that OMA will own all right, title and interest in and to the work product [consultant acronym] and Consultants produce, alone or in collaboration with others, during the course of [consultant acronym] providing Services to OMA including copyright, patent, trade secrets and any other industrial and intellectual property rights and other proprietary rights. [consultant acronym] hereby expressly and irrevocably assigns all intellectual property rights and proprietary rights in the work product and will ensure that all Consultants have expressly and irrevocably waived any and all moral rights that the Consultants may have with respect to the work product. If [consultant acronym] is asked to do so by OMA, [consultant acronym] will sign all documents, and perform any related activities, to support OMA in obtaining patents, copyrights, or other property Confidential Not For Distribution 15

16 rights in such work product and to assign all patents, copyrights or other property rights to OMA. [consultant acronym] agrees that the Consultants will not include in any work product produced through the delivery of the Services, designs, plans, models, samples, software, integrated circuits, reports, or other writing or product which [consultant acronym] either knows or have reason to believe are covered by the valid patent, copyright, or other form of intellectual property right of a third party without the prior written permission of OMA. 10. OMA Property and Facilities [consultant acronym] acknowledges and agrees that, as between [consultant acronym] and OMA, all materials, including without limitation information, data and materials, third-party content and passwords and user names used to access such content (collectively, OMA Property ) provided to [consultant acronym] by or through OMA, are the exclusive property of OMA and its suppliers. OMA Property and facilities shall be used by [consultant acronym] solely for the purposes of providing the Services and only to the extent necessary for [consultant acronym] to provide the Services. [consultant acronym] shall not exploit OMA Property and facilities, commercially or otherwise, other than as necessary to provide such Services. [consultant acronym] will not attempt to gain access to and use OMA Property and facilities unless [consultant acronym] has been specifically authorized to access and use such property or facility by OMA. [consultant acronym] shall use reasonable security measures to protect OMA Property and facilities against unauthorized access, disclosure, copying or use, and immediately inform OMA of any accidental or unauthorized access, disclosure, copying or use of such OMA Property and facilities. OMA Property must be returned to OMA in good condition at any time upon the earlier of: (a) a request of OMA; and (b) [consultant acronym] ceasing to provide the Services to OMA. As part of [consultant acronym] s provision of such Services, OMA may provide [consultant acronym] with user IDs and passwords through which [consultant acronym] may access OMA portal (OMA.org) and certain products, data or information from third-party content providers. [consultant acronym] acknowledges that OMA may, at any time without notice, change the thirdparty content available to [consultant acronym] or terminate its access to and use of the portal or some or all of the third-party content and/or the user IDs and passwords. [consultant acronym] shall immediately inform OMA of any accidental or unauthorized access, disclosure, copying or use of Ontario MD Property and facilities. 11. Conflict of Interest [consultant acronym] shall not, 1. during the term of this Agreement, have or enter into any interest that actually or potentially conflict with the interests of the OMA or the Ontario Medical Association, 2. take for itself, or direct to a third party, a business opportunity that is discovered through the provision of the Services or the use of OMA Property, 3. use OMA Property for personal gain or to compete with the OMA, or for the benefit of any party other than the OMA. [consultant acronym] shall also ensure that the Consultants adhere to the above requirements. 12. Relationship [consultant acronym] will provide the Consultant Services to OMA as an independent contractor and not as an employee, agent, joint venturer or partner of OMA. Accordingly, [consultant acronym] agrees that OMA shall have no liability or responsibility for the withholding, collection, or payment of any taxes or payments of any nature on [consultant acronym] s behalf or for [consultant acronym] s benefit, including, but not limited to, the following: income taxes, HST remittances, employment insurance, Canada Pension Plan, Workplace Safety and Insurance, and Employer Health tax. [consultant acronym] agrees to hold OMA harmless from and against any order, penalty, interest or tax that may be assessed or levied against OMA relating thereto.
