1 LOCAL CONDITIONS SLOVAKIA Citibank Europe plc with its registered seat at 1 North Wall Quay, Dublin 1, Republic of Ireland, registered with the Companies Registration Office, registration number , conducting its business activity in the Slovak Republic through Citibank Europe plc, pobočka zahraničnej banky with its registered seat at Mlynské nivy 43, Bratislava, Slovak Republic, business number , registered with the Commercial Register of District Court Bratislava I, Section Po, Insert No. 1662/B (hereinafter referred to as Citibank ) 1. General Account Conditions These Local Conditions for accounts held in the Slovak Republic supplement and/or amend and are to be read together with the General Account Conditions of Citibank. 2. Set-Off, Assignment of rights 2.1 Citibank may use funds (both matured and unmatured) on any Customer's account for the purposes of setting off against any obligation (matured or unmatured) of the Customer towards Citibank, regardless of the place of payment or currency of these funds and obligation. Funds and obligations denominated in foreign currency shall be set off using the exchange rate applicable to the purchase of such foreign currency, which appears on the exchange rate list of Citibank in force as of the date of the setoff. 2.2 To the extent s.359, s.360, s.361 and/or s.362 of the Slovak Commercial Code (No. 513/1991 Coll., as amended) are in conflict with article 2.1 above, these sections 359, 360, 361 and 362 shall not be applicable. 2.3 The Customer shall not, without a prior written approval of Citibank, assign, transfer, change or dispose in any manner whatsoever with any of its rights and duties, which arise out of the relationship between the Customer and Citibank. 3. Performance 3.1 Unless specifically agreed otherwise in writing by Citibank, the place of payment of obligations arising in connection with the business relations between Citibank and the Customer is solely at the business premises of Citibank in the Slovak Republic. 3.2 Unless the parties agree otherwise, Citibank shall receive instructions from customers only during business days, during which its business premises are open for general public. If Citibank is delivered any instruction after the business hours of its business premises, the same shall be deemed received on the next business day, except for instructions delivered in form of technical carriers and transmission of data through electronic banking. Citibank shall be free to proceed, due to justified reasons, to a restriction or interruption of its business operations for the necessary time. Any information concerning restriction or interruption of business operations shall be published by Citibank. 3.3 The information shall be considered to be published in accordance with these Local Conditions when a given piece of information are made available on business premises of Citibank, in the tariff or on the internet site of Citibank ( 4. Interest on Funds in the Account 4.1 Interest rates, at which interest shall accrue on the funds deposited on the account, shall be determined by Citibank and shall reflect the developments on the interbank market. The Customer acknowledges that Citibank is free to decide that deposits on specific types of accounts shall bear no interest. 4.2 Citibank shall publish the relevant interest rates, including the penalization rate applicable to unauthorized debit balance of current accounts. Citibank shall further inform the Customer of the interest rate applicable to the relevant period and to the specific type of account by including such information on the bank statement to be sent by Citibank to the Customer. 4.3 At specific intervals, which will be determined from time to time by Citibank, but at least once a year, Citibank shall credit to the account of the Customer (if there is a credit balance on the account) or shall debit to the account of the Customer (if there is a debit balance on the account) all the interest, to which the Customer is entitled with respect to a credit balance on its account, or, as appropriate, to which Citibank is entitled in connection with a debit balance on the Customer s account. 4.4 If the Customer is in default in the settlement of any payment liability or its part (installment), Citibank may, in addition to requesting the payment from the Customer, charge to the Customer default interest accruing on the overdue amount, starting from the date, on which the amount was due for payment, even if such default interest was not charged by Citibank on the relevant bank statements. If Citibank omits or delays charging default interest, there shall be no waiver or forbearance of default interest of Citibank.

2 5. Handling the Account and Funds in the Account 5.1 Only the Customer is entitled to handle the account, other persons are obliged to present a special Power of Attorney awarded by the Customer; unless this Power of Attorney has been awarded in front of Citibank in Slovakia, the Customer's signature on this Power of Attorney must be legalized. 5.2 The Customer must provide Citibank with signature specimens of persons authorized to handle the funds on the account in the Customer s name, certified in the manner as determined by Citibank. 5.3 If according to a special written agreement or arrangement concluded between Citibank and the Customer the latter is obliged to have a sufficient amount of funds on its account at the due date of payment in order to fulfil its obligations towards Citibank, it is understood that Citibank shall be entitled to use the funds on the account for that purpose (i.e. debit the account with a respective due amount in favour of Citibank). 5.4 When entering into any transaction with Citibank, the Customer shall be using only funds in its exclusive ownership, and shall enter into such banking transactions at its own account. If the Customer contemplates entering into a transaction using funds owned by a third party, or for the account of a third party, the Customer shall be obliged to identify such a third party, as required by the applicable laws and shall submit to Citibank a written consent of such a third party authorizing the use of its funds. If the Customer fails to identify, with respect to an individual transaction, a third party as the owner of funds used for the transaction, or as a party, for the account of which the transaction is to be closed, then the Customer is deemed to have submitted to Citibank, with respect to such a transaction, a statement to the effect that the transaction is to be closed with its own funds and for its own account. 6. Statements of Accounts 6.1 Citibank shall be sending to the Customer bank statements as often as instructed by the Customer, but at least once a year. Citibank statement shall specify all the credit and debit transactions on the account, and its overall balance. 6.2 A statement from the records kept by Citibank shall be, vis-à-vis the Customer, prima facie evidence of correctness of figures appearing on such a statement, which may only be challenged if the Customer submits a sufficient document to the contrary. 6.3 Citibank may post anytime credits/debits to the account in order to correct any error or mistake affecting the credit/debit transactions on the account. Each such correction shall be advised by Citibank to the Customer. 6.4 If the Customer requests Citibank to take delivery of bank statements personally, Citibank shall keep bank statements in its own premises on behalf of the Customer. The Customer shall be obliged to take receipt of the bank statements in the premises of Citibank at least once a month. If the Customer fails to take receipt of bank statements by the last day of the calendar month following the one, in which the bank statement was generated by the system of Citibank, Citibank shall send any outstanding bank statements to the postal address of the Customer. 7. Special Provisions applicable to Electronic Banking Article 7 of these Local Conditions shall only apply if the Customer uses the system of internet banking of Citibank (hereinafter referred to only as System ), based on which there is a direct on-line electronic connection between Citibank and the Customer. 7.1 Electronic banking services The Customer may request Citibank to allow it to use the following electronic banking services provided through the System: a) direct (on-line) access to information concerning designated accounts of the Customer, b) access to data files containing information concerning designated accounts of the Customer, c) giving of instructions to Citibank via electronic media (including payment initiation), d) automated transmission of files and reports with data concerning designated accounts of the Customer, e) transmission of designated information to electronic ( ) address or to a mobile phone in form of SMS messages (socalled notification of events), or f) a different electronic service, which Citibank agrees to provide, (hereinafter referred to individually only as Service and jointly as Services ) If the Customer uses a Service, which is based on transmission of information through a global communication network (internet), by undersigning the relevant form of Citibank, in which such Services are selected, the Customer agrees with the provision of the Services through the internet, while being fully aware that the internet might not ensure a safe transmission, or that there may be delays at the provision of the Services. The Customer acknowledges and accepts the risks of possible violation of confidential nature of information so transmitted, and other risks associated with the use of the internet If the Customer select the Service entitled automated transmission of files and reports, under which it requests sending of specific information on a pre-determined electronic ( ) address, Citibank shall make available such a Service on condition that the Customer notifies to Citibank a so-called secured address, and imports to the System a

3 public section of a personal digital certificate. The term personal digital certificate means a certificate issued by a third party authorized thereto, which makes it possible to digitally undersign and encrypt an electronic ( ) message, thus preventing its abuse by unauthorized parties. The Customer shall obtain a personal digital certificate from an authorized provider at its own expense. Citibank shall not be liable for the security of the environment, in which the Services are being provided (internet), or for the compatibility between the personal digital certificate and the System. 7.2 User profiles In case the System has not been already installed to the Customer by other Related Party (as defined in article 9.2 letter f), the Customer shall be obliged to specify persons, using a form compiled by Citibank, who will be empowered by the Customer to take actions on its behalf through the System and who will be authorized by the Customer to access the System and to use the same to the selected extent, and for whom Citibank shall create a user profile (hereinafter referred to only as Users ).For those persons, who will be authorized by the Customer to create new profiles for Users, and to change the settings of existing profiles of Users (so-called administration function), Citibank shall create an administrator profile, while the administrator shall have the right to create, change, and cancel user profiles on behalf of the Customer, and to set limits and levels of authorization on behalf of the Customer (hereinafter referred to only as Administrator ). Any actions associated with the administration of user profiles must be taken by at least two Administrators. One administrator profile shall be required to create, change, or cancel data, and the other administrator profile shall be require to approve any changes so made The Customer shall be liable for the selection of the scope of access rights of Users and Administrators and thereto related setting of user and administrator profiles by Citibank After the setting of the administrator profiles by Citibank and after the installation of the System on the machines of the Customer, the Customer shall be obliged to inform Citibank of any new Users, using a form compiled by Citibank. Prior to the creation of a new user profile, the Customer shall be obliged to disclose to Citibank identification data of the person (to the extent required by the applicable legislation), for whom a user profile is to be created, and it shall provide to Citibank collaboration necessary to check the identity of such a person. The Customer agrees to disclose such information within a reasonable period prior to the creation of the relevant user profile, including the related documents and the consent, if any, to be given by the affected person as per the applicable legislation, so that Citibank may duly check such information and documents. The Customer acknowledges hereby and agrees that Citibank shall not authorize a new user profile for the approval of transactions, unless the duties set forth above are performed. The Customer shall not be allowed to create or change a user profile (if such a change is due to generally binding legal regulations) until the time, when the relevant User is identified to Citibank as provided above The Customer shall be fully liable for the conduct of each User and Administrator, which directly or indirectly involves the System. Similarly, the Customer shall be fully liable for the granting of user rights (setting of user profiles) to additional Users, and for the scope of such rights (e.g. authorization to act individually, jointly, or subject to certain limitations). If the Customer wishes to replace the Administrator, it shall request Citibank to do so using a form compiled by Citibank The Customer acknowledges hereby and agrees that all the user profiles, including the relevant passwords, shall be administered by Administrators and that the Customer shall bear liability for the actions of each Administrator. The Customer agrees to develop and follow internal procedures concerning safe use of passwords and their safe storage When checking the authority of a User or Administrator, Citibank shall make, through the relevant functionality of the System, only a check mentioned in Article 7.3 of these Local Conditions. Citibank shall not be liable for any errors or omissions caused by the Customer, or for duplicity of any Service. Citibank shall act only on the basis of reference to a certain current account number, provided that the Customer specifies the name of the current account in question. Citibank may refuse to proceed on the basis of such actions taken with the System, with respect to which it believes that they do not contain information sufficiently certain or complete for the provision of the Services, or if Citibank has any doubts as to the correct contents and authorization, or compliance with safety procedures within the meaning of Article 7.3 of these Local Conditions. Such a decision shall be notified by Citibank to the Customer without undue delay, which notice may be given also by phone. 7.3 Safety procedures Verification by the SafeWord method a) The SafeWord method is used mandatorily to review the authority of Administrators and all Users, whose user profiles authorize a so-called active access to the System, such as initiation and approval (authorization) of transactions, including, but not limited to approval of money transfer orders involving the accounts of the Customer. b) Citibank shall issue to the Customer and to each User and Administrator (with an active access to the System) a separate card, which is a hardware generating dynamic password allowing both active and passive access to the System using the principle of active interaction with the System (hereinafter referred to only as SafeWord Card ) after inputting the relevant personal identification number assigned by Citibank for each SafeWord Card (hereinafter referred to only as PIN ). Citibank is entitled to a fee for issuance of each SafeWord Card.

4 c) Citibank shall review the authority of the User or the Administrator to take actions using the System, by which they may initiate or approve transfers of funds from the current account of the Customer, and the authority of the Administrator to administer the System, using the SafeWord security check method. Such a method consists in the use of the SafeWord Card by an authorized person of the Customer. The SafeWord Card shall be used in combination with a prompt and reply window on the System login screen upon login of each User or Administrator into the System. Upon their login, the User or the Administrator shall input their PIN into the SafeWord Card. If the PIN is correct and the User or the Administrator inputs into their SafeWord Cards the text of the prompt field appearing on the System login screen, the SafeWord Card shall generate a dynamic password. After inputting such a password in the field reply of the System login screen, the User or the Administrator shall be granted access to those Services, which are assigned to the given user profile of the User or the given administrator profile of the Administrator Verification by the secured password method a) The secured password method is intended for those Users, whose user profiles authorize only a so-called non-active access to the System (in particular such as access to information concerning current accounts, bank statements, or current account netting functions). The Users and the Administrators with active access to the System must use the Safeword method even if entering into transactions, which are regarded as non-active access to the System. b) The secured password method requires the Administrators, prior to the using such a method, to set the user profile of the relevant User in the System, so that the User appears as a secured password User. The Administrators shall then hand over the relevant authorization to access the System to the specific User, and shall be fully liable for the extent and accuracy thereof. A secured password User, who correctly inputs on the relevant page of the System his/her username and password determined by the Administrators, will have access to designated Services to the extent defined by the Administrators, other than those Services, which require the SafeWord method of verification. 8. Preservation of Confidential Nature of Information 8.1 The Customer acknowledges hereby that Citibank may grant access or disclose to a third party, even without a consent of the Customer, certain information concerning the financial standing of the Customer, including information concerning all the transactions arranged for the Customer, information concerning debts (and the security thereof), which are receivable by Citibank from the Customer under the transactions so arranged, information concerning payment of liabilities arising for the Customer out of the transactions so arranged, and information concerning creditworthiness and reliability of the Customer as to the settlement of its liabilities, including information collected by Citibank in the course of negotiations leading to the closure of such transactions, to the extent defined by the Slovak Act 483/2001 Coll. (Banking Act, as later amended - hereinafter referred to only as Banking Act ), including information having nature of business secret. Citibank may proceed as provided above in circumstances contemplated by the applicable law, in cases, in which Citibank is obliged or allowed to disclose such information by virtue of a court order or a decision or request of a different authority having jurisdiction; in cases other than above such information may be disclosed only against a written consent received from the Customer. The consent authorizing such disclosure of or access to information and data shall be given by the Customer by executing the underlying contractual document, under which Citibank arranges the transaction for the Customer. 8.2 The Customer represents hereby that all the parties, whose personal data the Customer has disclosed or will disclose to Citibank (regardless of the form of such disclosure) have expressly authorized the disclosure of their data to Citibank, being Citibank authorized to process their data and make available/disclose their data also to third parties to the extent and at the terms, at which Customer s data are being processed. The Customer further agrees to submit to Citibank consents issued by the affected parties if a request is made to such effect by Citibank. 8.3 By undersigning the underlying contractual document, under which Citibank arranges a transaction for the Customer, the Customer authorizes granting access to and disclosure of all the information mentioned in article 8.1 above, including documents on which these information are recorded or on which these information were provided by the Customer, to the third parties listed in article 9.2 letter (f), while the Customer gives its consent and authorizes such third parties to further process such information for purposes, which ensue from the nature of their business or activities. 9. Protection of personal data 9.1 By undersigning the underlying contractual document, under which Citibank arranges a transaction for the Customer, each person acting on behalf of or for the Customer (hereinafter referred to only as Authorized Person ) acknowledges the following: a) he/she is obliged to disclose to Citibank and to authorized persons acting on its behalf his/her own personal data, and make possible their retrieval by copying, scanning or other recording, to the extent, in the manner, and for the purpose defined by the applicable legislation, in particular the Banking Act, the Slovak Act 510/2002 Coll. (Payment System Act, as later amended), the Slovak Act 297/2008 Coll. (Protection against Laundering of Money from Crime and Protection against Financing of Terrorism Act, as later amended), the Slovak Act 428/2002 Coll. (Protection of Personal Data Act, as later amended - hereinafter referred to only as Protection of Personal Data Act ), and other

5 applicable legislation from time to time in force in the Slovak Republic, the Ireland, and countries, in which Citibank Europe plc operates, and also in the remaining countries of the European Union, b) Citibank may, even without a consent of the Authorized Person, grant access to or disclose personal data of the Authorized Person to the extent, in which they appear in the underlying contractual document, under which Citibank arranges a transaction for the Customer, to any party, as long as such access or disclosure of personal data is reasonably necessary for Citibank to perform its own liabilities, or enforce against the Customer its claims arising out of the relevant contractual relationship between Citibank and the Customer or arising out of the applicable legislation. 9.2 By undersigning the underlying contractual document, under which Citibank arranges a transaction for the Customer, the Authorized Person gives to Citibank a consent and authorizes Citibank to process his/her personal data to the extent, for the purposes, for the term, and subject to the terms and conditions appearing below (hereinafter referred to only as Consent ): a) the Consent is granted to process, grant access to, disclose, and transmit across border the Data (as defined below) to third countries, and to retrieve personal data by copying, scanning and other recording from official documents and disclosed documents (hereinafter referred to only as Processing of Data ) pursuant to the provisions of the Personal Data Protection Act; the Authorized Person separately authorizes processing and cross-border transmission of Data (as defined below), including his/her birth certificate number, even with respect to countries, which are regarded as countries that do not warrant a reasonable protection of personal data. b) Personal data shall include all the personal data of the Authorized Person (including data treated as banking secret) as the same are defined by applicable legislation, which were or are being disclosed by the Authorized Person to Citibank in any form prior to or at the closing of the transaction, or which the Authorized Person discloses throughout the term of any agreement made with Citibank (hereinafter referred to only as Data ). c) Purposes of Processing of Data are (i) performance of duties by Citibank pursuant to the applicable legislation, internal by-laws of Citibank and internal legislation in force within the Citi group, (ii) identification, validation and verification of identification of customers of Citibank, (iii) preparation, closing and implementation of transactions with the Customer, exercise of rights and performance of duties by Citibank arising out of any closed transaction, or, as appropriate, any relationship between Citibank and the Customer related thereto, (iv) preparation, closing and execution of transactions between the Customer and the Related Party resident in the European Union and in each country, in which such Related Party is resident or operates, and for the purpose of exercise of rights and performance of duties by Citibank and the Related Party arising out of any closed transaction, or, as appropriate, any relationship related thereto, (v) underwriting of insurance policies related to certain transactions at the agreed upon terms, (vi) purposes associated with operative management, strategic planning, internal control of Citibank and protection against laundering of money from crime and protection against financing of terrorism, and also for the purposes of informing the Customer of any new products (as described below), or changes to existing products, (vii) contacting of the Customer or the Authorized Person by Citibank (or, as appropriate, by other parties on behalf of Citibank) for the purposes of direct marketing of products and services offered by Citibank or third parties, by sending of correspondence, electronically, by making phone calls, sending fax messages, or SMS messages, as appropriate, for indefinite term even after the completion of the transaction, while the Authorized Person shall be free to withdraw such a consent anytime by sending a written notice to the address of Citibank. d) The Consent is being granted for the term of the contractual relationship underlying the relevant transaction arranged by Citibank, and for the term, for which Citibank is obliged to keep on file the relevant documents (containing personal data of the Customer) pursuant to special legislation, while throughout the entire term above the Authorized Person shall not be free to withdraw any of the consents above, unless the applicable legislation provides otherwise. e) The Data shall be processed (i) using both manual and automated means of Processing of Data, (ii) within the information system of Citibank and the information systems of Citibank Europe plc, (iii) by granting access to and/or disclosing the Data for their Processing within information systems operated on servers located in third countries, in which Related Parties or their processors are resident, (iv) while being secured and protected in accordance with the relevant security standards and regulations applicable to the protection of personal data in force within the Citi group, even if the Data are transmitted to parties resident in countries treated as countries that do not warrant a reasonable protection of personal data. f) The Data will be disclosed and enabled for access, including documents on which these information are recorded or on which these information were provided by the Customer or Authorized Person to (i) related parties of Citibank resident in the European Union and in each country, in which such related party of Citibank is resident or operates, while the term related parties shall mean parties making part of the consolidation field of Citibank, including controlling companies, controlled companies, and affiliates from the Citi group, i.e. Citigroup Inc. and parties directly or indirectly controlling Citigroup Inc. and/or parties directly or indirectly controlled by Citigroup Inc. (hereinafter referred to only as Related Parties ), including, but not limited to for the purpose of arranging of the requested transaction or use of auxiliary services offered by Citibank through the Related Parties and also for the purpose of preparation, closing and

6 execution of transactions between the Customer and the Related Party, (ii) agents or legal, tax, and other consultants engaged by Citibank or its Related Parties, (iii) a party, which was engaged by Citibank to perform its contractual or statutory duties, including exercise of rights under any agreement between Citibank and the Customer,(iv) third parties for the purpose of arranging of the requested transaction or use of auxiliary services offered by Citibank through third parties (including, but not limited to parties providing for making and receipt of payments and settlement, issuance of payment cards, provision of insurance, etc.), (v) a party, with whom Citibank holds talks with respect to the assignment of any debts payable by Citibank to the Customer, or a party, which intends to take over any debt owed by the Customer or accept assignment of any debt owed by the Customer, (vi) third parties for the purpose of preservation and enforcement of the rights of Citibank arising out of the transaction in court or out of court, or assignment of any debt receivable by Citibank or its part or accessories, including disclosure of confidential information in connection with negotiations pertinent to such authorizations or conclusion of agreement, (vii) the company Society for Worldwide Interbank Financial Telecommunication SCRL, Avenue Adéle 1, B-1310 La Hulpe, Belgium (hereinafter referred to only as SWIFT ) for the purpose of making and receipt of cross-border payments, (viii) other processors of Data, who process the Data under an authorization on behalf of Citibank or Related Parties (i.e. mediators as defined in the Personal Data Protection Act), (ix) any party, with respect to which the disclosure is reasonably necessary for Citibank to be able to exercise its rights and perform its duties arising out of business relationships between Citibank and the Customer, regardless whether such parties are resident in the Slovak Republic, the European Union or in other countries, including those, which are treated as countries that do not warrant a reasonable protection of personal data. Citibank shall publish an updated list of third parties, to which it shall disclose the Data for further processing in connection with arranging of transactions; the third parties referred to above may be mentioned also on the relevant documents pertinent to the individual transactions. Any changes to the list of such third parties shall also be published by Citibank. The Customer agrees that if a mediator is authorized to process personal data only after the retrieval thereof, the notification duty of Citibank shall be performed upon publishing the identity of such mediator. g) The Authorized Person acknowledges hereby and agrees that in connection with the performance of transactions the Data may be transmitted to third countries, such as the countries of the European Union (both current and future member States), the USA and other countries, in which any of the Related Parties or processor of Data authorized by Citibank or a Related Party are resident or have an agency, whereas (i) the Authorized Person acknowledges hereby and agrees that Data may be transmitted on a cross-border basis pursuant to the above also to such countries, which according to the applicable legislation are not regarded as countries that warrant a reasonable protection of personal data, (ii) the Authorized Person acknowledges hereby that the transmission of Data to third countries, including those, which do not warrant a reasonable protection of personal data, is strictly necessary for the performance of the duties of Citibank arising out of the relevant transaction. 9.3 By undersigning the underlying contractual document, under which Citibank arranges a transaction for the Customer, the Authorized Person represents hereby (i) to be aware that Citibank processes data as operator, (ii) to be aware that at the Processing of Data Citibank uses services of Data processors on a contractual basis, (iii) to be informed of the name and registered office of both the personal data operator and mediators, the purpose of their processing, third parties, to whom the Data shall be disclosed, or, as appropriate, the addressees, to whom the Data shall be disclosed, and the third countries, to which the Data shall be transmitted, (iv) to understand that unless the legislation or other applicable legal regulations provide otherwise, the disclosure of Data by the Authorized Person is voluntary, (v) to have been instructed of existence of rights of the affected party within the meaning of the Personal Data Protection Act, (vi) the Data that have been disclosed thereby, are correct and updated, and he/she is aware of his/her liability for keeping the disclosed Data up to date, (vii) to understand that upon expiration of the term of Processing of Data the Data shall be destroyed, or, as appropriate, rendered duly anonymous. 10. Force Majeure, Liability of Citibank 10.1 Citibank shall not be liable for any damage or other consequences caused by forged or incorrectly filled-in money transfer orders, instructions or other documents, or by submittal of forged or altered documents and deeds, which Citibank could not have recognized even if exercising due care Citibank shall not be liable for errors or delay in the transfer of funds, failure to transfer funds, or any other consequences that are due to causes beyond its control Citibank shall not be liable to the Customer for any damage caused by abuse of signature specimen of Authorized Persons or other means of control used by Citibank and the Customer to check the identity of persons acting on behalf of the Customer, unless such abuse occurs as a result of misconduct or gross negligence on the part of Citibank The Customer agrees with and acknowledges the fact that the use of electronic access to transactions through the internet may be affected by malfunctions or breakdown of such a network, delayed transmission, attack by a computer virus, or unauthorized hacking by a third party (including abuse of username or password with the aim to access the relevant system). Therefore, notwithstanding the security elements that are used, and notwithstanding utmost efforts to ensure safe

7 electronic access to transactions, Citibank shall not be liable for any damage arising in connection with the use of internet access to transactions, unless the damage occurs as a result of breach of duties on the side of Citibank The Customer understands that transmission of data through the internet is not a safe form of transmission of information, and that during their transmission there may be loss of confidentiality, alteration, or abuse of transmitted data. The Customer agrees hereby that Citibank shall not be liable for any abuse of communication sent by the internet or for unauthorized access to or alteration of information transmitted through the internet. Neither shall Citibank be liable for any damage or other consequences caused by malfunction, delay, or computer virus occurring upon transmission of information through the internet. 11. Protection of deposits 11.1 Deposits of customers shall be protected as per the system of protection of deposits of Ireland, which is in compliance with the provisions of the Directive of the European Parliament and Council 94/19/ES from May 30, 1994 on the system of protection of deposits. Detailed information concerning the system of protection of deposits shall be published by Citibank If Citibank shall participate also on the Slovak system of protection of deposits, then protection of deposits shall be governed also by the applicable Slovak laws The Customer shall be obliged to submit to Citibank all the documents and information, which are necessary or required by the applicable laws to assess, whether the deposit made by the Customer is eligible for protection pursuant to applicable laws. If the Customer fails to submit to Citibank the relevant documents, the deposit of the Customer shall be treated as non-protected, unless the law provides otherwise. 12. Providing of payment services 12.1 General provisions on payment services Provisions of these Local Conditions relating to payment services are applicable in case when Citibank provides payment services according to the Payment Services Act; in case of any discrepancies between provisions relating to payment services stated in the General Account Conditions and these Local Conditions, the provisions of these Local Conditions shall prevail, unless these Local Conditions stipulate otherwise These Local Conditions shall apply also to other agreements and arrangements made between the Citibank and the Customer in connection with products and services provided by the Citibank, as regards provision of payment services, unless such other agreements and arrangements or the special terms and conditions provide otherwise The Citibank provides payment services pursuant to the Payment Services Act to the extent defined in the applicable documents, including, but not limited to these Local Conditions, current account agreement, schedules of charges, complaint rules and other related agreements and arrangements, special terms and conditions and documents, which involve provision of payment services and which are disclosed or published by the Citibank. The term publishing shall mean provision of information to the Customer in writing or disclosure of information in the publicly accessible premises of the Citibank or on the website of the Citibank (hereinafter referred to only as Publishing ). All of such business terms and conditions, agreements, arrangements, or documents, which involve provision of payment services pursuant to the Payment Services Act constitute jointly a payment services agreement within the meaning of the Payment Services Act (hereinafter referred to only as Framework Contract ) For the purposes of provision of payment services pursuant to the Payment Services Act, these Local Conditions amount to business terms and conditions applicable to the provision of payment services, which constitute an integral part of the Framework Contract. Unless provided otherwise or unless the Citibank and the Customer agree otherwise, the provisions of these Local Conditions shall apply, mutatis mutandis, also to the provision of a non-recurring payment service within the meaning of the Payment Services Act For the purposes of the Payment Services Directive and the Payment Services Act, to the extent, in which the Citibank provides payment services to the Customer, the Customer agrees that all the provisions of such regulations concerning payment services, the application of which may be excluded by the parties in cases, in which the payment services user is not regarded as consumer or micro-enterprise, shall not apply vis-à-vis the Customer. Specifically, the Citibank and the Customer, who is not consumer, agreed that as regards provision of payment services, the provisions of Section 6, Section 8 subsection 3, Section 10, Section 12 through Section 14, Section 22, Section 31 through Section 44 (except for subsections 2 and 3) of the Payment Services Act shall not apply in their entirety, unless these Local Conditions or the special terms and conditions provide otherwise; while the Citibank shall not be liable for any non-fulfillment of information duties under the provisions of the Payment Services Act mentioned above in cases, in which the Customer is not regarded as consumer. The Payment Services Act defines consumers for the purposes of provision of payment services as individuals, who enter and perform agreements involving provision of payment services for purposes other than their trade, business, or profession Notwithstanding the provisions of section above the Citibank as payment services provider and the Customer as payment services user agreed to depart from the individual provisions of the Payment Services Act as provided

8 below, unless these Local Conditions or the special terms and conditions provide otherwise: a) the Citibank shall be free to charge to the Customer fees for notices, subject to Section 5 subsection 3 of the Payment Services Act, b) the Citibank shall be free to charge to the Customer fees for its withdrawal of payment orders, subject to Section 6 subsection 5 of the Payment Services Act, c) the Citibank and the Customer as payee agreed that the Citibank would be free to deduct its fees from the payment transaction transferred amount prior to posting the same to the bank account of the payee, subject to Section 7 subsection 2 of the Payment Services Act, d) the Citibank and the Customer agreed a term other than those set forth in Section 9 of the Payment Services Act, specifically a term of six (6) months. e) the Customer as payee shall not be entitled to a refund of funds, subject to Section 13 subsection 5 of the Payment Services Act, f) the Citibank and the Customer agreed a term for the execution of payment transactions other than the one outlined in Section 15 of the Payment Services Act for the period up to December 31, 2011, specifically a term of three (3) Business Days following the moment of receipt of the payment order, while if the payment order is submitted in paper form, the applicable term shall be four (4) Business Days. g) the Citibank shall be free to charge to the Customer a fee for the service within the meaning of Section 21 subsection 2 of the Payment Services Act, h) the Citibank reserves the right to block a payment instrument in particular on the grounds set out in Section 28 subsection 2 of the Payment Services Act, i) as regards low-value payments or electronic money, the value of which is lower than or equal to 150 EUR, the terms and conditions of Section 29 subsection 1 of the Payment Services Act shall apply, j) if the Customer as payment services user fails to inform the Citibank as payment services provider that it does not accept changes prior to the proposed effective date of the changes within the meaning of Section 32 subsection 2 of the Payment Services Act, such changes shall be deemed accepted thereby, k) changes of interest and exchange rates shall be in force with immediate effect and without prior notice, and changes may be based on agreed reference interest or exchange rates, subject to Section 32 subsection 4 of the Payment Services Act, l) the Customer as payment services user may terminate the Framework Contract at the term of notice specified in the Local Conditions, m) the provisions of Section 38 a 39 of the Payment Services Act shall not apply to low-value payments or electronic money, the value of which is lower than or equal to 150 EUR, while the Citibank as payment services provider may disclose to the Customer only the information referred to in Section 42 subsection 1 of the Payment Services Act, n) the Citibank as payment services provider shall not be obliged to inform of any changes to the Framework Contract in the manner specified in Section 42 subsection 2 of the Payment Services Act, o) the Citibank as payment services provider shall not be obliged to disclose information or to disclose or make accessible messages, subject to Section 42 subsection 3 of the Payment Services Act, p) the Citibank shall be free to charge to the Customer fees for the disclosure of information, subject to Section 43

9 subsection 3 a 4 of the Payment Services Act Information concerning provision of payment services, which are included in the Framework Contract pursuant to the Payment Services Act, and which (notwithstanding the provisions of sections and above) relate to: a) the payment services provider: (i) the Citibank is the provider of the payment services, (ii) the registered office of the payment services provider is located as the address Mlynské nivy 43, Bratislava, Slovak Republic, (iii) the address of the payment services provider for electronic communication is the address is slovakia.citiservice@citi.com. (iv) the Citibank provides payment services under a single banking license issued under the Banking Act, based on which banking services are provided thereby in the Slovak Republic. The Citibank holds a banking license issued in 2001 by the Irish Central Bank (Financial Services Authority of Ireland, which includes the relevant supervision authority - Irish Financial Services Regulatory Authority (Financial Regulator)). In accordance with the applicable provisions of the Banking Act, in the Slovak Republic the Citibank established its branch with the aim to provide banking services. At the provision of its banking services, the Citibank is liable to the supervision authority of its home country, the Irish Financial Services Regulatory Authority (Financial Regulator) with its registered office at PO Box 559, Dame Street, Dublin 2, Ireland, and also to the supervision authority of the host country, the National Bank of Slovakia, with its registered office at Imricha Karvaša 1, Bratislava, b) using of the payment services: (i) a description of the payment services, which will be provided by the Citibank as payment services provider, is outlined in section of these Local Conditions, in the relevant agreements and in the special terms and conditions, including, but not limited the Current Account Agreement, and, as appropriate, other related documents of the Citibank, (ii) the payment services user shall be obliged to use a unique identifier in its payment order, specifically the bank account number in the IBAN format, or, as appropriate, a different format of bank account number prescribed by the Citibank, and also other supplementary data prescribed by the Citibank, which the Citibank shall disclose or Publish, including, but not limited to the data required by the applicable forms printed by the Citibank, (iii) the form and the procedure of granting of approval authorizing a payment transaction and of withdrawal thereof are specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (iv) the moment of receipt of payment orders and the time, when payment orders receipt ends, are specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (v) the deadline for the execution of payment services is specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (vi) the maximum expenditure limits when using payment instruments are specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, c) fees, interest and exchange rates: (i) the total of all the fees for payment transactions and an overview of rates of all the fees are specified in particular in section 12.7 of these Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (ii) the interest and exchange rates to be applied or, if reference interest and exchange rates are to be used, the method of calculating the actual interest, and the relevant date and index or base for determining such reference interest or exchange rates, are specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (iii) the immediate application of changes in reference interest or exchange rate and information requirements related to such changes are specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, d) communication: (i) the means of communication, including the technical requirements for the payment service user's equipment, agreed between the parties for the transmission of information or notifications pursuant to the Payment

10 (ii) (iii) (iv) Services Act are specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, the manner in and frequency with which information under the Act are to be provided or made available are specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, the language in which the Framework Contract will be concluded and communication during this contractual relationship will be undertaken, is specified in section 15.8 of these Local Conditions or in the special terms and conditions, the payment service user's right to receive information is specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, e) on safeguards and corrective measures: (i) the procedure of correct and safe use and keeping of the payment instruments and on how to notify the payment service provider is specified in particular in sections 7.3, 12.2 and 12.5 of these Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (ii) the conditions under which the payment service provider reserves the right to block a payment instrument are specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (iii) the liability of the payer for unauthorized payment transactions is specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (iv) how and within what period of time the payment service user is to notify the payment service provider of any unauthorized or incorrectly executed payment transaction as well as the payment service provider's liability for unauthorized payment transactions is specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (v) the liability of the payment service provider for the non-execution or wrong execution of payment transactions is specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, (vi) the conditions for refund are specified in the Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank, f) changes in and termination of the Framework Contract: (i) the information that the payment service user will be deemed to have accepted changes in the conditions proposed by the payment service provider is specified in particular in section 15 of these Local Conditions or in the special terms and conditions, (ii) the term of the Agreement is specified in the Current Account Agreement or other agreements or in the Local Conditions or in the special terms and conditions, (iii) the right of the payment service user to terminate the Framework Contract (or a part thereof) and any arrangements relating to termination are specified in particular in section 12.8 of these Local Conditions or in the special terms and conditions, g) redress: (i) any contractual clause on the law applicable to the Framework Contract or on the courts of competent jurisdiction is specified in particular in section 14 of these Local Conditions or in the special terms and conditions, (ii) the procedure of filing of complaints and settlement of disputes, which are available to the payment service user, is specified in particular in section 12.6 of these Local Conditions or in the special terms and conditions or in information, which shall be Published by the Citibank The Citibank as payment services provider provides those payment services, which are contemplated in the applicable agreements, arrangements, these Local Conditions or the special terms and conditions, in particular in the Current Account Agreement, or other documents of the Citibank. The Citibank provides in particular the payment services specified in Section 2 subsection 1 of the Payment Services Act, those services, which are described below, and the provision of which is agreed between the Citibank and the Customer, including, but not limited to the following (i) DEPOSITS, WITHDRAWALS, KEEPING OF ACCOUNTS: deposits and withdrawals of funds in cash to/from the payment account, and carrying out of all the transactions related to the keeping of the payment account, (ii) MONEY TRANSFER ORDERS, COLLECTION ORDERS, DOMESTIC PAYMENTS, FOREIGN PAYMENTS: carrying out of payment transactions, including transfer of funds from/to the payment account opened with the payment services provider (wire transfer, through payment card or another payment instrument, through collection of payments), (iii) PAYMENTS USING PAYMENT

11 CARDS OR OTHER PAYMENT INSTRUMENTS: carrying out of payment transactions out of overdrafts granted to the payment services user using payment cards or other payment instruments (wire transfer, through payment card or another payment instrument, through collection of payments) or out of an overdraft on the payment card or another payment instrument, (iv) TRANSFERS: transfers of funds, (v) INTERNET BANKING, CITIDIRECT: payment transactions, in which the payer authorizes the payment transaction through any telecommunication device, digital device, or information technologies device, and the payment is made to the telecommunications operator, information technologies operator or network operator, who act only as an intermediaries between the payment services user and the supplier of products and services, (vi) ISSUANCE AND ACCEPTANCE OF PAYMENT CARDS (debit cards, credit cards, charge and prepaid payment cards, and acceptance of payment cards and UNIKASO): issuance and acceptance of payment cards or other payment instruments, (vii) ELECTRONIC MONEY: issuance of electronic money Unless the Citibank and the Customer agree otherwise, or unless the Local Conditions provide otherwise, the Citibank provides services (including payment services) only to those Clients, for whom payment accounts are kept by the Citibank Additional terms and conditions of provision of payment services are outlined in special terms and conditions and other documents Published by the Citibank The Citibank shall disclose to the Customer information concerning payment services in these Local Conditions, the special terms and conditions and related documents, which shall be Published by the Citibank, or, as appropriate, in documents, which the Citibank delivers or makes available to the Customer Liability at the Provision of Payment Services Unless provided otherwise, the Customer shall bear all the losses relating to unauthorized payment transactions resulting from the use of a lost or stolen payment instrument or resulting from an abuse of a payment instrument by unauthorized party, if caused by its negligence at the fulfillment of its obligations in connection with safe treatment of payment instruments pursuant to these Local Conditions or the special terms and conditions, or other related documents, as appropriate. The Customer shall bear no losses due to the use of lost, stolen, or abused payment instrument since the moment of notifying the Citibank thereof in the agreed upon manner, unless the Customer acted fraudulently or with gross negligence The Customer, who is not regarded as consumer, shall bear a loss up to 100 EUR relating to any unauthorized payment transactions resulting from the use of a lost or stolen payment instrument or resulting from an abuse of a payment instrument by unauthorized party, if caused by its negligence at the fulfillment of its obligations in connection with safe treatment of payment instruments pursuant to these Local Conditions or the special terms and conditions, or other related documents, as appropriate. The Customer, who is regarded as consumer, shall bear no losses due to the use of lost, stolen, or abused payment instrument since the moment of notifying the Citibank thereof in the agreed upon manner, unless the Customer acted fraudulently Notwithstanding the above, the Customer shall bear all the losses relating to any unauthorized payment transactions resulting from the use of a lost or stolen payment instrument or resulting from an abuse of a payment instrument by unauthorized party, if caused by its fraudulent conduct or intentional non-fulfillment of one or several of its obligations in connection with safe treatment of payment instruments pursuant to these Local Conditions or the special terms and conditions, or other related documents, as appropriate, or their non-fulfillment due to gross negligence The gross negligence of the Customer shall include, but not be limited to the breach of the duty of the Customer at the treatment of payment instruments set forth in these Local Conditions (in particular sections 7.3, 12.2 and 12.5), in the special terms and conditions and other related documents, disclosure of PIN or other security codes or features (hereinafter jointly referred to only as PIN ) to a party other than authorized party, keeping or placing of PIN together with the payment instrument or in a place, which is freely accessible to other parties, or use of PIN or the payment instrument on uncertified websites Account statements Notwithstanding the above, the Citibank shall be disclosing to the Customer free of charge information concerning payment transactions once a month in electronic form using the CitiDirect system, if a request to that effect is made by the Customer. The Customer may agree with the Citibank additional or more frequent disclosure of such information, or the disclosure thereof in a form other than above, or sending thereof by means of communication other than above Information concerning payment transactions from the payment account of the Customer shall be disclosed by the Citibank as payment services provider to the Customer as payment services user using bank account statements with respect to the payment accounts of the Customer opened with the Citibank, or using the electronic banking system of the Citibank (CitiDirect), subject to the provisions of the Payment Services Act.

12 12.4 Instructions and Money Transfer Orders The Customer as a payment services user shall be obliged to comply, when placing payment orders, with the form and the substance of payment orders prescribed by the Citibank both with respect to paper and electronic payment orders A payment transaction shall be deemed authorized (i) with respect to a payment transaction on the basis of a written payment order (including orders sent by fax) upon delivery, to the Citibank, of the payment order undersigned by the Customer as per the signature specimen of the Customer kept by the Citibank in the agreed upon manner, (ii) with respect to a payment order placed using the electronic banking of the Citibank (in particular Citidirect) at the time, when the identity of the Customer is verified using a unique user name, password, and login code, (iii) with respect to a payment transaction by payment cards, upon its authorization pursuant to the terms and conditions applicable to such cards, (iv) with respect to a payment transaction by the SWIFT information system, as per the terms and conditions agreed between the Customer and the Citibank for the provision of such services The Customer shall be obliged to notify to the Citibank unauthorized transactions promptly in writing or in another agreed manner. The Customer shall be liable for any losses associated with authorized transactions, subject to these Local Conditions, the special terms and conditions and the Payment Services Act Unless the Customer and the Citibank agree otherwise, the Citibank shall not allow collection of payments from the payment account of the Customer kept by the Citibank A limit applicable to payment transactions shall always be agreed between the Citibank and the Customer. If there is collection from Customer s account is agreed with the Customer as payer, the Customer shall always specify the ceiling thereof, either with respect to the individual payment transaction or with respect to a specific period, using the applicable form (paper or electronic) of the Citibank Unless these Local Conditions or relevant laws and regulations stipulate otherwise, The Customer shall be free to withdraw or change any instruction (except the money transfer order) given to the Citibank until the time, when the party, in favor of whom the instruction should have been executed, is informed thereof, or until the time, when funds are debited to the account, whichever is earlier. Any expenses triggered by a withdrawal or change of an instruction shall be borne by the Customer. The Citibank shall not be liable for any losses incurred by the Customer due to the withdrawal or change of instruction made by the Customer. The Customer shall be free to withdraw the money transfer order until the end of the working day preceding the agreed day of execution of such money transfer order The Citibank shall Publish the cut-off times relating to delivery and execution of the money transfer orders Citibank reserves the right to block any check or payment instrument for objectively justified reasons related to the security of the check or payment instrument or the suspicion of unauthorised or fraudulent use of such instruments The term "payment instrument" includes any personalised device or set of procedures used by the Customer to initiate an instruction or other Communication General Terms and Conditions of Safety and Measures to be taken by Payment Instrument Users Clients shall be obliged to use payment instruments in accordance with the Framework Contract, and in particular (i) promptly after receipt of payment instruments they shall take all the reasonable measures to remove their personalized security features, and (ii) promptly after they learn thereof they shall inform the Citibank or a party designated by the Citibank in an agreed-upon manner of any damage, loss, theft, abuse, or unauthorized use of such payment instruments As regards safety of payment instruments, Clients shall in particular (i) keep their payment instruments and their personalized security features in a secure place, (ii) protect their payment instrument against damage (in particular by magnetic fields with respect to payment cards), (iii) ensure that their payment instruments are not lost, abused, or stolen, while Clients shall in particular protect their PIN or other codes or other personalized security features provided by the Citibank against loss, theft, or abuse, including, but not limited to refraining from writing PIN directly on their payment instruments (e.g. payment cards) or recording PIN otherwise, (iv) not to disclose the security codes (PIN) or other personalized security features to parties other than those, who are authorized thereto, (v) Clients shall be obliged to duly instruct all the persons authorized to dispose with the payment instruments on their behalf as to the correct use thereof and the security measures that should be taken Notwithstanding the provisions of these Local Conditions or the special terms and conditions, the Citibank shall have the right to block payment instruments anytime and without any consequences on the following grounds (i) payment instrument security, in particular if there is suspected unauthorized or fraudulent use of the payment instrument; or (ii) material increase of the risk that the Customer (or the payment instrument holder) will not be able to settle its liabilities towards the Citibank, such as loans, which may be drawn using the payment instrument Prior to blocking the payment instrument, or, if not possible after its blocking, the Citibank shall inform the Customer that the payment instrument will be (has been) blocked and the reasons thereof in a manner agreed between the Customer and the Citibank; the above shall not apply if the notice of blocking of the payment instrument might prejudice the purpose of blocking thereof, or if it is in contrast with the law. If the reasons, due to which the payment instrument has been blocked, cease to exist, the Citibank shall enable the payment instrument or shall issue a new payment instrument.

13 12.6 Complaints relating to providing of payment services If the Customer does not agree with any transaction made by the Citibank and debited or credited to its account, it may file a complaint, while any such a complaint must be filed in writing, unless the Customer and the Citibank agree otherwise in particular cases As regards any complaints, the Citibank shall proceed in accordance with the applicable provisions of the Payment Services Act, the Complaints Rules of Citibank Europe plc, pobočka zahraničnej banky for providing of payment services (to be Published by the Citibank), complaint and other applicable rules of international card companies (such as VISA, MasterCard), or, as appropriate, any party engaged in the settlement of transactions In accordance with the applicable provisions of the Payment Services Act, the Citibank shall decide whether any complaint is justified or not immediately if possible; the Customer acknowledges that in the event the complaint needs to be assessed in collaboration with a foreign financial institution, the term above shall be extended by the term necessary to settle the complaint, including international arbitration, mutatis mutandis in accordance with the rules of card companies. The overall term to settle the complaint will not exceed 30 days, while if the case is complex 6 months Fees The Citibank shall charge fees for the provision or disclosure of information to the Customer as per the Payment Services Act only if such information go beyond the framework of agreed-upon provision or disclosure of information to the Customer as specified in section of these Local Conditions; the Citibank shall be free to charge the fees in particular for any supplementary or more frequent disclosure of such information, or their disclosure in a form other than agreed, or their disclosure using communication means other than agreed As regards payment to EEA countries denominated in EUR or in currencies of the EEA member States, the fee instruction "SHA" shall be mandatory (i.e. the Customer as payer shall pay the fee charged by the Citibank and the payee shall pay the fee charged by the payment services provider of the payee); as regards payments involving conversion of funds, OUR fees shall be applicable (i.e. the Customer as payer shall bear the fees charged both to the payer and the payee), unless the Citibank provides otherwise As regards cross-border payments, which do not include correct or complete identification of the payee or the payee s bank account in the IBAN format, the Citibank or the bank of the payee may charge additional fees (so-called Non- STP), and such fees shall be charged to the accounts of the Customer as payer. The Customer acknowledges hereby and authorizes the Citibank to charge such fees to its bank accounts Termination of the Framework Contract The Framework Contract or any part thereof may be terminated by the Customer or the Citibank at a one (1) month notice starting on the date of receipt of the notice of termination by the other party; if the Citibank terminates the Framework Contract with a client, who is regarded as consumer, the term of notice shall be two (2) months If the contractual relationship between the Customer and the Citibank becomes in contrast with the law or if evidence is submitted that there was fraud on the side of the Customer, the Citibank shall be free to terminate the Framework Contract or its part with immediate effect, and such termination shall become effective on the first day following the one, when the written notice of termination is delivered to the Customer. If the Customer disagrees with the changes under section 15 these Local Conditions, it shall be free to terminate the Framework Contract with the Citibank with immediate effect without any fees payable thereby, and such termination shall become effective on the first day following the one, when the written notice of termination is delivered to the Citibank If the Framework Contract or its part was in force and effect for less than one (1) year, the Citibank may charge a fee at the rate set forth in the applicable schedule of charges in case there is termination by the Customer Language of the Framework Contract The Framework Contract shall be concluded in Slovak language or in English language or in both stated language. If there is any discrepancy between the two language versions, the version in Slovak shall prevail. 13. Termination 13.1 Each the Customer and Citibank shall be free to fully terminate their relationship anytime and without the need to disclose specific reasons, by giving a written notice. Unless the Customer and Citibank agree otherwise in writing, each such a termination shall become effective on the last business day of the calendar month following the one, in which a written notice of termination is delivered to the other party After receipt of a notice of termination, all the then outstanding liabilities of the Customer towards Citibank must be settled as soon as possible. These Local Conditions shall remain in full force and effect until the time, when all the outstanding liabilities between Citibank and the Customer are settled.

14 14. Governing law These Local Conditions and contractual relationships, which include these Local Conditions (including any non-contractual obligations resulting or arising thereto) shall be governed by the applicable legislation in force in the Slovak Republic unless the Citibank and the Customer agree otherwise. 15. Amendments of Local Conditions Citibank shall have the right to amend or supplement these Local Conditions on the following grounds: (i) it is required by changes to the legal environment, in particular in response to changes to the legislation or enactment of new legislation, or changes to the interpretation or application thereof, or changes to the decisions of authorities responsible for the supervision over Citibank or decisions of authorities responsible for supervision of protection of personal data, (ii) if there is a need to introduce such changes to reflect practical experience of Citibank and other relevant parties operating on the market of the European Union, (iii) if there is a need to incorporate other provisions that are usual on the marketplace and necessary to preserve the rights of Citibank, (iv) if there is a change in the market of banking services. The Customer shall be notified in writing of any amendments to these Local Conditions. The Customer may express its disagreement with any change to these Local Conditions by a written notice to be delivered to Citibank not later than till the proposing day of effectiveness of these changes. However, if by the term above the Customer fails to express its disagreement with the changed Local Conditions or after the day of proposed effectiveness of these changes keeps receiving transactions so that in the given circumstances it is obvious that it intends to keep doing business with Citibank, or if by its conduct it confirms to have acknowledged the changed Local Conditions, Citibank shall treat such a conduct of the Customer as an expression of its approval of such changed Local Conditions.

15 LOCAL CONDITIONS SLOVAKIA Citibank Europe plc so sídlom 1 North Wall Quay, Dublin 1, Írsko, zapísaná na Úrade pre registráciu spoločností pod číslom , prevádzkujúca svoju podnikateľskú činnosť v Slovenskej republike prostredníctvom Citibank Europe plc, pobočka zahraničnej banky, so sídlom Mlynské nivy 43, Bratislava, Slovenská republika, IČO: , zapísaná v Obchodnom registri Okresného súdu Bratislava I, oddiel Po, vložka č. 1662/B (ďalej len Citibank ) 1. Všeobecné podmienky vedenia účtov Tieto,,Miestne podmienky vedenia účtov v Slovenskej republike dopĺňajú a/alebo menia,,všeobecné podmienky vedenia účtov Citibank a sú ich neoddeliteľnou súčasťou. 2. Vzájomné započítanie, postúpenie práv 2.1 Citibank je oprávnená použiť peňažné prostriedky (splatné i nesplatné) vedené na ktoromkoľvek účte Klienta na započítanie akejkoľvek jej pohľadávky (splatnej i nesplatnej), ktorú ma voči Klientovi, a to bez ohľadu na miesto platenia alebo menu týchto peňažných prostriedkov, resp. pohľadávok. Peňažné prostriedky a pohľadávky denominované v zahraničnej mene budú započítané s použitím výmenného kurzu pre nákup príslušnej zahraničnej meny, ktorý je uvedený v kurzovom lístku Citibank platnom k dátumu započítania. 2.2 V rozsahu, v akom je 359, 360, 361 a/alebo 362 slovenského Obchodného zákonníka (zákon č. 513/1991 Zb., v znení neskorších predpisov) v rozpore s ustanoveniami uvedenými v článku 2.1, takéto ustanovenia 359, 360, 361 a 362 sa nepoužijú. 2.3 Klient nie je oprávnený bez predchádzajúceho písomného súhlasu Citibank postúpiť, previesť, meniť alebo akokoľvek disponovať s akýmkoľvek zo svojich práv alebo záväzkov, ktoré vznikli na základe vzťahu Klienta a Citibank. 3. Plnenie 3.1 Pokiaľ Citibank výslovne nestanoví písomne inak, miestom plnenia záväzkov vyplývajúcich v súvislosti s obchodným vzťahom Citibank a Klienta sú výhradne obchodné prevádzky Citibank v Slovenskej republike. 3.2 Pokiaľ sa nedohodne inak, Citibank preberá od Klientov pokyny iba v bankové pracovné dni, počas ktorých sú otvorené jej obchodné prevádzky. Ak budú Citibank doručené pokyny mimo otváracích hodín jej obchodných prevádzok, budú sa považovať za prevzaté v nasledujúci pracovný deň, s výnimkou pokynov doručovaných vo forme technických nosičov a prenosov dát prostredníctvom elektronického bankovníctva. Citibank je oprávnená z dôvodov hodných osobitného zreteľa obmedziť alebo prerušiť na potrebnú dobu svoju prevádzku. Informácie o obmedzení alebo prerušení prevádzky Citibank zverejňuje. 3.3 Zverejnením informácií podľa týchto Miestnych podmienok sa rozumie sprístupnenie danej informácie v obchodných prevádzkach Citibank, v sadzobníku alebo na internetovej stránke Citibank ( 4. Úročenie prostriedkov na účte 4.1 Úrokové sadzby, ktorými sú prostriedky na účte úročené, sú stanovené Citibank v závislosti od vývoja na medzibankovom trhu. Klient berie na vedomie, že Citibank je oprávnená stanoviť, že prostriedky na určitom type účtov nebudú úročené. 4.2 Citibank príslušné úrokové sadzby zverejňuje, vrátane sankčnej úrokovej sadzby z nepovoleného debetu na bežnom účte. Citibank tiež oznamuje Klientovi výšku danej úrokovej sadzby pre príslušné obdobie a pre daný druh účtu na úrokovom výpise zaslanom Klientovi. 4.3 V stanovenej dobe, ktorá bude priebežne určovaná Citibank, avšak za predpokladu, že to bude najmenej raz za rok, Citibank pripíše na účet Klienta (v prípade kreditného zostatku na účte) a odpíše z účtu Klienta (v prípade záporného zostatku na účte) všetky úroky, na ktoré má Klient nárok s ohľadom na kreditný zostatok na účte, prípadne na ktoré má nárok Citibank v súvislosti s debetným zostatkom na účte. 4.4 Ak je Klient v omeškaní s platením peňažného záväzku alebo jeho časti (splátky), je Citibank popri plnení záväzku oprávnená požadovať od Klienta aj úroky z omeškania z dlžnej sumy, a to počnúc dňom splatnosti dlžnej sumy, s ktorou je v omeškaní, a to aj vtedy, ak takéto úroky z omeškania neboli vyúčtované Citibank na príslušných výpisoch z účtu. V prípade, že Citibank opomenie alebo sa omešká s vyúčtovaním úrokov z omeškania, táto skutočnosť sa nebude považovať za zrieknutie alebo vzdanie sa práva na úroky z omeškania zo strany Citibank.

16 5. Nakladanie s účtom a prostriedkami na účte 5.1 S účtom je oprávnený nakladať výlučne Klient, iné osoby výlučne na základe osobitného plnomocenstva udeleného Klientom. Pokiaľ takéto plnomocenstvo nebude udelené pred Citibank v Slovenskej republike, podpis Klienta na plnomocenstve musí byť úradne osvedčený. 5.2 Klient je povinný poskytnúť Citibank podpisové vzory osôb splnomocnených na nakladanie s peňažnými prostriedkami na účte v mene Klienta, ktoré budú overené spôsobom stanoveným Citibank. 5.3 V prípade, že podľa osobitnej písomnej zmluvy alebo dohody uzatvorenej medzi Citibank a Klientom je Klient povinný mať k príslušnému dňu splatnosti na účte dostatok peňažných prostriedkov za účelom splnenia svojich záväzkov voči Citibank, tak platí, že Citibank je oprávnená za týmto účelom nakladať s prostriedkami na účte (t.j. príslušné dlžné sumy odpísať z účtu v prospech Citibank). 5.4 Klient je povinný pri vykonávaní všetkých obchodov so Citibank používať len prostriedky vo svojom výlučnom vlastníctve a vykonávať bankové obchody na svoj vlastný účet. V prípade, ak Klient zamýšľa vykonať obchod s použitím prostriedkov vo vlastníctve tretej osoby alebo na jej účet, Klient je povinný identifikovať takúto osobu v súlade s príslušnými právnymi predpismi a predložiť Citibank písomný súhlas tretej osoby s takýmto použitím jej prostriedkov. Pokiaľ Klient pri jednotlivom obchode neidentifikuje tretiu osobu ako vlastníka prostriedkov transakcie alebo ako osobu na ktorej účet sa obchod vykonáva, potom sa má sa za to, že Klient pri vykonaní takého obchodu poskytol Citibank vyhlásenie o tom, že obchod vykonáva s prostriedkami vo svojom vlastníctve a na vlastný účet. 6. Výpisy z účtov 6.1 Citibank zasiela Klientovi výpisy z účtu s frekvenciou určenom Klientom, minimálne však jedenkrát ročne, na ktorých sú uvedené všetky kreditné a debetné operácie s účtom a celkový zostatok na účte. 6.2 Výpis zo záznamov Citibank je voči Klientovi prima facie (dostatočným) dokladom o správnosti údajov uvedených v tomto výpise, ktorý je možné spochybniť iba v prípade, že Klient predloží dostatočný doklad potvrdzujúci opak. 6.3 Citibank má právo kedykoľvek pomocou odpísania/pripísania na účet opraviť všetky omyly a chyby v kreditných/debetných operáciách na účte. Každú takúto opravu Citibank oznámi Klientovi. 6.4 V prípade, ak Klient požiada Citibank o osobné preberanie výpisov z účtu, ukladá Citibank výpisy z účtu v mene Klienta vo svojich priestoroch. Klient je povinný preberať si výpisy z účtov v priestoroch Citibank minimálne raz mesačne. V prípade, ak si Klient výpisy z účtu neprevezme najneskôr do konca kalendárneho mesiaca po uplynutí mesiaca, v ktorom bol výpis z účtu vygenerovaný zo systému Citibank, Citibank zašle neprevzaté výpisy z účtu na korešpondenčnú adresu Klienta. 7. Osobitné ustanovenia pre elektronické bankovníctvo Článok 7. Miestnych podmienok sa použije len vtedy ak Klient využíva systém internetového bankovníctva Citibank (ďalej len Systém ), na základe ktorého dochádza k priamemu on-line elektronickému styku medzi Citibank a Klientom. 7.1 Služby elektronického bankovníctva Klient môže požiadať Citibank o umožnenie nasledovných elektronických bankových služieb, poskytovaných prostredníctvom Systému: a) priamy (on-line) prístup k informáciám o určených účtoch Klienta, b) prístup k dátovým súborom obsahujúcim informácie o určených účtoch Klienta, c) udeľovanie pokynov Citibank elektronickou cestou (vrátane posielania platobných príkazov), d) automatizované doručovanie súborov a reportov s informáciami o určených účtoch Klienta, e) zasielanie určených informácií na elektronickú ( ovú) adresu alebo na mobilný telefón vo forme SMS (tzv. notifikácia udalostí), alebo f) inú elektronickú službu na poskytnutie ktorej sa zaviaže Citibank, (ďalej jednotlivo Služba alebo spoločne Služby ) V prípade, ak si Klient zvolí Službu, ktorá využíva prenos informácií cez globálnu komunikačnú sieť (internet), podpisom príslušného formulára Citibank, na základe ktorého k zvoleniu tejto Služby dôjde, Klient súhlasí s poskytovaním Služieb prostredníctvom internetu s plným vedomím skutočnosti, že internet nemusí zabezpečiť bezpečný prenos, alebo že môže dôjsť k oneskorenému poskytnutiu Služby. Klient berie na vedomie a akceptuje riziká možného porušenia dôvernosti informácií prenášaných týmto spôsobom, ako aj iné riziká spojené s používaním internetu V prípade, ak si Klient zvolí Službu s názvom automatizované doručovanie súborov a reportov, na základe ktorej si bude žiadať zasielať určené informácie na vopred určenú elektronickú ( ovú) adresu, potom Citibank sprístupní takú Službu za podmienky, že Klient oznámi Citibank tzv. zabezpečenú ovú adresu a importuje do Systému verejnú časť osobného digitálneho certifikátu. Osobný digitálny certifikát je certifikát, vydaný na to oprávnenou treťou stranou, ktorý umožňuje digitálne podpísať a zakryptovať elektronickú ( ovú) správu, čím zamedzí jej zneužitiu neoprávnenými osobami. Klient zabezpečí osobný digitálny certifikát u oprávneného poskytovateľa na vlastné náklady. Citibank

17 nezodpovedá za bezpečnosť prostredia, v ktorom dochádza k poskytovaniu Služieb (internet), ani za kompatibilitu osobného digitálneho certifikátu so Systémom. 7.2 Užívateľské profily V prípade ak Klient nemá inštalovaný Systém od inej Spriaznenej osoby (vo význame definovanom v článku 9.2 písm. f), Klient určí na príslušnom formulári určenom Citibank osoby, ktoré budú Klientom oprávnené (splnomocnené) uskutočňovať úkony v mene Klienta prostredníctvom Systému vo zvolenom rozsahu, a ktorým Citibank vytvorí užívateľský profil (ďalej len Užívatelia ). Osobám, ktoré Klient splnomocní na vytváranie nových profilov Užívateľov a zmenu nastavení existujúcich profilov Užívateľov (tzv. funkcia administrovania), vytvorí Citibank administrátorský profil, pričom administrátor je osoba, ktorá má právo v mene Klienta vytvárať, meniť a rušiť užívateľské profily, nastavovať limity a stupne autorizácie v mene Klienta (ďalej len Administrátor ). Na akékoľvek úkony spojené s administráciou užívateľských profilov sú potrební aspoň dvaja Administrátori. Jeden administrátorský profil je potrebný na vytvorenie, zmenu alebo vymazanie údajov a druhý administrátorský profil na schválenie vykonaných úkonov Klient je zodpovedný za zvolenie rozsahu prístupových práv Užívateľov a Administrátorov a s tým súvisiace nastavenie prvotných užívateľských a administrátorských profilov Citibank Po nastavení administrátorských profilov Citibank a po inštalácii Systému na zariadeniach Klienta, je Klient povinný oznamovať Citibank všetkých nových Užívateľov na formulári určenom Citibank. Klient je povinný pred vytvorením nového užívateľského profilu informovať Citibank o identifikačných údajoch osoby (v rozsahu vyžadovanom príslušnými právnymi predpismi), ktorej užívateľský profil bude vytvorený a zároveň poskytnúť Citibank súčinnosť potrebnú na overenie identifikácie takejto osoby. Klient sa zaväzuje poskytnúť takéto informácie v primeranej lehote pred vytvorením príslušného užívateľského profilu, vrátane súvisiacich dokumentov a prípadného súhlasu danej osoby v zmysle príslušných právnych predpisov, a to tak, aby Citibank mohla riadne overiť takéto informácie a dokumenty. Klient súhlasí a berie na vedomie, že Citibank nezautorizuje nový užívateľský profil pre schvaľovanie transakcií predtým, ako dôjde k splneniu povinností podľa tohto odseku. Klient nesmie zriadiť alebo zmeniť užívateľský profil (ak to bude vyplývať zo všeobecne záväzných právnych) až do vtedy, kým voči Citibank nebude splnená povinnosť identifikácie príslušného Užívateľa v zmysle tohto článku Klient zodpovedá v plnom rozsahu za konanie každého Užívateľa a Administrátora priamo alebo nepriamo súvisiace so Systémom. Rovnako Klient zodpovedá v plnom rozsahu za udelenie užívateľských práv (nastavenie užívateľských profilov) pre ďalších Užívateľov a za rozsah týchto oprávnení (napr. oprávnenie konať samostatne, spoločne, s peňažnými obmedzeniami). V prípade, ak si Klient želá zmeniť osobu Administrátora, je povinný požiadať o to Citibank na formulári stanovenom Citibank Klient súhlasí a berie na vedomie, že všetky užívateľské profily, vrátane príslušných hesiel, budú v správe Administrátorov, a že Klient je zodpovedný za konanie každého Administrátora. Klient sa zaväzuje vyvinúť a dodržiavať vnútorné postupy týkajúce sa bezpečnosti používania hesiel a ich bezpečného uchovávania Pri overení oprávnenia Užívateľa a Administrátora je Citibank, prostredníctvom príslušnej funkcionality Systému, povinná zabezpečiť len overenie v zmysle článku 7.3 Miestnych podmienok. Citibank nezodpovedá za chyby alebo opomenutia spôsobené klientom alebo duplicitu akejkoľvek Služby. Citibank koná len na základe referencie k určitému číslu bežného účtu, za podmienky, že je uvedený názov daného bežného účtu. Citibank má právo odmietnuť konať na základe takých úkonov uskutočnených prostredníctvom Systému, o ktorých sa domnieva, že neobsahujú dostatočne určité alebo úplné informácie na poskytnutie Služby a v prípade, ak bude mať pochybnosti o správnosti obsahu a oprávnenosti autorizácie, alebo dodržiavaní bezpečnostných procedúr v zmysle ustanovení článku 7.3 Miestnych podmienok. O takomto rozhodnutí Citibank Klienta bez zbytočného odkladu upovedomí, pričom takéto upovedomenie sa môže uskutočniť aj na základe telefonického rozhovoru. 7.3 Bezpečnostné postupy Overovanie metódou SafeWord a) Metóda SafeWord je povinne používaná k overovaniu oprávnenosti Administrátorov a všetkých Užívateľov, ktorých užívateľské profily ich oprávňujú k tzv. aktívnemu prístupu do Systému, za čo sa považuje iniciovanie a schvaľovanie (autorizácia) transakcií, a to najmä schvaľovanie príkazov na úhradu z účtov Klienta. b) Citibank vydá Klientovi pre každého Užívateľa a Administrátora (ktorí majú aktívny prístup do Systému) osobitnú kartu, ktorá je hardvérovým vybavením generujúcim dynamické heslo umožňujúcim aktívny alebo pasívny prístup do Systému na základe princípu aktívnej interakcie so Systémom (ďalej len SafeWord karta ) po zadaní príslušného osobného identifikačného čísla prideleného Citibank ku každej SafeWord karte (ďalej len PIN ). Citibank má právo na poplatok za vydanie každej SafeWord karty. c) Citibank overuje oprávnenie Užívateľa alebo Administrátora na uskutočňovanie úkonov prostredníctvom Systému, na základe ktorých môže dôjsť k iniciácii alebo schváleniu prevodu z bežného účtu Klienta a oprávnenie Administrátora vykonávať administrovanie, prostredníctvom bezpečnostnej procedúry - metóda SafeWord. Táto metóda spočíva v použití SafeWord karty oprávnenou osobou Klienta. SafeWord karta sa používa v spojení s oknom výzvy a odpovede na prihlasovacej obrazovke Systému pri prihlásení každého Užívateľa alebo Administrátora do Systému. Užívateľ

18 alebo Administrátor pri prihlásení zadá do SafeWord karty príslušný PIN. V prípade, ak bol zadaný správny PIN a Užívateľ alebo Administrátor zadá do SafeWord karty obsah poľa výzva, ktoré sa objaví na prihlasovacej obrazovke Systému, SafeWord karta vygeneruje dynamické heslo. Po vložení tohoto hesla do poľa odpoveď na prihlasovacej obrazovke Systému, bude Užívateľovi alebo Administrátorovi umožnený prístup k tým Službám, ktoré sú priradené k danému užívateľskému profilu Užívateľa alebo administrátorskému profilu Administrátora Overovanie metódou zabezpečeného hesla a) Metóda zabezpečeného hesla je určená pre tých Užívateľov, ktorých užívateľské profily ich oprávňujú len k tzv. neaktívnemu prístupu do Systému, za čo sa považuje najmä prístup k informáciám o bežných účtoch, výpisom z bežných účtov alebo k vyrovnávacím (nettingovým) funkciám k bežným účtom. Užívatelia a Administrátori s aktívnym prístupom do Systému musia použiť metódu Safeword aj v prípade, že vykonávajú úkony, ktoré sa považujú za neaktívny prístup do Systému. b) Metóda zabezpečeného hesla vyžaduje, aby pred jej použitím Administrátori nastavili užívateľský profil príslušného Užívateľa v Systéme tak, aby figuroval ako Užívateľ so zabezpečeným heslom. Administrátori potom odovzdajú príslušné oprávnenie na vstup do Systému danému Užívateľovi a v plnom rozsahu zodpovedajú za jeho rozsah a správnosť. Užívateľ so zabezpečeným heslom, ktorý správne zadá na príslušnej obrazovke Systému užívateľské meno a zodpovedajúce heslo určené Administrátormi, bude mať prístup k určeným Službám v rozsahu stanovenom Administrátormi, okrem tých Služieb, na ktoré sa vyžaduje overovanie metódou SafeWord. 8. Zachovávanie dôverného charakteru informácií 8.1 Klient berie na vedomie, že Citibank môže poskytnúť alebo sprístupniť tretej osobe aj bez súhlasu Klienta informácie týkajúce sa Klientovej finančnej situácie, vrátane informácií o všetkých obchodoch poskytnutých Klientovi, informácií o pohľadávkach a o zabezpečení pohľadávok, ktoré má voči nemu Citibank z poskytnutých obchodov, informácií o splácaní záväzkov z poskytnutých obchodov a informácií o bonite a dôveryhodnosti z hľadiska splácania záväzkov Klienta, a to vrátane informácií získaných Citibank v priebehu rokovania o uzatvorení týchto obchodov v rozsahu stanovenom v slovenskom zákone č. 483/2001 Z.z. o bankách v znení neskorších predpisov (ďalej len Zákon o bankách ), ako aj vrátane informácií tvoriacich predmet bankového tajomstva, a to v prípadoch stanovených príslušnými právnymi predpismi, v prípadoch, keď je Citibank povinná alebo oprávnená tieto informácie poskytnúť na základe súdneho rozhodnutia alebo rozhodnutia alebo žiadosti iného príslušného subjektu; v ostatným prípadoch len na základe Klientovho písomného súhlasu. Súhlas s vyššie uvedeným poskytnutím alebo sprístupnením informácií a údajov Klient poskytuje podpisom príslušného zmluvného dokumentu na základe ktorého poskytuje Citibank Klientovi obchod. 8.2 Klient vyhlasuje, že všetky osoby, ktorých osobné údaje Klient poskytol alebo poskytne Citibank, bez ohľadu na formu ich poskytnutia, výslovne písomne súhlasili s poskytnutím ich údajov Citibank s tým, aby Citibank spracúvala ich údaje a poskytovala/sprístupňovala ich údaje aj tretím osobám v rozsahu a za podmienok ako sú spracúvané údaje Klienta. Zároveň Klient vyhlasuje, že na žiadosť predloží Citibank takýto súhlas príslušných osôb. 8.3 Podpisom príslušného zmluvného dokumentu, na základe ktorého poskytuje Citibank Klientovi obchod, Klient súhlasí so sprístupnením a poskytnutím všetkých informácií uvedených v článku 8.1, vrátane dokumentov na ktorých sú tieto informácie zaznamenané alebo na ktorých boli tieto informácie Klientom poskytnuté, a to tretím osobám uvedeným v článku 9.2 písm. f), pričom Klient súhlasí s tým, aby tieto tretie osoby, ďalej spracovávali tieto informácie za účelom vyplývajúcim z povahy podnikania alebo činnosti týchto tretích osôb. 9. Ochrana osobných údajov 9.1 Podpisom príslušného zmluvného dokumentu, na základe ktorého poskytuje Citibank Klientovi obchod, každá osoba konajúca za alebo v mene Klienta (ďalej len Oprávnená osoba ) berie na vedomie, že: c) je povinná poskytnúť Citibank a oprávneným osobám konajúcim v jej mene svoje osobné údaje a umožniť ich získanie kopírovaním, skenovaním, alebo iným zaznamenávaním v rozsahu a spôsobom, a za účelom stanoveným v príslušných právnych predpisoch, najmä v Zákone o bankách, v slovenskom zákone č. 510/2002 Z.z. o platobnom styku v znení neskorších predpisov, v slovenskom zákone č. 297/2008 Z.z. o ochrane pred legalizáciou príjmov z trestnej činnosti a o ochrane pred financovaním terorizmu v znení neskorších predpisov, v slovenskom zákone č. 428/2002 Z.z. o ochrane osobných údajov v znení neskorších predpisov (ďalej len Zákon o ochrane osobných údajov ) v ostatných príslušných právnych predpisoch platných v Slovenskej republike, v Írskej republike, v krajinách, v ktorých pôsobí Citibank Europe plc, ako aj v ostatných krajinách Európskej Únie, d) Citibank je oprávnená, aj bez súhlasu Oprávnenej osoby sprístupniť alebo poskytnúť osobné údaje Oprávnenej osoby v rozsahu v akom sú uvedené v príslušnom zmluvnom dokumente, na základe ktorého poskytuje Citibank Klientovi obchod, a to každej osobe, kde je takéto sprístupnenie, alebo poskytnutie osobných údajov odôvodnene potrebné na to, aby Citibank mohla plniť svoje záväzky, alebo uplatňovať svoje práva voči Klientovi, vyplývajúce z príslušného zmluvného vzťahu medzi Citibank a Klientom alebo z príslušných právnych predpisov.

19 9.2 Podpisom príslušného zmluvného dokumentu, na základe ktorého poskytuje Citibank Klientovi obchod, Oprávnená osoba udeľuje Citibank súhlas so spracúvaním osobných údajov v rozsahu, na účely, na dobu a za podmienok uvedených nižšie (ďalej len Súhlas ): a) Súhlas je udelený na spracúvanie, sprístupňovanie, poskytovanie a cezhraničný prenos Údajov (ako sú definované nižšie) do tretích krajín a na získavanie osobných údajov kopírovaním, skenovaním alebo iným zaznamenávaním z úradných dokladov a poskytnutých dokumentov (ďalej len Spracúvanie údajov ) podľa ustanovení Zákona o ochrane osobných údajov; Oprávnená osoba osobitne súhlasí so spracúvaním a cezhraničným prenosom Údajov (ako sú definované nižšie) vrátane rodného čísla, a to aj pre prípad krajín, ktoré sú považované za krajiny nezaručujúce primeranú ochranu osobných údajov, b) Osobné údaje predstavujú všetky osobné údaje Oprávnenej osoby (vrátane údajov tvoriacich bankové tajomstvo) ako sú definované príslušnými právnymi predpismi, ktoré boli alebo sú poskytnuté Oprávnenou osobou Citibank v akejkoľvek forme v čase pred alebo pri uzavretí obchodu, alebo ktoré sú Oprávnenou osobou poskytnuté v priebehu trvania zmluvného vzťahu so Citibank (ďalej len Údaje ). c) Účely Spracúvania údajov sú (i) plnenie povinností Citibank podľa príslušných právnych predpisov, vnútorných predpisov Citibank a vnútorných predpisov platných v rámci skupiny Citi, (ii) zisťovanie, preverenie a kontrola identifikácie klientov banky (iii) príprava, uzatváranie a vykonávanie obchodov s Klientom, uplatňovanie práv a plnenie povinností Citibank z uzavretého obchodu, prípadne súvisiaceho vzťahu medzi Citibank a Klientom, (iv) príprava, uzatváranie a vykonávanie obchodov medzi Klientom a Spriaznenou osobou a na účely uplatňovania práv a plnenia povinností Citibank a Spriaznenej osoby z uzavretého obchodu, prípadne súvisiaceho vzťahu, (v) zabezpečenia poistenia súvisiaceho s určitým obchodom za dohodnutých podmienok, (vi) účely súvisiace s operatívnym riadením, strategickým plánovaním, vnútornou kontrolou Citibank a ochranou pred legalizáciou príjmov z trestnej činnosti a ochranou pred financovaním terorizmu, ako aj na účely informovania Klienta o nových produktoch (ako je uvedené nižšie), alebo o zmenách produktov, (vii) kontaktovanie Klienta alebo Oprávnenej osoby zo strany Citibank (prípadne inými subjektami v mene Citibank) za účelom priameho marketingu produktov a služieb poskytovaných Citibank alebo tretími stranami, a to formou zasielania písomností, elektronickou formou, formou volania, faksimilných správ, prípadne SMS správ, a to na dobu neurčitú aj po skončení obchodu, pričom Oprávnená osoba má právo tento súhlas kedykoľvek odvolať písomným oznámením na adresu Citibank. d) Súhlas sa udeľuje na dobu trvania zmluvného vzťahu súvisiaceho s príslušným obchodom poskytovaným Citibank a doba, počas ktorej je Citibank povinná podľa osobitných predpisov príslušné dokumenty (obsahujúce osobné údaje Klienta) archivovať, pričom počas celého tohto obdobia nemá Oprávnená osoba právo odvolať žiadny z vyššie uvedených súhlasov, pokiaľ príslušné právne predpisy nestanovujú inak. e) Údaje budú spracúvané (i) s použitím manuálnych, ako aj automatizovaných prostriedkov Spracúvania údajov, (ii) v rámci informačného systému Citibank a informačných systémov Citibank Europe plc, (iii) sprístupnením a/alebo poskytnutím Údajov na Spracúvanie údajov v rámci informačných systémov prevádzkovaných na servroch umiestnených v tretích krajinách v ktorých majú sídlo Spriaznené osoby alebo ich spracovatelia, (iv) zabezpečením a chránením v súlade s príslušnými bezpečnostnými štandardmi a predpismi o ochrane osobných údajov platných v rámci skupiny Citi, a to aj v prípade prenosu Údajov osobám so sídlom v krajinách, ktoré sú považované za krajiny nezaručujúce primeranú ochranu osobných údajov. f) Údaje budú sprístupnené a poskytnuté, vrátane dokumentov na ktorých sú Údaje zaznamenané alebo na ktorých boli Údaje Oprávnenou osobou alebo Klientom poskytnuté: (i) spriazneným osobám Citibank so sídlom v Európskej únii a v každej inej krajine, v ktorej má táto spriaznená osoba Citibank sídlo alebo v ktorej pôsobí, pričom za spriaznené osoby sa považujú osoby v rámci konsolidovaného celku Citibank zahŕňajúceho ovládajúce spoločnosti, ovládané spoločnosti, a sesterské spoločnosti zo skupiny Citi t.j. Citigroup Inc. a osoby priamo či nepriamo ovládajúce Citigroup Inc. a/alebo osoby priamo či nepriamo ovládané Citigroup Inc. (ďalej len Spriaznené osoby ), najmä za účelom poskytnutia požadovaného obchodu alebo využívania doplnkových služieb, ktoré ponúka Citibank prostredníctvom Spriaznených osôb, ako aj za účelom prípravy, uzatvárania a vykonávania obchodov medzi Klientom a Spriaznenou osobou, (ii) splnomocnencom alebo právnym, daňovým, prípadne iným poradcom Citibank a Spriaznených osôb, (iii) osobe, ktorú Citibank poverila plnením svojich zmluvných alebo zákonných povinností, vrátane realizácie práv zo zmluvných vzťahov medzi Citibank a Klientom, (iv) tretím osobám za účelom poskytnutia požadovaného obchodu alebo využívania doplnkových služieb, ktoré ponúka Citibank, prostredníctvom tretích osôb (najmä osoby zabezpečujúce platobný styk a zúčtovanie, vydávajúce platobné karty, poskytujúce poistenie a pod.), (v) osobe, s ktorou Citibank rokuje o prevzatí záväzkov Citibank voči Klientovi, alebo osobe, ktorá má v úmysle pristúpiť k dlhu Klienta alebo prevziať dlh Klienta, (vi) tretím osobám za účelom ochrany a domáhania sa práv Citibank z obchodu mimosúdnou alebo súdnou cestou, alebo postúpenia pohľadávky Citibank alebo jej časti a jej príslušenstva, vrátane sprístupnenia dôverných informácií v súvislosti s rokovaniami týkajúcich sa takýchto poverení alebo uzatvorenia zmluvy, (vii) spoločnosti Society for Worldwide Interbank Financial Telecommunication SCRL, Avenue Adéle 1, B La Hulpe, Belgicko (ďalej SWIFT ) na účely realizácie zahraničného platobného styku, (viii) ďalším

20 spracovateľom Údajov, ktorí spracúvajú Údaje na základe poverenia v mene Citibank alebo Spriaznených osôb (t.j. sprostredkovatelia ako sú definovaní v Zákone o ochrane osobných údajov), (ix) každej osobe, kde je sprístupnenie odôvodnene potrebné na to, aby Citibank mohla uplatňovať práva a plniť svoje záväzky z obchodných vzťahov medzi Citibank a Klientom, bez ohľadu na to, či tieto osoby majú sídlo v Slovenskej republike, Európskej Únii, alebo v iných krajinách, vrátane krajín, ktoré sú považované za krajiny nezaručujúce primeranú ochranu osobných údajov. Citibank zverejní aktuálny zoznam tretích osôb, ktorým poskytne Údaje na ďalšie spracúvanie v súvislosti s poskytovaním obchodov; tretie osoby podľa vyššie uvedeného môžu byť uvedené aj na príslušných dokumentoch týkajúcich sa jednotlivých obchodov. Zmenu takýchto tretích osôb Citibank tiež zverejní. Klient súhlasí s tým, že v prípade poverenia sprostredkovateľa spracovaním osobných údajov až po ich získaní, je oznamovacia povinnosť zo strany Citibank považovaná za splnenú aj zverejnením údajov o sprostredkovateľovi. g) Oprávnená osoba berie na vedomie a súhlasí s tým, že v súvislosti s vykonávaním obchodov môžu byť Údaje prenesené do tretích krajín a to do krajín Európskej Únie (súčasní aj budúci členovia), USA a do ďalších krajín, kde má sídlo alebo zastúpenie niektorá zo Spriaznených osôb alebo spracovateľ Údajov, poverený Citibank alebo Spriaznenou osobou, pričom (i) Oprávnená osoba berie na vedomie a súhlasí s tým, že cezhraničný prenos Údajov podľa vyššie uvedeného môže byť uskutočnený aj do krajín, ktoré sú podľa príslušných právnych predpisov považované za krajiny nezaručujúce primeranú ochranu osobných údajov, (ii) Oprávnená osoba berie na vedomie, že prenos Údajov do tretích krajín, vrátane krajín nezaručujúcich primeranú úroveň ochrany osobných údajov, je nevyhnutný na plnenie povinností Citibank vyplývajúcich z príslušného obchodu. 9.3 Podpisom príslušného zmluvného dokumentu, na základe ktorého poskytuje Citibank Klientovi obchod, Oprávnená osoba vyhlasuje, že (i) je oboznámená s tým, že Citibank spracúva údaje ako prevádzkovateľ, (ii) je oboznámená s tým, že Citibank pri Spracúvaní údajov využíva služby spracovateľov Údajov na zmluvnom základe, (iii) je oboznámená s názvom a sídlom prevádzkovateľa aj sprostredkovateľov osobných údajov, s účelom spracúvania, s tretími stranami, ktorým sa Údaje poskytnú, resp. s príjemcami, ktorým sa Údaje sprístupnia s tretími krajinami, do ktorých sa uskutoční prenos Údajov, (iv) je oboznámená s tým, že s výnimkou, ak príslušné právne predpisy nestanovujú inak, je poskytnutie Údajov zo strany Oprávnenej osoby dobrovoľné, (v) je týmto poučená o existencii práv dotknutej osoby podľa Zákona o ochrane osobných údajov, (vi) Údaje ktoré poskytla sú správne a aktuálne a že si je vedomá zodpovednosti za aktualizáciu poskytnutých Údajov, (vii) je oboznámená s tým, že po skončení doby Spracúvania údajov budú Údaje zlikvidované, resp. náležite anonymizované. 10. Vyššia moc, zodpovednosť Citibank 10.1 Citibank nezodpovedá za škody a iné dôsledky spôsobené falšovaním alebo nesprávnym vyplnením prevodných príkazov, pokynov a iných dokladov, alebo predložením falšovaných alebo pozmeňovaných dokladov a listín, ktoré Citibank nemohla rozpoznať ani pri vynaložení primeranej starostlivosti Citibank nezodpovedá za chyby či oneskorenia v prevode peňažných prostriedkov, za neuskutočnenie prevodu peňažných prostriedkov, ani za akékoľvek iné dôsledky vyplývajúce z príčin, ktoré sú mimo jej kontroly Citibank nezodpovedá Klientovi za škodu spôsobenú zneužitím podpisových vzorov Oprávnených osôb alebo iných kontrolných prostriedkov používaných Citibank a Klientom na overenie identity osôb konajúcich za Klienta, s výnimkou ak k takému zneužitiu dôjde v dôsledku úmyselného konania alebo hrubej nedbanlivosti na strane Citibank Klient súhlasí a berie na vedomie, že použitie elektronického prístupu k obchodom v sieti internet môže byť ovplyvnené poruchou, alebo prerušením prevádzky takejto siete, zdržaním pri prenose, napadnutím počítačového vírusu, alebo neoprávneným napadnutím treťou osobou (vrátane zneužitia užívateľského mena alebo prístupového hesla do príslušného systému). Citibank preto bez ohľadu na použité zabezpečovacie prvky, pri maximálnej snahe zaistiť bezpečnosť elektronického prístupu k obchodom, nezodpovedá za akékoľvek škody vzniknuté v súvislosti s použitím takéhoto prístupu k obchodom s výnimkou prípadov, keď k takejto škode došlo z dôvodu porušenia povinnosti zo strany Citibank Klient je uzrozumený s tým, že prenos dát prostredníctvom siete internet nepredstavuje bezpečnú formu prenosu informácií, a že počas ich prenosu môže dôjsť k strate ich dôvernosti, zmene alebo ich zneužitiu. Klient súhlasí s tým, že Citibank nezodpovedá za zneužitie komunikácie zasielanej prostredníctvom siete internet a ani za neoprávnený prístup alebo úpravu informácií zasielaných prostredníctvom tejto siete, a že Citibank nezodpovedá za škody alebo iné následky spôsobené poruchou, oneskorením alebo počítačovým vírusom pri prenose informácií prostredníctvom tejto siete. 11. Ochrana vkladov 11.1 Vklady klientov sú chránené podľa systému náhrad Írskej republiky, ktorý je v súlade s ustanoveniami smernice Európskeho parlamentu a Rady 94/19/ES z 30. mája 1994 o systémoch ochrany vkladov. Citibank zverejňuje bližšie informácie o systéme ochrany vkladov V prípade, ak Citibank bude účastníkom aj slovenského systému ochrany vkladov, tak sa ochrana vkladov bude spravovať príslušnými slovenskými predpismi.
