All of the elements in each phase described below will be approved by you prior to your site going live. These six phases ensure that you get the best results from your internet investment. 1. We will evaluate the online lead generation and your sales processes for all of your products and services. This includes the completion of our Web Assessment form and interviewing your key people to describe their most common client inquires and needs. You ll complete and return the Web Site Assessment questionnaire and send us any relevant photos, testimonials and marketing materials that may be needed to re-design the site. We require a key person from your company to be designated to make decisions for this project. 3 Step 2: NEW SITE MAP PHASE We ll categorize all of your content into main sections. Then, create a new site map of the main sections with considerations for the sub sections, interactive features, data forms, multi-media elements, and programming needs. Next, we ll layout the navigation schemes, menu systems and admin area. This includes considerations for online databases, accounts and other domains that you should procure, or that you already have that need to be pointed to your main domain. Step 3: CONTENT & COPY REVIEW PHASE This phase covers the review and assistance with re-writing your main landing pages content where needed. It starts with your home page copy, and continues with the main sections to ensure that your new site communicates the value that you re offering with the specific action steps to get your visitors to respond. We ll also work closely with you to help improve the writing and delivery of your other content pages. 4 JavaScript elements (if applicable) - If you have elected to use a Home Page or Inside Page layout with graphical slide elements (we use JavaScript and no longer recommend flash) we ll send you a Storyboard layout of the scenes. This storyboard will include the theme, images, copy, and a description of any applicable scene transitions (fade, swipe, etc.). We allow up to three (3) revisions of each of the design look (Home Page, Inside Page, and JavaScript slides). Additional requests for new changes above and beyond the approved revisions must be submitted in writing ( , Print, Mail, Fax or Basecamp message) to PCG. These additional revisions shall be billed at our current rates ($ per hour), in 15 minute increments and might result in the delay of the completion of the project. We use Responsive web design (RWD) for multiple screen size devices. This is a web design approach aimed at crafting sites to provide an optimal viewing experience easy reading and navigation with a minimum of resizing, panning, and scrolling across a wide range of devices (from desktop computer monitors to mobile phones), as the sample image shows below. Step 5: PROGRAMMING & DEVELOPMENT PHASE Once the site looks have been approved, work starts on the interactivity, sales copy, content programming, JavaScript elements and the population of your content on the web pages. We start this phase with a complete backup of your current site files. We offer reasonable monthly or annual E-commerce hosting fees. We ll also provide you with an iphone/ipad/smart Phone enabled version of the main pages of your website that will load automatically if the visitor is using an Internet ready mobile device, digital pad or smartphone. Your site will be designed with search-engine optimization (SEO) and the customer experience in mind. Step 6: REVIEW, TESTING & LAUNCH PHASE We ll provide best-practices Search Engine Optimization (SEO) services throughout your site to help you get top rankings on your targeted keyword phrases. 8 Additional Understandings: 1. Prime Concepts will deliver an impressive look and feel congruent with your company s objectives, along with marketing elements to help you dramatically improve your site visitor s experience, giving you increased performance, leverage and sales. 2. The new site will be custom designed and developed using current HTML standards and will be developed using the WordPress platform. This will include content management and Blog features making it easy to update and add new content. 3. It s agreed that the Online Banking functionality, security, and transaction processing are handled through your third-party service provider. The only element included for online banking in this PCG agreement is the full FRONT-END website and the graphical interface for those web pages. 4. We will utilize your current site content, images and basic organization, but will be adding new copy along the robust features of interactivity, online streamlining video and audio. 5. Ongoing Support Details: Applicable only after your site is approved, launched and your 30 days of development and training support that is included with your site project 6. Stock photography and graphic design is included in your project. We will do our best to utilize appropriate images from your current site and will give you the option of replacing images as necessary. We recommend using real client photos when possible. 7. Future renewals of your domain names, shopping cart fees, hosting services, and rightsmanaged photography and credit-card merchant fees are separate from this agreement. 8. Nothing will be purchased separate from this agreement on your behalf without written approval in advance. 9. If Prime Concepts Group is unable to meet the delivery schedule set forth in the agreement due to delays by Client or changes requested by Client in the scope of work, Prime Concepts Group may, in its discretion, revise the production schedule as necessary and provide for adjustments in the costs for the Project 10. Any requests beyond the scope of this project will be quoted and invoiced accordingly. 11. Social Media websites may change their features and design layouts at unknown intervals. As part of your project, we will provide custom graphics for header images and profile backgrounds to current specifications when your website goes live. However, if a social media website changes their configurations 30 days after your website launch, any additional changes are separate from this agreement. 12. Our regular development hours are Monday to Friday, 8 am to 5 pm Central time. You ll have 24 hour access to our online project tracking system (BasecampHQ). 13. This project includes: Professional, visually exciting website design & responsive website development (RWD) Review your existing marketing and sales efforts to help you drive more leads Customized WordPress content management & blog development giving you full control over the content, updates and additions Business growth strategies, lead generation and conversion tactics New mobile enabled version of the main content sections for smartphones & digital pads Expand your digital footprint providing more social proof and making it easy for new prospects to find you and engage in your services. Content review of marketing sales copy and your bank s value-propositions Keyword research & SEO optimization of site and social media profiles Secure online form processing for virtual documents and contact forms Google analytics, admin area, proper 301 redirects. Targeted Delivery is within 75 days or sooner from receipt of all your content. If you don t deliver the content to us in a timely manner, then it may delay the project accordingly. All aspects of the project would be reviewed with you ahead of time to avoid any surprises. All disputes under this Agreement may be arbitrated under the rules of the American Arbitration Association, and any judgments in accordance with the above may be entered in a court of competent jurisdiction in the USA. 10 Prime Concepts Group Services Terms & Conditions 1. Quotations: Written quotations will be honored for 30 days after the date of the quotation. All prices and quotations provided by Prime Concepts Group, Inc., assume the customer (client) provides the proper information. 2. Order Cancellation: No order may be canceled after acceptance except upon terms that will compensate Prime Concepts Group, Inc., for work completed at our regular hourly rates. There is a minimum $4,500 cancellation fee. 3. Ownership of Proprietary Materials: Original artwork, type, film, and digital files used by Prime Concepts Group, Inc., remain the exclusive property of the client. As security for payment of any sum due, Prime Concepts Group shall have the right to retain possession of all and a security interest in all customer property in our possession including work in process and finished work until paid in full. 4. Production Schedules: We will provide an estimated completion date to the client. However, those dates merely reflect the average completion time of similar orders and will be affected by special customer requirements, workloads, and holidays. It is not contractual unless agreed to in writing for additional cost under Rush Project status. 5. Proofs: A proof will be submitted to the customer prior to printing or publishing each new project. In returning a signed approved copy of the proof you are accepting the project as delivered. 6. Warranty: Prime Concepts Group, Inc. will redesign or reprint any order that contains abnormal imperfections due to our mistake. However, if the error is the client s fault, the client assumes financial responsibility for any design work, publishing or production cost. Prime Concepts Group, Inc., will reproduce or redesign any order for the additional cost. 7. Customer Disks & Digital Information: The customer accepts all responsibility for supplied files that fail to output properly, contain errors or provide an unacceptable result. Prime Concepts Group, Inc., will make every effort to discover the potential problem, but accepts no liability or responsibility for errors not detected. 8. Customer Changes: Customer changes represent work performed in addition to the original specifications. Such additional work shall be billed at our current rates. Customer changes will delay the completion and delivery of your project. The customer must approve the cost of these scope changes in writing prior to the beginning of work necessary to perform the changes. 9. Revisions to the scope of work: Revisions beyond to the pre-agreed scope of work shall obligate the Client to additional fees and costs. These may include but are not limited to: changes made to copy after the final copy has been submitted and approved by client; changes made to the visual design once layouts, website design, or site map have been approved; extensive alterations; a change in project scope objectives on the part of the Client and new work requested by the Client after the execution of this Agreement. 10. Indemnification: The client affirms ownership or publication rights to all artwork, photos, text copy and other materials submitted for product development and agrees to indemnify and hold harmless Prime Concepts Group, Inc., from any and all liability, loss, cost, expense and damages on account of any and all manners of claims, demands, actions and proceeding that may be instituted against Prime Concepts Group on grounds that said product violates any copyright or any proprietary right of any person or business, or that it contains any matter that is libelous or scandalous, or invades any persons right to privacy or other personal right, except to the extent that Prime Concepts Group, Inc., contributed to the matter. The customer agrees to, at the customer s own expense, promptly defend and continue the defense of any such claim, demand, action or proceeding that may be brought against Prime Concepts Group, Inc., provided that Prime Concepts Group, Inc. shall promptly notify the customer with respect thereto. 11. Limitation of Liability: In no event shall "Prime Concepts Group Inc." or its employees, officers, consultants or subcontractors of any tier be liable in contract, tort, strict liability, warranty or otherwise, for any special, incidental or consequential damages, such as, but not limited to, delay, disruption, loss of product, loss of anticipated profits or revenue, loss of use of the system, non-operation or increased expense of operation of other systems, cost of capital, or cost of purchase or replacement systems. Some jurisdictions do not allow excluding or limiting implied warranties or limiting liability for incidental or consequential damages, and some jurisdictions have special statutory consumer protection provisions which may supersede the foregoing disclaimers and limitations. As a result, these disclaimers and/or limitations may not apply to you if prohibited by law. 12. Copyrights. By submitting content to Prime Concepts group in printed or digital format or from selected sites that I specify, I warrant that these items I submit via , print or digital transmission are not protected under copyright or trademark laws or that I have the authority to print or reproduce the files, in print, or on an Internet Site. I hereby agree to indemnify and hold Prime Concepts Group harmless from any suit, demand, or claim made against Prime Concepts Group's by reason of breach of this warranty, and I agree to any judgment or reasonable settlement offer resulting from any such suit, demand, or claim, and to pay any attorney's fees incurred by Prime Concepts Group in defending against such suit, demand, or claim. I agree that Prime Concepts Group may provide a copy of this statement to anyone claiming infringement of copyright or trademark in the file(s) being submitted. By transmitting your order or hiring Prime Concepts Group services you are agreeing to the foregoing indemnification of Prime Concepts Group.
