3 Frequently Asked Questions "How do I get started?" In order to start a business in the state of Georgia, you must have a business license. Business Licenses are obtained through either the city or county in which you plan to conduct business. To find out who regulates business licenses in your county you may contact your local chamber of commerce office. A complete listing of Georgia s Local Chambers of Commerce can be found in this book. Some businesses are required to obtain a license from the state of Georgia before opening. The Consolidated Registration Information for Businesses link identifies those professions which require a state license issued by the Secretary of State's Office, advises as to which licenses you may need from the State Department of Revenue or State Department of Agriculture and provides an opportunity to download a copy of our information booklet. Where do I go to register a sole proprietorhip? Sole proprietorships are not state regulated; hence there is no requirement to do business as a sole proprietor other than obtaining a business license from the county/city in which the business is being conducted. Sole proprietors are required to register with the state only if they choose to incorporate their business, establish a limited liability company or a limited partnership. "What about taxes?" If you plan on selling anything as a part of your new business, you will have to charge sales tax. The state tax rate is a set rate for the whole state regardless of where you are located in Georgia. However, local governments also add to the sales tax that is charged on goods that are sold. You will need to contact your local government's tax commissioner's office to acquire the rate of sales tax for your area. You will also need to obtain a Federal Tax ID number from the Federal Internal Revenue Service. In fact, this is one of the first things you will need to do when you are setting up your new business, as most of the paperwork you fill out will ask for this number. You may also need to check with the Georgia Department of Revenue in regards to taxes. Some products in Georgia have an additional tax added to them and you should be certain you are abiding by the laws in connection with these products. "Should I incorporate my business?" This is a question only you can answer. You may want to consult an attorney and/or certified public accountant to advise you as far as incorporation is concerned. Either of these professionals should be able to acquaint you with the advantages and disadvantages of becoming incorporated. When you have made your decision, you can visit the Secretary of State's Corporations Division online and download all the paperwork you will need to work through the incorporation process. The U.S. Small Business Administration is a good source for information concerning qualification for potential loans and available grants. The Administration can be contacted by calling ASK-SBA. 4 assistance, business counseling, training, minority enterprise development and government contracting. The Georgia Department of Community Affairs Office of Business and Economic Affairs is another excellent source of information. Contact the Georgia Department of Labor with questions about Georgia's labor laws. The GDOL can provide you with important information useful in the formation and operation of your business enterprise in Georgia. Georgia defers to the federal government for the circulation and enforcement of occupational safety and health regulations. You will need to file papers with both divisions in order to be registered with the state. "Do I have to report who works for my business?" Employers or labor organizations doing business in the state of Georgia shall report the hiring of any person who resides or works in Georgia to whom the employer anticipates paying earnings. Employers must also report rehires or the return to work of an employee who has been laid off, furloughed, separated, granted a leave without pay, or terminated from employment. Georgia corporations, limited liability companies and limited partnerships must file formation documents with the Secretary of State. Corporations, limited liability companies, limited partnerships, or limited liability partnerships formed outside the state of Georgia must be registered with the Secretary of State before transacting business in Georgia or before obtaining any license or permit issued under Georgia law. Any organization that has adopted a trademark or service mark may register that trademark with the Secretary of State. The Secretary of State, through the office of Securities & Business Regulation division, issues licenses or otherwise regulates entities which include: Securities Dealers and Sales Representatives, Issuers of Securities, Investment Advisors, Charitable Organizations and Solicitors, and Perpetual Care Cemeteries. These boards are responsible for the professional licensing of over seventy different professions or occupations. Each of these boards has been established by the General Assembly to regulate the professional activities and the quality of service provided by the license holder. 9 GEORGIA DEPARTMENT OF COMMUNITY AFFAIRS OFFICE OF BUSINESS & ECONOMIC ASSISTANCE Jim Higdon, Commissioner The Department of Community Affairs (DCA) was created in 1977 by the General Assembly to improve Georgians quality of life by enhancing the effectiveness of local governments and maintaining the positive relationship between the state government and the 700 plus local governments in Georgia. 12 Georgia Department of Labor Michael Thurmond, Commissioner The Georgia Department of Labor provides consultation to business and industry considering expansion in or relocation to Georgia. As part of Georgia s economic development team, the department s Economic Development and Employer Relations (ED&ER) Office participates in projects throughout the state, develops labor force advisories and makes presentations to expanding and prospective companies. 14 Georgia Department of Revenue State Tax Application Forms The Georgia Department of Revenue has consolidated many of its registration services. It is now possible for new business owners to complete the necessary tax registration forms without unnecessary delays. 15 United States Department of the Treasury Internal Revenue Service A new business venture, in almost every instance, will require an Employer Identification Number (EIN) issued by the Internal Revenue Service. In most instances this is the first application you, as a new business owner, should complete. You will be required to list your employer identification number on many of the subsequent applications you complete in the opening of your business. An EIN application form (SS-4) can be mailed to you by calling the Internal Revenue Service at or via computer by accessing the IRS Home Page at After you have completed the Form SS-4 you may secure an EIN by mail or phone. 16 Georgia Department of Industry, Trade & Tourism Randolph Cardoza, Commissioner The Georgia Department of Industry, Trade & Tourism is Georgia s official state agency for developing new jobs and creating capital investment. 17 University of Georgia Business Outreach Services Small Business Development Centers The University of Georgia Business Outreach Services, through its Small Business Development Center Program helps build businesses in Georgia. Recent studies show significant revenue and job growth after just one year of help from the SBDC. The SBDC in an innovative, university-based service effort whose professional consultants provide management and the technical assistance to business owners and prospective entrepreneurs. General Services Administration Region 4 (Georgia) Office As the government s purchasing agent, the General Services Administration (GSA) buys more than $10 billion a year in goods and services. 24 Fact Sheet Georgia New Hire Reporting Program The new hire law provides: More financial support for children Flexible reporting for employers Savings for taxpayers Who must report? Employers of labor organizations doing business in the state of Georgia shall report the hiring of any person who resides or works in Georgia to whom the employer anticipates paying earnings. Employers must also report rehires or the return to work of an employee who has been laid off, furloughed, separated, granted a leave without pay, or terminated from employment. What information must be reported? Employee s full name Employee s address Employee s Social Security Number Medical insurance coverage availability Employee s date of birth (indicate four digit year) Employee s date of hire (indicate four digit year) Employee s state of hire Employer s name (please use corporate name) Employer s address Employer s telephone number Employer s Federal Employer Identification Number (Please note: without the FEIN, reports cannot be processed) Multi-state Employer (if applicable) see below How often must employers report? Georgia law requires employers to submit new hire information within ten (10) days of the date of hire. How can employers report? Diskette. Data specifications are included in this packet. Magnetic Tape. Data specifications are included in this packet. Electronic file transfer. Data specifications for your file are included in this packet. Call us and we will explain the procedure to dial-in and deposit your file. Printed List. Fax or mail a printed list with the required information. New Hire Form. Fax or mail the completed form to us. The New Hire Form is included in this packet. Payroll Service. If you use a payroll service or accounting service, consider asking the service to report your new hires for you. Many payroll services are already doing this in other states. W-4 Form. After a new hire completes this federal form, fill in the required employer information on lines 8 and 10. Fax or mail a copy of the W-4 form to us. Internet. Employers can access and report information on the Internet at Formatted Diskette. By using a formatted diskette, the employer will simply enter all their new hires into our simple program and either electronically mail the file to our Internet site or dial into our system and deposit the file. Of course, the employer can also send the file by mail. Call us and we will send you the formatted diskette. 24

25 Multi-state Employers: If you are a multi-state employer, you may report newly hired employees to the state in which they are working or you may select one state to which to report all new hires. If one state is chosen, your new hire reports must be submitted electronically or by magnetic tape or diskette. Two monthly electronic or tape transmissions must be made which are not less than 12 days nor more than 16 days apart. Please inform the U. S. Secretary of Health and Human Services of your decision.
