2 REQUEST FOR PROPOSAL I. INTRODUCTION AND PURPOSE In March 2015, The Regents of the University of California on behalf of UCLA Health (UCLA) issued a Request of Information (RFI Number 8017) to identify qualified consulting firms that have demonstrated successes in assessing/developing retail healthcare strategies and tailoring a retail strategy that would work for an academic medical center. As a result of that effort, UCLA Health was able to not only identify potential consulting firms but also was able to refine its requirements and desired deliverables for a consulting firm that would assist them in developing a retail strategy. The intent of this RFP is to solicit formal responses from qualified consulting firms that will work with UCLA Health in this effort. UCLA Health, which is comprised of the David Geffen School of Medicine at UCLA clinical departments and its dual-campus hospital system, is committed to acting on the promise of healthcare reform that expands coverage, provides greater accessibility and improves the quality of healthcare for all patients. To support our mission: teaching, research and clinical, we have developed a growth strategy that includes expanding our UCLA s primary care network in target markets. We realize that a potential competitive threat to this strategy is the emergence of retail players (e.g. Wal-Mart, Target, CVS, etc) that are also developing and building out similar capabilities. Our perception is that the purpose may vary by retailer, i.e., increase customer flow, grow prescription volume, or transforming into a health provider. As a result, we are seeking to identify qualified healthcare consulting firm that can assist in assessing the overall retail healthcare market, apply geographic sensitivity to the SoCal market, and help us determine a cogent plan forward. II. SCOPE OF WORK, EXPECTED DELIVERABLES AND OUTCOMES The awarded vendor shall be required to provide consulting services in the areas of consumer research, retail clinic research and UCLA s position in retail healthcare as outline below. Vendors responding to this RFP should provide their methodology and experience in providing the required services as describe below: A. Consumer Research: Consultant shall provide UCLA with an in-depth understanding of consumer behavior of the evolving retail healthcare industry. UCLA s retail health care definition includes big box retail chains, UCLA owned shopping mall center clinics, retail pharmacy chains, free-standing urgent care, free-standing emergency departments, ambulatory surgery/procedure centers (ASCs), employee health clinics, concierge care, home health, telehealth (from remote monitoring to web-based consumer-to-health provider consultations), ancillary ambulatory services (diagnostic imaging, laboratory and rehabilitation services), Initials:

3 gyms/geriatric wellness centers, chronic disease management, and transportation services. Consultant needs to provide UCLA with an accurate projection of current and future consumer behavior of retail health care products and programs, as defined by UCLA (through further collaboration with the selected consulting firm), which may include the following payer segments: 1. Commercially insured (fee-for-service and risk-bearing arrangements) 2. Medicare (fee-for-service and risk-bearing arrangements) 3. Underinsured (Medi-Cal, public exchanges, private exchanges) 4. Uninsured Consultant should provide major consumer behavior drivers, including conjoint analysis of competing major behavioral drivers. One example is to understand whether or not consumers want help navigating their care, and if so, would they envision this is a role for a PCP? Consultant will also provide similar analyses of future consumer behavior attitudes towards primary care physician usage and hospital use. UCLA will require consultant to provide the above analyses for the greater Los Angeles County market area and potentially strategic sub-markets (as jointly defined) and account for age cohort, race/ethnicity, and socio-economic variations. From this proposed consumer research, UCLA expects to gain an aptitude in understanding health care-related consumer decision-making behavior, and leveraging this aptitude to advance the UCLA Health System s population health vision. B. Retail Clinic Research: 1. Consultant shall propose and recommend the most likely future and prevalent health care provider model where retail health care is a permanent component of said model. Consultant shall identify winners & losers under their proposed future scenario and explain why. 2. Consultant shall address the following specific questions for the top 5 big box and retail pharmacy chain companies (Walmart, Target, CVS CareMark, Walgreens, Rite-AID), concierge, and home health providers that are invested in the retail health care space: a. What is the retail health care long-term vision and strategic goals for each of the top 5 big box companies? b. Which companies have a sustainable retail health care strategy business model and long-term viability? Why? c. Which companies are willing to affiliate with providers like UCLA and be willing to share revenue/profit streams? Initials:

4 What mutual business lines are likely candidates for these affiliations? d. What are the next clinical areas of focus beyond basic primary care services and chronic disease management? e. For direct to employer retail offerings, can you identify successful examples of retail health care providers establishing on-site clinics for major employers and reasons for their success? f. Which companies will become prominent in retail-related pediatric care? g. Which companies plan to partner with or offer a health plan product? h. To what extent will there be consolidation among these retail health care companies, if any? i. Which companies will most likely be a competitive threat to UCLA in the future? j. Which companies can provide the best value to achieve UCLA s success in this retail space and why? C. UCLA s Position: k. Identify the key indicators that UCLA can track to determine whether retail clinics will evolve into a permanent fixture in future health care delivery or will be temporary phenomenon. Consultant will provide UCLA with an assessment and recommendations for the following: 1. Quantify the impact from the evolving retail care to the UCLA Health System as currently configured, to its primary care distribution strategy and specialist referral network. 2. Which UCLA competitors (health systems, major medical groups, etc.) will most likely partner with retail health care providers? And which pose the most imminent threat to UCLA? Specifically in reference to Kaiser Permanente, consultant will identify Kaiser s retail health care strategy (delineating between payer and provider specific activities) and what tactics UCLA must implement to maintain a competitive position Initials:

5 3. Does a long-term affiliation/partnership between UCLA and a retail health care company have sufficient accretive value for UCLA to invest in this strategy? If the response is yes, which retail health care provider would be the best partner(s) for UCLA to consider? 4. Quantify the value of the UCLA brand for consumers as it impacts healthcare provider selection across a continuum of health care needs, from minor to tertiary/quaternary care relative to major decision variables across the continuum. D. UCLA s Implementation Plan: Prepare a UCLA specific retail health care implementation plan that is practical and clearly outlines action plans, milestones, and a realistic timeline to achieve integration. This may be inclusive and/or exclusive of a recommendation to partner with a retail health care company. III. FEE FOR SERVICES Respondents should include a quote for the services to be provided as part of this RFP. IV. STAFFING Responses should include a list of proposed staffing to include but not limited to staff qualifications and experience. V. RESPONSE DUE DATE Written responses are due on June 19, 2015 at 2:00 p.m. (Pacific Time). VI. VENDOR PRESENTATIONS A. Finalists will be selected to participate in a vendor presentation to further discuss their methodology, strategy and experience in providing the services as outlined in the RFP. The presentation(s) will be conducted at UCLA. B. It is anticipated that presentations will be conducted during early July. A presentation schedule will be provided to all finalists. VII. GENERAL INSTRUCTIONS A. The respondent shall provide six (6) copies and two (2) electronic copies (flash drive) of their response. One (1) written copy should be clearly marked as the master copy B. A cover letter should be included with response. The cover letter should identify the representative of the company that is duly authorized to commit and respond on behalf of the company. This person must sign the cover letter. C. Responses should include the return of the original RFP with initials in the space provided (lower right hand corner of each page). Responses should be submitted in a sealed container, package or envelope that will preserve contents until opened by an authorized UCLA representative. The RFP number should be clearly marked on the outside of the container, package, or envelope. E. Overnight express mail, messenger, or any other delivery method that will ensure on-time delivery with proof of delivery should be used to send responses. UCLA does not assume responsibility for late receipt (delivery) of response or responses sent by the United States Postal Services. F. Responses made by or facsimile will not be accepted. G. Deviations from the RFP expectations and requirements must be noted in respondent s response. Respondents should be aware that any deviations to the minimum expectations and/or requirements as outlined in this RFP may result in disqualification. K. BASIS FOR AWARD All responses will be reviewed and evaluated by a selection committee. Responses will be evaluated on the respondent s ability to provide the requested services, expertise, experience and other factors deemed applicable to UCLA. UCLA has established a weight factor that will be applied to each award criteria and will be used to determine the overall cost per quality points. The evaluation committee reserves the right to contact, interview, and evaluate the respondent s references, contact and interview current clients, solicit information from any available source concerning any aspect of this proposal or response, and seek and review any other information deemed pertinent to the evaluation process. UCLA reserves the right to award an agreement based on the best overall value of services and total costs. Therefore, the award may not be made to the lowest bidder. UCLA reserves the right to reject or accept any or all proposals, to make more than one selection, or not select. Any resulting agreement will incorporate the terms, conditions, and requirements set forth in this RFP. UCLA reserves the right to make one or multiple awards. X. GENERAL TERMS AND CONDITIONS A. UCLA is not responsible for any preparation or presentation costs incurred by respondent. Respondent is solely responsible for all costs in association with information, proposals, visitations, demonstration, and personnel furnished to comply with this RFP or any subsequent requests prior to issuance of a contract. B. Respondents may be contacted for further involvement through invitations for additional oral presentations, site visits, on-site demonstrations, conference calls, etc. C. Those elements in each proposal which the respondent considers to be trade secrets, as that term is defined in Civil Code Section (d), or otherwise exempt by law from disclosure, should be prominently marked as TRADE SECRET, CONFIDENTIAL, OR PROPRIETARY by the respondent. UCLA, will not in any way, be liable or responsible for the disclosure of any such records including, without limitation, those so marked if disclosure is deemed to be required by law or by an order of the court Initials:

8 D. All proposal shall remain available to acceptance for a minimum of ninety (90) days following the RFP closing date. E. University of California Terms and Conditions, copy attached, shall be part of this agreement. F. All proposals shall remain available for review and acceptance for a minimum of ninety (90) days following the RFP closing date. G. Responses, proposals or any other documents constituting any agreement entered into thereafter become the exclusive property of UCLA and will be subject to the California Public Record Act (Government Code Section 6250 et. seq). UCLA s use and disclose of its records are governed by this Act. H. The awarded vendor(s) shall be prohibited from making any reference to UCLA or its health systems and the use of the UCLA logo in any literature, promotional material, brochures, or sales presentation without the express written consent of UCLA Initials:
