Once a consumer's load requirements have met these availability criteria, that consumer will remain under this rate classification for twelve months, following which time the consumer may qualify to receive service under another applicable rate of the Cooperative. 2 SAM HOUSTON ECI GENERAL SERVICE SCHEDULE GS Page 2 of 3 POWER COST RECOVERY FACTOR CHARGE The above rates shall be increased or decreased subject to the provisions of the Cooperative's Power Cost Recovery Factor Schedule T DETERMINATION OF BILLING DEMAND The Billing Demand shall be based on the maximum kilowatt demand established by the consumer for any fifteen minute period during the month for which the bill is rendered and the preceding eleven (11) months. The Billing Demand shall be the greater of 100% of the current month's demand or 50% of any previous applicable month as specified above. POWER FACTOR ADJUSTMENT The consumer agrees to maintain unity power factor as nearly as practicable. Actual demand may be adjusted for any customer with 20 kw or more of measured demand. When the Consumer's power factor at the time of the metered maximum kilowatt demand is determined to be less than ninety percent ( go%), the Billing Demand shall be determined by multiplying the metered maximum kilowatt demand by ninety percent (90%) and dividing the product thus obtained by the actual power factor. METERING The Cooperative will provide metering at either primary or secondary distribution voltage at the option of the Cooperative. When metering is provided at primary distribution voltage, the Demand Charge and Energy Charge in the above MONTHLY RATE will be reduced by 2% for billing purposes herein. N TAX ADJUSTMENT In addition to all other charges contained herein, the consumer shall pay any sales, use, franchise or other tax now or hereafter applicable to the service rendered hereunder or imposed on the Cooperative as a result of such service; provided, however, that no such tax shall be charged if the consumer has furnished to the Cooperative evidence of the Cooperative's exemption from liability for such tax. In the event the current monthly bill is not paid within sixteen (16) days of mailing date, a five percent (5%) penalty will be added to the bill. TERMS OF PAYMENT Bills become delinquent if unpaid sixteen (16) days after issuance (postmarked date). Service shall be disconnected if the bill has not been paid within twenty-six (26) days from date of issuance providing proposer notice has been given at least ten (10) days prior to the stated date of disconnection.

Livingston, Texas TEXAS-103-POLK Page 1 of 2 IRRIGATION SERVICE SCHEDULE IR I T AVAILABILITY Available to consumers of the Cooperative for pump irrigation service, subject to the established rules and regulations of the Cooperative. TYPE OF SERVICE 1. Three-phase at standard secondary voltage. 2. At the discretion of the Cooperative, single-phase service may be furnished in locations where three-phase service is not available, provided the motor capacity is not in excess of ten (10) horsepower. 3. Motors having a rated capacity in excess of ten (10) horsepower must be three-phase. 4. All wiring, pole lines, and other electrical equipment beyond the metering point, shall be considered the distribution system of the consumer and shall be furnished and maintained by the consumer. MONTHLY RATE Horsepower Charge Energy Charge All kwh MINIMUM $1.75 per HP 7.35C per kwh The minimum monthly charge shall be the higher one of the I following charges: 1. The minimum monthly charge specified in the contract for service. 2. A charge of $1.15 per kva of installed transformer capacity. I T T

10 SAM HOUSTON ECI IRRIGATION SERVICE SCElEDULE IR Page 2 of 2 MINIMUM ANNUAL CHARGE FOR SEASONAL SERVICE Consumers requiring service only during certain seasons not exceeding nine months per year may guarantee a minimum annual payment of twelve times the minimum monthly charge determined in accordance with the foregoing section, in which case there shall be no minimum monthly charge. POWER COST RECOVERY FACTOR CHARGE The above rates shall be increased or decreased subject to the provisions of the Cooperative's Power Cost Recovery Factor Schedule T DETERMINATION OF HORSEPOWER The horsepower for billing purposes shall be the manufacturer's motor nameplate rating or at its option the Cooperative may determine the horsepower by test under conditions of maximum operating load. TAX ADJUSTMENT In addition to all other charges contained herein, the consumer shall pay any sales, use, franchise or other tax now or hereafter applicable to the service rendered hereunder or imposed on the Cooperative as a result of such service; provided, however, that no such tax shall be charged if the consumer has furnished to the Cooperative evidence of the Cooperative's exemption from liability for such tax. Livingston, Texas TEXAS-103-POLK SECURITY LIGHTING SERVICE SCHEDULE NM Page 1 of AVAILABILITY Available to all consumers located on or near Cooperative's existing lines who have one or more electric meters connected at the same location, subject to the established rules and regulations of the Cooperative. TYPE OF SERVICE Single-phase unmetered security light service supplied exclusively to one or more outdoor type 175-watt mercury vapor lamps operating automatically at night from dusk to dawn. CONDITIONS OF SERVICE The Cooperative will at its own cost and expense, replace burned out lamps. Expenses covering replacement of lamps, refractors or ballasts due to vandalism may be billed to the consumer or the security light may be removed. MONTHLY RATE $7.50 per light POWER COST RECOVERY FACTOR CHARGE The above rates shall be increased or decreased subject to the provisions of the Cooperative's Power Cost Recovery Factor Schedule "PCRF. '' DETERMINATION OF ELECTRIC ENERGY Electric energy supplied in the operation of this lamp will be estimated at the rate of 75 kwh per light per month. TAX ADJUSTMENT In addition to all other charges contained herein, the consumer shall pay any sales, use, franchise or other tax now or hereafter applicable to the service rendered hereunder or imposed on the Cooperative as a result of such service; provided, however, that no such tax shall be charged if the consumer has furnished to the Cooperative evidence of the Cooperative's exemption from liability for such tax. Livingston, Texas TEXAS-103-POLK LARGE POWER HIGH LOAD FACTOR SERVICE SCHEDULE HLF Page 1 of 3 I T AVAILABILITY Available to consumers located on or near Cooperative's threephase lines for all types of usage, with an average monthly peak demand of 5,000 kilowatts or more and with a minimum monthly load factor of 70%, subject to the established rules and regulations of the Cooperative. The monthly load factor shall be determined by dividing the consumer's average demand (energy usage divided by the number of hours in the billing period) by the consumer's billing demand. TYPE OF SERVICE 0 - Three-phase at available primary or secondary voltage. Motors having a rated capacity in excess of ten (10) horsepower must be three-phase. PRIMARY SERVICE When the consumer takes service at the Cooperative's available primary distribution voltage and supplies all necessary utilization equipment, the above Demand Charge shall be reduced by $.35 per kw. If the consumer supplies all necessary utilization equipment except for transformation equipment, the Demand charge shall be reduced by $.15 kw. If the consumer supplies the transformation equipment, but the Cooperative provides all other necessary utilization equipment, the Demand Charge shall be reduced by $.20 per kw. T T

Livingston, Texas TEXAS-103-POLK EXPERIMENTAL INTERRUPTIBLE SERVICE RIDER TO SCHEDULE HLF SCHEDULE ISR Page 1 of 3 APPLICABILITY 0 This rider is app icable to consumers served under the Cooperative's large power service Schedule HLF. AVAILABILITY The availability of service under this rider is contingent upon the Cooperative purchasing power for service rendered herein pursuant to Sam Rayburn G&T Electric Cooperative, Inc.'s (SRG&T) Experimental Interruptible Service Rider to Schedule SRG&T (and successor tariffs). The availability of service under this rider may be amended or withdrawn to reflect corresponding changes in that wholesale rate rider. SERVICE INTERRUPTIONS The Cooperative may require a consumer served under this rider to reduce its load due to an imbalance on the Cooperative's or SRG&T's system and/or when, in the opinion of the Cooperative, a prompt reduction of the load on the Cooperative's or SRG&T's system is required in order to maintain system integrity. The Cooperative shall give the consumer advance oral notice of required load reductions. The Cooperative shall attempt to provide such notice two and one-half (2h) hours in advance of an interruption. In the event an emergency condition arises on the Cooperative's or SRG&T's system, the Cooperative may interrupt the consumer's service without notice. If the Cooperative desires to interrupt service to reduce its or SRGbT's peak demands or for SRG&T to avoid higher contract capacity obligations with its power suppliers, the Cooperative shall give the consumer notice twenty-four (24) hours in advance. Upon receiving notice, the consumer shall reduce its load as requested until the Cooperative has notified the consumer that the interruption is no longer in effect.

17 0 Page 2 of 3 SAM HOUSTON ECI EXPERIMENTAL INTERRUPTIBLE SERVICE RIDER TO SCHEDULE HLF 0 Interruptions will be limited to no more than ten (10) hours per day (midnight to midnight) and to no more than two (2) interruptions per day. Interruptions will also be limited to a maximum of fifty (50) hours in a single week (12:Ol a.m. Monday to 12:OO p.m. Sunday). Annual interrupted hours shall not exceed 600 hours in any calendar year. Periods when service is interrupted due to general system curtailment and emergencies (such as wind and ice storms) shall not be counted in determining the above hours. The amount of load reduction to any consumer served hereunder shall at no time exceed the interruptible load contracted for pursuant to the Contract For Interruptible Service between the Cooperative and the consumer. DETERMINATION OF INTERRUPTIBLE LOAD For billing periods during which notification to interrupt has been given, the interruptible load in kilowatts for which the consumer receives a monthly billing credit shall be the difference between the consumer's current month maximum kilowatt demand and the consumer's maximum kilowatt demand established during periods of requested load interruption during the current month; provided, however, that the amount of interruptible load for which the billing credit is received shall not exceed the Contract Interruptible Load as set forth in the Contract For Interruptible Service between the Cooperative and the consumer. For billing periods during which no notification to interrupt has been given, the interruptible load for which the consumer receives a monthly billing credit shall be equal to the Contract Interruptible Load; provided, however, that the amount of interruptible load for which the billing credit is received shall not exceed the consumer's current month maximum kilowatt demand. Provided further that, if SRG&T obtains regulatory approval to bill on a coincident demand basis in the future, the amount of interruptible load for which billing credit is received shall not exceed the customer's current month's demand coincident with SRGbT's monthly maximum system peak demand. 0

18 0 Page 3 of 3 SAM HOUSTON ECI EXPERIMENTAL INTERRUPTIBLE SERVICE RIDER TO SCHEDULE HLF BILLING CREDIT Consumers taking service under this rider shall pay all applicable rates, power cost recovery adjustment charges and other rates and charges under the Cooperative's Schedule HLF; provided, however, that such monthly billing shall be reduced by an amount equal to the applicable monthly billing credit the Cooperative receives from SRG&T under its Experimental Interruptible Service Rider to Schedule SRG&T (and successor tariffs) for service rendered herein to the consumer. FAILURE TO INTERRUPT If the consumer intentionally fails or refuses to reduce its load pursuant to an interruption notice, then the following provisions will apply: (1) For the first failure to reduce load, the consumer shall not receive the interruption credit for the relevant billing month; (2) For the second failure to reduce load, the consumer shall pay an amount equal to twice SRG&T's monthly Maximum Load Charge; (3) For the third failure to interrupt, the Cooperative and the consumer will attempt to negotiate new arrangements. The Cooperative, however, shall have the right to cancel service hereunder upon 30 days' written notice. OTHER TERMS AND CONDITIONS Except as specifically provided in this rider, the terms and conditions of Schedule HLF shall apply.

Livingston, Texas TEXAS-103-POLK ECONOMIC DEVELOPMENT SERVICE SCHEDaE EDS Page 1 of 4 AVAILABILITY Available in all territory served by the Cooperative, in accordance with its established service rules and regulations, and subject to the execution of a written agreement for service provided herein between the Cooperative and the consumer. Service is being provided under this schedule to promote employment and economic development and is not available for temporary, standby, or breakdown service, or for parallel operation. Further, the total kilowatt capacity of all consumers served hereunder shall not exceed the load growth kilowatts allocated or assigned to the Cooperative by Sam Rayburn GbT (SRG&T) APPLICABILITY Applicable to existing consumers of the Cooperative who contract for additional monthly capacity which is at least 1,000 kw of firm service above their monthly kw received from the Cooperative during respective months in the Base Year as defined herein, provided that such additional capacity is accompanied by at least 100 additional permanent full-time jobs over and above the consumer's permanent full-time jobs as of the end of the Base Year. Also applicable to new consumers who contract for not less than 1,000 kw of firm service provided that such firm service is accompanied by at least 100 full-time permanent jobs. TYPE OF SERVICE Three-phase, 60-hertz, at available voltages, or such other voltage as is mutually agreeable. 20 0 Page 2 of 4 SAM HOUSTON ECI ECONOMIC DEVELOPMENT SERVICE SCHEDULE EDS MINIMUM MONTHLY CHARGE The minimum monthly charge shall be such charge specified in the agreement for service between the consumer and the Cooperative. ENERGY COST,RECOVERY FACTOR The Energy Charge stated above is based upon a wholesale energy cost to SRG&T of mills per kwh pursuant to the load growth pricing arrangements set forth in Revised Amendment No. 3 to the Power Supply Agreement between SRG&T and Gulf States Utilities Company. Should the actual cost of energy purchased thereunder from SRG&T differ from mills per kwh, then such difference (positive or negative) shall be passed through to the consumer in the form of a monthly Energy Cost Recovery Factor ($/kwh) applied to the total kilowatt-hours purchased by the consumer hereunder. 0 0 DETERMINATION OF JOBS As a condition of receiving service hereunder, existing consumers must furnish the Cooperative a notarized report of the number of permanent full-time employees as of the end of the Base Year. Further, existing consumers will furnish to the Cooperative a notarized written report of the number of permanent full-time employees as of each subsequent December 31, such report to be submitted to the Cooperative no later than January 31 of the following year. New consumers must submit to the Cooperative no later than one month prior to initially receiving service hereunder an estimate of the number of permanent full-time employees. Further, within one month of the initial date of service hereunder, the consumer shall provide the Cooperative with a statement of the actual number of permanent full-time employees. DETERMINATION OF CONSUMER CHARGE The Consumer Charge shall be determined by applying a monthly carrying charge to the total investment (including any net replacements made from time to time) in electric plant facilities installed by the Cooperative specifically for providing service herein. The monthly carrying charge shall be based upon current investment-related costs of providing service such as operating and maintenance expense, property taxes, depreciation and interest expenses. In addition to the carrying charge just described, a monthly billing charge of $50 shall be included in the Customer Charge. The monthly carrying charge excludes administrative and general expense accounts, and only includes those operation and maintenance expense accounts which correspond to the costs related to Schedule EDS investment facilities.

If the consumer's load or service location renders such metering impractical, or at the Cooperative's option, the consumer's demand and energy billed hereunder may be metered at the point that service is delivered to the consumer, and then adjusted to

WHOLESALE RATE ADJUSTMENT The charges and provisions contained herein are predicated upon the Cooperative receiving power and energy from SRG&T for service hereunder pursuant to the load growth pricing arrangements set forth in Revised Agreement No. 3 to the Power Supply Agreement between SRG&T and Gulf States Utilities Company. Should there be any change in those pricing arrangements, the Cooperative reserves the right, subject to approval by the Texas PUC, to modify the charges and provisions contained herein correspondingly. ' TERMS LATE PAYMENT The above rates are net. In the event the current monthly bill is not paid within sixteen (16) days of mailing date, a five percent (S%)-penalty will be added to the bill. OF PAYMENT Bills become delinquent if unpaid sixteen (16) days after issuance (postmarked date). Service shall be disconnected if the bill has not been paid within twenty-six (26) days from date of issuance providing proper notice has been given at least ten (10) days prior to the stated date of disconnection. TERM OF SERVICE Service hereunder shall terminate on or before December 31, The Cooperative or the consumer may terminate service under I c this schedule upon thirty (30) days' written notice. Following termination of service hereunder, the consumer shall be billed under the Cooperative's rate schedule applicable to other consumers of similar load size and type. When service hereunder is terminated by either party, unless the consumer continues to receive electric service from the Cooperative according to the applicable retail rate schedule, a bill will be rendered to the consumer, in addition to any other charges which may be due, equal to the monthly Demand Charges as computed herein for a period of eleven months following such termination.

27 AGREEMENT FOR PURCHASE OF POWER AGREEMENT made, 19-, between SAM HOUSTON ELECTRIC COOPERATIVE, INC. (hereinafter called the 'Seller'), and WITNESSETH:, (hereinafter called the 'Consumer'). The Seller agrees to sell and to deliver to the Consumer, and the Consumer agrees to purchase and receive from the Seller all of the electric power and energy which the Consumer may need at (Grid Location). Service shall be provided at a point on the premises to be agreed upon by both parties. 1. SERVICE CHARACTERISTICS A. Service hereunder shall be alternating current, - phase, sixty cycle, volts. B. The Consumer shall use the electric power and energy furnished hereunder as a primary source of power, and not sell electric power and energy purchased hereunder. C. In view of the Seller, if the use of the service has adverse effects or causes a reduction of the quality of service to the existing customers of the Seller, the Consumer shall pay the Seller the amount of the cost to rectify the Seller's facilities to furnish the existing Customers the same quality of service as before the Consumer was connected. If the Consumer refuses to pay, the Seller has the right to discontinue the service without notice. 2. PAYMENT A. The Consumer shall pay the Seller for the service hereunder at the rates and upon the terms and conditions set forth in Schedule _. Notwithstanding any provision of the Schedule, however, the minimum charge per month shall be B. CONTINUITY OF SERVICE The Seller shall use reasonable diligence to provide a constant and uninterrupted supply of electric power and energy; but if such supply shall fail or be interrupted, or become defective through an Act of God, or the public enemy, or by accident, strikes, labor troubles, or by action of the elements, or inability to secure rights of way, or other permits needed, or for any other cause beyond the reasonable control of the Seller, the Seller shall not be liable therefor. 4. MEMBERSHIP AND DEPOSIT The Consumer shall become a member of the Seller, shall pay the membership fee and be bound by the provisions of the Articles of Incorporation and bylaws of the Seller and by such rules and regulations as may from time to time be adopted by the Seller. A Membership Fee of $5.00 shall be paid by the Consumer. The Consumer shall be required to pay an applicable deposit of based upon the Seller's tariff under Rules/Regulations TERM This agreement shall become effective on the date service is first delivered hereunder by the Seller to the Consumer, and shall remain in effect for a period of - year(s) and thereafter until terminated by the Seller or the Consumer giving the other party three months notice in writing. 6. INTRODUCTION The Rules and Regulations contained herein are a part of the tariff of this Cooperative and are intended to establish the governing policy in rendering electric service. The Cooperative reserves the right to amend or alter the rules at any time. The rules do not relieve in any way a continuity of any of its duties under the laws of this State or of the United States, These rules shall not be construed as to enlarge, diminish, modify, or alter the jurisdiction, powers or authority of the Cooperative, regulatory bodies or the substantive rights of any person. These rules and regulations are applicableto all standard service agreements and contracts now existing or whichmay be entered into by the Cooperative, The Rules and Regulations, in accordance with law, are on file at the Cooperative's office, Highway 190 E.
