The Business Journal s Jane Yu asked local attorneys what surprises they expect in the industry this year. Here are the edited versions of their answers. Craig Barbarosh Partner Katten Muchin Rosenman LLP Chicago Clients are becoming much more sophisticated consumers of legal services. Beyond greater scrutiny of legal fees and use of third-party fee review services, clients are more focused than ever on efficient provision of services, and rightly so. Institutional clients are well educated and experienced in knowing what services are necessary and how much they should cost. They are very focused on managing legal projects beyond just scrutiny of invoices. In this regard, clients are more focused than ever on alternative billing arrangements and structuring fees to align interests and success between the law firm and client. For law firms, this means greater focus on staffing, efficiency and resource utilization. Greater communication with clients about project expectations, risks and likely outcomes is more imperative than ever. Law firm strategy is particularly important in this economic environment. Midsize law firms (typical of Orange County) need to clearly identify and articulate why they are unique and how they provide differentiated skills and services to their clients. Today, clients hire individual lawyers, not firms, and it is important for law firms to be able to clearly and concisely articulate their distinct brand and communicate why they are specially qualified for a particular type of work or project. Similarly, the days of build it, and they will come are history. In years past, law firms were eager to expand, either domestically or more commonly to exotic foreign locales. In many instances, firm management would convince itself that if they have more offices, they will attract more clients and more high-profile business. However, evidence showed that unless there are clear existing client needs to support geographic expansion, it usually fails. We expect to see additional law firm merger activity in 2014, as many firms have convinced themselves that bigger is better. However, just as with geographic expansion, unless a law firm combination can be rationalized by actual client imperatives, partners of merger candidate firms should satisfy themselves that such transactions will in fact be revenue and profit accretive. 4 18 ORANGE COUNTY BUSINESS JOURNAL Local breaking news: JANUARY 20, 2014 Firm Expects Business Boost From Healthcare Reform Boutwell Fay Specializes In Employee Benefits Law By JANE YU Legal work related to healthcare reform has been taking up a growing share of business at Boutwell Fay LLP, an employeebenefits specialist whose partners said they expect the trend to strengthen through 2014 as various parts of the Affordable Care Act take effect. The -based boutique firm has seven lawyers spread between two offices. It focuses solely on benefits plans and compliance with the ERISA, short for the Employee Retirement Income Security Act, which sets minimum standards for pension plans in the private sector. The firm s practice areas include ERISArelated disputes; health and welfare plans; and retirement plans, such as 401(k) plans. I think if we analyzed our billings, it would be a trend where the health-and-welfare plan work is taking up a larger chunk of our overall work, said Sherrie Boutwell, who cofounded the firm 15 years ago with Alison Fay. Certainly, our expectation is that the Affordable Care Act will result in more work for us but perhaps not so much right now, Fay said. She cited a delaying effect brought on by the White House s announcement last July that it was pushing back the enforcement of the employer mandate provision that would impose penalties on employers with 50 or more full-time employees for failing to provide coverage for workers. The deadline is now 2015, but Fay said employers should be addressing the issue well before then. A lot of employers have sort of put this on the back burner, Fay said. A lot of companies said, OK, we ll do it later, but really, they should be looking at it right now. She added that more questions will surface and that companies will require more legal services across-the-board as acceptance and utilization of state health-insurance exs grow. I expect that things will pick up more, now that the ex has gone through its first round of enrollment, she said. Also, what s going to be interesting in the near future is the coordination of the exs with the employers. We wanted to have a nice, high-quality benefits practice and still have the flexibility and time to raise our kids. Sherrie Boutwell, cofounder Boutwell Fay LLP People who sign up for insurance through state exs are eligible for government subsidies in the form of tax credits if they can show their employers didn t offer them affordable coverage. But one question I m not clear on, and I haven t heard any answers on, is how they are verifying whether or not an employee has been offered affordable coverage, Fay said. What we haven t seen so far is that notice coming back from the ex to the employer, letting that employer know that the employee has filed. When that starts to happen, I think our involvement will increase, because employers will need to respond to information requests from the government. Meanwhile, Fay and Boutwell are fielding questions from client companies of various sizes, especially from those still struggling with whether or not they are actually subject to the ACA, Fay said. Some companies are on the border between having enough employees to be subject to the act, and those are the smaller employers. But then the larger employers just know they are subject to it. Their questions are more directed at how to, for example, count hours for part-time employees. And then there are all the updates that are coming out all the time. ACA is still something people need to work through; there s no set precedent for anything. Healthcare isn t the only area for which Boutwell Fay has become known as the go-to firm. It also focuses on niche employee-benefits matters, such as 401(k) compliance, executive compensation and government audits. Healthcare is new, but we, as this firm, have been around for 15 years in, Boutwell said. One thing that has d over the years as the level of government regulation has grown exponentially is that it s becoming more and more important that each of us owns a subset of an area to a degree that we didn t used to in the past. We almost are having to create subspecialties within the firm just in order to keep up with the amount of information and new regulations and new cases. I think it will continue to go in that direction. Boutwell, who earned a bachelor s degree from the University of California,, and got her juris doctorate degree from UC Firm 37

13 JANUARY 20, 2014 Local breaking news: ORANGE COUNTY BUSINESS JOURNAL 27 Firms Continue Attorney Cutbacks, Combine for 2% Dip 30 of Largest Firms Trim Their Orange County s By JANE YU Orange County s largest law firms trimmed their workforces last year, marking the second straight year of modest cuts in the number of lawyers here. This week s Business Journal list features 69 law offices in, about half of which have their headquarters here. It ranks them by the number of attorneys in their local offices, with a threshold of 10. The law firms combined for 2,311 lawyers here as of December, down by 50, or 2%, year-over-year. Last year s list reflected a drop of less than 1% following two straight years of increases. About 4 of the firms 27 increased their attorney headcounts in, while 30 firms made cuts. Ten firms made no s, and the Business Journal made estimates for two firms. p 20 Any move whether hiring or cutting was moderate, as the majority of the s were of fewer than three. Two firms made cuts in the double digits. The list also includes overall employment at each firm s office, including paralegals and other support staff. The sum came to 4,819 at the end of 2013, a 1% decline year-over-year following a 3% increase a year earlier. The measurement doesn t figure into the ranking. Perennial No. 1, Knobbe Martens Olson & Bear LLP, added seven lawyers last year for a total of 175. About half 88 are partners, up from 77 a year ago. The -based law firm focuses exclusively on intellectual property work. It has seven other offices, including in Los Angeles, Silicon Valley and Washington, D.C., with 273 attorneys overall, up by two. Costa Mesa-based Rutan & Tucker LLP added four lawyers to its office, for a total of 138, which includes 79 partners. The firm has 268 employees here, including new hires in support staff roles. It has a smaller office in Palo Alto, where it has about 10 lawyers. The firm ranked No. 2. No. 3, Newport Beach-based Stradling Yocca Carlson & Rauth, which shrank its local base of lawyers by five to 84. The office of Los Angeles-based Gibson Dunn & Crutcher LLP, No. 4 on the list, closely trailed Stradling Yocca, with 81 lawyers after hiring five. Newport Beach-based Newmeyer & Dillion LLP added one lawyer in its office for a total of 53, moving up one spot to No. 10. The firm has 133 employees here overall, an increase of about 21% over the year. It expanded into Las Vegas last year and now has three offices and 67 lawyers overall. Atlanta-based labor and employment law firm Fisher & Phillips LLP made a three-spot jump to No. 27 after hiring three lawyers in its office, a 1 growth that led to a total of 32 attorneys. office Managing Partner James Mc- Donald said it s had increased workload over the past year, thanks to continued growth in class-action cases and more regulations coming out of Sacramento. Fisher & Phillips has 59 employees in its office, up by one. We, like other law firms, are looking for ways to be more efficient, McDonald said. As more lawyers are computer savvy, they need less in the way of secretarial support. Business clients continue to put pressure on their lawyers to be more efficient. So over time, this is necessarily going to require fewer lawyers. On the other hand, we ve been generally busier even while more efficient, and we re adding people. Fisher & Phillips opened a few offices last year and boosted its overall lawyer headcount by 24, for a total of based Murtaugh Meyer Nelson & Treglia LLP notched the largest rankings jump, as well as the largest percentage gain in the number of lawyers. The firm climbed from No. 42 to No. 30, with 29 lawyers as of December, up 21%. Firms with reductions in their attorney numbers included Lewis Brisbois Bisgaard & Smith LLP in Costa Mesa. The Los Angeles-based firm s lawyer base decreased by 10 for a total of 51 as of December, a drop that pushed it down from No. 6 to No. 11. Lewis Brisbois has 30 offices and 875 lawyers overall after hiring 38 last year. No. 33 Greenberg Traurig LLP said the number of lawyers in its office fell by 24% for a total of 28. The Miamibased law firm is among the largest when considering firmwide totals, with 1,742 lawyers across 36 offices. This year s list features 18 newcomers, making up mostly the lower quarter of the list. The office of Los Angeles-based Buchalter Nemer debuted at No. 43, with a total of 22 lawyers, up by two. It employs 38 in, down by two year-over-year. The firm has 147 lawyers overall, up by seven in four offices. -based Kring & Chung LLP was No. 47 after gaining one lawyer for a total of 20, five of whom are partners. This economic belt-tightening forced companies to hire smaller boutique litigation firms staffed with experienced, efficient and effective attorneys with real-world courtroom and litigation skills, as well as real trial experience. I believe that these trends will continue in 2014, even as the economy continues improving. Corporations and their general counsel have now seen the many benefits of hiring boutique litigation firms, and they will want to continue to reap the financial benefits of such practices. It does not make sense for companies to go back to old practices of paying bloated legal bills just because there is more money to spend. As more companies are becoming prudent in their spending for legal services, they are also becoming more aware that knowledge of insurance is key to settling any case. Cases settle with money, and insurance companies are the primary source of that money. Insurance expertise is critical, whether you are on the defense or plaintiff. Successful businesses and law firms anticipate and find opportunities in a constantly changing market. The U.S. is experiencing a dramatic increase in federal regulation and enforcement. The requirements on and risks associated with operating a business have never been higher. For example, the Securities and Ex Commission recently announced that the agency s enforcement actions in fiscal year 2013 resulted in a record $3.4 billion in monetary sanctions. The SEC filed 686 enforcement actions in Last year s disgorgement and penalties were 1 higher than 2012 and 22% higher than This trend will continue. Moreover, the SEC s actions are not isolated. The same growth in regulation and enforcement activity can be seen in nearly every agency of the federal government. This in the business environment means that legal compliance, preparedness and defense is or should be on the short list for every company, particularly companies in regulated industries or that do business directly or indirectly with the federal government. Another example of is the impact of technology on the practice of law. Ten years ago, law firm offices were populated with banks of facsimile machines; today, they are nearly gone. Ten years ago, documents were exd between parties in litigation in hard copy. Five years ago, litigation productions were on CDs. Today, some productions are still completed on disks, but they can also be done on thumb drives or downloaded from secure servers. More importantly, the information being produced is all in electronic format and is or can be converted to a searchable format, including substantial meta data. The preservation, production and ownership of electronic information is an issue that we should not be surprised to see dominate business and legal agendas in the years to come. Across the state, we ve seen reduced operating hours, massive staff layoffs and courtrooms and court buildings actually closing altogether. I will say that up until now, the savvy and proactive Orange County judiciary has weathered the storm better than most counties. For example, Orange County courts cut significant costs by implementing electronic filing services. While has mitigated the impact of the reduced budgets, it is currently faced with a shortfall in the millions after another round of sweeping cuts. One area where the court budget process may be impacted by ongoing litigation is in the area of binding arbitration agreements. Overcrowded courts exacerbate the underfunding issues. One way the courts have seen reduced court volume is through the increased use of binding arbitration. Further, appellate courts, using federal precedent, have become increasingly receptive to enforcing binding arbitration agreements. This has been a hotly contested issue that the Court of Appeal has been focusing on lately. Historically, failure to enforce these agreements has kept many cases active within California courts that could have been disposed of through enforcement of binding arbitration. I believe that the increase in the enforcement of binding arbitrations will have a positive impact on the overcrowded court system. Procedurally, once the agreements are enforced, the matters will be removed from state court dockets and go to private arbitration. In light of the depleted resources, courts will be forced to explore alternative avenues to resolve certain cases. In the interest of judicial expediency and efficiency, trial judges will likely take a pragmatic approach in order to move matters along. I also believe that the current trend to enforce binding arbitration agreements will result in a decrease in class actions, or we ll possibly see a rise in class-action arbitrations.
