Account Opening Requirements Identification (For all partners) Our requirements can vary depending on the nature of your account so please check with your Private Banker what documents are required before signing the form. Evidence of identity In order to satisfy current regulatory requirements, we require evidence of identity in respect of each individual who is a signatory to the account. The Bank may make enquiries on such persons via electronic means. It is a STATUTORY REQUIREMENT that we retain such records for use as evidence in any investigation into Money Laundering activities. For example, evidence of identification includes: Photographic proof of identity e.g. passport or photocard driving licence Evidence of address e.g. utility bill dated within the last 3 months Other Documentation We may also require the following: Your last three months bank statements A reference from your existing bankers Certificate of Incorporation and membership agreement Full list of Members together with their Member Reference Numbers issued by Companies House. The list should also identify those who are Designated Members Any other documentation the bank shall require from time to time Copies are acceptable providing they have been certified by a solicitor or accountant.

Limited Liability Partnership ( LLP ) Account Mandate At a duly convened Meeting of Members of a Limited Liability Partnership (the LLP) whose Registered Address is at held the day of 20 and at which a quorum of Members was present. It was resolved: 1. That Arbuthnot Latham & Co., Limited ( the Bank ) be appointed the bankers of the LLP and that they be and are hereby authorised and requested to: a) Maintain an account or accounts in the name of the LLP; b) Honour and comply with all cheques and other orders for payment notwithstanding that such payment may cause any account or accounts of the LLP to be overdrawn or increase any existing overdraft provided they are signed or accepted by: * c) Accept and comply with all agreements, indemnities and counter-indemnities in connection with the issue of letters of credit, drafts, telegraphic transfers, or the purchase and sale of foreign currencies, and hold any deposit of securities and documents of title belonging to the LLP and deal with the same as from time to time including instructions for withdrawal, all instructions to be signed by: * d) Accept any instructions relating to the accounts, affairs or transactions of the LLP generally, provided they are signed by: * 2. That the Bank be, and they are hereby authorised, to treat all bills, promissory notes and acceptances as being endorsed on behalf of the LLP and to discount and or otherwise deal with the same, provided they purport to be signed by: * 3. That any * Member(s) be and is/are hereby appointed a Committee of the Board with full authority: a) to arrange with the Bank from time to time for advances to the LLP by way of a loan and/or overdraft or any other liabilities of the LLP to the Bank or any liabilities entered into on behalf of the LLP by the Bank; b) to mortgage or charge all or any of the assets of the LLP and to sign on behalf of the LLP any documents from time to time required by the Bank relating to or for securing any advances to the company or others or any liabilities of the LLP or others to the Bank or any liabilities entered into on behalf of the LLP by the Bank; c) to agree and sign on behalf of the LLP any contract, agreement or other document with the Bank for the provision of banking services involving the giving of instructions by the LLP to the Bank or the provision of information by the Bank to the LLP by electronic or similar means (whether any such instructions and/or information relates to the making or authorisation of any payment or other order). 4. That the LLP will examine bank statements of account, confirmations and customer advices within a reasonable time after receiving the same and will promptly advise the Bank of any mistake or discrepancy or any other error in the same. 5. That the Bank may act upon any order or instruction given and any agreement or arrangement made in accordance with these Resolutions (whether in favour or for the benefit of any authorised signatories or to discharge their individual obligations or otherwise) without enquiry as to the circumstances in which it is given or made or as to the disposition of any proceeds. * Insert any one Member, any two Members, any one Designated Member and any one Member or otherwise as required.

Limited Liability Partnership ( LLP ) Account Mandate 6. That a list of the names and specimen signatures of the persons at present authorised to sign under the aforesaid resolutions be furnished to the Bank and that they be advised by letter signed by the below Members for the time being of all changes that may take place from time to time. 7. That these resolutions will constitute the LLP s Mandate and be treated as remaining in force until formally revoked by notice in writing (signed by the below Members for the time being) to be effective on receipt of the same by the Bank and for this purpose any notice varying or purporting to vary the LLP s Mandate (other than Clause 6) contained in these resolutions shall be deemed a revocation. 8. That the authority, agreement and any arrangements arising from and relating to these Resolutions shall be governed by and construed in accordance with English Law and the LLP submits to the non-exclusive jurisdiction of the English courts, but without prejudice to the right of the Bank to pursue its remedies in any other jurisdiction it thinks fit. 9. It is understood and agreed that should the Bank be prohibited by law, government directive or any other such order, from entering into a transaction requested by the LLP then the Bank may refuse the transaction at its sole discretion. We ACKNOWLEDGE that this request and instruction is given in addition to and supplements the mandate held by you for each such account and that you may wish to impose security procedures or other requirements in consequence. These may include some or all of the following: Checking our identity on the telephone; Checking that instructions received are genuine; Calling us by telephone to check that we have sent the instructions; Calling us back on the telephone number you have in your records; and Any other security measures that you deem appropriate at the time. We shall ensure that any instruction given to you pursuant to this request and instruction will comply with any such procedures or requirements notified to us at any time. Because we are asking you to depart from your normal, prudent banking procedures, we ACCEPT that you are not obliged to act upon this request and instruction if, at any time, you do not wish to do so. Additionally, an instruction may be delayed if our instructions are either unclear or you are unable to satisfy yourselves that the instruction is genuine. This request and instruction, which may not be amended by us, shall remain effective until you have received written notice of termination from us and shall be governed by English Law and we both agree to submit to the non-exclusive jurisdiction of the English Courts.
