Taking steps to help protect your assets can go a long way toward giving you the freedom to focus on what's important in retirement. How annuities may help. Because Nationwide New Heights is a fixed indexed annuity, it may help to understand some of the basics about annuities. Annuities are a contract you purchase from an insurance company to help you accumulate assets for retirement. They offer several ways to generate income, including systematic withdrawal, lifetime income payments through a guaranteed lifetime withdrawal benefit (GLWB) available at an additional cost, and annuitization; annuitization is offered at no additional cost. Annuities may offer death benefits, available at an additional cost, that offer an amount payable upon death to the beneficiary which may offer guaranteed increases or protection against investment loss. If you take withdrawals before you re age 59½, you may have to pay a 10% early withdrawal federal tax penalty in addition to ordinary income taxes. Withdrawals may trigger early surrender charges, reduce your death benefit and contract value and may also reduce any guaranteed lifetime withdrawal benefits.

The reality is most individuals are not sure how much they ll need when planning their financial future. Retirement planning is greatly different than in the past; it s important to recognize that today you may need to take a new path toward retirement. The retirement dilemma. Living longer than ever We are living longer and expect to spend significantly more time in retirement. Living longer is great, but it s important to have a way of funding those extra years. Looking at a 65-year-old couple today, for example, there s a 52% chance at least one spouse will reach 95 1. A fixed indexed annuity can offer unique advantages that may help you protect your assets in retirement. Let s start with the basics. What is a fixed indexed annuity? A fixed indexed annuity offers returns based on the changes in a securities index, such as the S&P 500 Composite Stock Price Index. Indexed annuity contracts also offer a specified minimum which the contract value will not fall below, regardless of index performance. After a period of time, the insurance company will make payments to you under the terms of your contract. A fixed indexed annuity is not a stock market investment and does not directly participate in any stock or equity investment. It may be appropriate for individuals who want guaranteed interest rates and the potential for lifetime income. Lifetime income may be provided through the purchase of an optional rider for an additional cost or through annuitization at no additional cost. It s important to remember, when discussing annuities, that all guarantees and protections are subject to the claims-paying ability of the issuing company. Fixed indexed annuities offer: Principal and interest rate guarantees Your principal is protected and interest gains are credited systematically. A downturn in the index will not reduce your contract value, however withdrawing assets during a set schedule of time may reduce your principal by fees known as contingent deferred sales charges 4 (CDSC). The surrender value of your contract could be less than the purchase payment you put into the contract but some fixed indexed annuities offer a specified minimum value under which the surrender value will not fall. Minimal risk exposure A fixed indexed annuity has the potential to earn interest based on changes in an index and earn interest based on a set rate. This provides you with the opportunity to accumulate funds for retirement, without exposing your hard-earned money to market risk. They re meant to help you and your insurance professional talk about the product and its features in order to determine how it may help you achieve your long-term goals. So go ahead and ask your questions. We want to make sure you feel confident that you re making a wise choice for your future. Q Are there any age limits at contract issue? A You can be a contract owner at any age, and you can be an annuitant through age 80. Q What types of contracts are available? A Traditional IRA, Roth IRA, Non-Qualified, and Charitable Remainder Trusts (CRT). Q What s the minimum amount needed to open a contract? A $25,000 minimum purchase payment for all contracts above. 8 annuitant: The person upon whom any life-contingent annuity payments depend and the person whose death triggers payment of the death benefit. Balanced Allocation Strategy: Also called strategy options, is the formula used to determine the amount of earnings that will be credited to the contract value. strategy earnings: Strategy earnings, if any, are calculated by combining the equity indexed component and the declared rate component, then subtracting the strategy spread component.

Q How does New Heights help protect my principal while providing unlimited growth potential? A New Heights offers you multiple Balanced Allocation Strategy 7 options, known as strategy options, all of which have the potential of strategy earnings. Strategy earnings are credited at the end of each strategy term, on withdrawals, when a full surrender is requested and when death benefits are payable. Strategy options are a blend of an equity indexed component, declared rate component and strategy spread 8 component. Since no limits are placed on your strategy earnings potential, you have the opportunity to receive potentially higher long-term accumulation based on the performance of the underlying index. In general, the strategy option works like this: The equity indexed component is the equity indexed allocation, multiplied by the performance of the underlying indexes 9 The declared rate component reflects interest earned on the declared rate allocation, based on an interest rate (the declared rate) established by Nationwide Life and Annuity Insurance Company These two are combined and the total amount over the strategy spread component is used to determine the strategy earnings, if any, at the end of the strategy term, on free withdrawals and upon death. Partial strategy earnings may be credited on withdrawals in excess of the available free withdrawal amount. If the strategy spread component is greater than the result of the other two components combined, no strategy earnings would be credited. Only one strategy option may be selected for each strategy term. The equity indexed allocation, the declared rate allocation, the declared rate, and the strategy spread are set at the start of each strategy term and cannot be changed during a strategy term. The initial strategy term is set at two years and is subject to change. Only one strategy option may be selected for each strategy term. full surrender: A full withdrawal from your contract. strategy spread: The strategy spread is an annual percentage rate that is deducted when calculating strategy earnings. 9

Q How could New Heights work for me? A New Heights provides you with: Daily tracking of strategy earnings Flexibility to lock-in your index value New Heights starts off by tracking your strategy earnings daily throughout the life of your contract. This valuable feature provides you with greater flexibility due to strategy earnings being calculated and credited any time you access your contract value 10. New Heights also puts you in control. At any time before the end of your strategy term, you may elect to lock-in the strategy option s index value. The locked-in index value is then used when calculating strategy earnings at the end of the strategy term, as well as strategy earnings on withdrawals or death benefits which occur between the lock-in date and the end of the strategy term. You may lock-in the index value only once per strategy term. The hypothetical graph below illustrates the uncapped growth potential that New Heights offers when tracking values daily over each strategy term, based on the selected strategy option s index performance. New Heights guarantees that your purchase payment and any strategy earnings credited to your contract will never be lost to market downturns. It s important to remember that all protections and guarantees are subject to the claims-paying ability of Nationwide Life and Annuity Insurance Company. Also, if withdraws are taken prior to age 59½ you may incur a 10% early withdrawal federal tax penalty. All withdrawals may be subject to ordinary income tax. 11 Assumptions New Heights 65% equity indexed allocation (S&P 500); 35% declared rate allocation; 1% declared rate; 2.95% strategy spread; two-year strategy terms. Purchase date of July 1, 2007 through June 30, 2013 at hypothetical rates and holding these rates for renewals at each two-year term. The BAV monitors the daily fluctuations in the strategy option and is the greater of (1) the contract value, plus any unrealized strategy earnings (strategy earnings that have not yet been credited to the contract), or (2) the Return of Purchase Payment Guarantee amount. lock-in: Captures the index value on any given business day prior to the end of the strategy term and used in all calculations that require an index value during the remainder of the strategy term. index value: On a business day, the closing value of the index published for that day. On a day other than a business day, the index value on the previous business day. 10 market value adjustment (MVA): In select states, an MVA may adjust the withdrawal amount payable, up or down, depending upon the interest rate conditions at the time of distribution as compared to interest conditions at the time your contract was issued.

Q What options do I have to withdraw my money without penalty? A You have access to a portion of the money in your fixed indexed annuity, called free withdrawals, without incurring any CDSC, and Market Value Adjustment (MVA) 12 if applicable. Your free withdrawal schedule is expressed as a percentage of the contract value on the first day of the contract year and is non-cumulative: Completed Contract Years 0 1 2 3 4 5 6 7 8 9 10+ Free Withdrawal Percentage 0% 7% 7% 7% 7% 7% 7% 7% 7% 7% 10% For all free withdrawals, even after the end of your CDSC period, you will receive full strategy earningsto-date on the withdrawal. In addition to free withdrawals, you may also access funds free of CDSC, and MVA if applicable, if after the first contract year the withdrawal qualifies as a long-term care event or terminal illness or injury event 13 or as a Required Minimum Distribution (RMD) 14. You will also receive full strategy earnings-todate on these withdrawals. Q What if I need to take excess withdrawals? A Should your needs change unexpectedly and you need to take an excess withdrawal, a withdrawal that is above the free withdrawal amount available in a given contract year, you are always entitled to access additional monies, keeping in mind that certain charges and penalties may apply. Any amount withdrawn in excess of the remaining free withdrawal amount is subject to a CDSC, and MVA if applicable. For all excess withdrawals, you will only receive a prorated amount of strategy earnings-todate. Below is the CDSC schedule. The CDSC may vary by state. Completed Contract Years 0 1 2 3 4 5 6 7 8 9 10+ CDSC Percentage 15 10% 10% 9% 8% 7% 6% 5% 4% 3% 2% 0% 12 In select states, an MVA may adjust the withdrawal amount payable, up or down, depending upon the interest rate conditions at the time of distribution as compared to interest conditions at the time your contract was issued. 13 A long-term care event or terminal illness or injury event requires that the contract owner and annuitant are the same person, and that that person is no older than the maximum identified eligibility age on the date of issue. A long-term care event (in some states referred to as confinement) requires that the contract owner has been confined to a long-term care facility or hospital for a continuous 90-day period that began after the contract issue date. A terminal illness or injury event must be diagnosed after the contract issue date by a physician who certifies that the contract owner is expected to live less than twelve months from the diagnosis. These options may not be available in all states. Please note that additional limitations and restrictions may apply. 14 RMD If you have a qualified contract, Required Minimum Distributions attributable to your contract will be calculated under Internal Revenue Code Sections 401, 403, 408, 408A, 457 and current IRS rules regarding minimum distributions. 15 The CDSC percentage differs for the following states: AK, CT, DE, MN, MO, NJ, NV, OH, OR, PA, SC, TX, UT and WA. Please contact Nationwide to obtain the CDSC schedule for your issue state. 11

Q How will my withdrawals be taxed? A If you take withdrawals or surrender your contract you may be subject to federal and state ordinary income taxes. In addition to income tax, you may be subject to a 10% early withdrawal federal tax penalty if you take withdrawals or surrender your contract before age 59½. Nationwide does not offer tax advice. Q What happens if the annuitant dies while the contract is still in effect? A In general, if you are the sole owner and annuitant, upon your death a death benefit will be payable to the beneficiaries named on your contract. The death benefit paid will be equal to the greater of the Balanced Allocation Value (BAV) or the surrender value. A joint option 16 is also available if the contract owner names an eligible spouse as co-annuitant. Upon death of either spouse, the surviving spouse may elect to either receive the death benefit amount as a payment or continue the contract. If the contract is continued, the surviving spouse becomes the annuitant and sole contract owner, the contract value will be the greater of the current contract value or the death benefit amount, and CDSC will no longer apply to either a partial withdrawal or a full surrender. 16 Available subject to additional requirements/restrictions that must be met, as described in your contract

When you need retirement income Nationwide High Point 365 Lifetime Income Benefit rider (High Point 365) High Point 365 is an optional living benefit rider, available for an additional cost, that builds on New Height s two unique accumulation features unlimited growth potential and the ability to track and capture a highest daily value. These two features combine to provide greater income potential with High Point 365. There is an additional charge for High Point 365.
