Chambers Bank Business Internet Banking Agreement 1. INTRODUCTION. Chambers Bank Business Online Banking is a banking and information service that allows its Business Banking clients, via the Internet, to access a number of banking services ( The Services ) to manage their banking activity online. This Chambers Bank Business Online Banking Agreement (the Agreement ) sets forth certain terms and provisions governing the use of The Services. The entire Agreement between you and Chambers Bank governing The Services will consist of this Agreement, any deposit account agreement(s), our Disclosure of Products and Fees, the Application to which this agreement is attached, any specifications and agreements for individual services (including ACH, wife transfers, overdraft protection, loan agreements, as applicable), and the Internet Banking Services Agreement that will be accepted online by your authorized users. Before you first use The Services, we will provide to you the Login IDs and Passwords needed by your authorized individual users to access the features for which they are authorized ( Codes ). Access to these features will be managed and maintained by individual(s) in your company whom you entrust with the powers provided for herein and who you designate as Company System Administrators ( CSA ) in accordance with Chambers Bank s procedures. In order to be a designated a CSA, that person must also be an authorized signer on all accounts for which The Services are provided. 2. DEFINITIONS. a. In this Agreement, Bank, we, our, and us refers to Chambers Bank. You and your refer to your business (the owner of the Account(s) ) and any person with actual or apparent authority to access one or more of your business accounts using the Services. b. Account and accounts refer to your accounts with us that may be accessed through the Services that are designated by you for access via the Services. Business day means any day, Monday through Friday, except bank holidays; for purposes of this Agreement, our business hours are based on Central Time. c. Other terms may be defined below and above. 3. SEPARATE ACCOUNT AGREEMENT. The accounts and services which you operate or use through The Services are also governed by separate agreements. 4. ACCOUNTS. In order to use The Services, you must maintain a Chambers Bank Business Account. You agree to properly maintain these accounts, to comply with their rules, and to pay any related fees. 5. SERVICES: The Services includes the following services (Note: Some services may require separate application and qualification for said service). a. As a Company System Administrator: i. Change primary user login name, password, and authentication image/phrase ii. Update email address iii. Balance reporting - Access balances and detail transactions with up to one (1) year of historical information as of the close of business on the preceding business day. iv. Search for transactions v. Create email alerts vi. Name bank accounts vii. Access Bill Pay (requires separate activation by Chambers Bank) viii. Automated Clearing House ( ACH ) Services (requires separate activation by Chambers) ix. Transfer money between accounts maintained at Chambers Bank x. Create Secondary Users, assign him/her a login name and password, and grant permission

to use certain services xi. See the last time a Secondary User logged in xii. See a Secondary User s account status (enabled or disabled, and the reason they are disabled) xiii. Edit Secondary User login names and passwords xiv. Choose which accounts a secondary user can view, transfer money into, and transfer money from b. As a Secondary User (a user created by Company System Administrator): i. Change authentication image/phrase for himself/herself ii. Update email address for himself/herself iii. Create email alerts for himself/herself iv. View and print recent transactions (if permission is granted by CSA) v. View, print, and download twelve months of statements (if permission is granted by CSA) vi. Search for transactions (if permission is granted by CSA) vii. Name your Chambers bank accounts (if permission is granted by CSA) viii. Access Bill Pay (requires separate activation) (if permission is granted by CSA) ix. Automated Clearing House ( ACH ) Services (requires separate activation by Chambers) (if permission is granted by CSA) x. Transfer money between Chambers Bank accounts (if permission is granted by CSA) c. You and each user agree to keep passwords secure and confidential, not provide or make available your password or login, to instruct the CSA and all Secondary Users about security and confidentiality of passwords, logins, and terms of this agreement, and notify us immediately if you believe any password or login has been compromised or if there has been any unauthorized transaction or instruction which you know or suspect. 6. TRANSFERS AND PAYMENTS. Users may give instructions through The Service to make transfers or payments from an account only when a sufficient balance is, or will be, available in that account at the time of withdrawal. You understand that Chambers Bank may not act on your instructions if sufficient funds are not available. Your payment and/or transfer is deducted from your account on the date you instruct us to send it. 7. BUSINESS BILL PAY. Business Bill Pay allows you to pay electronic invoices ( ebills ) or invoices that are received on paper statements. Any CSA may use this service and may enroll you into Business Bill Pay. By designating any individual as a CSA, you understand that this person may enroll for that service, and obligate you to the transactions conducted therein. Business Bill Pay is governed by the Terms and Conditions of the Business Bill Pay Service. A copy of that agreement is available from Chambers Bank. 8. ACH SERVICES. Certain types of transactions utilize the ACH Service, which facilitates initiation of electronic funds transfer transactions, and allows you to transfer funds for payment to other accounts with other participating financial institutions through the Automated Clearing House. Any CSA may use this service any may enroll you into ACH Services. By designative any individual as a CSA, you understand that this person may enroll for that service, and obligate you to the transactions conducted therein. ACH Services is governed by the Terms and Conditions of the ACH Services. A copy of that agreement is available from Chambers Bank. 9. ELECTRONIC INSTRUCTIONS. When you use The Services to initiate a transfer of funds between your accounts or to a third party, to make a bill payment, to borrow from or make a payment to your credit account, to apply for a new account or service, to terminate a service, or change the way an account or

service operates, you authorize Chambers Bank to treat the electronic instructions received through The Services as if they had been made in writing and signed by you. When you electronically instruct Chambers Bank to transfer funds at regularly scheduled intervals in the future, you authorize Chambers Bank to treat each transfer as if separately authorized in writing and signed by you, and to withdraw the funds from the account you designated. 10. EXECUTION OF INSTRUCTIONS. We will not be obligated to execute any instruction if: a. it is not in accordance with any term or condition applicable to the Account or the Agreement; b. we have reason to believe it may not be authorized by you or involves funds subject to a hold, dispute, restriction or legal process we believe prevents their withdrawal; c. it would exceed your Available Balance in the Account on the day the transfer is made; d. would result in exceeding any limit established by us; e. would violate any applicable provision of any risk control program of any federal or state regulatory authority; f. is not in accordance with our applicable policies, procedures or practices; g. we have reasonable cause not to honor for our or your protection; or h. we have terminated this Agreement 11. AUTHORIZATIONS. You represent that each individual who has been issued a Login ID and Password has general authority from your organization to give instructions within the access capability associated with such Codes (including general authority over the movement of your organization s funds and over accounts with Chambers Bank), all as evidenced by the banking resolution, partnership declaration or other agreements you have provided to Chambers Bank. You acknowledge and agree that Chambers Bank has full authorization from your organization to rely and act upon instructions identified by such Codes. 12. MONTHLY FEE. You agree that Chambers Bank may charge applicable fees for The Services service(s). The fee will be automatically deducted from the account you indicated within your Enrollment Form. Should sufficient funds not be available in this account when payment is due, Chambers Bank may deduct the amount of the fee from any other account you maintain at Chambers Bank. Certain services may involve fees above and beyond any monthly fee for base or packaged service bundles. 13. SECURITY. The Services have been designed to reduce the possibility of fraud and error by allowing you to designate Login IDs and Passwords and have them under the control of the individual or individuals that you have authorized and designated as CSA(s). The Services has been designed so that it may be operated only upon entry of valid Codes. Chambers Bank will therefore consider any access to The Services through use of valid Login ID s and Passwords to be duly authorized, and Chambers Bank will carry out any instruction given regardless of the identity of the individual who is actually operating the system. You authorize Chambers Bank to treat any instruction made on The Services with valid Login IDs and Passwords as if the instructions had been made in writing and signed by the appropriate authorized individual or individuals. Chambers Bank records regarding access by Login IDs and Passwords will be conclusive regarding any access to, or action taken through The Services. You accept responsibility for unauthorized access to the system by your employees, your associates or by third parties. You agree to inform Chambers Bank promptly of any discrepancies that you discover. You confirm that you have conducted such investigation of The Services security system as you deem necessary or advisable, and that you have instituted the proper internal controls for access to The Services through your computers and terminals. You acknowledge and confirm that Chambers Bank s security system and controls are commercially reasonable for your business and appropriate for your accounts. You and each user agree to keep passwords secure and confidential, not provide or make available your password or login, to instruct the CSA and all Secondary Users about security and confidentiality of passwords, logins, and terms of this agreement. The Services are accessed through the internet, which is a public system over which we have no control. It is your duty to make sure that any computer or other devise which you use to access The Services is free from and adequately protected against viruses, spyware, and other destructive or disruptive components. You are response for any browser used in connection with the Services and agree to use all security patches or measures issued or recommended from time to time by the supplier of the browser.

14. EXCLUSIVE USE. The Services service is furnished for the exclusive use of your organization and its authorized users. You agree that you will not sell, assign or transfer this Agreement or any materials furnished to you in connection with it. 15. CHANGES IN TERMS. Chambers Bank may change the terms of this agreement at any time. Chambers Bank may also add, discontinue or modify services, and change procedures and fees at any time. Chambers Bank will notify you in advance of such changes, by mail or by electronic message through The Services. 16. CANCELLATION. This Agreement will remain in effect until you or Chambers Bank terminates it. You understand that you may cancel this Agreement at any time by notifying Chambers Bank of your intent to cancel through the electronic message feature or in writing. You understand that this cancellation applies only to The Services and will not affect your Chambers Bank accounts. Chambers Bank may cancel this Agreement or terminate your participation in The Services, for any reason, at any time. 17. INDEMNIFICATION. You will defend, indemnify and hold Chambers Bank harmless from and against any claims, causes of action, liability, loss, damage or expenses (including reasonable attorneys fees and other legal expenses) resulting from or arising out of or in connection with (a) your breach of this Agreement, (b) unauthorized actions initiated or caused by you, your employees or agents, or any other party using authorized Login IDs and Passwords, (c) our acting in reasonable reliance upon instructions, notices, information and data you provide to us (including without limitation our debiting or crediting of the amount of any ACH Entry to the account of any person), or (d) the act, delay, omission or failure to perform of any third party (including other financial institutions, but excluding any vendor with which we have contracted). 18. LAWS AND REGULATIONS. The laws of the state indicated in the Deposit Agreement(s) governing the account(s) to which the Services apply will govern this Agreement and the Services. In addition, you and we are responsible for full compliance with applicable federal laws and regulations as amended from time to time that may be applicable to the Services. Some such laws and regulations are named under the provisions for particular Services and in the other documents governing the Services. The fact that a particular law or regulation is not named in this Agreement does not limit your and our responsibility for full compliance with all applicable laws or regulations. This Agreement, and our performance or delivery of the Services, will not relieve you of any obligation imposed by law or contract regarding the maintaining of records or other matters, nor from employing adequate audit, account and review practices customarily followed by businesses similar to yours. 19. LIMITATIONS ON OUR LIABILITY. IN NO EVENT WILL WE (OR OUR OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS, OR SUBCONTRACTORS) BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOSS OF ANY OPPORTUNITY OR GOOD WILL OR THE RESULTING EFFECT OF SUCH LOSS ON YOUR BUSINESS, EVEN IF WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY HEREUNDER, IF ANY, FOR DAMAGES RESULTING FROM OR ARISING OUT OF ANY THE FOLLOWING SERVICES WILL BE LIMITED TO THE AMOUNT OF FEES YOU HAVE PAID FOR SUCH SERVICE FOR THE TWELVE MONTH PERIOD PRIOR TO WHEN THE CLAIM AROSE: BALANCE REPORTING, ACCOUNT TRANSFERS, AND CHECK IMAGING. Without limiting the generality of the foregoing, we will not be liable to you for any damages, injury or losses caused by or arising by reason of (1) inaccuracy of instructions, notices, information or data that you provide to us, (2) unauthorized actions initiated or caused by you, your employees or agents, or third parties using authorized Login Ids or Passwords, (3) acts, omissions, delay or failure to perform of third persons or vendors, or (4) for any other loss or damage under this Agreement or otherwise, except as solely caused by our gross negligence or willful misconduct. Our liability for error or omissions with respect to the data transmitted by us will be limited to correcting the errors or omissions. Correction will be limited to re-running the job(s) and/or regenerating the files using backup, if available. We will not be liable or deemed to be in default for any delays, failures or interruptions in performing the Services resulting, directly or indirectly, from acts of God, war, strikes, labor disputes, riots, civil disorders, fire, mechanical, telecommunication or electrical breakdown, or other causes beyond our reasonable control. 20. REPRESENTATIONS AND WARRANTIES. OUR OBLIGATIONS AND LIABILITIES AND YOUR RIGHTS AND REMEDIES SET FORTH IN THIS DISCLOSURE ARE EXCLUSIVE, AND

YOU WAIVE AND RELEASE ANY OTHER WARRANTY, OBLIGATIONS AND LIABILITIES OF US AND OUR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, OR SUBCONTRACTORS EXPRESS OR IMPLIED, ARISING BY LAW OR OTHERWISE, WITH RESPECT TO ANY AND ALL SERVICES, DOCUMENTS, INFORMATION, ASSISTANCE, SOFTWARE PRODUCTS OR OTHER MATTERS PROVIDED BY US, INCLUDING BUT NOT LIMITED TO: (1) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A SPECIFIC PURPOSE OR OTHER IMPLIED CONTRACTUAL WARRANTY; (2) ANY IMPLIED WARRANTY ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE; AND (3) ANY OTHER WARRANTY WITH RESPECT TO QUALITY, ACCURACY OR FREEDOM FROM ERROR. WE MAKE NO REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE. WE MAKE NO WARRANTY, EXPRESSED OR IMPLIED, CONCERNING THE SERVICES OR ITS RELATED SERVICES, WEB BROWSERS, INTERNET SERVICES, OR OTHER SERVICES, AND WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. IF ANY OF THESE DISCLAIMERS ARE LIMITED OR PROHIBITED BY APPLICABLE LAW, WE MAKE ONLY THE WARRANTIES SPECIFICALLY REQUIRED BY APPLICABLE LAW. IN NO EVENT SHALL ANY LICENSOR OR PROVIDER OF ANY SOFTWARE OR SERVICE PROVIDED BY OR THROUGH US HEREUNDER BE LIABLE TO YOU FOR ANY ERROR, LOSS OF DATA, MALFUNCTION, OR DEFECT OF OR CAUSED BY SUCH SOFTWARE OR SERVICE. ALL SUCH SOFTWARE AND SERVICES ARE PROVIDED "AS IS. 21. SECURITY INTEREST. You hereby grant Chambers Bank a security interest in any and all (1) funds, deposit accounts and other personal property of yours in our possession or under our control, and (2) personal property of yours that is described in any present or future security agreements, pledges and other evidences of liens that you have executed in our favor, or which may have been assigned to us, which secure repayment of any other financial obligations that you have to us, whether such obligations are direct or indirect, contingent or not, outstanding or committed subject to draw. This security interest is given to secure payment of all your obligations to us under the Agreement, including without limitation the payment of the amount of any ACH credits, fees, charges, assessments, transfers, debits and expenses.
