SAN ANTONIO HOUSING AUTHORITY December 6,2012 ~ot~es U BOARD OF COMMISSIONERS RESOLUTION 5294, AUTHORIZING AN AWARD OF A FIXED CONTRACT FOR AUCTIONEER SERVICES WITH AMERIBID FOR SAHA AND ALL AFFILIATED ENTITIES, FOR A PERIOD OF 180 DAYS. castro Ramirez _r~entand CEO REQUESTED ACTION: Consideration and appropriate action regarding Resolution 5294, authorizing an award of a fixed contract for Auctioneer Services with AmeriBid for SAHA and all affiliated entities, for a period of 180 days. PURPOSE: To provide auctioneering services to SAHA and all affiliated entities for the purpose of liquidating the inventory of non-strategic real estate assets. In May 2011, the SAHA Board adopted the Affordable Housing Preservation and Expansion Policies to guide the real estate activities of the agency, and which provide for liquidation of non-strategic assets. In November 2011 and May 2012, staff presented to the Board and received approval on a plan for the strategic disposition of real estate assets owned by SAHA and its affiliates. FINANCIAL IMPACT: The gross sales amount of the 80 properties being auctioned is estimated to be $1,275,160.00. Previously the AmeriBid sales fee was identified as 5% in the Operations Committee materials and it was noted that this needed to be verified. Staff has confirmed that the correct amount is 7.5% of the gross sale amount, which is $95,637.00. The higher amount is due to the reduction of inventory being sold. This is because the work involved with selling these properties is the same above a certain number of properties and the contractor must cover the baseline costs. This is a more efficient method than marketing and selling through a Realtor or by Invitation to Bid. Additionally, an advertisement fee of $54,485.22 will also be charged. SAHA's total auctioneer cost will be approximately $150,122.22. Staff has required the auctioneer to provide Comparative Market Analyses (CMAs) for all properties. The revenues will be approximately $1,125,037.78 less owners closing costs. SUMMARY: On February 9, 2012 SAHA issued the first "Request for Proposals" (RFP) # 1112-962-09-3703 for Auctioneer Services. Due to the amount of additional questions from interested bidders the closing date was extended twice. On May 25, 2012, when the RFP finally closed, only one proposal was received. The agency then made a decision to revise the RFP and re-advertise in an effort to obtain more proposals. On August 14, 2012, SAHA issued a second "Request for Proposals" (RFP) #1207-962-09-3848 for Auctioneer Services. Five interested bidders attended the pre-bid meeting held on August 28,2012. On September 14, 2012, only one proposal was received. AmeriBid, (formerly known as National Residential Auctioneers), was the only proposal received from the original RFP issued in February, and was the only one received in the second solicitation. The evaluation committee recommends awarding a 180-day fixed contract to AmeriBid as the primary contractor for the liquidation of previously selected properties. The firm has combined real estate experience of 250 years and sales of over 150,000 properties for public agencies such as: FDIC, HUD, 000, and VA. This auction company was newly formed in May 2012 and is the result of a merger between National Residential Auctioneers and National Commercial Auctioneers. In November 2012, this auction house registered 284 bidders to successfully sell 100% of the properties on the Houston Housing Authority's behalf, generating revenues of $8.3 million. Initially, 99 properties were considered and recommended to be auctioned; however, 19 properties located within the Wheatley Choice and Eastside Transit Oriented Development sites will be held for re-development. Moving forward, 80 properties will be sold via auction. The chosen Auctioneer will assist with the pre- and post-auction reports, showings, inquiries, and website maintenance. Information about the plan to liquidate these properties will be shared with local elected officials and city staff, prior to the auction. WHEREAS, the San Antonio Housing Authority, a Texas public instrumentality ( SAHA ) was created under chapter 392 of the Texas Local Government Code (the Act ) to provide decent, safe and sanitary housing; and WHEREAS, SAHA created and approved a Preservation and Expansion Policy (the plan ) that guides the strategic decision-making regarding real estate assets; and WHEREAS, SAHA and its affiliates maintain a portfolio of commercial and/or Industrial properties; and WHEREAS, SAHA would be in alignment with the approved Plan for the liquidation of non-performing assets; and WHEREAS, this Board of Commissioners has reviewed the foregoing and determined that the action herein authorized is in furtherance of the public purposes of SAHA and its affiliates; and WHEREAS, staff requests that the Board of Commissioners authorize the President and CEO to approve and execute an award of a fixed contract for Auctioneer Services with AmeriBid for a period of 180 days; and NOW, THEREFORE, BE IT RESOLVED that the Board of Commissioners of SAHA hereby: 1) Approves Resolution No. 5294, authorizing an award of a fixed contract for Auctioneer Services with AmeriBid for SAHA and all affiliated entities; for a period of 180 days, and 2) Authorizes the President and CEO to execute all necessary documents associated with this matter.
