Travelling by car, Bill will show ALL the beauty of Baja Sur and create a vision that the peninsula can be safely driven with plenty of gas stations, great road conditions, and infrastructure to support safe, un- eventful travel in Baja. 4. The Cabo episodes, 5 or 6 of the total 13, will be used to showcase the amazing array of tourist opportunities we have at lands end. Every conceivable activity will be explored to show Cabo as the ultimate FAMILY VACATION DESTINATION with a vast array of fun thing to see and do. ADVANTAGE OF INDEPENDENTLY OWNED PRODUCTION 1. Owning the footage (over a network production) allows Bill to distribute footage to the sponsors for their own marketing promotions. 2. Owning the footage allows the series to be aired on several different networks and dramatically increase household viewership. 3. Owning the footage allows Bill s team of editors to edit the shows with marketing messages of the sponsors and more fully utilize the Integration Sponsors products. 4. WILLIAM BOYCE PRODUCTIONS DESTINATION: Baja Sur TELEVISION SERIES 34707 Bouquet Canyon Road, Saugus, CA 91390 USA SEASON ONE filmed 2015 airs on NBC Sport 2016 Product Sponsorship Agreement 1.0 Parties to the Agreement This Product Sponsorship Agreement is by and between hereinafter the Product Sponsor, whose legal address is telephone: email: and WILLIAM BOYCE PRODUCTIONS, hereinafter the Producer, whose principle place of business is at 34707 Bouquet Canyon Road, Saugus, CA 91390, USA, telephone: 661-202-0080, email: boyceimage@msn.com 2.0 Intent This Agreement describes the business relationship between the parties, deliverables and the terms thereof in connection with the Producers television production (DESTINATION: Baja Sur), providing broadcast footage on national TV on two networks, NBC Sport and World Fishing Network, of the Product Sponsor goods / services, with in action / on camera footage of the product / location / service, as well as website contacts in the credits, in addition to providing Product Sponsor with video clips, still photographs, product endorsements in magazines, posting endorsements of the product on Facebook on both Producer s profile as well as that of the Product Sponsor, and including web links on TV series website being developed. A 30 second Sponsors TV commercial will be aired during every airing on NBC Sport running once a week for 26 weeks from January 1, 2016 June 30 th, 2016, and on the World Fishing Network a minimum 3 times a week, for 26 weeks from July 1, 2016 December 31, 2016. On screen logo banners present 2 times in each airing on both networks.

3.0 Term This Agreement shall commence on the date of the execution, and be considered duly in process till the last airing of the last episode on both networks of their individual broadcast agreements. 4.0 Assignment Scope, Authority, and Disclaimers The Producer shall identify production shoots in various Baja Sur locations in which the camera and video producing services will be utilized to promote the Product Sponsors goods / services oncamera, and in-action whenever possible, and as often as possible. It is specifically agreed that by virtue of executing this agreement, the Product Sponsor will have input as to how product can best be presented to a television audience, as well as help the Producer in decision making processing of that Product Sponsors goods. However, the Producer will have the authority and control over the management of the locations in which the shows will be shot and the footage that will ultimately be shot. All final broadcast and editing decisions are to be made by the Producer. Producer will make available to the Product Sponsor, video clips being shot on location where in the Product Sponsors goods / services have been prominently displayed with the intent for their use in any online venue the Product Sponsor deems worthy. Still photographs will be made available to the Product Sponsor free of charge with full copyright usage for printed mediums, and web based sales promotion. Producer will write product endorsements, and blog entries for the Product Sponsors FaceBook, websites, and other industry related online outlets. A 30 second television commercial will be aired during each episode of DESTINATION: Baja Sur on NBC Sport and the World Fishing Network. The Producer s work will be subject to review by the Product Sponsor with suggestive oversight by way of a tele-conference meetings, emailed samples, and reports as needed and determined by both parties. 5.0 Duties of the Product Sponsor 1- The Product Sponsor will provide all materials / goods / services for the Producer to utilize during the shooting of the series. Postal expenses will be the responsibility of the Product Sponsor. All pertinent contact information will be the responsibility of the Product Sponsor. It is suggested that extra product be provided to the Producer so that it too can be distributed to oncamera talent during the shoots to maximize the exposure of the Product Sponsors products. 2- To further the endorsement of the Product Sponsor s product. It is hereby suggested that up to date product reviews, product developments, and sales points be provided to the Producer and his staff to once again maximize the information and product message during the shoots.

6.0 Time / Work Efforts It is specifically understood and agreed that these assignments are based on a concept of consistency where materials provided by the Producer; video clips, video shorts, still images, product endorsements, product write-ups, FaceBook posts, website links, website content both written and visual will be delivered following filming expeditions, and / or the edited episodes once they are aired. 7.0 Fee Schedule Payments to the Producer for services described within will be a total of $75,000. A payment schedule of 3 payments, of $25,000 will be made by the Product Sponsor and due on April 15, 2015.. July 15, 2015.. October 15, 2015. A late fee of 5% will be added to payments that are 30 days delinquent. 8.0 Confidentiality Confidential Information: Confidential Information means all information, video footage, and materials, not otherwise obtainable through public domain, owned by the Producer, pertaining to it, its assets or its business, whether prepared by the Producer and provided, or to be provided by the Product Sponsor in connection with the services performed hereunder, or provided by, or prepared by the Producer and containing information, or based on any such information, regardless of the form (oral, written, computer tapes, camera cards, disks, etc.) in which the information is provided, created, or contained. The Product Sponsor agrees that all the Producers and / or customer (sponsor information) provided to the Product Sponsor as part of this agreement will be Confidential Information and will be used only in connection with the services performed under this agreement and for no other purpose, and will only be disclosed to those persons who need to know the information to perform their services, and otherwise will be kept confidential except with the Producers specific prior written consent. Without limiting the generality of the foregoing, the Product Sponsor acknowledges and agrees that the Producer has a particular interest in preventing the disclosure of Confidential Information to any direct or indirect competitor. Product Sponsor warrants and agrees that it shall not disclose any information deemed by the Producer to be confidential, or proprietary. Any such information obtained in the course of rendering services from the Producer shall be held in confidence. Moreover, any and all video footage / still images, and promotional materials developed within this scope of services shall be considered property of the Producer whereas copyright uses will be rendered to the Product Sponsor as marked and agreed by both parties for promotional use ONLY. None of the Producers video footage / Still images can be sold by the Product Sponsor as being property of the Product Sponsor.

9.0 Dispute Resolution and Venue In the event of any disagreement or dispute with regards to the terms of this Agreement, the parties will resolve their differences under the laws and jurisdiction of the United States, first by way of mediation, and if the parties are unable to resolve such dispute thereby, they shall then submit such dispute by arbitration. The prevailing party shall be entitled to receive payment of reasonable fees and expenses incurred in the process of the mediation plus payment for business damages and interest thereof. 10.0 Miscellaneous This Agreement constitutes the entire Agreement between the parties with respect to the subject matter hereof, and supersedes all prior written or oral Agreements. This Agreement is binding upon the parties hereto and their respective successors and permitted assigns. Neither party may assign this Agreement without written consent of the other party. In the event any portion of this Agreement is determined to be illegal or invalid, such provision shall be severed from the Agreement and the remainder of the Agreement shall continue in force and effect.
