SECTION ONE GENERAL RULES 1. DEFINITIONS AND INTERPRETATION 1.1 In these Rules the following terms shall have the following meanings: Applicant Board Business Day Buy-in and Sell-out Procedures Complex Order Complex Transaction Compliance and Regulatory Committee Confirmation Contractual Settlement Date a person applying to become or be treated as a Participant in accordance with Rule 2; the board of directors of Liquidnet and its duly appointed subcommittees and delegates; any day declared to be a business day by Liquidnet on which the Liquidnet Fixed Income MTF is open for business; the buy-in and sell-out procedures issued or adopted by Liquidnet from time to time referred to in Rule 21.1; an Order involving the simultaneous exchange of Securities and any relevant Underlying; linked Transactions involving the simultaneous exchange of Securities and any relevant Underlying; a committee of the Board whose responsibilities include considering and determining issues referred to it in accordance with these Rules; in relation to a Transaction, the relevant confirmation issued by Liquidnet to a Participant pursuant to Rule 14.5; the date for settlement of a Transaction determined by Liquidnet ; Convertible Bond Corporate Action an investment (as defined in the FSMA) which (in addition to any other right, benefit or entitlement) confers on the holder the right, on exercise, to exchange that investment for the shares and other investments of the issuer or a third party on such terms as to price, conversion dates and other conditions as the issuer may specify including without limitation exchangeable convertible bonds, mandatory convertible bonds, preferred convertible securities, perpetual convertible securities, pre-ipo exchangeable or convertible securities and Sukuks; a change in the terms of issue of any Security or any related Underlying and/or the issue, exercise, payment, delivery or performance of any right, privilege or benefit attaching to or arising from a Security or any related Underlying, including without limitation any change of conversion ratio or price and 2

other terms, the declaration or payment of any dividend, distribution, interest, bonus or other rights, any consolidation, conversion, merger, reconstruction, exchange, redemption or return of capital; Dark Order Defaulter Delivering Participant EEA Eligibility Criteria an Order meeting the eligibility criteria for such an order as described in the Participant Manual and visible to qualifying Participants but otherwise not publicly displayed on the Liquidnet Fixed Income MTF; a Participant which has been declared to be in default by Liquidnet in accordance with the provisions of Rules 6.1 6.3; a Participant required to deliver Securities or any Underlying on the Contractual Settlement Date as described in Rule 21.2; the European Economic Area; the criteria for eligibility for participation in the Liquidnet Fixed Income MTF set out in Rule 2.2; Failed Transaction the meaning given in Rule 7.3; FCA FCA Rules FSMA Grey Market Security Grey Market Transaction the Financial Conduct Authority of the UK or any successor Regulator established from time to time; the rules and guidance issued or adopted by the FCA; the Financial Services and Markets Act 2000 of the UK; a new issue of Securities designated as such by Liquidnet (whose indicative terms of issue have been made public by the issuer but in relation to which final pricing has not been confirmed by the issuer or any relevant underwriter); a Transaction relating to or involving a Grey Market Security; 2 March 2014

Insolvency Event a Participant being unable to pay its debts as they fall due; or the presentation of a petition for the bankruptcy or winding-up, of a Participant; or a Participant having a receiver or administrator appointed with respect to it, any part of its business or any of its assets; the Participant proposing to enter into or entering into any scheme of arrangement or composition with its creditors; or the taking of any similar or analogous event or proceedings whether in the UK or in any other country or jurisdiction; Liquidnet Liquidnet Europe Limited (Company Number 04232799) as operator of the Liquidnet Fixed Income MTF; Market Disruption the meaning given in Rule 16.1; Material Amendment MiFID MTF an amendment to these Rules which (as determined by Liquidnet in its absolute discretion) will have a significant impact on Participants to the extent that it requires significant changes to the systems of Participants or the Liquidnet Fixed Income MTF or it materially affects the way Orders are processed or it has significant legal or regulatory implications or it may result in substantial additional financial or administrative costs to Liquidnet and/or the Participants; the European Parliament and Council Directive on markets in financial instruments (No. 2004/39/EC); a Multilateral Trading Facility as defined in article 4(1)(15) of MiFID; Non Defaulter the meaning given in Rule 7.2; Officers Order Participant in relation to a corporate or unincorporated body, any director, officer, partner, member or senior manager and any committee appointed by its board of directors or members or senior managers and any of their respective agents; any valid order to buy or sell a Security submitted by a Participant to the Liquidnet Fixed Income MTF in accordance with these Rules (which to avoid any misunderstanding shall where the context requires include a Dark Order and a Complex Order); an Applicant accepted by Liquidnet as a Participant and permitted to place Orders and/or execute Transactions on the Liquidnet Fixed Income MTF in accordance with these Rules (which to avoid any misunderstanding shall include a Defaulter); 3 March 2014

Participant Agreement Participant Manual Participant Notice Position Limit RAO Receiving Participant Regulator the agreement entered into by each Participant with Liquidnet (incorporating the Settlement Agent Terms); the manual (as amended, extended or re-stated from time to time) available to Participants detailing the functioning of the Liquidnet Fixed Income MTF and giving information and guidance on its use, an up to date copy of which is available on the Liquidnet website; any notice published or issued by or on behalf of Liquidnet relating to a change to the Rules which in the case of a Material Amendment may be disseminated on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants; any limitation on the total number or size of unsettled Transactions (measured by number or aggregate monetary consideration) which may be imposed on a Participant by Liquidnet (which to avoid any misunderstanding may relate to one or more Securities or any Underlying or all unsettled Transactions); Financial Services and Markets Act 2000 (Regulated Activities) Order 2001; a Participant entitled to receive Securities or any Underlying on the Contractual Settlement Date as described in Rule 21.1; the authority designated by each member state of the EEA in accordance with Article 48 of MiFID, the government of any EEA member state or any department or agency thereof, including (without limitation) any authority in the EEA competent for the investigation and prosecution of market abuse or the equivalent in any other jurisdiction; Reverse Transaction the meaning given in Rule 7.3; Rules Security Senior Manager the rules in this Rule Book, encompassing the General Rules the Trading Rules and the Settlement Rules, together with any Participant Notice and any related direction, guidance or other requirements issued by Liquidnet ; Any investment (including without limitation any Convertible Bond or other type of bond) admitted to trading on the Liquidnet Fixed Income MTF from time to time (which to avoid any misunderstanding where the context requires shall include a Grey Market Security and a Suspended Security); the chief executive officer, executive directors of the Board and 4 March 2014

any other person designated a Senior Manager of Liquidnet ; Settlement Agent Settlement Agent Terms the entity (or entities) appointed by Liquidnet from time to time to act as each Participant s agent for the settlement of all Transactions; the terms of business as amended, extended or re-stated from time to time on which the Settlement Agent provides its services to Participants; 5 March 2014

Settlement Manual Settlement Rules the manual (as amended, extended or re-stated from time to time) detailing the arrangements for the settlement of Transactions, an up to date copy of which is available on the Liquidnet website; the rules issued by Liquidnet and set out in part three of these Rules relating to the settlement of Transactions; Settlement System Euroclear Bank and such other settlement systems through which Transactions are to be settled; Suspended Security the meaning given in Rule 16.3; Terms of Trading the meaning given in Rules 15.2 and 15.3; Trade Date Trading Limit Trading Rules Transaction the date on which a Transaction is entered into; any limitation on the, size or frequency or total number of Orders (measured by number, aggregate monetary consideration, aggregate face value or such other method Liquidnet may adopt) which may be requested by the Participant or imposed by Liquidnet; the rules issued by Liquidnet and set out in part two of these Rules relating to the trading of Securities and any Underlying on the Liquidnet Fixed Income MTF or through facilities provided by Liquidnet ; a transaction between Participants relating to the sale and purchase of a number, quantity or amount of any Security or any Underlying resulting from the execution of an Order (which to avoid any misunderstanding includes a Complex Transaction and a Grey Market Transaction) on the Liquidnet Fixed Income MTF or through facilities provided by Liquidnet ; Underlying the deliverable shares or cash equities as described in Article 76 of the RAO which are the subject of any Security or a contract for differences on such shares or cash equities as described in Article 85 of the RAO or any right, benefit or entitlement attaching to any of them. In the event that the issuer of the Underlying has more than one listings for common shares, Liquidnet may at its discretion determine which share listing will consist of the Underlying; UK the United Kingdom of Great Britain and Northern Ireland; Liquidnet Compliance Department the person allocated responsibility for compliance oversight pursuant to the FCA Rules and their nominees and delegates; 6 March 2014

Liquidnet Fixed Income MTF Void Transaction the MTF trading platform operated by Liquidnet for the trading of Securities in accordance with these Rules; a transaction declared to be void by Liquidnet in accordance with Rule 16.1, 16.3 or 16.5 1.2 In these Rules, unless the context specifically requires otherwise, references to: words in the singular include the plural and in the plural include the singular; a person include a corporate or unincorporated body; one gender include the other gender; and any directive, law, FCA Rule or other rule (including these Rules) or regulation are to such directive, law, FCA Rule or other rule (including these Rules) or regulation as it is in force for the time being and any amendment, extension, application, re-statement or re-enactment thereof and includes any subordinate legislation for the time being in force made under it. 1.3 Any references to time are to the time in London. 1.4 All notices and communications passing between Liquidnet and a Participant shall be in English and made or confirmed in writing (which shall include email and messages disseminated via the Liquidnet Fixed Income MTF) in such manner as may be agreed by Liquidnet and the Participant or specified by Liquidnet. 2. PARTICIPATION 2.1 Participation in the Liquidnet Fixed Income MTF is open to any Applicant which meets (and any Participant continuing to meet) the Eligibility Criteria and which: 2.1.1 agrees to abide by these Rules; 2.1.2 meets the technical specifications and standards imposed by Liquidnet from time to time to access and use the Liquidnet Fixed Income MTF; and 2.1.3 enters into and is party to a Participant Agreement with Liquidnet or has otherwise agreed to be bound by the terms of a Participant Agreement. 2.2 The Eligibility Criteria are as follows and each Participant shall: 2.2.1 be an EEA regulated investment firm or credit institution (as defined by MiFID) or other person whom Liquidnet believes to be suitable for admission as a Participant including (without limitation) a UCITS management company, a member of any regulated market, an exempt person (pursuant to the FSMA) or any other institutional investor with a demonstrable track record for trading the Securities or similar investments; 2.2.2 be fit and proper; 77

2.2.3 have financial resources sufficient to support their actual and anticipated trading activities; 2.2.4 have in place either directly (or through third parties) the systems, procedures and arrangements to settle Transactions and make and take delivery of Securities and any Underlying if applicable and make payments to and receive payments from the Settlement Agent; 2.2.5 be able to demonstrate to the satisfaction of Liquidnet that its systems are compatible with the Liquidnet Fixed Income MTF and capable of conducting the Participant s actual or anticipated business on the Liquidnet Fixed Income MTF; 2.2.6 have in place adequate systems and controls to ensure its ongoing compliance with these Rules, the FCA Rules and if applicable the rules of any relevant Regulator; 2.2.7 be committed to participating in a transparent, open, orderly and fair market in Securities; 2.2.8 have in place appropriate facilities to provide Liquidnet (if requested) with such information as Liquidnet may require in relation to the validity and execution of any Order and compliance with these Rules, and if applicable the rules of, any relevant Regulator; and 2.2.9 be accepted by the Settlement Agent as an acceptable counterparty. Rule 2.2.3 will not be applicable to investment firms and BCD credit institutions. 2.3 Applications for participation shall be made to Liquidnet in such form as Liquidnet may specify or accept from time to time. 2.4 In becoming a Participant each Applicant agrees to abide by, comply with, and adhere to the terms of the Participant Agreement, the Settlement Agent Terms and these Rules. 2.5 Liquidnet shall notify each Applicant of the date on which its participation shall become effective. 2.6 Liquidnet deals exclusively with Participants and does not have (nor does it seek to have) any relationship with any client or customer of any Participant. The Liquidnet Fixed Income MTF is only available to Participants and a Participant shall not provide or allow any person who is not a Participant direct access to the Liquidnet Fixed Income MTF. A Participant is solely responsible for every Order submitted to the Liquidnet Fixed Income MTF irrespective of whether the Participant was acting as principal or agent when placing the Order. 3. CONTINUING OBLIGATIONS 3.1 Each Participant shall at all times ensure its continuing compliance with these Rules including (without limitation) the Eligibility Criteria and the Settlement Rules including 88

in relation to each Transaction its delivery and settlement obligations. 3.2 Each Participant shall be responsible for compliance with all legal and regulatory responsibilities which may be imposed on the Participant by the FCA or any other applicable Regulator. 3.3 The responsibility for accurately pricing any Security or any Underlying (including setting any applicable delta and order conditions) is solely with the Participant and, to avoid any misunderstanding, Liquidnet shall have no responsibility for providing Participants with information relating to any Security or Underlying including (without limitation) marking any Security or Underlying as being subject to a pending Corporate Action. 4. NOTIFICATIONS 4.1 Each Participant shall notify Liquidnet immediately on the occurrence of any of the following in relation to it (or where relevant any holding company): 4.1.1 the occurrence of an Insolvency Event; 4.1.2 the commencement of enforcement or other proceedings whether before any court or tribunal by any Regulator to the extent that such action or proceedings could impair, restrict or prevent its compliance with these Rules, save to the extent that such notification or disclosure is prohibited by law or any relevant Regulator; and 4.1.3 it becoming aware that it is in breach of the terms of the Participant Agreement, the Settlement Agent Terms or these Rules or is in default of any other material obligation, provided that such breach is likely to impair the integrity of the Liquidnet Fixed Income MTF. 4.2 Each Participant shall notify Liquidnet as soon as possible on the occurrence of any of the following in relation to it (or where relevant any holding company): 4.2.1 any proposed change in the name, registered office, or status of the Participant or the business name under which it carries on business; 4.2.2 any change in control of the Participant; 4.2.3 the Participant becoming aware that it is in breach of these Rules unless such a breach is likely to impair the integrity of the Liquidnet Fixed Income MTF (in which case immediate notification is required in accordance with Rule 4.1.3); and 4.2.4 any other fact, matter, significant activities or events which the Participant reasonably believes should be brought to the attention of Liquidnet. 99

5. RESIGNATION AND TERMINATION OF MEMBERSHIP 5.1 Subject to Rule 5.2, a Participant (which is not a Defaulter and has no outstanding obligations to Liquidnet or any other Participant in connection with its use of the Liquidnet Fixed Income MTF) may resign as a Participant of Liquidnet at any time on not less than 30 days' prior written notice to Liquidnet. 5.2 A Participant shall remain responsible for its acts and omissions during any period of participation in the Liquidnet Fixed Income MTF. 6. DEFAULT 6.1 If Liquidnet believes or suspects that a Participant: 6.1.1 has failed to pay any fees, charges and assessments or other amounts due to Liquidnet or the Settlement Agent; 6.1.2 is in breach of these Rules, the Participant Agreement or the Settlement Agent Terms; 6.1.3 is subject to enforcement or other proceedings by a Regulator which could impair, restrict or prevent the Participant s compliance with these Rules the Participant Agreement or the Settlement Agent Terms; 6.1.4 is in breach of any Trading Limit or Position Limit; 6.1.5 is the subject of an Insolvency Event or is in such financial condition that Liquidnet reasonably considers that it might be subject to an Insolvency Event or it would otherwise not be prudent to permit it to continue to participate in the Liquidnet Fixed Income MTF; 6.1.6 is engaging in any activity or conduct which has or is likely to impair the functionality, speed or reliability of the Liquidnet Fixed Income MTF by such activity being outside the normal course of the business of the Participant or compromise, impair, restrict or prevent the ability of Liquidnet to operate a fair and orderly market including (without limitation) any activity or conduct amounting to market abuse (as defined in the FCA Rules) or otherwise bring the Liquidnet Fixed Income MTF into disrepute; 6.1.7 is unable comply with its obligations to settle any Transaction on the Contractual Settlement Date or such other date as my be required under the Buy-in and Sell-out Procedures or specified by Liquidnet ; 6.1.8 has failed to pay the Deposit specified in any Notification of Deposit on the Deposit Date in accordance with the Buy-in and Sell-out Procedures (each term as defined in the Buy-in and Sell-out Procedures); or 10 10

Liquidnet may (save in the case of an Insolvency Event) then or at any time thereafter declare the Participant to be in default (a Defaulter). For the purposes of this Rule the declaration of default, in the case of an Insolvency Event, shall be deemed to have occurred immediately before the occurrence of the Insolvency Event. 6.2 In relation to Rule 6.1.7 Liquidnet may deem a Participant unable comply with its obligations to settle a Transaction if it is notified by the Settlement Agent of the suspension or termination of settlement services to that Participant (to avoid any misunderstanding including without limitation any agent the Participant may be using to settle Transactions) or the failure of the Participant to input settlement instructions in accordance with Rule 19.5. 6.3 Any declaration of default shall be immediately communicated to the Defaulter by such means as Liquidnet shall determine and if delivered orally shall be confirmed as soon as reasonably practical in writing. 7. CONSEQUENCES OF DEFAULT 7.1 Without prejudice to any other right or remedy Liquidnet, the Settlement Agent or any other Participant may have against a Defaulter, Liquidnet may in its absolute discretion with or without notice to the Defaulter: 7.1.1 terminate the Defaulter s participation, suspend, or restrict the Defaulter s right to place Orders, to receive information from the Liquidnet Fixed Income MTF or otherwise access the Liquidnet Fixed Income MTF; 7.1.2 cancel all and any Orders placed by the Defaulter on the Liquidnet Fixed Income MTF; 7.1.3 close out, terminate, void or reverse all (or any part of) any Transaction to which the Defaulter is a party and instruct the Settlement Agent not to settle such Transaction (or, any part of it); 7.1.4 exercise any other right or remedy available to it in accordance with these Rules, the Participant Agreement and/or take such other action as it may, in its absolute discretion, consider necessary, desirable or expedient to protect it s interest or the interests of the Settlement Agent or any other Participant or the integrity of the Liquidnet Fixed Income MTF. 7.2 In the event of Liquidnet exercising its powers under Rule 7.1.3 any Participant who is counterparty to the Defaulter (a Non Defaulter) in relation to any such Transaction (provided that such counterparty is not itself a Defaulter) shall (subject to applicable law) be entitled to claim against the Defaulter for any cost, loss, liability or expense suffered or incurred by such Participant arising from the failure or refusal of the Defaulter to comply with its obligations under these Rules. Liquidnet may, at the request of the Non Defaulter disclose the identity of the Defaulter to the Non 11 11

Defaulter (or its agent) and provide the Non Defaulter with such information as it may reasonably require to assist the Non Defaulter in bringing a claim against the Defaulter. 7.3 When Liquidnet exercises its powers under Rule 7.1.3 (or at any time thereafter) a Non Defaulter has delivered all or any Securities, Underlying or money under the terms of a Transaction to the Settlement Agent in accordance with the Settlement Rules (including the Buy-in and Sell-out Procedures where relevant) but the Defaulter has failed to deliver all or any Securities, Underlying or money under the terms of such Transaction to the Settlement Agent in accordance with the Settlement Rules (including the Buy-in and Sell-out Procedures where relevant) (a Failed Transaction), Liquidnet may instruct the Settlement Agent (as agent for the Defaulter) to enter into a new off-setting Transaction (a Reverse Transaction) between the Settlement Agent and the Non Defaulter on reverse terms of the Failed Transaction (so that where the Non Defaulter was the buyer and the Defaulter was the seller in the Failed Transaction, the Non Defaulter becomes the seller and the Defaulter becomes the buyer and where the Non Defaulter was the seller and the Defaulter was the buyer in the Failed Transaction in the Failed Transaction the Non Defaulter becomes the buyer and the Defaulter becomes the seller). To avoid any misunderstanding a Reverse Transaction can only relate to the failed element of a Failed Transaction so that in the event of a partial settlement only that number, quantity or amount of the Security or any Underlying to be delivered or money to be paid by the Defaulter can be the subject of a Reverse Transaction. 7.4 Neither Liquidnet, the Settlement Agent nor any other Participant shall have any liability whatsoever to the Defaulter or any other Participant for any loss, cost, liability or expense (including without limitation any loss of profit or gain incurred or suffered by the Defaulter or any other Participant) in consequence of Liquidnet s exercise or failure to exercise any right or remedy conferred by Rules 7.2 and 7.3. 8. COMPLAINTS BY PARTICIPANTS 8.1 Subject to Rule 8.2 any Participant who believes that Liquidnet has: 8.1.1 made a mistake; 8.1.2 failed to demonstrate appropriate care; 8.1.3 been guilty of unreasonable delay; 8.1.4 been guilty of unprofessional behaviour; 8.1.5 been biased; or 8.1.6 lacked integrity; may complain to Liquidnet. 8.2 No complaint may be made by a Participant or considered by Liquidnet if it relates to or arises from: 12 12

8.2.1 the imposition or adjustment of a Trading Limit or a Position Limit on the Participant by Liquidnet ; 8.2.2 Liquidnet applying Buy-in and Sell-out Procedures to an unsettled Transaction of the Participant; 8.2.3 a decision by Liquidnet to declare the Participant a Defaulter (or exercise or refuse to exercise any right pursuant to or in accordance with Rules 7.1, 7.2, 7.3 or any other Rule) or where the Settlement Agent declares an Enforcement Event as provided in the Settlement Agent Terms; 8.2.4 any act, omission or events which occurred more than 12 months before the date on which the complaint was received by Liquidnet. 8.3 Any complaint shall be made or confirmed in writing. The Liquidnet website contains details of the Complaints Procedure and details of indicative service levels for an initial consideration of a complaint by the Liquidnet Compliance Department. 8.4 The Liquidnet Compliance Department shall investigate the complaint. To assist the Liquidnet Compliance Department, Participants shall provide the Liquidnet Compliance Department with such information as it may reasonably require (and within such time as it may reasonably determine) to assess the complaint. 8.5 Should the Liquidnet Compliance Department believe it appropriate to do so, it may escalate the complaint and refer it to a Senior Manager who may determine whether to uphold the complaint or reject it. Should the Senior Manager uphold the complaint the Senior Manager shall notify the Participant concerned of the action Liquidnet proposes to take to redress or compensate the Participant for Liquidnet s act or omission. Should the Liquidnet Compliance Department or the Senior Manager reject a complaint they shall notify the Participant concerned and advise it of the reasons for the rejection of the complaint. 8.6 Should a Participant be dissatisfied with the decision reached by the Liquidnet Compliance Department or the Senior Manager (whether as to the rejection of the complaint or the redress or compensation offered by Liquidnet ) the Participant may, within three month s of the date on which Liquidnet first notified the Participant (in writing) of the final decision of the Liquidnet Compliance Department or Senior Manager, appeal to the Compliance and Regulatory Committee for an independent review. 9. INDEPENDENT REVIEW 9.1 The Compliance and Regulatory Committee shall be chaired by a member of the Board. To avoid any misunderstanding no Senior Manager of Liquidnet or member of the Liquidnet Compliance Department who has previously been involved in considering and determining any issue surrounding a complaint or review of the complaint is eligible to participate in the Compliance and Regulatory Committee. The chairman of the Compliance and Regulatory Committee may appoint others (who may or may not be members of the Board) but who must be independent of 13 13

the Participant (or Participants) involved. 9.2 The Compliance and Regulatory Committee shall determine appropriate arrangements to consider and determine any matter referred to it and may call for evidence, invite submissions and representations, convene meetings and hearings including without limitation, setting timetables and deadlines for the presentation of evidence, submissions and representations. Participants shall provide the Compliance and Regulatory Committee with such information as it may require within the time specified and appear before the Compliance and Regulatory Committee at the time it may specify and generally assist the Compliance and Regulatory Committee in the discharge of its functions. 9.3 The Compliance and Regulatory Committee shall notify the Participant or Participants requesting such review and Liquidnet of its reasoned decision on any matter referred to it which decision (subject to applicable law) shall be final and binding on the Participant (or Participants) and Liquidnet. 10. AMENDMENTS TO THESE RULES 10.1 These Rules may be amended or extended by Liquidnet at any time. All amendments to these Rules shall be notified to Participants by Participant Notice and shall have effect at such time as may be specified in the relevant Participant Notice. 10.2 Subject to Rule 10.3, Liquidnet may consult with Participants or a representative group of them prior to making any Material Amendment to these Rules. 10.3 In the case of an emergency, Liquidnet may make a Material Amendment to these Rules without prior consultation with Participants but Liquidnet may consult with a Participants or a representative group of them as soon as reasonably practicable after the Material Amendment has been made. 11. GENERAL 11.1 These Rules are governed by and shall be interpreted in accordance with the laws of England. SECTION TWO TRADING RULES 12. RULES OF FAIR PRACTICE 12.1 Each Participant shall uphold and support the aim and objective of Liquidnet in an open and transparent market in Securities and no Participant shall engage in any activity or conduct which is intended or designed to impair the reputation, effectiveness, integrity, orderliness and fairness of the Liquidnet Fixed Income MTF or results in damage to the integrity, orderliness and fairness of the Liquidnet Fixed Income MTF including (without limit): the creation of a false or misleading impression as to the market in or price of any Security; effect a Transaction in, or induce the purchase or sale of, any Security or Underlying by means of any manipulative, deceptive or other fraudulent device or 14 14

contrivance; or engage in any other activity or conduct which amounts to market abuse (as defined in the FCA Rules); and conduct bringing Liquidnet or the Liquidnet Fixed Income MTF into disrepute including conduct designed or intended to damage or resulting in damage to the integrity, orderliness and fairness of the Liquidnet Fixed Income MTF. 12.2 No Participant or Applicant or any of its Officers shall make any false or misleading statements or representations to Liquidnet in any application, report or other communication with or to Liquidnet (including the Compliance and Regulatory Committee). 13. INFORMATION 13.1 Each Participant shall retain a record of each Transaction for such period as is required under applicable law or the requirements of any Regulator having jurisdiction over them (which in the case of the FCA is at least five years). 13.2 Without prejudice to Rule 13.1, each Participant shall furnish to Liquidnet, upon request within such time and in such manner or format as Liquidnet may require, any records, files, or information pertaining to the Participant s use of the Liquidnet Fixed Income MTF, information obtained by the Participant from Liquidnet and information relating to Transactions executed on or through facilities provided by Liquidnet (save to the extent that such disclosure is prohibited by law or any relevant Regulator). 13.3 Liquidnet may disclose information and documents received from any Participant to the Settlement Agent and any Regulator for any purpose including (without limitation) enabling any Regulator to commence or pursue any investigation or enquiry or to institute, continue, or defend any proceedings. 14. TRADING 14.1 The hours of operation of the Liquidnet Fixed Income MTF shall be determined by Liquidnet (in its absolute discretion) and notified to Participants from time to time (to avoid any misunderstanding such notification could without limitation be disseminated on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants). There is nothing to prevent or restrict the right of Liquidnet to extend (or reduce) trading hours generally or in relation to any Security (or Underlying) during the course of any Business Day. 14.2 A Participant may submit, amend, or cancel Orders and enter into Transactions during the times specified by Liquidnet. Continuous matching of executed Orders shall take place during the trading hours for each Security specified by Liquidnet. The arrangements for the submission, amendment, negotiation and execution of Orders are detailed in the Participant Manual. 14.3 Securities shall be quoted and traded in units or notional amounts determined by Liquidnet (in its absolute discretion). Minimum Order sizes, minimum price increments and the various Order types that may be submitted to the Liquidnet Fixed Income MTF are displayed in the Liquidnet Fixed Income MTF and/or described in the Liquidnet Participant Manual. Liquidnet shall notify Participants of any change 15 15

to the arrangements for trading in each Security which information may be disseminated on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants. 14.4 Both the Security and Underlying elements of a Complex Order shall be executed on the Liquidnet Fixed Income MTF in accordance with and subject to these Rules. 14.5 When an Order is executed by the acceptance of a valid bid or offer displayed or negotiated on the Liquidnet Fixed Income MTF in a Security and, in the case of a Complex Order, any Underlying, a binding contract shall (subject to Rule 14.6) immediately arise between the Participants concerned (on the terms of and subject to these Rules) for the sale and purchase of the Security in question and, in the case of a Complex Order, any Underlying. On the execution of an Order Liquidnet shall issue a confirmation, confirming the price and number, amount or quantity of the Security and any Underlying (if applicable) which are to be bought or sold respectively pursuant to the Transaction. To avoid any misunderstanding in any case in which there is conflict between the delta of the relevant Order and the number, amount or quantity of the Underlying relating to the Transaction, the number, amount or quantity of the Underlying shall prevail. 14.6 When a Grey Market Transaction is entered into by the acceptance of a valid bid or offer displayed on the Liquidnet Fixed Income MTF in that Grey Market Security (unless voided by Liquidnet in accordance with this Rule or Rules 7.1, 7.2, 16.1, 16.3 and 16.5) a conditional contract shall immediately arise between the Participants for the sale and purchase of such number or amount of the Grey Market Security in question at the price or value displayed. The price or value of a Grey Market Convertible Security shall be expressed as a percentage of issue price (and not re-offer price) as determined by the issuer or any relevant underwriter on the pricing of the issue. For all securities other than Convertible Bonds, the relevant Grey market price will be expressed as number of points plus or minus the issue price (and not re-offer price) as determined by the issuer or any relevant underwriter on the pricing of the issue. Such conditional contract shall become unconditional when declared so by Liquidnet (on the announcement of the pricing of the Grey Market Security by the issuer or any relevant underwriter). Should the relevant new issue of Grey Market Securities be cancelled or delayed (for longer than such period as may be determined by Liquidnet in its absolute discretion) Liquidnet shall declare the relevant Grey Market Transactions void. Liquidnet shall notify Participants of any declaration that conditional contracts have become unconditional or conditional contracts have been voided (or that such action is intended or proposed) which notification may be disseminated on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants. 14.7 Any Order placed by a Participant must be firm and available for execution on the Liquidnet Fixed Income MTF in accordance with the terms of the Order. 14.8 Liquidnet may refuse to accept an Order on the Liquidnet Fixed Income MTF or if it has accepted an such Order, Liquidnet shall have the right to cancel that Order if Liquidnet (in its absolute discretion) believes that the Order is erroneous, invalid, manipulative, 16 16

deceptive or fraudulent or that such action is necessary in order to preserve an orderly market and the integrity of the Liquidnet Fixed Income MTF. 15. ADMISSION OF SECURITIES AND CORPORATE ACTIONS 15.1 Liquidnet shall determine which Securities shall be available for trading on the Liquidnet Fixed Income MTF. In determining if it is appropriate to admit a Security and any related Underlying to trading on the Liquidnet Fixed Income MTF, Liquidnet shall take into consideration the following: 15.1.1 the outstanding size or number of the Security in issue; 15.1.2 the liquidity of the Security; 15.1.3 the likely interest of Participants in the Security; 15.1.4 the availability of facilities to settle anticipated Transactions in that Security through one or more clearing or settlement systems to which the Settlement Agent and Participants have access; 15.1.5 the availability and liquidity of any Underlying and facilities to settle anticipated Transactions in that Underlying through one or more clearing or settlement systems to which the Settlement Agent and Participants have access; and 15.1.6 if applicable, the availability of real time price feeds for any Underlying from Chi-X or such other source as Liquidnet may (in its absolute discretion) determine. 15.2 Liquidnet shall notify Participants of any new Securities admitted to trading on the Liquidnet Fixed Income MTF and the terms or arrangements for trading in each Security (Terms of Trading) which notification may be disseminated on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants. A list of Securities which have been admitted to trading on the Liquidnet Fixed Income MTF is available on the Liquidnet Fixed Income MTF and Liquidnet website. When any Security is admitted to trading on the Liquidnet Fixed Income MTF, the related Underlying may also be admitted to trading on such Terms of Trading as Liquidnet may impose. All Orders will be accepted and Transactions executed subject to and in accordance with such Terms of Trading. 15.3 Liquidnet has no influence or control of any Corporate action which might take place in relation to any Security or any related Underlying or for the pricing of any Security or Underlying (Participants should note Rule 3.3 in this regard). In order to preserve a fair and orderly market in a Security admitted to trading on the Liquidnet Fixed Income MTF, Liquidnet may impose (or having imposed may vary) the Terms of Trading on which such Security or any related Underlying is admitted to trading on the Liquidnet Fixed Income MTF. Such Terms of Trading will be imposed immediately following their announcement by Liquidnet or from such time in the future as Liquidnet declares. The Terms of Trading will be imposed and varied by 17 17

notice disseminated on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants. 16. CANCELLING OF ORDERS AND VOIDING TRANSACTIONS 16.1 In the event of any failure, disruption or malfunction in the use or operation of any electronic communications and trading facilities of the Liquidnet Fixed Income MTF, the failure of the Settlement Agent, or other extraordinary market conditions or circumstances (each as determined by Liquidnet in its absolute discretion) (Market Disruption) Liquidnet may for the maintenance of a fair and orderly market, the protection of investors and the public interest (with or without prior notice to Participants): 16.1.1 suspend or terminate the operation of the Liquidnet Fixed Income MTF in whole or in part; and/or 16.1.2 cancel all or any unexecuted Orders; and/or 16.1.3 void all Transactions arising out of the use or operation of the Liquidnet MTF during such period of Market Disruption. 16.2 Any such action of Liquidnet pursuant to Rule 16.1 shall be taken as soon as reasonably practicable following an event of Market Disruption and each Participant involved in any Transaction shall be promptly notified of Liquidnet s determination which notification shall be disseminated on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants which determination shall be final and binding on all Participants. 16.3 When trading in any Underlying is suspended by a Regulator or becomes impossible (for example, and without limit, if it is no longer possible to settle Transactions in the Security or any related Underlying through the Settlement System), Liquidnet may on or after the first announcement of such suspension or becoming aware that trading is impossible, cancel all Orders in the Security relating to such Underlying (a Suspended Security), and/or void any Transaction in the Suspended Security. Each Participant involved in any Transaction in a Suspended Security shall be promptly notified of Liquidnet s determination by message through the Liquidnet Fixed Income MTF or by email which determination shall be final and binding on each Participant. 16.4 Liquidnet may with a view to maintaining a fair and orderly market and the protection of investors and the public interest review any Order or Transaction (which Liquidnet reasonably believes was executed as a result of an Order) which in their opinion abusive (as per Regulator guidelines and regulations) irrespective of whether any parties to the Transaction have requested Liquidnet review that Transaction. Liquidnet shall notify the relevant Participant or Participants as soon as practicable that the Order or Transaction is under review. Any relevant Participant shall provide any supporting information as may reasonably be requested by Liquidnet to aid the resolution of the matter in such format and within 18 18

such time as Liquidnet may reasonably specify in its request. Liquidnet will also void any Transaction upon request by a Regulator. 16.5 Liquidnet shall notify the relevant Participants to a Transaction as soon as reasonably practical of its determination. If Liquidnet determines that the Transaction in question is abusive Liquidnet may void the Transaction and notify the Participants party to the Transaction that it has done so. 16.6 Liquidnet shall instruct the Settlement Agent not to settle any Transaction which has been declared void by Liquidnet and no Participant shall take (or continue to take) any steps to enforce the terms of any Transaction which has been declared void 17. TRADING AND POSITION LIMITS 17.1 In order to maintain a fair and orderly market on the Liquidnet Fixed Income MTF, Liquidnet may, in its absolute discretion, either unilaterally or at the request of or after consultation with the Settlement Agent and/or relevant Participant, impose Trading Limits or Position Limits on any Participant. Liquidnet will notify a Participant of the imposition of, or change to, any Trading Limit or Position Limit. Any newly imposed or changed Trading Limit or Position Limit will not apply to any unsettled Transactions or current Orders and will only apply to Transactions or Orders entered into or placed after the date Liquidnet notifies a Participant about the imposition of, or change to, any Trading Limit or Position Limit. Each Participant shall comply with any Trading or Position Limit imposed on it by Liquidnet. Liquidnet may make arrangements through the Liquidnet Fixed Income MTF to restrict or prevent the breach of any Trading Limit or Position Limit. The breach of any Trading Limit or Position Limit may result in the Participant being declared a Defaulter in accordance with these Rules. 18. REMOVAL AND SUSPENSION OF SECURITIES AND ORDER TYPES 18.1 The suspension or removal of a Security or Underlying from trading on the Liquidnet Fixed Income MTF and the availability of any Order types is at the absolute discretion of Liquidnet and notice of the removal of any Security or any Order types from the Liquidnet Fixed Income MTF shall be disseminated by message on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants. 18.2 Liquidnet shall suspend trading in any Security, Underlying or the availability of any Order type if instructed to do so by a Regulator, and may suspend trading in any Security or the availability of any Order type if Liquidnet (in its absolute discretion) deems it necessary for the maintenance of a fair and orderly market. SECTION THREE - SETTLEMENT RULES 19. OBLIGATION TO SETTLE TRANSACTIONS 19.1 A Participant shall settle each relevant Transaction in accordance with the terms of the Confirmation through the settlement arrangements specified by Liquidnet from 19 19

time to time. The arrangements applicable to the settlement of Transactions are available on the Liquidnet website. Notice of any change to these arrangements shall be disseminated on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants. 19.2 Liquidnet has appointed the Settlement Agent to provide settlement services to Participants. The settlement services provided by the Settlement Agent are provided on and subject to the Settlement Agent Terms which are binding on Participants. 19.3 A Participant shall ensure that every Transaction is duly settled on the Contractual Settlement Date (and if the Transaction is a Complex Transaction each related Transaction in the Underlying). 19.4 The Settlement Agent deals with each Participant as its agent. Each Participant is responsible for settlement of every Transaction it enters into irrespective of any arrangements it has made with any third party and whether the Participant acted as principal or agent in relation to the Transaction. 19.5 Each Participant will ensure that it (or its agent) enters and does not withdraw instructions for the settlement of each Transaction (and if the Transaction is a Complex Transaction each related Transaction in the Underlying) in the Settlement System no later than one Business Day prior to the relevant Contractual Settlement Date. 20. SETTLEMENT 20.1 Transactions are for standard settlement for the Security as determined by Liquidnet and disseminated on the Liquidnet website or via the Liquidnet Fixed Income MTF and confirmed in the Confirmation. 20.2 Liquidnet may in an emergency or if requested to do so by the FCA (and after consultation with the Settlement Agent) change the Contractual Settlement Date for unsettled Transactions and postpone or extend a settlement period for any or all unsettled Transactions effected in any specified Security or Underlying on any Trade Date, for a specified period or indefinitely. Notice of any such change shall be disseminated on the Liquidnet website, via the Liquidnet Fixed Income MTF or emailed or copied to all Participants. 20.3 A Participant selling Securities and any Underlying is responsible for ensuring the delivery of the Securities and any Underlying (or the documents of title thereto together with transfer documentation) to the Settlement Agent no later than the Contractual Settlement Date and a Participant buying Securities and any Underlying is responsible for ensuring the transfer of money to the Settlement Agent no later than Contractual Settlement Date in each case in accordance with procedures specified by Liquidnet. 20.4 A Participant shall ensure that the Securities, any Underlying and/or money 20 20

delivered in settlement of a Transaction are free of any charge, lien or encumbrance. 20.5 A Participant is responsible for the authenticity of any documents and certificates submitted by it, whether on its own behalf or on behalf of another person, and whether directly or through any agent. 20.6 Partial settlements are permitted at the absolute discretion of Liquidnet. 21. BUY-IN AND SELL-OUT 21.1 A Participant entitled to receive Securities or any Underlying under the terms of any Transaction (the Receiving Participant) which fails to receive such Securities or any Underlying to which they are entitled on the Contractual Settlement Date (due to the fault of the Delivering Participant or their agent(s)) may initiate a "Buy-in" to enforce the delivery of the relevant Securities or any Underlying to them in accordance with procedures specified by Liquidnet (the Buy-in and Sell-out Procedures). The Receiving Participant may initiate such a Buy-in at any time after the Contractual Settlement Date up to and including but not after the twentieth Business Day after the Contractual Settlement Date. 21.2 Any Participant required to deliver Securities or any Underlying under the terms of any Transaction (the Delivering Participant) unable to deliver such Securities or any Underlying on the Contractual Settlement Date to the Receiving Participant (due to the fault of the Receiving Participant or their agent(s)), may initiate a "Sell-out" to enforce the delivery of the relevant Securities or any Underlying in accordance with the Buy-in and Sell-out Procedures. The Delivering Participant may initiate such a Sell-out at any time after the Contractual Settlement Date up to and including but not after the twentieth Business Day after the Contractual Settlement Date. 21 21
