Additional Compensation/Conflict of Interest Disclosure Statement At Centaurus Financial, Inc. ( Centaurus, we, or our ) we receive additional compensation from numerous sources related to investment products including investment companies, asset managers, insurance companies, investment sponsors and third party advisors or distributors that are sold through our nationwide network of Registered Representatives. These payments are typically made in connection with programs or activities that support our marketing and sales force education and training efforts, such as our annual national sales conferences, educational workshops, training meetings or other similar events. Such payments may be in the form of marketing, advertising, educational, promotional and/or due diligence fees, dependent upon the purpose and form of the payments. In return for assistance in facilitating the activities described above or performing certain other activities that may assist investment companies in marketing their products to our Registered Representatives or educating our Home Office personnel or advisors, Centaurus may receive additional compensation from certain companies. These payments may be in addition to commissions and other fees and expenses disclosed in a prospectus fee/expense table. Centaurus is providing this Additional Compensation/Conflict of Interest Disclosure Statement primarily to uphold its responsibility to disclose to you in a clear manner the existence of fees, costs, incentives and relevant information associated with your decision to invest. Please note that this document is not a comprehensive fee disclosure document as it only attempts to disclose compensation that may not be easily identifiable or exist at all in the specific securities or insurance offering documents provided to you at or near the time of sale. The primary tool in disclosing much of the information related to the fees and costs you will incur as an investor in most investment programs can be found in the updated prospectus or offering memorandum for the specific investment (for newly issued securities), which should be made available to you at the time you invest. You should read the prospectus and/or offering memorandum carefully to identify, among other things, the various fees, commissions and/or costs that you will incur. 07282015

In most cases the additional compensation received by us from the various investment products or issuers is described generally in the prospectus or other offering memorandum, but for those instances where the disclosure is not easily identifiable, this document is meant to clarify that Centaurus does in fact receive additional compensation from the companies (or their affiliates) listed below. Due to the fact that Centaurus may receive some level of additional compensation from the companies listed below, we may have a conflict of interest in recommending the purchase of securities issued by such companies in place of other investment options. However, we believe that the additional compensation provided to us does not compromise the advice your financial advisor gives you for various reasons, including the fact that your financial advisor is not given additional compensation based on the arrangements described above, with the possible exception of reimbursements for certain marketing expenses incurred by your financial advisor. While compensation with each of the companies listed below may vary, we may receive between 0.00% and 300 basis points (3.0%) of the gross investment amount of each sale or a fee based on the total assets under management with a participating company. Such payments are received in addition to standard sales commissions or fees. For example, in the case of a one time fee based on the gross amount of a transaction, if you were to invest $10,000 with a participating company, Centaurus could receive a one time $300 payment (assuming a 3% fee). Or, alternatively, assuming a similar $10,000 investment with a company that pays us a fee for total assets under management with the company, we might receive an annual fee of.5% on the $10,000 investment, which would result in an ongoing annual fee of $50 paid to us so long as your invested assets remained in a Centaurus account. Such fees are commonly referred to as assets under management or AUM fees. In addition to any payments made that correlate with sales, the companies may also make additional payments to Centaurus for attendance at various educational and/or marketing meetings hosted by Centaurus throughout the year. Therefore, in an effort to ensure complete and full disclosure of all compensation/remuneration that Centaurus receives as a result of your purchases, Centaurus is hereby disclosing that it may receive additional compensation as described above from any or all of the companies listed on our approved product list.
