DISCLOSURES, TERMS AND CONDITIONS 1. HOW TO OPEN AN ACCOUNT Encasa Financial Inc., the manager, manages the overall business of the Social Housing Investment Funds (the Funds), including providing or arranging for administration services and the sale of units of the Funds. Encasa Financial Inc., the manager, has hired RBC Global Asset Management Inc. (RBC GAM) to carry out research and to select, purchase and sell portfolio securities for the Funds and has hired Phillips, Hager & North Investment Funds Ltd. (PH&NIF), which uses the trade name PH&N Investment Services, as principal distributor of the Funds. / TM Trademark(s) of the Royal Bank of Canada. Used under licence. Unless otherwise indicated, throughout this document the words you and your refer to the corporate account holder of the Social Housing Investment Account. We, us and our refer to PH&N Investment Services. If you need help completing this Application, please contact a PH&N Investment Services Investment Funds Advisor at 1-888-771-7473 (SHSF). INVESTOR AGREEMENT When you sign this Social Housing Investment Funds Investment Account Application, you confirm that the applicant corporation understands and agrees that: It is applying to establish a Social Housing Investment Account, which will be administered by PH&N Investment Services. It has read a copy of the Simplified Prospectus or Fund Facts document for the Social Housing Investment Funds, which are managed by Encasa Financial Inc. The information the corporation has given us is correct. You will advise us of any changes and/or additional information that we may require. The identified Authorized Signing Officers are the only people who can give us instructions on, or receive information about, the applicant corporation s Social Housing Investment Account unless the Authorized Signing Officers have appointed an agent using the Delegation of Authority Form. It cannot redeem units purchased with a non-certified cheque drawn on a Canadian financial institution for 10 business days following the purchase transaction. It may cancel the authorization or change the amount of an automatic transaction by providing PH&N Investment Services with written notice five business days prior to the transaction. Any change to the amount will be subject to the minimum purchase requirements. Automatic transactions may be cancelled by PH&N Investment Services at any time. Units of an automatic purchase may not be redeemed for 10 business days following the transaction. For automatic purchases, all persons whose signatures are required to authorize withdrawals from the bank account have signed Section 11 of this form. If an automatic purchase is scheduled on a non-business day, the transaction will occur on the first business day following the scheduled day. Confirmation of all automatic transactions will be listed on the applicant corporation s quarterly Statement of Account. Confirmation Notices will be issued for the first automatic transaction but not for subsequent transactions unless otherwise arranged. In the event of a dishonoured cheque for an automatic purchase, the applicant corporation may be charged a fee by PH&N Investment Services for any expenses incurred by us, and we may cancel automatic purchase privileges. PH&N Investment Services may record telephone calls for regulatory and client service quality purposes. Upon the termination of the distribution agreement between PH&N Investment Services and Encasa Financial Inc., PH&N Investment Services will, at the direction of Encasa Financial Inc., transfer this account to a dealer chosen by Encasa Financial Inc. 4. LEVERAGED INVESTING Using borrowed money to finance the purchase of securities, including investment fund units, involves greater risk than a purchase using cash resources only. If your corporation borrows money to purchase securities, its responsibility to repay the loan and pay interest as required by its terms remains the same even if the value of the securities purchased declines. 5. TERMS AND CONDITIONS FOR PRE-AUTHORIZED DEBIT (PAD) By this Agreement, and in keeping with the rules set out by the Canadian Payments Association, you authorize our bank to debit your deposit account (the PAD Account ) at the financial institution holding your PAD Account (your Deposit Bank ) for Pre-authorized Debit for the ongoing purpose of purchasing investment fund units on a regular basis, as specified in this application. You agree to the following Terms and Conditions and pre-authorize our bank to process a debit in the amount of your outstanding payments on the due date, as indicated in the application. You warrant to us and our bank on a continuing basis that all persons whose signatures are required to debit the PAD Account are provided with this pre-authorization or have provided a separate authorization. You may cancel this pre-authorization by written notice at any time up to five days before the next PAD date. Cancellation of this pre-authorization does not terminate any part of this Agreement and does not relieve you of your obligations to pay the amounts owing under the Agreement. You must inform us in writing up to five days before the next PAD date about any changes to your PAD Account. You understand and acknowledge that by providing and delivering this ongoing pre-authorization to PH&N Investment Services, you are also delivering your ongoing pre-authorization to your Deposit Bank and our bank. You acknowledge that your Deposit Bank is not required to verify that a PAD has been issued in accordance with this pre-authorization including, but not limited to, the amount and fulfillment of purpose. You may dispute a PAD under the following conditions: (i) the PAD was not 4

drawn in accordance with the pre-authorization; (ii) the pre-authorization was appropriately revoked. In order to be reimbursed, you shall submit a declaration to the effect that either (i) or (ii) took place and send it to your Deposit Bank not more than 90 calendar days after the date on which the disputed PAD was posted to your PAD Account. You shall resolve any dispute raised after that period solely with PH&N Investment Services. You have the right to receive reimbursement for any debit that is not authorized or is not consistent with this PAD agreement. For more information on your right to change or cancel your pre-authorized payment or your recourse rights, you may call our Investment Funds Advisors at 1-888-771-7473 (SHSF) or visit www.cdnpay.ca. By signing the Investment Account Application Form, you hereby authorize the Funds indicated in the Pre-Authorized Debit section to draw on your bank account using the information you have provided us. 6. RELATIONSHIP DISCLOSURE This information is provided to ensure that our clients in the Social Housing Investment Program have an understanding of their relationship with PH&N Investment Services, the obligations of PH&N Investment Services and what to expect regarding service levels and costs. Nature of advisory relationship At PH&N Investment Services, we have a team of experienced Investment Funds Advisors available to assist you in making your investment decisions. We aim to build long-term partnerships with your corporation by discussing your investment objectives and helping you to develop strategies to achieve them. Our investment advice is tailored to your corporation s unique situation and our Investment Funds Advisors have access to the Social Housing Investment Funds to create customized portfolios to meet your investment goals. You maintain control and decision-making over your investments while benefitting from direct access to a team of knowledgeable Investment Funds Advisors. Nature of the products and services offered All clients of PH&N Investment Services who participate in the Social Housing Investment Program have access to either Series A or B units of three Social Housing Investment Funds. The Investment Funds Service team at PH&N Investment Services is designed for clients who prefer to manage their own portfolios. Clients who use this service make their own investment decisions and contact PH&N Investment Services when they have questions about their accounts or their investment strategy. Investment Funds Advisors at PH&N Investment Services can be conveniently accessed through our toll-free telephone number. They offer consultation on portfolio structure and periodic portfolio reviews upon request. Encasa Financial Inc. is the Investment Fund Manager of the Social Housing Investment Funds and manages the overall business and affairs of the Social Housing Investment Funds. PH&N Investment Services acts as the Principal Distributor of the Social Housing Investment Funds. RBC Global Asset Management Inc. (RBC GAM), is the parent company of PH&N Investment Services. RBC GAM acts as the Portfolio Adviser to the Social Housing Investment Funds and carries out the investment research and security selection, purchase and sales functions for each of the three Social Housing Investment Funds referred to above. Procedures regarding handling of cash and cheques If you wish to fund a purchase of investment fund units sold by PH&N Investment Services, you must provide a cheque for the amount of the purchase that is made payable to RBC Investor Services Trust (RBC IS), the trustee of the Social Housing Investment Funds or, if applicable, provide the necessary financial institution information for an Electronic Funds Transfer to the trustee. As the trustee and custodian of the Social Housing Investment Funds, RBC IS is responsible for the safekeeping of the assets of those funds. Please note that all cheques must be made payable to RBC Investor Services Trust and not to an employee of PH&N Investment Services. PH&N Investment Services is unable to accept cash for the purchase of securities. Assessing suitability of orders accepted/ recommendations made Securities regulations and MFDA Rules require us to use due diligence to ensure that each order that we accept and each recommendation that we make is suitable for you and is in keeping with your stated investment objectives, time horizon, risk tolerance and other personal circumstances that your corporation provided to us upon account opening and that your corporation updates with us periodically. Our obligation to make a suitability determination applies to all proposed trades, whether or not an Investment Funds Advisor from PH&N Investment Services made the recommendation to you, or you, or an agent authorized to act on your behalf, initiated the trade. PH&N Investment Services will also assess the suitability of the investments in your account on the following occasions: No later than the time that you make the first trade following a transfer of assets from an external account into your account at PH&N Investment Services; When a material change in your information has come to the attention of PH&N Investment Services or an Investment Funds Advisor with whom you have dealt; or No later than the time that you make the first trade following a change in the Investment Funds Advisor from PH&N Investment Services who was responsible for the relationship management of your account, when applicable. Understanding the Know Your Client information (KYC) It is important that your corporation understands how PH&N Investment Services assesses whether a specific Social Housing investment option is suitable for your corporation. Therefore, we define below the terms that are important to both you and to us when we make a suitability determination. Having this information will assist your corporation in understanding why we ask you for this information when you open an account or when we ask you to update your corporation s KYC information that we have on file. a) Risk Tolerance There is no such thing as risk-free investing. Before investing in an investment fund, each investor should read the Simplified Prospectus or Fund Facts document for the fund, including the section titled What is an investment fund and what are the risks of investing in an investment fund? For each of your accounts, we ask you to define your risk tolerance as high, medium or low. Risk tolerance is defined as an investor s comfort level with fluctuations in the value of the investor s investments (i.e. volatility). It can be quantified as the amount of volatility that the investor can accept in a fund or the percentage decline that the investor can accept in the value of an account under normal market conditions. Risk tolerance differs from investor to investor and may differ from account to account. A conservative (low-risk) investor is primarily concerned with safety of capital and is willing to accept lower long-term returns in exchange for greater safety of capital and peace of mind. A medium risk investor should only invest in no higher than medium risk funds that demonstrate a medium volatility. This type of investor is looking for moderate growth over a longer period of time. An aggressive (high-risk) investor is an investor who is growth-oriented and is willing to accept more short-term volatility in exchange for potentially higher long-term returns. High: You are able to tolerate seeing a portfolio decline over 15% in any given calendar year. You are able to accept seeing a fund experience over 20% volatility over any 3-year period. 5

Medium: You are able to tolerate seeing a portfolio decline 10% 15% in any given calendar year. You are able to accept seeing a fund experience between 5% 20% volatility over any 3-year period. Low: You are able to tolerate seeing a portfolio decline up to 10% in any given calendar year. You are able to accept seeing a fund experience between 0% 5% volatility over any 3-year period. b) Investment Objective Your corporation s objective may be defined as growth, balanced or income. Growth: Your corporation seeks capital appreciation over the long term, and current income (i.e., interest and dividends) is not a high priority. This may lead to holding a relatively high proportion of equities. Balanced: Your corporation seeks a blend of income (bonds) and growth (equities). Income: Your corporation is predominantly focused on the generation of current income in the form of interest and dividends, and less concerned with long-term capital appreciation. This may lead to holding a relatively high proportion of fixed income assets (including bonds), and a low percentage of equities. c) Time Horizon Investment time horizon is the period between now and the point when your corporation will need to access a significant portion of the money accumulated in the account. Investors with a time horizon of greater than three years typically have a greater degree of flexibility when building a portfolio (although the investor s risk tolerance must also be considered). Investors with a time horizon of less than three years should invest primarily in investment funds with a low risk rating, such as the Social Housing Canadian Short-Term Bond Fund, as this fund experiences minimal volatility. Content and frequency of reporting PH&N Investment Services will mail your corporation a confirmation notice after every transaction your corporation makes through PH&N Investment Services. For automatic transactions, confirmation notices are issued for the first transaction, but not for subsequent transactions unless your corporation arranges otherwise. In addition to the confirmation notice, every quarter PH&N Investment Services will send an account statement to your corporation that details the value of your portfolio, your asset mix and your account activity. This will be followed by a copy of the Economic Outlook and Fund Commentaries document, which includes economic outlook from RBC GAM, fund commentaries and a review of the performance of the Social Housing Investment Funds that we offer. Performance benchmarks A benchmark is a standard for measuring the performance of an investment compared to the performance of markets in general. While PH&N Investment Services does not provide investment performance benchmark information for your account, mutual fund managers may provide benchmarks for their mutual funds in their Management Report of Fund Performance. Compensation and reference to other sources of information Series A or B units of the Social Housing Investment Funds are no load funds, which means that your corporation pays no sales charges or transaction charges when a purchase or redemption of units of any of these funds is made through PH&N Investment Services. Your corporation also pays no account set-up fee, administration fees, or operating charges, and your corporation may transfer units between the Social Housing Investment Funds offered through PH&N Investment Services at no administrative cost. No compensation is paid by the Investment Fund Manager to the distributor. However, the Investment Fund Manager pays fees to the Portfolio Adviser, an affiliate of the Principal Distributor, for providing investment management, advisory and administrative services to the Social Housing Investment Funds. There may be other costs associated with making and holding investments. Collection of information RBC GAM and PH&N Investment Services may, from time to time, collect financial and other information about the accountholder and authorized representatives of the accountholder such as: Information establishing your existence, identity (for example, name, address, phone number, date of birth, etc.) and background; Information related to transactions arising from the accountholder s relationship with and through us, and from other financial institutions; Information provided on an application for any of our products and services; and Information for the provision of products and services. RBC GAM and PH&N Investment Services limit the collection of information about you to that which is permitted by law. Use of information This information may be used from time to time for the following purposes: To verify your identity and investigate your background; To provide investment services such as opening, operating and managing accounts for the accountholder, process your instructions and take orders from you, provide advice to the accountholder on investment matters and provide the accountholder with products and services you may request; To better understand the financial situation of the accountholder; To determine the eligibility of the accountholder for products and services we offer; To help us better understand the current and future needs of our clients; To communicate to you any benefit, feature and other information about products and services the accountholder has with us; To help us better manage our business and the accountholder s relationship with us; 6

To maintain the accuracy and integrity of information held by a credit reporting agency; and As required or permitted by law. Periodically, we may ask for feedback from our clients on services that we are providing or are considering providing. For these purposes, we may make this information available to our employees, our agents and service providers, who are required to maintain the confidentiality of this information. There are situations specific to the investment funds business where portfolio managers, investment funds, investment fund management companies, dealers and service providers will disclose information that is necessary in the course of providing their services to or on behalf of our clients, and for regulatory purposes.
