Cancellation Rights Under the Consumer Protection (Distance Selling) Regulations 2000, you have a right to cancel this agreement within 7 working days beginning with the day after you have received the goods. You may cancel this agreement within that period by giving written notice to the employer listed at the address above.

If they were not, we cannot enforce this agreement against you without getting a Court Order. The goods remain the property of your employer at all times and must not be transferred, sold or otherwise disposed of. As the user of the bicycle and accessories you are responsible for any loss or damage to the equipment. Hire Agreement regulated by the Consumer Credit Act 1974 IMPORTANT: You must read this carefully. This agreement details your rights and responsibilities and is legally binding upon you. You are strongly advised to obtain independent advice on any aspect of this agreement you are unsure of. TERMS AND CONDITIONS The Agreement This agreement regulates your participation in the Cycle to Work Scheme under which you will be provided with a bike and related safety accessories for commuting and for your own private use. This Hire Agreement sets out the terms of the arrangement and your salary sacrifice. Terms and conditions in this agreement may differ to your existing terms and conditions of employment. By signing this agreement you agree that where there are differences between the terms and conditions in this agreement and your employment, the terms and conditions in this agreement will rank ahead of your employment terms and conditions. You have agreed to enter into a salary sacrifice agreement for the Hire Period. In return you will be provided with a bike and related safety accessories of your choice to use for commuting and your own private use for that period which you have chosen from the Bike to Work website (www.biketowork.co.uk) or one of their partner shops. The value of your chosen bike and accessories and the length of the Hire agreement will determine the amount by which your gross salary is reduced. By entering into this agreement you are confirming that you will use the bike and accessories supplied mainly for commuting to and from work. You also agree that you are responsible for insuring the bike and accessories. Bike to Work Limited, through a partner shop, will supply the bike and accessories. These goods remain the property of the employer at all times. The Hire Period for this agreement is set out on the first page of the agreement. At the end of the Hire Period the employee may purchase the bicycle and accessories. This Hire Agreement does not regulate the terms of this purchase. Under this agreement the bike and accessories provided remain the property of the employer and your employer has no responsibility for the insurance, maintenance or upkeep of said goods. The employer is not responsible for any personal accidents or injury incurred by employees while using the bike and accessories. Eligibility The intention is that by entering into this agreement you will be entitled to take advantage of an exemption from income tax and National Insurance contributions in relation to the payments you make under this agreement. To be eligible for these exemptions, the following conditions will need to be satisfied:- the Equipment that you hire from the Employer must be a bicycle or a bicycle and related safety equipment; you must be 18 years of age or over; you must be a UK PAYE taxpayer; you must remain in employment for the duration of the agreed "Hire Period" and you must use the Equipment mainly for commuting, although you are entitled to use it for other purposes as well; If any of these conditions are not or cease to be satisfied, or the law changes, you may find that you are no longer eligible as a result for the relevant exemptions and the Employer may be required to treat the provision of the Equipment as a taxable benefit. Supply of bike and associated cycle accessories Your employer has committed to supply you with a bike and associated cycle accessories under the cycle to work scheme for the Hire Period. The bicycle and associated cycle accessories will be provided to the employee for their use as part of their new remuneration package. In return the employee has committed to a salary sacrifice for the period until this agreement is fulfilled or terminated. After entering into this agreement, you will be provided with a Bike To Work voucher (a "Voucher") for the value of the Equipment, as set out on the front page of this agreement.

The Voucher cannot be returned or transferred to anyone one else or its value altered once it has been issued to you [and you must collect the Equipment within 60 days from the date the Voucher is issued to you]. If you obtained a quote from a Bike To Work Partner Shop before applying for a Voucher you may only use the Voucher to obtain the Equipment you received a quote for, as detailed in this Agreement, unless the relevant Bike To Work Partner Shop agrees to provide you with an alternative bicycle and/or item of bicycle safety equipment. If this happens, please note that:- these alternative items will then be treated as the "Equipment" under this agreement; the value of an alternative bicycle must not exceed the value of the Voucher; if the value of the alternative Equipment is lower than the value stated on the Voucher, you will not be entitled to any refund in relation to the difference; To collect the Equipment, you must present the Voucher in person, along with an acceptable form of photographic identification (Employee ID card, Passport or Driving Licence), at your chosen Bike To Work Partner Shop. Before visiting the Bike To Work Partner Shop to collect the Equipment though, please check that it is available for collection. The Equipment should be made available for collection within a reasonable time, but any specific collection dates given by the Bike To Work Partner Shop at the time of giving you a quote are not guaranteed. Salary Sacrifice A salary sacrifice happens when an employee gives up the right to receive part of their cash pay due under their contract of employment. A salary sacrifice is not a deduction from salary or a change of salary, it is where the employee agrees to accept a lower amount of salary in return for a non cash benefit in this case the supply by the employer of a bike and associated cycle accessories. The salary sacrifice will continue until the agreement is fulfilled or terminated. Accordingly the effect of this Hire Agreement is to vary your Terms and Conditions of Employment. By committing to this Hire Agreement, you are accepting a new remuneration package, which includes a combination of cash and benefits. The benefit under this agreement is the supply by your employer of a bike and associated accessories you have chosen to be provided to you as part of your remuneration package. Subject to the Terms and Conditions included here, you are free to use the bike and accessories during the Hire Period. To be eligible to make the Salary Sacrifice payments detailed on the front page of this Agreement, your salary, after the Salary Sacrifice, must remain above the National Minimum Wage. If at any point during the Hire Period, your salary falls to a level that would mean if Salary Sacrifice payments were to be made, it would be below the National Minimum Wage, the Employer reserves the right (to the extent it is lawfully entitled to do so) to suspend those payments or to deduct them from your net rather than your gross salary (meaning that you may lose your entitlement to potential tax benefits as a result) until your salary increases sufficiently. The Salary Sacrifice may affect the level of any personal pension contributions you make or any sick pay or other pay or benefits that you may be entitled to. Please check with the Employer before signing this agreement if you have any queries in this respect. Please note that after the initial 12 month hire period with your employer you may be given one of the following options: 1. To take ownership of the bike If you choose to take ownership of the bike, in accordance with HMRC, you will be required to purchase the bike using the HMRC valuation table. The table of valuations is shown below: This cost will be processed through your payroll by your employer. It is not recommended that you choose this option as it is the most expensive option. 2. Enter an extended agreement with Bike to Work If you enter into an extended agreement instead you will be required to place a deposit of 3-7% of the original value of the bike to continue using the bike for a further 3 years. After this time you can choose to take ownership in exchange for the deposit or return the bike to Bike To Work and receive your deposit back. This option ensures you get maximum benefit from the scheme.

Right of Hirer to Terminate the Hire Agreement This is a non-cancellable fixed-term Hire Agreement and you do not have the right to terminate this Hire Agreement Your Responsibilities You agree that during the term of the Agreement: 1. The Equipment remains the property of the Employer and you may not profit from, transfer, sell or otherwise dispose of the Equipment; 2. That the bike and accessories will be your responsibility; 3. To notify your employer as soon as the bike is not being used for commuting purposes. The provision of the bike and accessories will then become a taxable benefit; 4. To adequately insure your bike and accessories; 5. To comply with the manufacturers guidance when using the goods supplied under this agreement; 6. To assume full responsibility for your safety while using the goods supplied under this agreement; 7. To assume full responsibility for the maintenance and upkeep of the cycle and equipment. A warranty will be given as agreed with Bike to Work Ltd s partner shops at the time of purchase. you will be responsible for any loss of or damage to the Equipment which subsequently occurs, except where this is caused by a defect in the Equipment - see sections - Defective Equipment and Lost, stolen or damaged Equipment below; Defective Equipment The Equipment should be covered by warranties given by the relevant manufacturers (or their importers), as well as by any additional warranties that apply under the general law and nothing in this agreement affects the rights that you have under the general law. If any Equipment is damaged when you go to collect it from the Bike To Work Partner Shop, or if any defects or other warranty issues subsequently come to light, please contact the relevant Bike To Work Partner Shop in the first instance. Lost, stolen or damaged Equipment If at any time during the Hire Period, the Equipment (or part of it) is lost or stolen, or damaged to the point of no longer being usable for Commuting, you will still be responsible for making any remaining payments due under this agreement, but the tax exemptions referred to in section - Eligibility for Tax Benefits above will cease to apply. Where this happens, you will effectively be required to make the remaining payments out of your net salary. You are strongly advised to obtain specific insurance for the Equipment, or otherwise ensure it is covered by your home contents insurance policy. You must inform your insurer that the Employer has an interest in the Equipment. Please note that if you purchase any replacement equipment following the theft or loss of the Equipment you originally obtained under this agreement, that replacement equipment will not be covered by the terms of this agreement and the tax exemptions referred to in section - Eligibility for Tax Benefits above will not apply. Absence from work If you are absent from work during the Hire Period the payments detailed on the front page of this agreement will continue to reduce any pay you receive during the period of your absence, as long as and to the extent that: the pay is of a kind against which Salary Sacrifice reductions can legally be made and so excluding for example (but without limitation), statutory maternity pay, paternity, adoption and sick pay; and the continuation of salary sacrifice arrangements is not in breach of the National Minimum Wage regulations. If during a period of absence from work you are temporarily not in receipt of sufficient pay so as to allow for the Salary Sacrifice to continue, but you remain an employee of the Employer, then to the extent allowable by law: the Salary Sacrifice payments envisaged by this agreement will be suspended for the period in question; and the Hire Period will be extended for an equivalent period of time to allow payments to be made-up once you return to work. However, the Hire Period will not be extended for more than [6] months beyond an initial [12] month hire period and if after 18 months from the start of the Hire Period, any payments under this agreement have yet to be made, the full balance (i.e. the total of all payments yet to be made) will, to the extent allowable by law, become payable to the Employer. The Employer may seek to

deduct this from any future net salary payments due to you or, if the Employer decides otherwise, you may be required to pay the outstanding balance in a single lump sum within 14 days of request. In any case, you will no longer be entitled in respect of the balance to the tax exemptions referred to in section - Eligibility; If your employment ceases before the end of the Hire Period then: to the extent that the Employer is legally allowed to recoup any payments missed during a period of absence, the termination fee payable under section - Leaving your employment, will include all those missed payments; to the extent that the Employer is not legally allowed to recoup payments missed during a period of absence, those missed payments will be disregarded for the purposes of section Leaving your employment i.e. the termination fee will be calculated as if you had in fact made all those payments. For the avoidance of doubt, the provisions of this section will apply in circumstances where you are unable to reach any alternative agreement with the Employer at the time as to how a particular period of absence should be dealt with. Leaving your employment If you leave your employment, you will no longer be entitled to benefit from the tax exemptions referred to in section - Eligibility for Tax Benefits above. Consequently, if your employment with the Employer ceases for any reason during the Hire Period you will, subject to section - Absence from work above, be required to pay a termination fee to the Employer equal to the total of all payments under this Agreement (as set out on the front of this Agreement) yet to be made. This fee will not benefit from any tax exemptions and will be payable as follows:- if the fee is less than any remaining net salary payments due to you, the Employer will seek to deduct it from those remaining payments; if this is not possible for any reason, or the fee exceeds your remaining net salary payments, you will be required to pay the fee (or any outstanding balance) to the Employer within 14 days of the date on which your employment ceases. At this time, you will also need to discuss with the Employer what is to happen to the Equipment. Disclosure and Data Protection You authorise your employer to disclose such personal data and information to Bike to Work Limited as may be reasonably necessary in order to supply you with your bike and cycle accessories. Further more you authorise Bike to Work Limited to use such data for that purpose and to contact you directly to clarify details relating to the goods ordered. The Data Protection Act 1998 will apply to that information. Limitation of Liability Nothing in this agreement shall operate to exclude or limit a liability for death or personal injury caused by negligence. Your employer or Bike to Work will not be liable for indirect or consequential loss or damage whatsoever arising out of a breach of this Hire Agreement or any other action or failure to act and will not be held liable for failure to supply, failure to deliver on an agreed time or day, or late delivery. If we are found liable to you our liability will not exceed 1,000 except for liability for death or personal injury resulting from our own negligence. The Employer will not have any responsibility under this Agreement if it is delayed in performing, or fails to perform, any of its obligations under this agreement as a result of any circumstances beyond its reasonable control. Law This Agreement will be governed by and construed in accordance with the laws of Northern Ireland and any dispute arising under or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of Northern Ireland. Whilst we consider the Terms in this Agreement are reasonable in normal circumstances, if any one or more of these Terms shall be judged to be void as going beyond what is reasonable but would be valid if some part of these Terms were deleted or amended, such Term shall apply with such modification as required to make it valid. AGREEMENT OF TERMS

If the employee wishes to enter into this Hire Agreement, this agreement must be completed and signed where indicated. This agreement must be signed by the employee at the business premises of the employer. If the Hire Agreement is accepted by the employer, the agreement must also be signed by the employer. The employer will then purchase the selected bike and accessories and amend the employees remuneration package accordingly.
