This brochure will provide details on everything you need to know about your account. Please keep it for future reference. AAA is designed to be the ultimate money management tool. It combines professional advice from your CIBC Wood Gundy Investment Advisor with a complement of CIBC personal banking and credit card services. CIBC Wood Gundy AAA The Basics AAA is an integration of two types of accounts, each with its own account number: An investment account held at CIBC Wood Gundy A special AAA chequing account held at CIBC The AAA chequing account has the following features: Services Features The chequing account is set up to facilitate your banking transactions and act as a conduit to your investments using a $10,000 overdraft limit per business day. Since no funds are permanently held in your AAA chequing account, the account balance reverts to $0 at the end of each business day. You can access transactional information on your chequing account through CIBC branches, bank machines, CIBC Telephone Banking, Online and Mobile Banking; however, the investment balance of your AAA account is not available through these services. To inquire on the balance of your CIBC Wood Gundy AAA holdings, please call your Investment Advisor or CIBC Wood Gundy Client Relations. You may also refer to your monthly AAA statement or access your account information at www.cibcwoodgundy.com. Speak to your Investment Advisor for online access. AAA Cheques Automatic Overdraft Protection Stop Payments Direct Deposits and Pre-authorized Debits Personalized Canadian dollar AAA cheques are sent to you soon after your account is opened. A re-order form and an envelope addressed to CIBC Wood Gundy are included with your initial supply. For U.S. dollar cheque requests, please call your Investment Advisor or CIBC Wood Gundy Client Relations. Your AAA cheques cannot be certified. However, a certified CIBC World Markets Inc. cheque can be issued from your available funds. Please call your Investment Advisor in advance to arrange this no-charge service. To support your record keeping, all AAA chequing activity is itemized in your CIBC Wood Gundy account statement under Details of Your Account Activity. Cheques are drawn first from available cash in your investment or chequing account, then from the available margin credit in your investment account and, finally, from unused Visa credit on the Visa credit card account(s) held within your AAA account. Hence, the chance of a AAA cheque being returned for Non-Sufficient Funds (NSF) should be very rare. If, for any reason, the cash and available credit in your account are not sufficient to cover a cheque, your Investment Advisor will call you to make other arrangements. Request a stop payment on a AAA cheque by calling CIBC Wood Gundy Client Relations at 1 (800) 387-2979 and faxing a letter of instruction to (416) 351-4818. There is no charge for stop payments placed on AAA cheques through CIBC Wood Gundy. You can have paycheques, pension receipts and many other types of income deposited directly to your account. Similarly, you can have insurance premiums, utility bills, mortgage payments and other charges paid directly from your account. To initiate this process in most cases, all that is necessary is to provide the depositor or payee with a voided Canadian dollar AAA cheque and any other information that is required. 4 5

Benefit From Preferred Interest Rates Interest Earned On Cash Balances Your status as an AAA client entitles you to CIBC Wood Gundy s preferred interest rates on your entire Canadian and U.S. cash balances: No interest rate tiers and no minimum balance are required. Interest is calculated daily and credited monthly. Your statement indicates current rates and the amount of interest the cash in your account has earned during the month. Interest Expense On Margin Loans You can borrow against securities in your account to purchase additional investments on margin. With AAA, this service also covers any other purchases or payments you make with your AAA cheques, Visa credit card(s) or AAA CIBC Wood Gundy debit card(s). You will enjoy preferred interest rates on any loan balance carried and these interest rates are not tiered. Special Visa Credit Card Services For AAA Clients Features Special Visa Credit Card Services For AAA Clients Features Automatic Payment on Visa Account(s) Held Within AAA Cash Advances AAA Margin Interest Rates Visa Credit Limit Monthly, CIBC Wood Gundy will automatically pay your Visa credit card bill using the available cash and margin credit in your account. If, on the indicated payment date, your available credit is insufficient for the full balance owing, we will pay as much as possible. If the minimum payment cannot be met, we will try to contact you to make other arrangements. Only when these cannot be made, will your Visa account become past due. CIBC Wood Gundy will try to minimize interest charges for cash advances by settling them from your available credit as quickly as possible. Payments made on your behalf will be in the amount of the advance, and will be applied first to previously-billed purchases. Therefore, you will incur interest charges at the standard Visa rate until your balance and the advance are paid in full. All Visa cash advances are subject to a minimum of two days Visa interest. Cash advances on your Visa account are available at all Visa member bank machines under the Visa/Credit Card button. The amount of the advance is limited to the remaining balance of your daily cash withdrawal limit at bank machines. It cannot exceed your available Visa credit. Note: Money transferred from your Visa account is considered a cash advance and will generate interest charges. Transfers out of your Visa account are limited to your remaining Visa credit. If funds are borrowed from your AAA account to pay your Visa credit card balance, you will be charged interest on the resulting debit balance at the preferred AAA margin loan rate, rather than the standard CIBC Visa rate. If your Visa charges are nearing your limit, here is how you can renew your credit level: Call your CIBC Wood Gundy Investment Advisor to pay down your Visa Make a payment at any CIBC bank machine or branch Multiple Cards Account Information and Transactions Make payments to your Visa account using CIBC Telephone or Online Banking services Your Visa account credit limit is established by CIBC based on your income and credit history. To change the limit, call CIBC Visa at 1 (800) 465-4653 to request an increase or decrease. You may have up to four Visa credit cards issued on a Visa credit card type one in your name as primary cardholder, and up to three in the names of anyone you designate as authorized users. Credit cards will be embossed with different names and card numbers but will share a common account and will be billed to the same account. You can check your outstanding Visa balance at any CIBC bank machine. The transaction record will show your balance for a specified date and your available Visa credit. Your Visa account is accessible under the Visa/Credit Card button at all Visa bank machines. Through CIBC Telephone, Online and Mobile Banking, you can check on the status of your Visa account or perform many functions, including: Obtaining your account balance Checking your available credit Renewing your Visa credit by transferring funds from your AAA chequing account or CIBC bank accounts linked to your Visa account Obtaining information on the last payment made to your Visa account Only the primary cardholder on a Visa account may use his or her credit card at bank machines, or access CIBC Telephone and Online Banking. A Personal Identification Number (PIN) is sent only to the primary credit cardholder (the person whose name appears first on the Visa application). However, all authorized users of the account can access CIBC Telephone and Online Banking services in connection with the AAA chequing account by obtaining a CIBC Wood Gundy debit card and PIN. 8 9

AAA Banking Services CIBC Wood Gundy Debit Card CIBC Wood Gundy debit cards provide you with access to your Canadian dollar AAA chequing and credit card accounts when you want, where you want 24 hours a day, 7 days a week. CIBC Wood Gundy debit cards allow you to access all of CIBC's electronic banking services, including point of sale transactions, which allow you to pay for purchases directly from your AAA chequing account. In addition, the CIBC Wood Gundy branded CIBC Advantage Card has the benefit of accessing the Visa network, which means your card will be accepted all over the world for making purchases. CIBC Wood Gundy debit cards are chip-enabled, providing you with an additional level of security. CIBC Advantage Card TM1 For AAA If you elect to receive a CIBC Wood Gundy debit card, unless you instruct us otherwise, you will receive the CIBC Wood Gundy branded CIBC Advantage Card. The CIBC Advantage Card for AAA can be used at any retailer in Canada that accepts payments through the Interac 3 Direct Payment network. As an additional benefit, the CIBC Advantage Card for AAA also offers Visa Debit which provides worldwide acceptance allowing you to shop in person, online or over the phone through the Visa network. You will also have the peace of mind that comes with the security of a chip and active fraud monitoring. Other features offered through the CIBC Advantage Card for AAA include: Visa Zero Liability should someone steal your card, your card number or other card details, you won't be held responsible for any fraudulent purchases processed through the Visa network (as long as you meet your obligations); and Verified by Visa a free global online authentication service designed to make shopping online more secure, providing an additional layer of protection when you use your card online. If you prefer, you may request to receive a CIBC Wood Gundy branded CIBC Convenience Card 4, which can be used to shop at any retailer in Canada where payments can be made through Interac Direct Payment. 10 The CIBC Advantage Card for AAA allows you to shop in person, online, by phone or by mail in Canada and around the world. Refer to the Get more with your debit card brochure for more information on the debit cards as well as the cardholder s responsibilities and obligations, as set out in the CIBC Cardholder Service Banking Agreement. Other Information Regarding Your CIBC Wood Gundy Debit Card and Credit Card If you have more than one AAA chequing account and you wish to access them all through a single CIBC Wood Gundy debit card, you may do so by attaching multiple AAA chequing accounts to the same card. While no charge applies to withdrawals from AAA chequing accounts at CIBC bank machines, additional service charges may be levied on withdrawals made from non-cibc bank machines in Canada. To use a primary Visa credit card at a bank machine, or to use your CIBC Wood Gundy debit card at a bank machine or for point of sale transactions, you need a PIN. We will automatically issue one to you on approval of your Visa credit card and/or CIBC Wood Gundy debit card application. If you have applied for a Visa credit card and a CIBC Wood Gundy debit card, a separate PIN will be sent for each card. For security reasons, your PIN(s) should be kept confidential and no portion of your bank machine PIN(s) should be used as your Telephone Banking password. You may change your PIN at your nearest CIBC branch or at most CIBC bank machines. 11

Convenient Ways To Conduct Banking Transactions There are a variety of simple and convenient ways to access funds and conduct transactions through AAA. The following charts show the most common banking transactions you can perform in your account: Service CIBC Wood Gundy Branch CIBC Branch CIBC Bank Machine CIBC Telephone Banking CIBC Online Banking Deposits Drop off or mail Canadian and U.S. dollar cheques to any CIBC Wood Gundy branch office (cash deposits are not accepted). Complete and present a deposit slip with your full AAA Canadian dollar chequing account number at your nearest branch. The transit and account numbers appear on the bottom of your personalized cheques. U.S. dollar cheques may only be deposited to your account at a CIBC Wood Gundy branch. Before 3:00 p.m. ET on a business day: Funds are transferred to your AAA investment account overnight and receive interest from the day of deposit. After 3:00 p.m. ET or on a non-business day: Funds are held in your AAA chequing account at CIBC until the next business day when they will be transferred to CIBC Wood Gundy and receive interest. Use the Chequing account button to make deposits. Deposits of cheques or cash should be in Canadian funds only and are limited to $50,000 per transaction. U.S. dollar deposits at CIBC bank machines are not permitted. If deposited in error, the instrument will either be returned or funds will be converted to Canadian dollars before being transferred to CIBC Wood Gundy. Post-dated cheques should not be deposited at bank machines. Before 6:00 p.m. ET on a business day: Funds are transferred to CIBC Wood Gundy overnight and receive interest from the day of deposit. After 6:00 p.m. ET or on a non-business day: Funds are held in your AAA chequing account at CIBC until the next business day when they are transferred to CIBC Wood Gundy and receive interest. Withdrawals Obtain a cheque drawn in either Canadian or U.S. dollars from the funds in your account. There is no charge for this service. Present your CIBC Wood Gundy debit card and a AAA cheque for recognition as a client of CIBC Wood Gundy. For withdrawal amounts of more than $10,000, please ask a Customer Service Representative to obtain approval from CIBC Wood Gundy Client Relations (the number is on the back of your CIBC Wood Gundy debit card). Approval depends on the amount of cash and margin credit available in your AAA. You can also obtain U.S. funds by presenting a U.S. dollar AAA cheque and your CIBC Wood Gundy debit card. Using your CIBC Wood Gundy debit card or a primary Visa credit card, you can make cash withdrawals from your AAA chequing account. Transfers You can transfer Canadian funds between your AAA chequing account, Visa account and any CIBC accounts you have attached to a primary Visa card or CIBC Wood Gundy debit card, in a branch or using bank machines, CIBC Telephone and Online Banking. With CIBC Telephone and Online Banking, transfers can be made immediately or set up for a future date. Recurring transfers can also be arranged. For details on daily maximums, refer to the Daily Transactional Limits section. 12 13

Service CIBC Wood Gundy Branch CIBC Branch CIBC Bank Machine CIBC Telephone Banking CIBC Online Banking Bill Payments Register your bills through CIBC Telephone Banking have the bills you wish to register and your CIBC Wood Gundy debit card or primary Visa credit card handy when you call. Pay your bills at a CIBC branch if they have been registered to your CIBC Wood Gundy debit card or primary Visa credit card. Pay your bills at most CIBC bank machines if they have been registered to your CIBC Wood Gundy debit card or primary Visa credit card. Use your AAA chequing account or any of the CIBC bank accounts you have linked to the card. Both immediate and futuredated bill payments are possible. For details on daily maximums, refer to the Daily Transactional Limits section. No charges apply to bill payments or transfers from your AAA chequing account. The Bill Payments option lets you transfer funds directly from your AAA chequing account(s) or CIBC bank accounts to pay bills registered to your Visa credit card or CIBC Wood Gundy debit card. You can pay bills immediately or schedule future payments. For details on daily maximums, refer to the Daily Transactional Limits section. The Recurring Payments option allows you to schedule automatic weekly, semi-monthly and monthly bill payments from your AAA chequing account or CIBC bank accounts linked to your CIBC Wood Gundy debit card. Additional Features of AAA Information about your holdings at CIBC Wood Gundy can be obtained through the password protected area of CIBC Wood Gundy Online: www.cibcwoodgundy.com Contact your Investment Advisor about online access to your account information. Your CIBC Wood Gundy debit card gives you access to your Canadian dollar AAA chequing account under the Chequing button at over 660,000 bank machines around the world. With the CIBC Wood Gundy Convenience Card, you can access your AAA chequing account outside Canada at bank machines displaying the PLUS TM or Visa symbols. With the CIBC Advantage Card for AAA, you can shop within Canada using Visa Debit or Interac 3 Direct Payment, or internationally wherever Visa is accepted. You can also access two additional Canadian dollar CIBC accounts using the CIBC Wood Gundy debit card or a primary Visa credit card. You can arrange to have these accounts added to your debit card under the Savings and Other categories at any CIBC branch or through CIBC Telephone or Online Banking services. Accounts included under the Other category are accessible only at CIBC bank machines. You can attach up to nine CIBC bank accounts and four additional CIBC Visa accounts to your CIBC Wood Gundy debit card or a primary Visa credit card for CIBC Telephone Banking access. You can obtain a recorded listing of the last five to 10 transactions in your AAA chequing account, or the CIBC bank accounts linked to your CIBC Wood Gundy debit card or primary Visa credit card. Balances can also be obtained (since the last business day) on any of the transaction accounts linked to your card. Please call your Investment Advisor or CIBC Wood Gundy Client Relations at 1 (800) 387-2979 to get an up-to-date AAA balance, reflecting the value of your holdings at CIBC Wood Gundy. Online Banking is available through CIBC s website: www.cibc.com Call 1 (888) 872-CIBC (2422) to register for CIBC Online Banking. You will choose a three-digit password that you will need each time you sign on to this service. 14 15

Daily Transactional Limits A daily total limit per business day of $10,000 applies to: Any combination of: Withdrawals Transfers Bill Payments Using: Bank Machines CIBC Telephone Banking CIBC Online and Mobile Banking plus, point of sale transactions using your CIBC Wood Gundy debit card. Immediate, future-dated and recurring transactions are included in this daily transactional limit. Cheques written on your account and pre-authorized transactions are not included in this daily transactional limit. A business day runs from 6:00 p.m. ET on a banking day until 6:00 p.m. ET on the next banking day. For example, the $10,000 limit would apply from Thursday at 6:00 p.m. until Friday at 6:00 p.m. If Friday were a holiday, the $10,000 limit would apply from Thursday at 6:00 p.m. until Monday at 6:00 p.m. Detailed Client Reporting Every month in which there is activity in your account, you will receive an account statement. You can view your statement at www.cibcwoodgundy.com. Ask your Investment Advisor for details on how to obtain access. After year-end, you will receive a T5 statement of all interest and dividend income, as well as a statement of total interest costs. You will need to separate these into deductible and non-deductible costs. We recommend that you monitor interest charges for investment and non-investment purposes throughout the year. Interest charges for investment purposes may be deductible against investment income on a tax return. Non-investment interest is not. The financial circumstances of our clients vary greatly.
