1. SCOPE The scope of this solicitation is for the to renew Blue Coat hardware, software and support as indicated in the attached Statement of Work and Cost Worksheet. 2. KEY ACTION DATES Listed below are the important actions, and dates by which the actions must be taken or completed. If the State finds it necessary to change any of these dates, it will be accomplished via an addendum to this RFQ. a) Release Request for Quotation (RFQ) 04/23/2013 b) Last day to submit questions 05/02/2013, 3:00 p.m. PT c) Request for Quotation (RFQ) Due See Page 1, Due Date. 3. Please be advised that there may be a heavy demand placed on the fax machine receiving bids and the State assumes no responsibility if a supplier cannot transmit their bid via fax or if the entire bid is not received prior to the bid opening time. 4. METHOD OF AWARD This solicitation shall be awarded on an "All or None" basis to the lowest responsive and responsible bidder meeting all administrative and technical requirements, terms, and conditions of this solicitation. 5. RESPONSIVE BIDDER A supplier provides a bid response that is compliant with solicitation requirements and indicates performance without material deviation from the terms and conditions of the proposed contract. 6. RESPONSIBLE BIDDER A supplier who is responsible and submits a responsive bid is one who clearly indicates compliance without material deviation from the solicitation s terms and conditions and who possesses the experience, facilities, reputation, financial resources and other factors existing at the time of contract award. 7. QUESTIONS All bidders are encouraged to carefully review all pages of this solicitation. All questions, comments, and concerns should be submitted by email, to the buyer on or before the last date to submit questions. When the State has completed its review of the questions, all of the questions and answers will be distributed in writing to all bidders. 8. PRICES Prices noted on the attached pricing page bid sheet(s) (Attachment 1) Cost Worksheet shall be all inclusive. Only the prices/charges submitted in the bid response shall be accepted and included in the awarded contract. Sales tax is not to be included on the bid or in the bid pricing. If awarded this bid, sales tax should be added at time of invoicing. The sales tax rate applied should be based on the rate of the area where the product is to be delivered. 9. DELIVERY For the purposes of this solicitation, only bids quoted Free On Board (F.O.B.) 13.SMALL BUSINESS PREFERENCES Bidders claiming the small business preference must be certified by California as a small business or must commit to subcontract at least twenty-five percent (25%) of the net bid price with one or more California certified small businesses. Small Business Nonprofit Veteran Services Agencies (SB/NVSA) prime bidders meeting requirements specified in the Military and Veterans Code Section 999.50 et seq. and obtaining a California certification as a small business are eligible for the five percent (5%) small business preference. If applicable, claim the preference in the box on the right hand side of the first page of this solicitation. Completed certification applications and required support documents must be submitted to the Office of Small Business and DVBE Services (OSDS) no later than 5:00 p.m. on the bid due date, and the OSDS must be able to approve the application, as submitted. Questions regarding certification should be directed to the OSDS by phone at (916) 375-4940 or by email at OSDSHelp@dgs.ca.gov. 14.SMALL BUSINESS REGULATIONS The Small Business regulations, located in the California Code of Regulations (Title 2, Division 2, Chapter 3, Subchapter 8, Section 1896 et seq.), concerning the application and calculation of the small business preference, small business certification, responsibilities of small business, department certification, and appeals are revised, effective 9/09/04. The new regulations can be viewed at http://www.documents.dgs.ca.gov/pd/smallbus/sbregulations.pdf. For those without internet access, a copy of the regulations can be obtained by calling the Office of Small Business and DVBE Services (OSDS) at (916) 375-4940. 15.DECLARATION FORMS All bidders must complete the Bidder Declaration (GSPD-05-105) and include it with the bid response. When completing the declaration, bidders must identify all subcontractors proposed for participation in the contract. Bidders awarded a contract are contractually obligated to use the subcontractors for the corresponding work identified unless the State agrees to a substitution and it is incorporated by amendment to the contract. If claiming the non-small business subcontractor preference, the form must list all the California small businesses with which you commit to subcontract in an amount of at least twenty-five percent (25%) of the net bid price. All certified small businesses must perform a commercially useful function in the performance of the contract as defined in Government Code Section 14837 (d)(4). An electronic version of this form can be found at: http://www.documents.dgs.ca.gov/osp/pdf/std204.pdf. 17.CALIFORNIA SELLER S PERMIT Bidders must provide their California retailer s seller s permit or certification of registration and, if applicable, the permit or certification of all participating affiliates, issued by California s State Board of Equalization (BOE), pursuant to all requirements as set forth in Sections 6487, 7101 and Sections 6452.1, 6487.3, 18510 of the Revenue and Taxation Code, and Section 10295.1 of the Public Contract code. In order to expedite the process of verifying the validity of the permit, provide the BOE permit number in the space provided below (or attach a copy of the permit with your bid.) For instructions on how to obtain a California Seller s Permit number or register to do business in the State of California, visit the Board of Equalization website at www.boe.ca.gov. Retailer s Seller s Permit Number: 18.POSTCONSUMER-CONTENT CERTIFICATION: State agencies are required to report purchases in many product categories. In order to comply with those requirements, bidders are required to complete and return the Postconsumer-Content Certification (CIWMB 74) with their bid response. The CIWMB 74 can be found at: http://www.calrecycle.ca.gov/buyrecycled/stateagency/forms/ciwmb074.pdf 19.CHANGE ORDERS Any purchase order resulting from this bid may be amended, modified, or terminated at any time by mutual agreement of the parties in writing. Change orders amending, modifying or terminating the purchase order, including any modifications of the compensation payable, may be issued only by the State Procurement Officer. All such change orders shall be in writing and issued only upon written concurrence of the supplier. Bids submitted referencing supplier attachments, which include legal terms, and conditions that conflict with the State's General Provisions shall be considered non-responsive and such bids may be rejected. STATEMENT OF WORK Blue Coat Hardware & Software Support This Statement of Work ( Agreement ) reflects the services to be provided by Contractor Name, hereinafter referred to as the Supplier, for the (DCSS), hereinafter referred to as the State. SCOPE The Supplier will provide hardware and software maintenance for two (2) Blue Coat appliances, one (1) SG510-20-PR and one (1) AV810-A. Support will include the following services: Direct 24X7 (excluding holidays) technical support assistance via phone or email. Under the Gold Technical Support and Maintenance plan, Blue Coat will provide technical support and maintenance to authorized DCSS Technology Services Division information technology (IT) staff. For 24X7 telephone support requests, DCSS IT staff may telephone (866) 362-2628, and select option #1. Additionally, customer support may be contacted via email at customercare@bluecoat.com. Web based customer portal assistance. Online web based customer support is available through the Blue Touch Online (BTO) customer portal, https://bto.bluecoat.com/. Web based software updates and release notes. At no additional charge to the DCSS, Blue Coat will provide major, minor and dot releases of Blue Coat software via Internet download at https://bto.bluecoat.com/download. The DCSS has the right to duplicate documentation for internal use, in quantities equal to the number of units of equipment and/or software purchased. Same-day replacement of faulty hardware. Advance replacement of hardware will be provided to the DCSS prior to Blue Coat Systems receiving the faulty item. Hardware will be shipped same day when Return Merchandise Authorization (RMA) requests are received Monday through Friday, from 6:00 am to 6:00 pm, Pacific Time, and before the RMA cut-off time of Monday through Friday at 12:00 pm, Pacific Time. RMA requests received after the RMA cutoff time will ship the next business day. The DCSS will be responsible for shipping the inoperable unit back to Blue Coat immediately after the replacement is received. A return packet will be provided by Blue Coat to assist with the return of the inoperable unit. If the inoperable unit is not returned to Blue Coat within ten (10) business days of receipt, the DCSS will pay the list price per unit as listed in current Blue Coat price list. The DCSS failure to pay the price or return the equipment will result in the suspension of Services by Blue Coat. Page 6 of 8

FOR CONTRACTS WITH FEDERAL FUNDS It is mutually understood between the parties that this Agreement may have been written before ascertaining the availability of Congressional appropriation of funds, for the mutual benefit of both parties, in order to avoid program and fiscal delays which would occur if the Agreement were executed after that determination was made. This Agreement is valid and enforceable only if sufficient funds are made available to the DCSS by the United States Government for the term of this Agreement for the purposes of this program. In addition, this Agreement is subject to any additional restrictions, limitations, or conditions enacted by the Congress or any statute enacted by the Congress which may affect the provisions, terms, or funding of this Agreement in any manner. It is mutually agreed that if the Congress does not appropriate sufficient funds for the program, this Agreement shall be amended to reflect any reduction in funds. The DCSS has the option to void the Agreement under the 30-day cancellation clause or to amend the Agreement to reflect any reduction of funds. TAXES The State of California is exempt from Federal Excise Taxes, and no payment will be made for any taxes levied on employees wages. The State will pay for any applicable State of California or local sales or use taxes on the services rendered or equipment or parts supplied pursuant to this agreement. California may pay any applicable sales or use tax imposed by another state. Page 7 of 8
