These Conditions are supplementary to SKF (U.K.) Limited General Conditions of Purchase stated on the Purchase Order and shall themselves not constitute authority to carry out any site work without an official SKF Purchase Order. These conditions will apply to any contractors who are working on SKF's premises in the United Kingdom. Failure to do so will exclude the contractor from future site work contracts and the contractor and their subcontractors will not be permitted access to Company premises. Company Site Working Conditions Issue 8 1

1. INFORMATION 1.1 Work and or services ("the Contract Work") shall not commence without the formal issue of a Purchase Order and the return of the Site Working Conditions acknowledgement. 1.2 The Contractor must obtain permission from the person who issued the contract or the relevant engineer before commencing the contract work. 2. CONTRACT SPECIFICATIONS 2.1 The contract specification has been prepared in order to define the standard and quality of the workmanship required. Any doubts that the Contractor may have with regard to the quality or standard of workmanship must be raised with the relevant engineer(s) before tenders are submitted. 3. TENDERS 3.1 All information by way of documentation, verbal, site inspection, etc. made available by the Company (SKF (U.K.) Limited) for the purpose of tendering shall be treated by the Contractor as confidential and shall not be disclosed to any third party or used for any other purpose whatsoever other than carrying out the contract work for the Company or its agents, without the written consent of the Company (or a duly authorised representative of the Company) has been given. 3.2 The Company reserve the right to remove the Contractor from the Register of Approved Contractors if there is any breach of these conditions. 3.3 The submitted tender should be a fixed sum which shall include a breakdown of costs, including labour, materials and overheads, against each item. The price is to include costs for all overtime working, bonuses, incentives, etc. deemed necessary for the completion of the work and/or services. The quality and standard of workmanship required are as specified by the Company. 3.4 The Contractor is to include in the tender a schedule of rates noting the hourly paid rate for each grade of labour together with hourly charges for plant and equipment. 3.5 Before submitting the tender, the Contractor is advised to visit the site to acquaint himself with all aspects of Site Conditions, including the availability of services and access to the areas of the contract work to be carried out. It will be assumed that the Contractor has satisfied himself on all matters affecting the execution of the contract, and accordingly no later allowance will be granted through of lack of knowledge, unless beyond that which could be reasonably expected. 3.6 Site visits are to be arranged through the relevant manager/engineer. 3.7 The Contractor must allow for the transport of people to and from the site as no payment will be made for the importation of labour by the Contractor. 3.8 The Contractor shall allow for all initial servicing, inspection and commissioning of all equipment (including specialised equipment), where this work must be carried out by the manufacturers representatives on site. 3.9 It is the responsibility of the Contractor to forward to the Company detailed drawings showing all major building/systems works as required in connection with his contract. 3.10 Steelwork supports - the Contractor shall allow in his price for adequate support of all equipment. Failure to meet requirements will not be tolerated and the Contractor will modify supports at his expense. 4. CONTRACT VARIATIONS 4.1 Under no circumstances should work and/or services be carried out by the Contractor, or his agents, other than the contract work described or specified in the Purchase Order without the Company's written agreement in a formal Purchase Order Amendment document. 5. SUB-CONTRACTING 5.1 The tender shall include all details of any work and/or service which the Contractor intends to sub-contract in fulfilling his obligations under the contract. 5.2 Any such sub-contractor will be subject to full approval by the Company and these associated Site Working Conditions. 5.3 No other sub-contractor may be used subsequent to the contract being agreed without written permission from the Company. 5.4 All monies due to any sub-contractor shall be the sole responsibility of the Contractor. 5.5 A sub-contractor appointed by the Contractor will not relieve the Contractor of any of the responsibilities or liabilities set out in the Purchase Order, Site Working Conditions or in law. 5.6 The Contractor shall indemnify the Company against any breach, loss, damage, howsoever arising in connection with the sub-contractor whilst working on the Company's premises. 6. CONTRACT MATERIALS 6.1 The purchasing and delivery of all materials and/or components required to complete the contract work shall be the sole responsibility of the Contractor. 6.2 The Contractor will at all times use materials and/or components to the standard and specifications agreed at the tender stage and/or in the purchase order, unless written authority by the Company is given to use alternatives. 6.3 Alternative materials and/or components may be proposed by the Contractor but can only be used if written authority is given by the relevant engineer. 7. IDENTIFICATION OF EQUIPMENT 7.1 The Contractor shall include for all labelling of equipment and pipework contained in the contract. Pipework and lagging shall be banded and identified in accordance with the Company standard as determined by the relevant engineer (or Company representative). 8. DELIVERY OF MATERIALS AND EQUIPMENT TO SITE 8.1 No delivery of materials or equipment shall be made to the site prior to commencement of the contract work without written consent of the Company/relevant engineer. 8.2 The Contractor shall be responsible for receiving and offloading all materials and equipment to the site, also for the security, protection and insurance from damage or loss of any materials, tools and equipment stored on site for the purposes of fulfilling the contract. 9. HANDLING OF MATERIALS ON SITE 9.1 The Contractor shall be responsible for all movement of materials and equipment used for the purpose of fulfilling his obligation under the contract and shall include all costs which may be incurred in the tender price (see also Clause 21). 10. SITE CLEANLINESS 10.1 The Contractor shall ensure that all persons employed by him are aware of the high standards of site cleanliness and tidiness which will be enforced. 10.2 The Company reserves the right to charge back against the Contractor's accounts any time spent by the Company (or its agents) in tidying up after them. 10.3 Persons persistently ignoring this requirement for a high standard of cleanliness and tidiness will be asked to leave the site and the Contractor will not be relieved of his duties and responsibilities under his Contract. 11. ENVIRONMENT 11.1 The Contractor shall be responsible for ensuring that the work carried out complies with UK and European environmental legislation. Copies of transfer notes for Controlled and/or Special Wastes shall be provided to the Company. 12. CONFIDENTIAL INFORMATION 12.1 The Contractor shall treat all information as confidential, however gained, but including by way of: 12.2 Documentation, drawings, verbal discussion, site inspection or observations and shall not disclose any such information to any third party without prior written authority of the Company. 12.3 In cases where the release of confidential or secret information is necessary, or work is to be carried out within a new technology area (or on new technology), the Contractor will be required to sign the Company Confidentiality Agreement. 13. PLANT AND EQUIPMENT 13.1 The Contractor is to make provision for the safe storage of his equipment and materials whilst on Company premises. The Company will accept no responsibility for any losses sustained by the Contractor, nor will it condone any consequent delay in the programme, arising thereof. 13.2 Plant, offices, shed and storage accommodation must be confined to areas agreed with the relevant engineer/company representative; any structures and/ or fencing must be approved by the Plant and Facilities Manager. 13.3 The Contractor shall insure and at all times keep insured (as required by legislation from time to time in force) the vehicles and plant used in connection with the contract work. The Contractor shall not permit any vehicle, plant or equipment to carry a weight or in any other way be used so as to exceed its capacity above that permitted for such vehicle, plant or equipment. 14. MATERIALS 14.1 All materials used must be new and must conform to the Company and/or relevant British Standard specification. 14.2 Any defective or sub standard material will be rejected and must be replaced free of charge by the Contractor. 14.3 The Company will be indemnified for damage or loss howsoever arising and including consequential loss, caused by the use of inferior defective or sub standard materials, and the work made good by the Contractors. 14.4 Materials of any kind brought on to the site for incorporation in the permanent work, shall not be used for any temporary purpose. 15. STANDARD OF WORK 15.1 The work is to be carried out to the highest standards of good practice and workmanship in accordance with all applicable regulations and codes of practice whether statutory or otherwise or to an even higher standard when specified. 16. INSPECTION OF WORKS INTENDED TO BE COVERED 16.1 In cases where the Company or their representative have given notice to the Contractor that any part of the works must be inspected previous to the same being covered or hidden and, in any case, if work is covered or hidden without written authority, the Contractor may be required to expose the same and meet any reparative costs incurred. 17. REGULATION AND PERFORMANCE TESTING 17.1 After completion of each and every section of the contract work, the Contractor shall, as and when directed by the Company relevant engineer, arrange to demonstrate that the installation is adjusted and regulated to fulfil the function for which it is intended. 17.2 Any failure by the Contractor to fulfil his obligation and which may involve additional work and/or costs, will be the sole responsibility of the Contractor or his agents and will be at no extra cost to the Company whatsoever. 17.3 The Company relevant engineer may inspect the work/service being carried out at any time during the contract. 18. DIAGRAMS AND DRAWINGS 18.1 The Contractor shall be required to supply drawings and/or diagrams to other interested trades where necessary to facilitate the satisfactory completion of the contract and a second set to the Company's Plant and Facilities Department. 18.2 At the completion of the contract, the Contractor shall hand over to the Company finalised installation drawings in a form appropriate for future use, together with maintenance and operating instructions for any specialised items of equipment installed. 18.3 The Contractor shall be solely responsible for any discrepancies, errors or omissions in the specifications drawings and information supplied by him, whether approved by the Company relevant engineer or not. Cost of remedial work necessary as a result of any such error or omission will be borne by the Contractor. 19. BUILDERS WORK 19.1 Major building work such as the excavation/construction of pits, erection of bases and plinths, etc. shall be the responsibility of a Building Contractor who features on the Approved Contractor List. 19.2 Where minor building work is involved, the Contractor must allow for breaking through walls and partitions, pipework and conduits, etc. and for making good on completion. 20. WORK ON STRUCTURAL STEELWORK 20.1 All fixings shall be of the clamp type. No welding or drilling of structural steelwork will be permitted except by written permission of the Company. 21. STEELWORK SUPPORTS 21.1 The Contractor shall be responsible for the adequate support of all equipment. Failure to meet requirements will not be tolerated and the Contractor will modify supports at his expense. 22. PAINTING 22.1 Any unprotected iron and steel shall have two coats of Zinc Chromate Primer Paint applied at the manufacturer's works, unless otherwise stated in the contract, and the Contractor shall maintain the preservation until the work is finally painted. 22.2 The entirety of final painting shall be carried out by the Contractor, except where specified to the contrary in the contract. 23. SERVICES 23.1 The Company reserves the right to charge for any services (e.g. electricity, water, gas, etc.) used whilst on the Company's premises. Company Site Working Conditions Issue 8 5

24. INSURANCE 24.1 The Contractor shall at all times maintain such policies of insurance as shall fully insure and indemnify the Contractor against the liabilities of the Contractor hereunder including without prejudice to the generality of the foregoing liability to the Company's employees, the Company, the Contractor's employees, sub-contractors or other persons engaged by the Contractor and their respective employees and any other person. 24.2 The Contractor must hold and maintain in force Insurance policies covering Employers Liability, Public Liability for unlimited and consequential loss or damage to site, equipment and environment plus any other insurance policy that the Contractor may decide upon to give the Company adequate cover in all the circumstances of the contract entered into. The Contractor must complete the Acknowledgement and attach appropriate insurance certificates. Company Site Working Conditions Issue 8 6
