Statutory Document No. 0244/13 c Limited Liability Companies Act 1996 LIMITED LIABILITY COMPANIES (FEES AND DUTIES) ORDER 2013 Laid before Tynwald: 15 October 2013 Coming into Operation: 7 January 2014 The Department of Economic Development, with the concurrence of the Treasury, makes the following Order under section 50 of the Limited Liabilities Companies Act 1996. 1 Title This Order is the Limited Liability Companies (Fees and Duties) Order 2013. 2 Commencement This Order comes into operation on 7 January 2014. 3 Interpretation In this Order 2 hour registration has the meaning given in article 4(2). the Act means the Limited Liability Companies Act 1996; business day means a period of 24 hours which is not a Saturday, Sunday, Christmas Day, Good Friday or a bank holiday under the Bank Holidays Acts 1989; Department means the Department of Economic Development; document means a document held by the Companies Registry under the Limited Liability Companies Act 1996; month means a calendar month; online means remote access by means of the internet to company documents held on the Companies Registry Public Viewing System; standard registration has the meaning given in article 4(4); and while you wait registration has the meaning given in article 4(3).
Limited Liability Companies (Fees and Duties) Order 2013 4 Registration timelines (1) Subject to receipt of the appropriate fee (see Part 1 of the Schedule), the Department may agree to a company being registered in accordance with the timelines specified in this order. (2) If the registration documents are received by the Department before 2.30 pm on a business day, the company may be registered within 2 hours of receipt of the documents ( 2 hour registration ). (3) If the registration documents are received by the Department before 4 pm on a business day, the company may be registered while the person who presented the documents waits ( while you wait registration ). (4) If paragraphs (2) and (3) do not apply, the company may be registered within 2 business days of receipt by the Department of the registration documents ( standard registration ). (5) The Department must not register a company with a name that contravenes section 7 of the Company and Business Names Etc. Act 2012 (see section 7(2) of that Act). (6) If the registration documents are deemed not to have been accepted in terms of section 11C of the Act, the company must not be registered until the Department is satisfied that the requirements of the Act have been complied with. (7) A registration fee paid to the Department is not refundable, whether or not the company is registered in accordance with the timeline specified in paragraphs (2) to (4). 5 Fees and duties in respect of Limited Liability Companies The fees and duties set out in the Schedule are payable to the Companies Registry. 6 Revocation The Limited Liability Companies (Fees and Duties) Order 2010 1 is revoked. Article 5 FEES PAYABLE FOR REGISTRATION OF LIMITED LIABILITY COMPANIES AND RELATED MATTERS 1 Standard registration of a company under section 8 of the Act within 48 hours 100.00 2 2 hour registration of a limited liability company under section 8 of the Act 250.00 3 While you wait registration of a limited liability company under section 8 of the Act 500.00 4 Delivery of an annual return within the time limit prescribed by section 10 of the Act 95.00 5 Delivery of an annual return later than 1 month after the latest date for completion as prescribed by section 10 of the Act.
