CORPORATE GOVERNANCE DISCLOSURE Form 58-101F1 Disclosure Requirement 1. Board of Directors (a) Disclose the identity of directors who are independent. (b) Disclose the identity of directors who are not independent, and describe the basis for that determination. (c) Disclose whether or not a majority of directors are independent. If a majority of directors are not independent, describe what the Board of Directors does to facilitate its exercise of independent judgment in carrying out its responsibilities. (d) If a director is presently a director of any other issuer that is a reporting issuer (or the equivalent) in a jurisdiction or a foreign jurisdiction, identify both the director and the other issuer. The following directors are independent as that term is defined in section 1.4 of National Instrument 52-110 - Audit Committees: Timothy R. Banks Robert G. Kay James C. Lawley Arthur G. Lloyd George J. Reti Manfred J. Walt G. Wayne Watson Philip D. Fraser is the President and Chief Executive Officer of the Corporation. Robert G. Richardson is the Executive Vice- President and Chief Financial Officer of the Corporation. A majority of the directors are independent. (e) Disclose whether or not the independent directors hold regularly scheduled meetings at which nonindependent directors and members of management are not in attendance. Reti ZAIO Corporation (since February 2004) The independent directors do not hold regularly scheduled meetings at which non-independent directors and members of management are not in attendance. However, as deemed necessary and as required in the context of any conflict or potential conflict of interest, non-independent or conflicted directors are asked to recuse themselves from Board meetings to ensure that open and candid discussion is facilitated. The Chairman of the Board, George J. Reti, is an independent director. The attendance record of each director at Board and committee meetings is set forth under Business of the Meeting Nominees for Election to Board of Directors.

2. Board Mandate Disclose the text of the board's written mandate. If the board does not have a written mandate, describe how the board delineates its role and responsibilities. 3. Position Descriptions (a) Disclose whether or not the board has developed written position descriptions for the chair and the chair of each board committee. If the board has not developed written position descriptions for the chair and/or the chair of each board committee, briefly describe how the board delineates the role and responsibilities of each such position. (b) Disclose whether or not the board and Chief Executive Officer have developed a written position description for the Chief Executive Officer. If the board and Chief Executive Officer have not developed such a position description, briefly describe how the board delineates the role and responsibilities of the Chief Executive Officer. 4. Orientation and Continuing Education (a) Briefly describe what measures the board takes to orient new directors regarding: (i) the role of the board, its committees and its directors, and (ii) the nature and operation of the issuer's business. (b) Briefly describe what measures, if any, the board takes to provide continuing education for its directors. The Board has approved written position descriptions for the Chairman and the chair of each Board committee. The Board has approved a written position description for the Chief Executive Officer. The Corporate Governance, Nomination and Succession Committee is responsible for the orientation of new directors and continuing education. All directors are provided with a director's manual, which includes a copy of all Board and committee mandates and policies, the Corporation's by-laws, a reference manual of pertinent corporate information and other reference materials, and are introduced to senior management and the other directors. New directors are also given a presentation on the Corporation and its position in the multi-family residential real estate and manufactured home community sectors by the Corporation's President and Chief Executive Officer. Ethical Business Conduct (a) Disclose whether or not the board has adopted a written code for the directors, officers and employees. The orientation and education process is reviewed on an annual basis and will be revised accordingly as circumstances warrant. The Corporation has adopted a written code of business conduct for its directors, officers and employees. The Board of Directors is of the view that a culture of strong corporate governance and ethical business conduct must be endorsed by the Board and the Corporation's executive officers. The Corporation's code of conduct addresses many areas of business conduct and provides a procedure for employees to raise concerns or questions regarding the conduct of the Corporation's directors, officers and employees. Nomination of Directors (a) Describe the process by which the board identifies new candidates for board nomination. agreement being contemplated by the Corporation are required to declare such interest at any directors' meeting where the matter is being considered and to refrain from voting on such matter. The Board encourages and promotes a culture of ethical business conduct by expecting each other, all officers and management to act in a manner that exemplifies ethical business conduct. This expectation sets the tone for all employees of the Corporation. The Corporation makes every effort to ensure that prospective directors, employees and consultants are of good character. The Corporate Governance, Nomination and Succession Committee reviews and assesses the size, composition and operation of the Board and committees of the Board to ensure effective decision-making and identifies and assesses new candidates for nomination to the Board. The Board regularly considers its size when it considers the number of directors to recommend to the Shareholders for election at the annual meeting of Shareholders, taking into account the number required to carry out the Board s duties effectively and to maintain a diversity of views and experience. (b) Disclose whether or not the board has a nominating committee composed entirely of independent directors. If the board does not have a nominating committee composed entirely of independent directors, describe what steps the board takes to encourage an objective nomination process. (c) If the board has a nominating committee,describe the responsibilities, the powers and the operation of the nominating committee. All of the members of the Corporate Governance, Nomination and Succession Committee are independent. The charter of the Corporate Governance, Nomination and Succession Committee sets out, among other things, the following duties and responsibilities with respect to nomination and succession matters: consideration of the membership needs of the Board of Directors and its committees, and making recommendations with a view to fulfilling such needs, reviewing from time

to time the composition of the Board of Directors and its committees, and making recommendations to the Board of Directors designed to ensure that appropriate numbers of directors sit on the Board of Directors and its committees and that the directors collectively have the competencies and skills that the Board of Directors considers to be necessary for the Board of Directors as a whole to possess; identifying, evaluating and making recommendations to the Board of Directors regarding appropriate committees of the Board of Directors to be established, as well as with respect to the mandate and chair for each committee; reviewing the size and composition of the Board of Directors from time to time and considering persons as nominees for directors for the approval of the Board of Directors and election by the shareholders from time to time; and reviewing and assisting, where appropriate, in management succession planning and professional development planning for the officers of the Corporation. 7. Compensation (a) Describe the process by which the board determines the compensation for the issuer's directors and officers. (b) Disclose whether or not the board has a compensation committee composed entirely of independent directors. If the board does not have a compensation committee composed entirely of independent directors, describe what steps the board takes to ensure an objective process for determining such compensation. Please refer to pages 15 through 22 of the Circular for details of the executive compensation structure and policies. All of the members of the Compensation Committee are independent.

(c) If the board has a compensation committee, describe the responsibilities, powers and operation of the compensation committee. The charter of the Compensation Committee sets out, among other things, the following duties and responsibilities: annually reviewing and determining executive compensation packages for the senior officers of the Corporation, including salary, bonuses, stock options or awards and other incentives; annually reviewing and approving corporate goals and objectives related to compensation and evaluating the compensation of the Corporation s executive officers in light of those goals and objectives; conducting annual performance appraisals of the chief executive officer and other officers as appropriate, and reporting the results of such appraisals to the Board of Directors; reviewing and recommending directors' compensation from time to time, as appropriate; periodically reviewing the Corporation s executive benefit plans to ensure the appropriateness thereof; reviewing annually and recommending for approval to the Board of Directors the executive compensation disclosure of the Corporation in its management information circular; reviewing and approving any management contracts, change of control agreements, indemnity agreements, and significant consulting contracts; and reviewing annually and reporting to the Board of Directors on the adequacy of the Committee's charter. (d) If a compensation consultant or advisor has, at any time since the beginning of the issuer's most recently completed The Compensation Committee has the authority to retain consultants, including compensation consultants or advisors, as the Committee may determine necessary or advisable to carry out its

Assessments Disclose whether or not the board, its committees and individual directors are regularly assessed with respect to effectiveness and contribution. If assessments are regularly conducted, describe the process used for the assessments. If assessments are not regularly conducted, describe how the board satisfies itself that the board, its committees, and its individual directors are performing effectively. responsibilities. The Corporation's Board of Directors has three standing committees: the Audit Committee, the Corporate Governance, Nomination and Succession Committee and the Compensation Committee. Details in respect of the Corporate Governance, Nomination and Succession Committee and the Compensation Committee are provided above. The information about the Audit Committee required by National Instrument 52-110 Audit Committees is disclosed on pages 37 to 43 of the Corporation's Annual Information Form and a copy of the Audit Committee mandate is attached here as Appendix C. The Board of Directors, its committees and individual directors are assessed at least annually with respect to effectiveness and overall contribution. This evaluation function is facilitated by the Corporate Governance, Succession and Nomination Committee, who undertake this review in the form of questionnaires and, where appropriate, individual director interviews.
