Part II. Fee and Expense Information Table 2 shows fees and expenses for the investment options listed in Table 1. Total Annual are expenses that reduce the rate of return of the investment option. Table 2 shows the Gross Total Annual Operating Expenses in column B, which represents the expense before fee expense waivers to the 401(k) Plan. The waivers reduce Gross Total Annual and are listed in column C. The result is the Net Total Annual Operating Expenses of each 401(k) Plan investment option shown in column D, which represents what you pay (column B - C = D). Funds that have trading restrictions are indicated in column E, as shown below. Plan Related Information The investment options available in the 401(k) Plan do not assess additional fees beyond those reflected in Table 2 Fees and Expenses, starting on page 4, directly against a participant s or beneficiary s investment such as commissions, sales loads, sales charges, deferred sales charges, redemption fees, surrender charges, exchange fees, account fees, or purchase fees resulting from transaction activity initiated by a participant or beneficiary. No Administrative or Individual Fees Imposed by the 401(k) Plan. 1 As noted above, & Company currently pays all administrative expenses to operate the 401(k) Plan. For example, you are not charged a fee for recordkeeping expenses. In addition, currently the 401(k) Plan does not impose individual fees associated with the 401(k) Plan. For example, the 401(k) Plan does not impose a fee for you to obtain a distribution or loan from the 401(k) Plan. Investment Options and Instructions. As a participant in the 401(k) Plan, you re responsible for investing your account in one or any combination of the 401(k) Plan s investment options. Table 1 and Table 2 above provide more specific information about the investment options. You may change your investment elections as often as you like, but keep in mind that some funds are subject to trading restrictions. The trading restrictions are described in Table 2 above. To make investment changes, sign on to your 401(k) Plan account from Teamworks or teamworks.wellsfargo.com, or you can call 1-877-HRWELLS (1 877 479 3557), option 1. Voting Rights for Company Stock. From time to time, shareholders of & Company are asked to vote on various matters. If you have stock allocated to your 401(k) Plan account under the ESOP Fund or the Non ESOP Fund, you will have an opportunity to direct the vote of your allocated shares on a confidential basis through a third party. Your vote will not be divulged to employees or officers of & Company. The results of the vote (but not how an individual participant voted such shares) will be provided to the Trustee of the 401(k) Plan. The Trustee votes the shares of & Company common stock in accordance with such results. For additional details, refer to the SPD. The Target Date Funds and possibly other investment options may ask investors to vote on certain actions such as membership on the fund s board of directors. The plan administrator anticipates that such voting will be done by either the trustee or by the plan administrator who would direct the trustee how to vote the shares of the investment fund. The plan administrator does not anticipate passing through such voting to the participants in the 401(k) Plan. The cumulative effect of fees and expenses can substantially reduce the growth of your retirement savings. Fees and expenses are only one of many factors to consider when you decide to invest in an option.
