G lobal Hemp Group ("GHG") is a publicly traded company founded in 2012, headquartered in British Columbia, Canada with base operations in Southern California, USA and having a strategic partnership in South Africa. The Company is focused on acquiring and/or joint venturing with companies across all sectors of the hemp and cannabis industries in an effort to build a "soil-to-shelf" portfolio of complementary companies that will enable GHG to capture cash flow, revenues and value from its acquisitions and establish a far greater collective valuation than GHG or the individual companies would have on their own. There is a perfect storm on the horizon for the hemp and cannabis industries, as there is significant economic need for job creation and tax generation in most countries around the world, along with a strong demand for sustainable technologies, low carbon footprint housing, highly nutritional food and effective medicines. Hemp and cannabis can provide many of these necessary solutions and GHG is well positioned to take advantage of these oncoming changes. Beginning in 2015, after its first year of operations, the Company will be expanding its business model to include many facets of the cannabis sector. The Company's initial revenues will be generated from its Advisory & Training Division, which will centre on providing a host of consulting services from; agronomics and technology, to product development and distribution, as well as brokerage services to hemp and cannabis producers, processors, manufacturers and distributors. GHG has recently entered into a mutual consulting agreement with Green Dot Consulting Inc. (GDC), of Burbank, California, an experienced leader in cannabis industry education, data analytics, legislation, product and business development, extractions, genetics, and more, building brands like Cannabis Career Institute, CannaTrends, CannaJobs, Green Dot Delivery, Cannabis State University and many others. Initially GHG will consult for Cannabis Career Institute (CCI) on expanding curriculum to include coursework on hemp economics, business opportunities, building materials, food and nutrition, cultivation, genetics, processing and biocomposites. GHG staff will be hired to speak at CCI classes on the business of hemp and the entrepreneurial opportunities available in the hemp industry. In addition, Green Dot is gearing up for the construction of several cultivation facility projects that it intends to build with hemp materials. GHG will consult on the design, materials selection and sourcing, construction, automation, optimization and management of these facilities. The Company has also launched an Environmental Impact Division ("EID") to address the environmental impact of the cannabis sector. The Company will be offering solutions to cannabis grow facility operators to significantly reduce energy consumption and provide cost effective solutions for managing the agricultural waste produced from these facilities. The Retail & Wholesale Products Division is focused exclusively on hemp product development and distribution, under a central ecommerce marketplace called HempSmart.com ("HS"). Additional value will be generated from the accumulation and analysis of sales data across all Page 3 of 6
product categories, identifying which hemp products are popular with consumers, and which are not. The Media Division is centered on GHG's proposed acquisition of Skunk Magazine, a Canadian print magazine that for the last 10 years has featured articles on all things cannabis. In 2015 it will launch a new online version that is expected to increase revenue substantially. Apart from the revenue stream, the Company will not only gain a communication platform and an established readership to promote a broadened set of issues regarding hemp, and its contribution to a healthier planet, but a marketing opportunity to tell the GHG story to our target audience in the cannabis industry and promote GHG as a public Company. In addition, with GHG's pending 50% acquisition of its strategic partner House of Hemp, in South Africa, the Company will have an opportunity to tap into the premier hemp company in that country, just as the hemp industry is about to open up to commercial production and distribution. Initial revenues will be generated from the processing of hemp seed into hemp oil and protein powder, for sale to the food industry. Once established, there is a significant opportunity to utilize the hemp straw to create building materials for the construction of affordable and sustainable housing in conjunction with the Reconstruction and Development Programme in South Africa. Once established in South Africa, it is anticipated that there will be expansion opportunities to a number of other countries in Africa. In fact, GHG will position itself to capture, with local partners, the huge market of affordable and sustainable housing throughout many countries in the developing world. In this way it will impact on an industry responsible for up to 40% of CO 2 emissions, and a significant contributor to climate change, while generating an increasing revenue stream for the Company. There are many opportunities beginning to open up in both the hemp and cannabis industries, not only in North America, but around the world. Based on the above projects and a number of others that the Company is currently developing, management is confident that the Company can begin generating revenue in the first half of 2015. Competitive Edge GHG's core management and advisory team have unique experience and skills that complement the Company's strategy. The management team's extensive background, education and experience in investment banking, financial consulting, research, mergers & acquisitions, as well as in the hemp and cannabis industries will guide the Company through the many M&A transactions on the horizon. The industry relationships the team has developed over the years gives the Company a distinct and unique advantage in positioning itself as a dominant player in a rapidly emerging industry. In depth research into these industries since 1996, gives the GHG team a solid understanding of the ebb and flow of the industry and the visibility to identify and capitalize on significant investment opportunities before competing entities. The core members of the GHG team are familiar with, and in many cases have long personal relationships with many of the executive managers of the leading hemp and cannabis companies. The core management team also has significant experience in founding, launching, managing and consulting for public and private companies in the hemp and cannabis industries. There are very few experienced executive managers in this fledgling industry with the level of specific knowledge and experience required to operate effectively. Moreover, GHG can rely on a network of expertise from which it can draw to respond to specific situations. Directors and Management Team Chairman, President & CEO - Mr. Charles Larsen has more than 30 years experience working with public, private and start-up companies in many different facets of business. In 2009 he began to focus his efforts exclusively on business development in the cannabis and hemp industries. In the years prior to launching Global Hemp Group, he used his cannabis industry expertise to consultant for a number of companies in the industry and was the first President of Medical Marijuana, Inc., the first publically traded company in the industry in the United States. Since 2009 he has dedicated his life to, and has spent 100% of his time, researching cannabis and hemp as potential solutions to many of the problems the world is facing today. He has met many of the industry's pioneers from around the world and has developed lifelong relationships with a small community that has made a significant and positive impact on society in a very short time frame. In his previous business career, Mr. Larsen has been involved in the highest levels of strategic planning, mergers and acquisitions, financial and operational restructuring, public and private corporate finance, governance and compliance. He has significant experience in: high volume securities trading; corporate and public debt; equities; options and futures; as well as being an experienced portfolio manager; securities trader; and C level executive. Through his lengthy career in the finance industry, he has held executive management positions with a number of financial companies, including; Sr. VP at Tower Asset Management, CFO, COO Page 5 of 6
& CCO at Financial Management Advisors, Interim CFO at Polaris Technology, as well as key operational positions at Associated Consulting, Peskin Associates and Integrated Decision Systems. Prior to that, he served 8 years in the United States Coast Guard. Director & Chief Financial Officer - Mr. Curt Huber is an independent corporate and financial consultant. He has been involved in all facets of public companies for more than 25 years. He is an experienced director and senior officer and has represented public companies in many different sectors. Director & Chief Business Development Officer - Dr. Reid Jilek has advanced degrees in the medical, life science and engineering disciplines who has published over 40 papers in national and international peer reviewed journals. He has served on the Board of Directors, Scientific or Medical Advisory Boards, for many private and public companies since 1990. Director & Strategic Consultant - Dr. Paul Perrault trained in cooperative development (M.A.) and in Economics of rural development (Ph. D.). His early career was focused on rural development projects mainly in Africa, but institutional development constitutes the core of his career. These experiences give Dr. Perrault a unique perspective in managing and developing world institutions. Director - Jeff Kilpatrick is currently the Program Supervisor for the Division of Investigations and Community Supervision in Alachua County, Florida. He has a B.Sc. in Criminal Justice Administration from CSU Long Beach, an MBA from California Coast University, is a graduate of the FBI National Academy and has received his Certified Public Manager degree from FSU.
