Code of Conduct outlines the fundamental requirements for how we do business Kemira s business is to provide expertise and tailored combinations of chemicals for water-intensive industries. By doing that we enable our customers to improve their water, energy and raw material efficiency. That is the purpose of the company. Our Code of Conduct outlines the fundamental requirements for how we do business. The Code of Conduct is based on Kemira s values, the key principles that guide our actions and everyday decision making. The Code reflects principles set out in the OECD Guidelines for Multinational Enterprises, and the ten principles of the United Nations Global Compact initiative where Kemira is a participant. All companies of the Kemira Group, the Board of Directors and all employees irrespective of their position in the organization are responsible for complying with the Code of Conduct. INTRODUCTION 1 Introduction The Kemira Code of Conduct (the Code ) outlines the fundamental requirements for how we do business. The Code reflects principles set out in the OECD Guidelines for Multinational Enterprises. This Code also determines certain key requirements for Kemira s other specific policies. This Code is based on Kemira s values, the key principles that guide our conduct and our everyday decision making. Kemira s values are: We are dedicated to customer success We care for people and the environment We drive performance and innovation We succeed together. 2 Compliance with laws Compliance with the prevailing law in every country where we do business, is an essential principle for Kemira. Kemira requires all of its employees to obey the laws and regulations of the legal systems within which they are operating in addition to applicable Kemira policies. Compliance with the applicable laws and regulations is required and does not conflict with this Code. All companies of the Kemira Group, the Board of Directors and all employees irrespective of their position in the organization are responsible for complying with this Code. In case of any potential conflicts between this Code and any internal policies, guidelines or procedures in Kemira, this Code shall prevail. 6 7
ENVIRONMENT, HEALTH AND SAFETY 3 Environment, health and safety Kemira strives to protect the environment, health and safety and to promote quality in all of its businesses. Kemira prevents and/or minimizes negative impacts on the environment, people and property as well as promotes the efficient use of natural resources. Kemira has implemented certified systematic management systems to improve its performance continually. 4 Sustainability Kemira aims to promote sustainable development including economic, environmental and social aspects. Kemira aims to develop and provide environmentally compliant solutions and environmentally preferred products and services to its customers. Kemira is a signatory of Responsible Care, the voluntary initiative of the international chemical industry. 5 Product safety Kemira follows the applicable laws and regulations on chemical product safety, including the communication of the hazards and information on the safe use of chemicals. Kemira integrates people, process and product safety into its business decisions. Kemira employees must ensure that Kemira products are safe as well as adequately described and assessed for their intended uses. In accordance with the principles of the Responsible Care product stewardship program, Kemira identifies and looks for opportunities to reduce risks and environmental impacts of its products during production as well as during their lifecycle. Kemira shares all relevant information and knowledge about its chemicals with its customers and other relevant parties. 8 9
PEOPLE BUSINESS PARTNERS AND INVESTORS 6 Support of human rights Kemira respects and supports the fundamental human rights as defined by the United Nations Universal Declaration of Human Rights. Within the context of its activities, Kemira avoids causing or contributing to adverse human rights impacts and addresses such impacts when they occur. Kemira strives to prevent or mitigate adverse human rights impacts that are linked to its business operations, products or services by a business relationship, even if Kemira does not contribute to those impacts. 7 Employment Kemira complies with the International Labour Organization s Declaration on Fundamental Principles and Rights at Work. In employment and working conditions, Kemira respects the principle of equal opportunity and treatment without regard to age, race, birth, gender, creed, political persuasion, social status or origin. Kemira does not employ forced or child labour. Any kind of harassment at the workplace is strictly forbidden. Kemira respects the right of all personnel to establish or join trade unions and other representative organizations. 8 Business partners Kemira only deals with reliable business partners who show consideration for the environment and people. Kemira expects all of its business partners and subcontractors to comply with applicable laws and to be committed to ethical and sustainable conduct of business and to comply with its separately established Code of Conduct for Suppliers, Distributors and Agents. 9 Competition Kemira strongly supports fair competition and competes vigorously, yet fairly and ethically, and within the framework of applicable competition laws. Kemira does not enter into any anti-competitive agreements or carry out any other anti-competitive activities. Each Kemira employee must adhere to competition laws, regulations and Kemira policies. Kemira s management and relevant employees are trained in competition law compliance on a regular basis. 10 11
BUSINESS PARTNERS AND INVESTORS 10 International business When conducting international business, Kemira is committed to implement any appropriate measures to prevent terrorism, halt the proliferation of weapons and fight narcotics trafficking, money laundering and other such crimes. Various governments have established trade controls that restrict certain business transactions and the movement of certain goods across national borders. Kemira employees must fully comply with all applicable international trade controls, anti-terrorism, anti-bribery and anti-money laundering laws. 11 Disclosure Kemira applies high quality standards with regard to disclosure of financial and non-financial information. All business transactions conducted on behalf of Kemira must be reflected accurately and fairly in the accounts of the company. As a listed company Kemira has an explicit obligation to provide without delay any significant information which might affect the value of its shares. Kemira s corporate governance is based on the Articles of Association, the Finnish Companies Act and NASDAQ OMX Helsinki Ltd s rules and regulations on listed companies. Kemira issues an annual Corporate Governance Statement as a separate report. Potential or actual conflicts of interest can arise in many situations, including but not limited to when: an employee has a personal relationship with or a significant interest in a company or person that does business with Kemira; a close relative of an employee is a supplier, customer or competitor of Kemira, or an employee of such a company; an employee has outside employment or other activities with a company that competes with Kemira; or an employee has a personal relationship with a co-worker in a direct or an in-direct managerial or subordinate position. All Kemira employees must recognize and avoid conflicts of interest and must always disclose any potential or actual conflict of interest situation to their supervisor in accordance with applicable Kemira policies. Kemira and its employees may never offer, solicit or accept a bribe in any form. A bribe is a gift given in any form, the purpose of which is to influence the recipient s conduct. Offering or acceptance of occasional gifts of purely symbolic value or meals or entertainment of reasonable value that are consistent with applicable laws, local customs and Kemira policies and can withstand public scrutiny without damaging Kemira s reputation are not considered to be a bribe. Kemira does not provide financial support to politicians, political parties or political organizations. 12 Conflicts of interest and bribes All Kemira employees must make business decisions and conduct all business activities in the best interests of Kemira, not based on their own personal interests. 13 Insider information All Kemira employees must familiarize themselves with and comply with all applicable laws, rules and Kemira policies relating to inside information and insider trading. 12 13
USE OF COMPANY RESOURCES AND INFORMATION CODE IMPLEMENTATION 16 Code implementation 14 Company assets All Kemira employees must properly protect Kemira s assets, including physical property, financial assets, intellectual property and other protected information. Kemira s assets must be appropriately safeguarded against damage and unauthorized use or removal. Company assets must not be used for non-approved personal purposes or in support of other than legitimate business. 15 Information management Information is a valuable corporate asset. Kemira safeguards the confidentiality, integrity and availability of its proprietary information. Kemira employees must manage, use, disclose and distribute Kemira s proprietary or confidential information only as authorized by Kemira and in accordance with applicable Kemira policies. Any non-public information that suppliers, customers or other business partners entrust to Kemira will be managed in accordance with applicable legal and contractual requirements. It is the responsibility of each Kemira employee to act in accordance with this Code. Kemira employees are encouraged to raise questions relating to this Code with their direct or indirect managers and it is the responsibility of all Kemira managers to support their teams in matters relating to this Code. Each Kemira employee must report any violation of law, unethical activities or non-conformity with this Code either: via the Kemira Ethics and Compliance Hotline, a reporting service provided by an external partner; to Kemira Group Ethics & Compliance function (e-mail: compliance@kemira.com, tel: +358 10 8611); or to the relevant line management. Each line manager has an obligation to forward all reports made to the line management to Ethics & Compliance. Any reporting will be treated strictly confidentially and anonymously to the extent possible. Preventing an employee from reporting a violation of this Code is prohibited. All allegations of potential violations of this Code made in good faith will receive a fair and comprehensive investigation conducted with the relevant internal and/or external assistance. Raising a concern about compliance with this Code will not lead to adverse work-related consequences. Kemira s Legal function may be contacted in case of questions or concerns about compliance with this Code or local laws or regulations. Kemira has zero tolerance for violations of this Code. Those who violate this Code are subject to disciplinary action, up to and including termination of employment. 14 15
