2015 American Indoor Football Player Contract THIS CONTRACT is between, herein after Player, and, herein after the Team, operating under the name of as a member of the American Indoor Football. In consideration of the promises made by each to the other, the Player and the Team agree as follows: 1. TERM. This contract covers 2015 football season, and will begin on the date of execution or, whichever is later, and end on August 1, 2015, unless extended, terminated, or renewed as specified elsewhere in this contract. 2. EMPLOYMENT AND SERVICES. The Team employs the Player as a skilled football Player. The Player accepts such employment. He agrees to give his best efforts and loyalty to the Team, and to conduct himself on and off the field with appropriate recognition of the fact that the success of professional football depends largely on public respect for those associated with the game. Player will report promptly for and participate fully in the Team s pre-season training camp, all the Team meetings, practice sessions and team appearances, and all pre-season, regular season and post-season football games schedules for or by the Team. The Player will not participate in any professional football game not sponsored by the Association unless given permission or approval by the Team and the League. 3. OTHER ACTIVITIES. Without prior written consent of the Team, the Player will not play football or engage in activities related to football otherwise than for Team or engage in any activity other than football which may involve a significant risk of personal injury. Player represents that he has special, exceptional and unique knowledge, skill, ability, and experience as a football Player, the loss, of which cannot be estimated with any certainty and cannot be fairly or adequately compensated by damages. The Player therefore agrees that the Team will have the right, in addition to any other right which the Team may possess, to enjoin the Player by appropriate proceedings from coaching football or engaging in football-related activities other than for the Team or from engaging in any activity other than football which may involve a significant risk of personal injury. 4. COMPENSATION. For performance of Player s services and all other promises of Player, Team will pay Player a weekly game compensation of $, less applicable federal and state taxes, fines, expenses, any other deductions deemed appropriate, Per Game Played. Fines and or any other deductions deemed appropriate will be determined by Team Official. Per league limits. The Team also may provide living accommodations. In some cases, Player may be charged a minimal amount in rent. Player will be paid 100% of his weekly salary under this contract in weekly payments over the course of the regular season period, commencing the following one (1) week after the Team s first regular season game. Not including bye weeks. Advances are not typically granted to Players; however, if an advance has been granted against compensation, the advance will be repaid to the Team in full, and any properly levied Team and/or Association fines against Player will be paid on demand by means of deductions from payments coming due to the player under this contract. Amount of advance will follow deductions typically deducted from player compensation. 5. PHYSICAL CONDITION. The Player represents to the Team that he is and will maintain himself in excellent physical condition. Player will undergo a complete physical examination both at the beginning of the season and at the end of their employment with the Team. The Player will undergo a complete physical examination by the Team physician upon the Team s request, during which physical examination the Player agrees to make full and complete disclosure of any physical or mental condition known to him which might impair his performance under this contract and to respond fully and in good faith when questioned by the Team physician about such condition. If the Player fails to establish or maintain his excellent physical condition to the satisfaction of the Team physician, or make the required full and complete disclosure and good faith responses to the Team s physician, then the Team may terminate this contract. 2015 American Indoor Football Player Contract 1

6. INJURY. If the Player is injured in the performance of his services under this contract and promptly reports such injury to the Team physician or trainer, then the Player will receive compensation via the Workman's Comp program through the State of, as applicable and/or other improved insurance. If injured as a work-related Injury, the Player will receive medical care during the term of his injury as the Team s physicians deem necessary and appropriate with use of their professional judgment in accordance with team insurance policies. If the Player is unable to perform the services required of him as a member of the Team due to injury, then the Player may receive such care and compensation as provided by the Team pursuant to applicable team or Workman's Comp Insurance. The Player must follow the instructions of the Team physician and trainer and keep all appointments necessary for treatment and/or rehabilitation. This includes traveling to meet with physician and trainer or etc., if requested by the Team. If the Player fails to keep appointments or follow the physician and/or trainer s instructions, it will be grounds for termination for cause of this Contract by the Employer. Only work-related injuries are eligible under the Workman's Comp provision. It is the responsibility of the Player to report "work-related" injuries to the appropriate Team personnel in a timely manner. Non work-related injuries are the sole responsibility of the Player. It is unlawful to report an injury as work-related if the injury was caused by other means. 7. Acceptance. In executing this contract the athlete recognizes that the athlete is participating in an athletic contest as well as preparing for an organized indoor arena football contest. As such the athlete signatory hereto recognizes that the sport is inherently dangerous. The athlete stipulates, with the Team, the League, and Owners hereto, that the intent of this contract and of the athlete s intent entering into said contract is that the athlete s relationship with the Team, the association, and owners is that of an employee, as is further addressed in paragraph 8 below. As such, the athlete employee is covered by worker s compensation, and the athlete employee hereby waives any other recourse against the Team, the AIF, or owners. And in consideration of said workers compensation, and of receiving the provisions to the athlete s benefits contained in 6A above, the athlete hereby holds harmless the team, the AIF and owners. 8. WORKERS COMPENSATION. Any compensation paid to the Player under this contract that is entitled to workers compensation benefits by reason of temporary total, permanent total, temporary partial, or permanent partial disability will be deemed an advance payment of workers compensation benefits due to the Player, and the Team will be entitled to be reimbursed the amount of such payment out of any award of workers compensation. 9. SKILL, PERFORMANCE, AND CONDUCT. The Player understands the competition with other players for a position on Team s roster within the applicable player limits. If at any time, in the sole judgment of the Team, the Player s skill or performance has been unsatisfactory as compared with that of other Players that are competing for the positions on the Team s roster, or if the Player has engaged in personal conduct reasonably judged by the Team to adversely affect or reflect on the Team, then the Team may terminate this contract. * The Team and League have a zero Tolerance level against any felony Charges and player contract is terminated. 10. RULES. The Player will comply with and be bound by all Team and League rules and regulations in effect during the term of this contract which are not inconsistent with the provisions of this contract. The Player s attention is also called to the fact that the League functions with certain rules and procedures expressive of its operations as a joint venture among its member clubs and that these rules and practices may affect the Player s relationship to the League and its member Teams independently of this provision of this contract. The Player will comply with all state and federal laws. Player agrees to wear only Team and League approved apparel and equipment while performing services for the Team (both on and off the field), under this contract, specifically, but without limitation, to footwear, gloves, uniforms, equipment, pads, socks, wristbands, helmets, team travel uniforms - shirts, pants, shorts, etc, and any other items specifically identified and/or supplied by Team and League to be worn both on and off the field and on the sidelines. Player shall not remove, cover, obscure or otherwise alter any logo that appears on any apparel or equipment or other products for use under this contract. Player shall not alter the apparel or equipment. If Player does not wear approved apparel and equipment, or alters any apparel and equipment, Player may be fined by both the League and the Team and may also be removed from the game temporarily or indefinitely. Other penalties may apply, including but not limited to suspension without pay, and/or termination. Applicable fines will be deducted - in full - from compensation owed Player. 2015 American Indoor Football Player Contract 2

11. INTEGRITY OF GAME. Player recognizes the detriment to the League and professional football that would result from impairment of public confidence in the honest and orderly conduct of AIF games or the integrity and good character of AIF players. Player therefore acknowledges his awareness that if he accepts a bribe or agrees to throw or fix an AIF game, fails to promptly report a bribe offer or an attempt to throw or fix an AIF game, bets on an AIF game, knowingly associates with gamblers or gambling activity, uses or provides other players with stimulants or other drugs for the purpose of attempting to enhance on-field performance; or is guilty of any other form of conduct reasonably judged by the League s National Director and/or Executive Committee to be detrimental to the League, the National Director shall have the right to suspend the Player for a period certain or indefinitely; and/or to terminate the contract. The Player will be given opportunity for hearing prior to aforementioned actions. 12. ASSIGNMENT. Unless this contract specifically provides otherwise, the Team may assign this contract and the Player s services under this contract to any successor to the Team s membership or to any other Team in the League. The Player will report to assignee Team promptly upon being informed of the assignment of his contract and will faithfully performs his services under this contract. The assignee Team will contribute to the Player s necessary traveling expenses in reporting to it and will faithfully perform this contract with the Player. 13. FILING. This contract will be valid and binding upon the Player and the Team immediately upon execution. A copy of this contract will be filed by the Team with the League s National Director and Executive Committee within 48 hours after execution. The League s National Director and Executive Committee have the right to disapprove this contract on reasonable grounds, including but not limited to an attempt by parties to abridge or impair rights of any other Team, uncertainty or incompleteness in expression of the parties respective rights and obligations. Approval will be automatic unless, within 10 days after receipt of this contract, the National Director notifies the Executive Committee and interested parties of potential disapproval or extension of 10-day period for purpose of investigation or clarification pending the decision. On the receipt of notice of disapproval and termination, both parties will be relieved of their respective rights and obligations under this contract. 14. DISPUTES. During the term of the contract, any dispute between the Player and the Team may be submitted to the League s National Director and Executive Committee for determination. 15. OTHER AGREEMENTS. This contract sets forth the entire agreement between the Player and the Team and cannot be modified or supplemented orally. The Player and the Team represent that no other agreement, oral or written, exists between them. The provisions of this contract will govern the relationship between the Player and the Team. The Player and the Team also represent that there are no undisclosed agreements of any kind, whether expressed or implied, and there are no promises, undertakings, representations, commitments, inducements, assurances, or understandings of any kind that are outside of the AIF Operation s Guidelines involving consideration of any kind to be paid, furnished or made available to the Player or any entity or person owned or controlled by, affiliated with, or related to the Player, either during the term of this contract, or thereafter. If a Player is found to be in violation of Section 15, or have other agreements outside the scope of this agreement between the Player and the Team, the Player will be suspended from the Team for the current season without pay, and will not be allowed to participate on any other AIF Team for said season. 16. DRUG TESTING. At such time, the AIF will have established a formal drug testing program with which said policy will be distributed in writing to the Player, and said policy shall be incorporated into this Contract as though fully described herein and shall be the AIF drug testing program to be implemented by all AIF Team. All AIF Players will be subjected to pre-employment drug testing by their respective Teams and if permitted by applicable state law, be subject to additional random testing throughout the pre-season, regular season and post-season. The failure to submit to such testing shall subject the Player to immediate for cause termination of this Contract at the Employer s sole and absolute discretion. 17. LAW. This contract is made under and shall be governed by the laws of the State of, United States of America. 2015 American Indoor Football Player Contract 3

18. PUBLICITY/USE OF PLAYER'S NAME AND/OR LIKENESS. Player hereby grants to Team and League, separately and together, the authority to use his name, likeness and pictures for publicity and promotion of the League and Team and any of its other member clubs in, but not limited to, newspapers, magazines, motion pictures, game programs, roster manual, media guide, broadcasts, and all other publicity and advertising media or merchandise. At the direction of Team or League, Player shall make personal appearances on behalf of official Team or League, corporate sponsors or suppliers; Team and League shall have discretion to select a reasonable time and place for such appearance, which may or may not be in uniform or set dress. Player will cooperate with the news media and will participate upon request in promotional activities of the Team and League. Player may not receive an appearance fee from sponsor. Player irrevocably grants and assigns to Team and League and any Team or Leaguedesignated entity during and beyond the term of this contract the right to use his name and/or likeness (including, but not limited to) still photographs, motion pictures and/or video) in connection with the advertisement, promotion or sale of trading cards or any other commercial product or entity, including but not limited to, the advertisement and promotion of official Team or League or corporate sponsors and official Team and League suppliers. Player hereby waives any claim to any revenue received by Team, League, or designated entity as a consequence of such use of Player s name or likeness. Player may receive compensation for based on separate negotiations with Team. 19. RELEASE FOR OTHER OPPORTUNITIES. If the Player is offered opportunity of employment with the National Football League, Arena Football League, and the Canadian Football League the Player will be allowed to leave without penalty. This provision does not apply to any other professional football organization, association, or league. Possible exceptions may be made for professional leagues of other sports, if the Player is skilled professional athlete in other sport. If a Player leaves the Team for employment with a competing professional indoor football league, he will be in breach of this contract unless he first obtains a written release from Team and League following discussions with both parties. The impact of Player's leaving Team and League to accept employment with a competing professional indoor football league will cause both Team and League significant damage in terms of Team chemistry, publicity, marketing and other respects. Therefore, the Player agrees that in the event he breaches this contract by accepting employment with a competing professional indoor football league, he will pay Team the sum of five thousand dollars ($5000) to compensate Team for breach of this contract. 20. TERMINATION OF CONTRACT. The rights of termination set forth in this Contract will be in addition to any other rights allowed for either party by law. The Team may terminate this Contract, with or without cause, with or without notice, at any time for any reason. For purposes of this Contract, cause shall exist, but not be limited to, the Player at any time: fails, refuses, or neglects, to conform his personal conduct to the standards of good citizenship, good moral character and good sportsmanship; fails, refuses, or neglects to keep himself in good physical condition; fails, refuses, or neglects to obey the team s or AIF rules, acts in a manner that reflects adversely upon the AIF s or Team s reputation or impairs business operations or financial conditions; fails, in the sole opinion of the Team, to exhibit sufficient skills or ability to continue as a member of the Team; fails, or refuses or neglects to render his services in any matter materially breaching the Contract. 2015 American Indoor Football Player Contract 4

Player understands that by signing this contract, he has obligated himself to this Team until such time as he is formally released by the Team or after August 1, 2015. If player is not on said roster, then he is considered a free agent and may pursue replacement with another organization and/or league. THIS CONTRACT is to be executed in 2 copies. Player officially acknowledges that before signing this contract he was given the opportunity to seek advice from or be represented by persons of his own selection.
