Union Bank and Trust Company also performs services for mutual funds in which accounts may invest from time to time. This Disclosure Statement, read together with the prospectuses of the mutual funds described, provides information about fees received by Union Bank and Trust Company and its related entities. Mutual Fund prospectuses are available from your Union Bank representative or may be obtained directly from the Mutual Fund website or upon written request to the Mutual Fund. The fees set forth below are paid by such funds and are not paid directly by the trust or employee benefit customer account. (Holding Company of Union Bank & Trust), provides administrative services to Stratus Fund, Inc. and receives 0.1% annually for these services. 2 Dependent upon your account size, initial finder s fee payments may apply. 3 The above-described funds may also utilize Nelnet Capital L.L.C., a securities broker-dealer affiliate of Union Bank & Trust, for brokerage services from time to time. When engaged to provide services, Nelnet Capital will charge the funds its usual and customary charges. Said fees or charges will be paid by the funds and will not be deducted directly from the trust or employee benefit customer s account. 4 Shareholder fees may include 12b-1 fees, Subadministration fees, and/or Service fees. Union Bank & Trust may NOT invest in the above Mutual Funds that pay 12b-1 fees. Consent The Undersigned, being a person who is entitled to receive statements of account activity under that certain trust instrument (the "Trust Agreement") in which _is/are beneficiary(ies), and in which Union Bank and Trust Company ("Trustee") serves in the capacity of trustee, hereby consents as follows: 1. The undersigned hereby consents, in addition to and supplemental to the general investment powers found in the Trust Agreement, to investments (and approves any purchase, sale, or redemption in connection with such investments) of trust funds by Trustee in Trustee's discretion as it may select generally (or by Trustee as directed by the undersigned where Trustee is acting as a nondiscretionary Trustee) and in any/all of the mutual fund family investments listed above and any and all existing or subsequently created portfolios thereof. Trustee considers purchases in such mutual funds to be appropriate as prudent, diversified, investment choices in which Trustee holds sufficient working knowledge. No limitations shall be placed in such investments other than as provided by law and as Trustee's duties as to care, skill, prudence, and diligence may dictate. The undersigned approves of purchases, sales, holding, and continuation of any such activity with respect to such investments. 2. The undersigned consents to and approves of Trustee's and affiliates receipt of compensation from the investment companies described in paragraph 1 above for services performed by Trustee and affiliates, which compensation is in addition to Trustee's fees that Trustee is otherwise entitled to under the Trust Agreement. The undersigned hereby acknowledges availability of the prospectus of each investment described in the table above, as well as the receipt of the Union Bank and Trust Company Mutual Fund Disclosure Statement provided in connection with those investments, which together provide full and detailed disclosure of fees charged and the basis on which compensation received by Trustee from the mutual funds acknowledges that the basis on which such compensation is calculated to sell those mutual funds is reasonable compared to investments in other mutual funds. Authorization for Use of Affiliated Broker-Dealer The undersigned agrees that Nelnet Capital L.L.C. may act from time to time as the broker or agent for securities or investment related transactions executed pursuant to the Trust Agreement or any other arrangement with the Trustee. Although Nelnet Capital is a member of FINRA & SIPC, Nelnet Capital is not a bank. Nelnet Capital is a subsidiary of Nelnet Inc., an affiliate of Union Bank & Trust. The undersigned agrees that Nelnet Capital may employ sub-brokers or agents of their own selection. The undersigned also agrees to pay the fees and commissions indicated on Nelnet Capital s standard schedule of fees and commissions as may be amended from time to time. Such fees charged by Nelnet Capital will generally be similar to those charged by unaffiliated broker-dealers with whom Union Bank conducts securities business. A copy of the current schedule is available at any time upon request to the Trustee or Nelnet Capital. All transactions executed under this agreement will be subject to applicable state and federal laws and regulations, including the rules of self regulatory organizations or exchanges. The undersigned agrees to notify the Trustee in writing if the use of Nelnet Capital as a broker is unacceptable or unauthorized. Upon such written notice, the undersigned agrees to identify and bear all costs associated with the selection of another qualified broker. Authorization for Use of Affiliated Short Term Investment Vehicle Certain accounts may be eligible to participate in the Short Term Federal Investment Trust ( STFIT ) Program, which is a short term investment alternative offered by Union Bank and Trust. Yields earned on the STFIT program typically are generally consistent with yields available on daily liquid, short term investment products offered by unaffiliated entities. The undersigned hereby authorizes and approves Union Bank and Trust Company, where permissible to utilize the STFIT Program in the investment of daily liquid client funds. The undersigned also agrees to pay the fees indicated on the STFIT disclosure statement as may be amended from time to time. All transactions executed under this agreement will be subject to applicable state and federal laws and regulations. The undersigned agrees to notify Union Bank and Trust in writing if the use of the STFIT investment program as a short term investment vehicle is unacceptable or unauthorized. Waiver of Conflicts of Interest The undersigned also hereby waives any claims or causes of action related to self-dealing or conflicts of interest in the engagement of the Trustee or any of its affiliates to provide the services and activities as described in this notice.
