DEFINITIONS Certified means minority or women-owned business has been authenticated as being at least 51% owned and controlled either by minorities or females for participation in State programs requiring certification as judged and determined by the Set- Aside and Certification Office of the Department of Commerce and Economic Development. Disadvantaged Business Enterprise (DBE) (eligible for Federal, State, NJDOT and NJ TRANSIT contracts) means: a) A small business which is at least 51% owned by one or more socially and economically disadvantaged individuals, or in the case of any publicly owned business, at least 51% of the stock which is owned by one or more socially and economically disadvantaged individuals; and b) Whose management and daily business operations are controlled by one or more of the socially and economically disadvantaged individuals who own it. Minority Business Enterprise (MBE) (eligible for NJDOT, NJ TRANSIT and State contracts only) means: a) A Sole Proprietorship, Partnership or Joint Venture owned and controlled by minorities in which at least 51% of the ownership interest is held by minorities and the management and daily business operations are controlled by one or more of the minorities who own it; or b) A Corporation or other business entity authorized under the laws of the United States whose management and daily business operations are controlled by one or more minorities who own it and which is at least 51% owned by one or more minorities or, if stock is issued, a 51% of the stock is owned by one or more minorities. Registered means a minority or women-owned business has completed the process by which the New Jersey Commerce and Economic Growth Commission and Department of Business Policy and Information compiles the information for all small, minority or women-owned business with the State of New Jersey. 13

Women Business Enterprise (WBE) (eligible for NJDOT, NJ TRANSIT and State contracts only) means: a) A Sole Proprietorship owned and controlled by a woman; b) A Partnership or Joint Venture owned and controlled by women in which at least 51% of the ownership is held by women and the management and daily business operations of which are controlled by one or more women who own it; or c) A Corporation or other business entity authorized under the laws of the United States whose management and daily business operations are controlled by one or more who own it and which at least 51% of the stock is owned by one or more women. UNDER EACH CERTIFICATION CATEGORY, OWNERSHIP MUST BE REAL, SUBSTANTIAL AND CONTINUING. THE APPLICANT MUST HAVE AND EXERCISE THE AUTHORITY TO INDEPENDENTLY CONTROL THE BUSINESS DECISIONS OF THE ENTERPRISE. 14

NJ TRANSIT UNIFIED CERTIFICATION PROGRAMS DEFINITIONS Certified means a minority or women-owned business has been authenticated as being at least 51% owned and controlled either by minorities or females for participation in State programs requiring certification as judged and determined by the Set- Aside and Certification Office of the Department of Commerce and Economic Development. Women Business Enterprise (WBE) means a business which is: a) A Sole Proprietorship owned and controlled by a woman; b) A Partnership or Joint Venture owned and controlled by women in which at least 51% of the ownership is held by women and the management and daily business operations of which are controlled by one or more women who own it; or c) A Corporation or other business entity authorized under the laws of the United States whose management and daily business operations are controlled by one or more who own it and which is at least 51% owned by women or, if stock is issued, at least 51% of the stock is owned by one or more women. 15

REQUIRED DOCUMENT IDENTIFICATION EXPLANATIONS When submitting the required documents referenced on Page 10 and 11 of the Unified Certification Application, please clearly mark each submitted document with the appropriate exhibits number on the upper right hand corner of the top sheet. The following is a brief explanation of material that will be considered acceptable for each exhibit. Submitting your application using these instructions uniformly will speed the processing of your application. If you have no exhibit to present a particular item, please include a page appropriately marked for the exhibit explaining its absence. EXHIBITS - EXPLANATIONS 1. RESUMES OF ALL OWNERS, DIRECTORS, OFFICERS, OFFICE AND KEY FIELD SUPERVISORS ARE REQUIRED If fairly recent resume copies for each individual are available, as long as they are up-to-date, they may be submitted with your Certification Application. If you must start from scratch, an abbreviated resume which merely itemizes each position held up to the date of submission (business names, dates, major work responsibilities). DO, HOWEVER, LIST ANY LICENSE(S) OR PERMIT(S) RELEVANT TO YOUR BUSINESS AND DATE(S) ACQUIRED (OR QUALIFIED). If these statements were prepared within the last twelve (12) months, and there has been no substantial change in owners equity (net worth), or rate of income generated from the enterprise, it is not necessary to prepare special statements for the purpose of applying for certification. Copies of your most recent statements are all that are required for this exhibit. If, however, you have never produced statements, or your last statements are old, then current statements must be submitted. THE MINIMUM ACCEPTABLE STATEMENTS ARE: a) Balance Sheet: Total Assets - Total Liabilities = Net Worth (Owner Equity). b) Statement Of Income: Gross Receipts = Gross Expenses = Gross Income for Period. These statements should be prepared from the standpoint of an applicant applying to a financial institutioon for a working capital line-of-credit. (Statement prepared for Federal Tax purposes, as an attachment to a Corporate or Personal Income Tax filing, are not acceptable here). 4. FEDERAL TAX RETURNS (INCLUDING ALL SCHEDULES The PERSONAL FEDERAL TAX RETURNS FOR EACH OWNER, DIRECTOR AND OFFICER of the enterprise for the past three (3) consecutive years must be submitted. IN ADDITION, THE COMPANY FEDERAL TAX RETURNS FOR THE PAST THREE (3) CONSECUTIVE YEARS ARE REQUIRED. ALL RETURN copies must be complete, with ALL SCHEDULES (related and unrelated to the applicant enterprise). If you started your business with accumulated personal savings, your evidence (proof) should indicate the origin of the initial investment capital. or managerial control, and/or operational control of the enterprise would pass to a second and/or third party in the event of death, disability and/or incapacity of one or more of the 18

PROOF OF THE INITIAL CAPITAL CONTRIBUTIONS OF ALL PRINCIPALS OF THE ENTERPRISE IS REQUIRED. Evidence may take the form of copies of mortgage contracts, agreements of sale, loan agreements, promissory notes and/or cancelled check (with the source of funds noted) which were deposited in the business account(s) when the enterprise was started. PROOF OF CONTINUING WORKING CAPITAL FINANCING MUST ALSO BE PROVIDED. This evidence must also clearly indicate the source(s) of the funds. PROOF OF MINORITY, WOMEN OR DISADVANTAGED STATUS MINORITY GROUP MEMBERSHIP: If you are claiming membership in one of the designated minority groups, evidence must be submitted to ensure that the applicant s minority status is clearly established. The minority groups designated are African Americans, Hispanic Americans, Asian Americans and Native Americans. Definitions of these groups for New Jersey Unified Certification purposes are found in New Jersey Public Law 1986, Chapter 195, Unified Certification Act and corresponding Regulations N.J.A.C. 12A: 11-1 et seq. PROOF OF LAWFUL, PERMANENT RESIDENT STATUS If any owner of the enterprise was not a born citizen of the United States, PROOF OF LAWFUL PERMANENT RESIDENT STATUS IS REQUIRED FOR SUCH OWNER(S). Proof may take the form of a copy of a valid Resident Alient (Green Card) or a copy of an appropriate naturalization certificate. 9., 10. ALL RENTAL, LEASING AND/OR THIRD PARTY AGREEMENTS (for operating premises, major capital equipment and Joint Venture agreements) A COPY OF THE SIGNED LEASE FOR THE OPERATING PREMISES REQUIRED TO INDICATE THAT THE APPLICANT HAS THE LEGAL RIGHT TO USE THE SPACE FOR BUSINESS PURPOSES. If the applicant is operating from owned premises, A COPY OF ANY ONE OF THE FOLLOWING DOCUMENTS WILL SUFFICE AS PROOF OF THE RIGHT OF BUSINESS USE: deed, mortgage, payment coupon, property tax bill, or utility bill. If the applicant uses leased capital equipment, copies of the three (3) largest dollar amount lease documents required. If the applicant is a Joint Venture, a completed copy of the Joint Venture contract must also be included, i.e., signed agreements, together with all addenda, exhibits, changes or modifications attached. 11.
