AgreementandStatementsofWork 1.1 Inconsiderationoftheappointmentofthe Contractortothepanelofserviceproviders toutsfortheprovisionofchange managementservices(thepanel),which eachpartyagreesprovidesgoodand valuableconsideration,thepartiesagreeto thetermsandconditionssetoutinthis Agreement. 1.2 Fromtimetotime,theUniversitymay requestthatthecontractorprovidescertain Services,inwhichcasethepartiesmust followtheprocesssetoutinthisclause1. 1.3 TheUniversitymayterminatethisprocess atanytimeandwithoutpenalty. 1.4 IfUTSrequirestheContactortoperform certainservices,itwillissueadraft StatementofWorkandsendittothe Contractortoreviewandcomplete. 1.5 TheContractormustreviewandcomplete thedraftstatementofworkandreturnitto UTSwithin5BusinessDaysafterreceiving thedraftstatementofworkorwithinsuch othertimeframeagreedbetweentheparties inwriting. 1.6 TheContractormustpromptlymakeany changestothestatementofwork reasonablyrequestedbyuts. 1.7 Ifthepartiesaresatisfiedwiththe completeddraftstatementofwork: (a) thepartieswillpromptlysignthe StatementofWorkXand (b) thecontractormustprovidethe Servicesinaccordancewiththe StatementofWorkandthisAgreement. 1.8 AStatementofWorkwillnotbebindingon thepartiesunlessthestatementofwork hasbeensignedbyanauthorised representativeofeachparty. 1.9 ThisAgreement(comprisingclauses1to 24ofthisdocument,theschedulestothis documentandthesignaturepage)and eachstatementofworkwhichissignedby thepartieswillformasingleagreement betweenthemconsistingofthefollowing documents,inthefollowingorderofpriority, totheextentofanyinconsistency: (a) clauses1to24ofthisdocument,the schedulestothisdocumentandthe signaturepagex (b) thestatement(s)ofworkxand (c) documentsattachedtoorincorporated byreferenceinthestatementofwork. 2. NonDexclusivity 2.1 TheContractoracknowledgesthatitwillnot betheexclusiveprovidertoutsofthe Servicesandfurtheracknowledgesthat UTSmayprocuresuchServicesfromother contractorsatitssolediscretion. 2.2 Notwithstandinganythingelseinthis Agreement,UTSmakesnorepresentation thatitwillprocureaminimumquantityof theservicesfromthecontractorduringthe termofthisagreementoratall. 3. Term 3.1 ThisAgreementcommencesonthe CommencementDateandcontinuesuntil thecompletiondate,unlessterminated earlierinaccordancewithclause18(initial Term). 3.2 TheInitialTermmaybeextendedbyUTS forafurtherperiodequivalenttothe MasterContractorAgreement/Individual(CMSP) Page1of17

IndicativeAgreementprovidedforyourinformation pleasedonotcomplete durationoftheinitialterm,bygivingwritten noticetothecontractor.suchnoticemust begivenatleast30daysbeforetheendof theinitialterm. 3.3 IfnoticeisgivenbyUTSunderclause3.2, thisagreementwillcontinueforthe durationoftheextendedterm,onthesame termsandconditions,otherthanclause3.2. 3.4 IfaStatementofWorkisstillonfootatthe expiryoftheinitialtermorextendedterm, theapplicabletermwillbeextendeduntil thecompletionoftheworkunderthat StatementofWork,unlessterminated earlierinaccordancewithclause18. 4. TheServices 4.1 TheContractorwarrants,representsand agreesthatheorshe: (a) mustprovidetheservicesinaproper, timelyandprofessionalmanner,in compliancewithapplicablelaw,andwith allduecare,skillanddiligencetothe reasonablesatisfactionofutsx (b) hastheskills,qualifications,expertise andexperiencenecessarytoproperly providetheservicesx (c) hasobtainedalllicences,permissions andauthorisationsnecessarytoprovide theservicesxand (d) inprovidingtheservices,willnotbein breachofanyobligationowedto,orany rightbelongingto,anyperson. 4.2 WithoutlimitingtheContractor'sstatusas anindependentcontractor,whenproviding theservicesthecontractoragreesthathe orshewillcomplywith: (a) alllawsrelevanttotheperformanceof theservicesincludingtheuniversityof TechnologySydneyAct1989(NSW) andassociatedby/lawsandrulesxand (b) allutspolicies,procedures, instrumentsanddirectiveswhichuts mayadoptorvaryfromtimetotime,in itsabsolutediscretion,whichare relevanttotheservices,regardlessof whethertheyexpresslyreferto contractors,includingbutnotlimitedto: (i) theutscodeofconductx (ii) theinformationtechnologysecurity PolicyX (iii) theacceptableuseofinformation TechnologyFacilitiesPolicyX (iv) theprivacyandprotectionof PersonalInformationVice/ Chancellor sdirectivex (v) anyutspolicyorprocedure relatingtocompliancewithan AustralianSanctionsLawor DefenceTrade, andanyothersspecifiedinitem9of ScheduleAorareotherwisenotifiedtothe Contractor. 4.3 TheContractoracknowledgesthataccess tocurrentutspoliciesandother instrumentsisavailablethroughtheuts websiteassetoutinitem9ofschedulea. 4.4 TheContractoracknowledgesandagrees that: (a) UTS policies,procedures,instruments anddirectiveswhichutsmayadopt fromtimetotime,donotformpartofthis Agreementandarenotintendedtobe contractualinnaturexand (b) UTSmayvaryorrescindanypolicies, procedures,instrumentsanddirectives fromtimetotime,initsabsolute discretionandwithoutanylimitationon itscapacitytodoso. 5. WorkHealthandSafety 5.1 TheContractormust: (a) complywithhisorherworkhealthand safetyobligationsatlawx (b) totheextentitisreasonablypracticable, ensurethehealthandsafetyofalluts workers,studentsandotherpersonsx (c) complywithallreasonabledirectionsof UTSinrelationtoworkhealthand safetyxand (d) co/operatewithanyreasonablepolicyor procedureofutsrelatingtoworkhealth andsafety. 5.2 TheContractormust,ifUTSreasonably requeststheremovalorevacuationofthe ContractorfromUTS spremises,comply withsucharequestassoonasreasonably practicable. RighttoworkinAustralia 6.1 TheContractorwarrantsthat,wherethe ContractorisnotanAustraliancitizen,the ContractorwillholdAustralianvisastatus permittingthatcontractortoperformthe Services. 6.2 TheContractorauthorisesUTS,priortothe Contractorcommencingprovisionofthe Servicesandatanyothertimepriortothe terminationorexpiryofthisagreement,to establishwhetherthecontractorisan Australiancitizenand,wheretheContractor isnotanaustraliancitizen,theaustralian visastatusofthecontractor.inthisregard, thecontractormustprovidetoutsany documentationrequestedbyutstoassistin establishingtheimmigrationstatusofthe Contractor. 6.3 If,atanytime,UTSisnotsatisfiedthatthe ContractorholdsAustralianimmigration statuspermittingthecontractortodeliver theservices,uts'offertoengagethe Contractorwillimmediatelybewithdrawn or,ifthecontractorhascommenced providingtheservices,thecontractor's engagementmaybeterminated immediatelywithoutnotice. 7. Sanctionsanddefencetradecontrols 7.1 TheContractorwarrantsthat: (a) thecontractorisnota'designated personorentity'forthepurposesofan AustralianSanctionsLawXand (b) unlessthecontractorhasinformeduts otherwiseinwriting,thecontractoris not,andhasnotbeen,acitizenor residentof,orotherwiseconnectedwith, acountryinrespectofwhichsanctions applyunderanaustraliansanctions Law. 7.2 IfUTSdetermines,actingreasonablyand afterconductinganynecessary investigations,thatutsisormaybe exposedtoariskofbreachingan AustralianSanctionsLaworDefenceTrade ControlsLawasaresultofanyactivityin whichthecontractorisorwillbeengaged inconnectionwiththeprovisionofthe Services,UTSmay,atitsabsolute discretion: (a) requirethecontractortocomplywith anyreasonabledirectionsissuedby UTSinordertomitigatetherisk, includingadirectiontocease undertakingtheactivityxor (b) terminatethisagreementand/orany StatementofWorkimmediatelywithout notice. 8. PaymentforServices 8.1 TheServicesFeesspecifiedinaStatement ofworkmustbebasedon,andmustnotbe higherthan,theratessetoutinitem6of ScheduleA.Alternatively,ifUTSagrees, thecontractormayproposeafixedlump sumamountfortheservicesfees,which mustnotbehigherthantheamountthat wouldresultiftheservicesfeeswere calculatedonatimeandmaterialbasisin accordancewiththeratessetoutinitem6 ofschedulea. 8.2 Nothinginthisclausepreventstheparties fromnegotiatingservicesfeeswhichare basedonrateslowerthanthosesetoutin item6ofschedulea. 8.3 NoServicesFeesorotheramountsare payabletothecontractorforthepreparation ofastatementofwork,unlessuts otherwiseagreesinwriting. 8.4 Toreceivepaymentforprovidingthe Services,theContractormustissueUTSwith aninvoiceatthetimesandinaccordance withtherequirementssetoutinitem6of ScheduleA,orasotherwiseagreedina StatementofWork. 8.5 TheContractorwillnotbeentitledtoreceive theservicesfeesreferrabletoanyservices whichwerenotprovidedinaccordancewith thequalitystandardsandtimeframe reasonablydeterminedbyuts,untilthese Servicesareprovidedtothesatisfactionof UTS. 8.6 IfspecifiedinaStatementofWork,UTSwill reimburseanyreasonableoutofpocket expensesproperlyincurredbythecontractor inthecourseofprovidingtheservices,for whichthecontractorprovidesutswith writtenreceiptsorvouchersifandwhen requested(reimbursableexpenses). Otherwise,UTSwillnotreimburseoutof pocketexpensesincurredbythecontractor inthecourseofprovidingtheservices. 8.7 Subjecttothisclause8,UTSwillpaythe ServicesFeesandReimbursableExpenses (ifastatementofworkspecifiesthatuts agreestoreimbursethese)plusany applicablegstinsatisfactionoftheinvoice, within30daysofreceivingtheinvoice. 8.8 UTSmaydeductfromorsetoffagainstany moneyspayablebyutstothecontractor, anyamountsowingbythecontractorto UTSunderthisAgreement. Superannuationcontributions Ifrequiredbylaw,UTSwillmake superannuationcontributionsonbehalfofthe Contractorattheminimumlevelrequiredto meetitsobligationsunderthe SuperannuationGuarantee(Administration) Act1992(Cth)asamendedfromtimetotime, intoafundwhichcomplieswiththerelevant superannuationlegislation. 10. Insurance 10.1 TheContractormusteffectandmaintainat itscost,onandfromthedateitcommences providingtheservices,theinsurances specifiedinitem7ofscheduleainaform andwithanauthorised,licensedand reputableinsurer.suchinsurancemustbe maintaineduntilthedate(s)specifiedin item7ofschedulea. 10.2 TheContractormustimmediatelynotify UTSofanyeventthatcouldaffectthe Contractor sinsurancecoverageorifany insurancerequiredunderclause10.1is cancelled,voidedorallowedtolapse. 10.3 TheContractormustonrequestprovide UTSwithsatisfactoryevidencethatithas compliedwiththerequirementsinthis clause10. 11. LiabilityandIndemnity 11.1 Theliabilityofeachpartyarisingoutoforin connectionwiththisagreement (including underanyindemnity)is,subjecttoclause 11.2,limitedto$1million. 11.2 Anylimitontheliabilityofeachpartyunder clause11.1doesnotapplyin relationto liabilityrelatingto: (a) personalinjury(includingsicknessand death)x (b) lossof,ordamageto,tangiblepropertyx (c) aninfringementofintellectualproperty RightsX (d) abreachofanyobligationof confidentiality,privacyoranysecurity matterxor (e) anybreachofstatuteoranywilfully wrongactoromission. 11.3 Totheextentpermittedbylawand notwithstandinganythingelseinthis Agreement,theContractorreleasesand indemnifiesandwillkeepindemnifieduts andeachutsentityandtheirrespective agents,officersandemployeesagainst: (a) alldamage,liability,claims,demands, proceedings,actions,penalties, expensesandcosts(includingbutnot limitedtogstandlegalfeesonaclient andsolicitorbasisandcostsofdefence orsettlement)(loss)whichisrelatedto, arisesoutof,orisinanywayassociated withanybreachofthisagreementor anynegligent,wilfulorwrongfulactor omissionofthecontractorinproviding theservicesunderthisagreement. However,thisindemnitydoesnotapply toanylosstotheextentcausedor contributedbythenegligent,wilfulor wrongfulactsoromissionsofutsora UTSEntityXand (b) anyliability,costsorclaimsrelatingto thepaymentofanyemployment BenefitsmadeagainstUTSoranyUTS EntitybytheContractorandanytaxes, leviesorcostsinrelationtothose EmploymentBenefits. 11.4 TheContractorindemnifiesandwillkeep indemnifiedutsandeachutsentityand theirrespectiveofficers,employeesand agentsagainstanylosswhichisrelatedto, arisesoutof,orisinanywayassociated withanyobligationonutstoprovidehim orherwithemploymentbenefits. 11.5 TheContractormustpromptlyprovide writtennoticetoutsofanyeventor circumstancesinrelationtotheprovisionof theservicesthatmayresultinaclaim againstthecontractororutsorauts Entity.TheContractormustprovideUTS withalldocumentsandinformation requestedbyutsinrelationtoanysuch claimsandkeeputsfullyinformedofall developmentsinconnectionwithanysuch claims. 11.6 EachindemnityinthisAgreementsurvives itsterminationorexpiry. 12. IntellectualProperty 12.1 UnlessotherwisespecifiedinaStatement ofwork,thecontractorassignstoutsall IntellectualPropertycreatedbyoronbehalf ofthecontractor,whetheraloneorwitha thirdpartyinthecourseof,inconnection withprovidingorarisingoutoftheservices, includingwherecreated: (a) usingtoanyextentutsproperty, computersystems,resourcesor ConfidentialInformationXand/or MasterContractorAgreement/Individual(CMSP) Page4of17

IndicativeAgreementprovidedforyourinformation pleasedonotcomplete (b) outsideworkinghoursoroutsidethe UTSpremises, (ContractIntellectualProperty). 12.2 Fortheavoidanceofdoubt,anyofthe Contractor spre/existingintellectual Property,whichdoesnotformpartofthe ContractIntellectualProperty,willremain vestedinthecontractororitslicensors. UnlessotherwisespecifiedinaStatement ofwork,thecontractoragreesthattothe extentthatcontractintellectualproperty containssuchpre/existingintellectual Property,theContractorherebyprovides UTSwithaperpetual,irrevocableand royaltyfreelicence(includingtherightto sublicense)touse,reproduce,publish, transmit,communicate,modifyandadapt thispre/existingintellectualpropertyforthe purposeofobtainingthefullbenefitofthe ContractIntellectualPropertyandthe Services. 12.3 TheContractormustnotuseany IntellectualPropertylicensedorotherwise suppliedbyutstothecontractororany ContractIntellectualPropertyforany purposeotherthanprovidingtheservices touts. 12.4 TheContractorwarrantsthatany IntellectualPropertysuppliedbythe Contractorforthepurposeofprovidingthe ServicesanditsusebyUTSoranyUTS Entitydoesnotandwillnotinfringethe IntellectualPropertyrightsofanythird party. 12.5 TheContractorindemnifiesandwillkeep indemnifiedutsandeachutsentityand theiragents,officersandemployees againstalldamage,liability,claims, demands,proceedings,actions,penalties, expensesandcosts(includingbutnot limitedtogstandlegalfeesonaclient andsolicitorbasisandcostsofdefenceor settlement)whichisrelatedto,arisesout of,orisinanywayassociatedwithany claimthatanyintellectualproperty assigned,licensedorotherwisesuppliedby thecontractortoutsoranyutsentityor itsusebyutsoranyutsentityinfringes theintellectualpropertyrightsofanythird party. 12.6 UTSindemnifiesandwillkeepindemnified thecontractorandtheiragents,officers andemployeesagainstalldamage,liability, claims,demands,proceedings,actions, penalties,expensesandcosts(including butnotlimitedtogstandlegalfeesona clientandsolicitorbasisandcostsof defenceorsettlement)whichisrelatedto, arisesoutof,orisinanywayassociated withanyclaimthatanyintellectualproperty licensedorotherwisesuppliedbyutsor itspersonneltothecontractorforusein connectionwithprovidingtheservicesor itsusebythecontractorforthatpurpose infringestheintellectualpropertyrightsof anythirdparty. 12.7 TheContractormustexecuteandarrange foritslicensors(ifapplicable)toexecuteall documentsanddoallthingsrequiredto giveeffecttothisclause12andtoenable UTS,orpersonsauthorisedbyUTS,to exploitandfurtherassuretherights assignedunderclause12.1. 12.8 Thisclausecontinuestoapplyafterthis Agreementceasesforanyreason. 13. Confidentiality 14.1 TheContractormusttakereasonablesteps tomaintaintheconfidentialityofthe ConfidentialInformationandmustnot directlyorindirectlymakeuseof,copyor disclosetoanythirdpartyanyconfidential MasterContractorAgreement/Individual(CMSP) Page5of17

Privacy 15.1 InrelationtoanyPersonalInformationor SensitiveInformationwhicheitherparty receivesfromtheotherduringthetermof thisagreement,eachpartymustensure thatitcomplieswithallobligations regardingthecollection,useanddisclosure ofsuchinformationimposedonutsby privacyandhealthlawsincludingbutnot limitedtotheprivacyact1988(cth),the PrivacyandPersonalInformation ProtectionAct1998(NSW),andallprivacy policies,proceduresinstrumentsand directiveswhichutsmayadoptorvary fromtimetotime,initsabsolutediscretion. 15.2 Thepartiesacknowledgethatasatthedate ofthisagreement,therelevantpolicies, proceduresinstrumentsanddirectivesare publishedontheutswebsiteatthe addresssetoutinitem9ofschedulea. 15.3 Thisclausecontinuestoapplyafterthis Agreementceasesforanyreason. 16. UseofUTSname 16.1 TheContractormustnot: (a) usethenameoranytrademark,logo, businessorcompanynameofuts (whetherwithorwithoutgraphicor photographicorothervisualmaterial) withoutthepriorwrittenconsentofutsx (b) applyfororregisteranytrademark, businessorcompanynameorinternet addresscontainingthenameofutsxor (c) makeanyinaccurateclaimsof associationwithutsoranyutsentity. 16.2 IfUTSconsentstotheContractorusing UTS sname,trademark,logo,businessor companynameunderclause16.1,such consentisautomaticallyrevokedifuts terminatesthisagreementunderclause 18.2. 16.3 Thisclause16continuestoapplyafterthis Agreementceasesforanyreason. 17. Remediesforbreach 17.1 IntheeventthattheContractorbreaches clauses12,13,14or15,thecontractor agreesthatdamagesmaynotbean adequateremedyandutsoranyother aggrievedpartymayinadditiontoobtaining anyotherremedies,seektoobtainan injunctionrestraininganyfurtherviolation andotherequitablerelief,withoutthe necessityofshowingactualdamage, togetherwithrecoveryofcosts. 17.2 Nothinginthisclauseisintendedtolimit anyotherremedyavailabletouts. 18. Termination 18.1 UTSmayterminatethisAgreementorany StatementofWorkatanytimebygivingto thecontractoratleastthenumberofdays writtennoticespecifiedinitem8of ScheduleA. 18.2 UTSmayterminatethisAgreementorany StatementofWorkimmediatelyby providingwrittennoticetothecontractorif: (a) thecontractorbreachesanyofthe termsofthisagreementanddoesnot remedythisbreachwithin14daysof receivingwrittennoticetodoso(orsuch longerperiodasthepartiesmayagree inwriting),includingbutnotlimitedto failingtoeffectandmaintaininsurance requiredunderthisagreementorfailing tofollowanyreasonabledirectionsto resolveaconflictofinterestx (b) thecontractorcommitsanyseriousor persistentbreachofthetermsofthis Agreement,includingbutnotlimitedto theconfidentialityprovisionsinclause 11ortheIntellectualProperty provisionsinclause9x (c) thecontractorcommitsanycriminal offence,actofdishonesty,fraud, MasterContractorAgreement/Individual(CMSP) Page6of17

UTSProperty 19.1 TheContractor: (a) mustmaintainutspropertyingood workingorderxand (b) isresponsibleforutsproperty (includinganylossordamagetoit)until theutspropertyisreturnedtoutsx and MasterContractorAgreement/Individual(CMSP) Page7of17

Assignment,subDcontractingand delegation 20.1 TheContractormayonlyassign,sub/ contractordelegatehisorherdutiesor obligationsunderthisagreementorany StatementofWork,inwholeorpart,toany thirdpartywithuts spriorwrittenconsent. 20.2 IfUTSapprovesthesub/contractingany partoftheservicesthisdoesnotrelieve thecontractorfromanyofitsliabilitiesor obligationsunderthisagreement. Notwithstandinganyapprovalof subcontracting,thecontractorwillbeliable toutsfortheacts,defaultsandomissions ofanysub/contractororanyofficer, employee,servantoragentofthesub/ contractorasfullyasiftheyweretheacts, defaults,oromissionsofthecontractoror theofficers,employees,servants,oragents ofthecontractor. 20.3 Apartymayassignornovatethis Agreement,oranyofitsrightsor obligationsunderitorunderanystatement ofwork,inwholeorparttoanythirdparty withthepriorwrittenconsentoftheother party(nottobeunreasonablywithheld). 21. Provisionofinformationandaudit 21.1 TheContractormust: (a) providetoutsalldocumentationand doallthingsreasonablyrequestedby UTSinorderforittosatisfyanylegalor regulatoryrequirementxand (b) notifyutsimmediatelyifitbecomes awareofanyfactorcircumstancethat mayadverselyimpactontheservicesor UTS sabilitytosatisfyanylegalor regulatoryrequirement. 22. CivilLiabilityAct 22.1 Allrights,obligationsandliabilitiesunderor inconnectionwiththisagreementareto apply,evenwheretherelevant circumstancesinvolveafailuretotake reasonablecareandtheexistenceof concurrentwrongdoers(asthattermis definedinsection34(2)ofthecivilliability Act2002(NSW)),unlimitedandotherwise unaffectedbyanythingthat,butforthis clause,maybyvirtueoftheprovisionsof thecivilliabilityact2002(nsw)have limitedorotherwiseaffectedthoserights, obligationsandliabilities. 23. Miscellaneous 23.1 ThisAgreementcontainstheentire agreementandunderstandingbetweenthe partiesregardingitssubjectmatterand supersedesanyprioragreementor understandingregardingitssubjectmatter. 23.2 Therelationshipbetweenthepartiesisthat ofprincipalandindependentcontractorand thatnothinginthisagreementcreatesan employmentrelationship,jointventure, partnership,relationshipofagencyorany otherrelationshipbetweenthecontractor andutsoranyutsentity. 23.3 Eachparty: (a) hasenteredintothisagreementwithout relyingonanyrepresentationbythe otherpartyoranypersonpurportingto representthatpartyx (b) hashadtheopportunitytoobtain independentlegaladviceregardingthe provisionoftheservicesunderthis AgreementXand (c) agreesthatthatthisagreementisnot harshorunfairinanyway. 23.4 AvariationtothisAgreementisnot effectiveunlessitisinwritingandsignedby oronbehalfofallparties. 23.5 IfanythinginthisAgreementis unenforceable,illegalorvoidthenitis severedandtherestofthisagreement remainsinforce. 23.6 Thefailureofeitherpartyatanytimeto insistonperformanceofanyprovisionof thisagreementisnotawaiverofitsrights atanylatertimetoinsistonperformanceof thatoranyotherprovisionofthis Agreement. 23.7 ThisAgreementmaybeexecutedinany numberofcounterparts,eachofwhichis deemedtobeanoriginalandallofwhich constituteoneandthesameinstrument. 23.8 Eachpartymustpromptlyatitsowncostdo allthings(includingexecutingandif necessarydeliveringalldocuments) necessaryordesirabletogivefulleffectto MasterContractorAgreement/Individual(CMSP) Page8of17

ServicesFeesandReimbursableExpenses a) ServicesFees The services fees are exclusive of GST and are inclusive of any superannuation contribution UTS is required to make for the Contractor so as not to be liable to pay a charge under the SuperannuationGuarantee(Administration)Act1992(Cth)(SGAAct)andtheSuperannuation Guarantee Charge Act 1992 (Cth) and will be calculated in accordance with the following scheduleofrates[insertapplicablehourlyand/ordailyrates].
