TERMS AND CONDITIONS OF USE FOR THE NORDEA PAY APP 05.2016 Nordea Pay is an app that is downloadable on mobile devices transmitted by Nordea Bank Finland Plc. The app includes services offered by Nordea Bank Finland Plc (hereinafter the 'Bank'). At present, the app can be used to make card payments at payment terminals accepting contactless payments. In addition, you can view your card transactions through the app. The Bank may add its own services or services provided by third parties to the Nordea Pay app. The Bank is entitled to change the contents of the services and their functionalities in the manner described in these terms and conditions. 1. Terms and conditions applicable to the use of the Nordea Pay app These terms and conditions of use will be applied to the activation and use of the Nordea Pay app. In addition, the Bank's currently valid card terms and conditions will be applied to payments made with payment cards linked to the Nordea Pay app, as well as to the rights and obligations related to such payments, as applicable. A card payment transaction made with the Nordea Pay app is a card transaction referred to in the card terms and conditions. The card terms and conditions are supplemented with these terms and conditions of use for the Nordea Pay app by describing how payment transactions are made with the Nordea Pay app, what kind of precautionary measures the users of the Nordea Pay app must take and how using the Nordea Pay app will affect the liability relationship between the cardholder, accountholder and the Bank. If there is a conflict between these terms and conditions of use for the Nordea Pay app and the card terms and conditions, the former will prevail. 2. Main features of the Nordea Pay app The Nordea Pay app can be used for contactless mobile card payments and for reviewing the details of your card purchases. 4. Activation of the Nordea Pay app and conclusion of the Nordea Pay agreement You can start using the Nordea Pay app if you have a valid Netbank agreement, the Nordea Codes app and a payment card granted by Nordea and accepted by the app.

In order to start using the Nordea Pay app, you must download the app on your mobile device from Google Play app store. A requirement for the use of the Nordea Pay app is that you identify yourself by using your user ID for Nordea's Netbank service and the Nordea Codes app. You will conclude a Nordea Pay agreement by downloading the app from the app store and by accepting the terms and conditions of use for the Nordea Pay app as binding on you. The currently valid terms and conditions will be applied to the Nordea Pay agreement. By accepting the terms and conditions of use: you confirm them as binding on you you undertake to pay fees according to the tariff and give your consent to the fees being debited from your account with the Bank and you give your consent the information received through the Nordea Pay app being used in the Nordea Pay app for the classification of payment transaction details shown to you and for development of the Nordea Pay app. In order to run, the Nordea Pay app needs the following features on a mobile device: An Internet connection The NFC (Near Field Communication) feature: makes payments with the card linked to Nordea Pay possible. Mobile phone connection - for calling Nordea Customer Service through Nordea Pay Storage - Nordea Pay uses this feature to store details needed for payments on the phone. Nordea Pay handles the following personal data: Account and card balances and details on card purchases. IP addresses Nordea logs these in order to prevent and investigate potential criminal attacks and transactions. This data may be handed over to the authorities, if necessary. Nordea Pay does not send personal data to third parties except for data needed for payment. All information that is used for making a payment transaction between the mobile device and the payment terminal is deleted from the app when the connection related to the payment transaction terminates and the app is closed. After you have accepted the terms and conditions of use, you can enable contactless mobile payments with Nordea's payment cards linked to the app by determining a device- and cardspecific mobile PIN code, which will be used in the payments. The mobile PIN code linked to a card is a personal password formed of numbers which is used on the Nordea Pay app. The mobile PIN code must not be surrendered to another

person. The mobile PIN code must not be a combination of numbers which can be easily linked to the cardholder using the app. The mobile PIN code must be kept and used carefully in such a way that nobody can learn the code or combine it with the Nordea Pay app. The mobile PIN code must not be saved in the mobile device. Protect the mobile device on which the Nordea Pay app is used with a separate PIN or password. The app will give you a confirmation when it has been activated successfully and the agreement has been concluded. 5. Delivery of the agreement terms and conditions The Bank will deliver the agreement terms and conditions after the Nordea Pay agreement has been concluded to you via Nordea's Netbank or in writing to the address available in Nordea's customer register or obtained from the Population Register Centre. The currently valid terms and conditions of use for the Nordea Pay app and the Nordea card terms and conditions are available at nordea.fi and in the Nordea Pay app. During the validity of the agreement, you are entitled on request to obtain these terms and conditions from the Bank in writing or through some electronic means separately agreed on. 6. Service fee and other charges of the Nordea Pay app The Bank will charge the service fees related to the Nordea Pay app in accordance with the tariff. The Bank is entitled to change the service fees of the Nordea Pay app by raising the service fees mentioned in the tariff or by adding new fees to the tariff by following the change procedure in accordance with these terms and conditions of use. Users of the app should bear in mind that they are responsible for the possible data transfer costs of their mobile device. 7. Logging in and out of the Nordea Pay app The user logs into the Nordea Pay app with Nordea Netbank service's user ID and by using the Nordea Codes app. If the user does not separately log out of the app, no login is required the next time the app is opened and the account balance and the card transactions are shown in the app. When you have activated the Nordea Pay app, you can make payments with it, irrespective of whether you have logged into the app or not. 8. Payments with the Nordea Pay app When you activate the Nordea Pay app, you choose which Nordea payment card suitable for the Nordea Pay app you want to use for payments. This card will be linked for payment use

in the Nordea Pay app in connection with activation. Using the Nordea Pay app for payments requires that the payment card linked to app can, in accordance with the card terms and conditions, be used for payments To make a payment take the mobile device close to a payment terminal accepting contactless payments and enter your mobile PIN code chosen for the card when the app requests it. You must always check from the payment terminal if the payment has been successful. You cannot cancel a payment order made with the Nordea Pay app after you have accepted the payment transaction. Using the Nordea Pay app for payments requires that the mobile device is regularly connected to the Internet. The app will notify you if the payment requires an Internet connection before it can be executed. 9. Management of purchases made with Nordea Pay Through purchase management you can view the card purchases you have made with your mobile device and the spending limit of your card. This information service is a real-time additional service available through the Internet connection. You must check the debit entries of the card transactions made with with the Nordea Pay app in your account as usual. You are deemed to have received information on the payment transactions in accordance with the applicable terms and conditions concerning your card, bank account or the credit account. If you notice incorrect payment transactions, you must make a complaint in accordance with the card terms and conditions. 10. Right to use the Nordea Pay app The Bank will grant you a personal right to use the Nordea Pay app if you have undertaken to comply with these terms and conditions of use. Only the cardholder of the payment card installed in the app is entitled to use the app. The Nordea Pay app is property of the Bank and it cannot be altered or copied. The Bank or a third party holds all copyrights, trademarks and other immaterial rights relating to the Nordea Pay app. The Bank cannot guarantee uninterrupted access to the Nordea Pay app, or the individual functionalities included in it. The Nordea Pay app is normally available to you 24 hours a day seven days a week. However, access to the app may be temporarily interrupted due to updating, maintenance, a service break, a disturbance or for some other similar reason. The Bank aims to notify you well in advance of interruptions in the use of the app. The Bank will notify its customers of the interruptions on its website (nordea.fi). However, the Bank is not obliged to notify you in advance of such interruptions in the service that are short-term and of minor significance or that result from security-related or other unexpected reasons. 11. Loss of PIN code or mobile device

If the mobile PIN code or the mobile device on which the Nordea Pay app has been installed is lost or falls into the hands of a third party or a third party has gained knowledge of either of them (or if you as the user of the app suspect that this has happened), you as the user of the app must notify the Bank of this without delay. You can notify the Bank by visiting a branch in person or by calling Nordea Customer Service 0200 70 000 (local network charge/mobile call charge, calls from abroad +358 200 70 000). Nordea Customer Service is open on banking days 10.00 16.30. You can also make the notification by calling the centralised blocking service of Finnish banks, tel 020 333, (+358 20 333 from abroad). 12. Liability for payment transactions and misuse The cardholder using the app and the accountholder in accordance with the card terms and conditions are liable for all payment transactions made with the Nordea Pay app in accordance with the card terms and conditions. The liability for the payment transactions made with the Nordea Pay app ends when the Bank has received your notification to terminate the Nordea Pay app. The cardholder's and accountholder's liability for unauthorised card payment transactions made with the Nordea Pay app ends when the banks' centralised blocking service, Nordea Customer Service or a Nordea branch receives a notification of the loss of the mobile device or mobile PIN code or of them falling into the wrong hands or of their unauthorised use, unless the cardholder or accountholder has intentionally made a false notification or otherwise acted in a fraudulent manner. The cardholder and the accountholder are only liable for unauthorised card payment transactions made with the Nordea Pay app if: you have surrendered the mobile device or mobile PIN code to a third party in which case the liability is not restricted. the mobile PIN code has come into the knowledge of a third party due to your negligence of your liabilities in determining and storing the mobile PIN code as referred to in section 4. In such a case, your liability is restricted to 150 euros. However, the liability is not restricted if you have acted wilfully or with gross negligence. you have failed to notify Nordea in the manner described above of the loss of the mobile device or the mobile PIN code or of them falling illegally into the hands of a third party or of their unauthorised use immediately after noticing it. Liability for damages and the Bank's limitations of liability The Bank is liable to compensate the user of the Nordea Pay app only for direct damage caused by the Bank's own error or negligence. In such a case the Bank only compensates the user for the capital, a realised interest loss and the necessary and reasonable costs arising from investigating the damage, and refunds the service fees charged only insofar as they concern the negligence or error that caused the damage.

The Bank is not liable for any indirect damage caused to the you unless the damage has been caused deliberately or through gross negligence. Indirect damage refers to loss of income or ungained income caused by the Bank's faulty procedure or measures arising from it, damage caused by an obligation based on another agreement, or other comparable damage that is difficult to predict. You must take reasonable measures in order to limit the damage. Such reasonable measures include notifying the Bank of the damage or theft of the mobile device. If you neglect to do this, you are liable for the damage insofar as you have failed to take reasonable measures to limit the damage. However, damages payable by the Bank based on actions in breach of the law or an agreement can be conciliated, if the damages are unreasonable taking into consideration the reason for the breach, your possible contribution to the loss, the consideration paid for a service, the Bank's possibilities to anticipate and prevent the damage and other circumstances. The Bank is not liable for loss arising due to force majeure or similar undue disruption of banking operations. Examples of such impediments relieving the Bank from liability include action taken by the authorities war or the threat of war, insurrection or civil unrest disruption in postal services, automatic data processing, data transfer or other electronic communications or electric power transmission beyond the Bank's control interruption or delay in the Bank s operations due to a fire or other comparable disaster industrial action, such as a strike, lockout, boycott or blockade, regardless of whether the Bank is involved or not. Force majeure or any other of the above circumstances entitles the Bank to interrupt the provision of the service until further notice. 14. Notifications between you and the Bank Unless otherwise agreed, the Bank will deliver service messages and notifications concerning the Nordea Pay app to your Nordea Netbank service. You can send notifications concerning these terms and conditions to the Bank in writing, as a message via the Mail function in Nordea's Netbank or in some other manner separately agreed on. 15. Amendments to the Nordea Pay agreement, the terms and conditions of use and the tariff The Bank is entitled to amend the agreement, its terms and conditions of use and the tariff. The Bank will send you a notification of the amendment of the agreement, the terms and conditions of use and/or the tariff in your Nordea Netbank service or through other permanent electronic or written means separately agreed on. The amendment enters into force at a time stated by the Bank; however, two (2) months from sending the notification to the cardholder at the earliest.

The Nordea Pay agreement continues in its amended form, unless you notify the Bank in writing or through an electronic means separately agreed on that you do not approve of the amendment. If you do not approve of the amendment, you are entitled to give notice on the Nordea Pay agreement in accordance with these terms and conditions of use. 16. Withdrawal from the Nordea Pay agreement In accordance with the Finnish Consumer Protection Act, consumers are entitled to withdraw from the activation of the Nordea Pay app or the conclusion of the Nordea Pay agreement by notifying the Bank of this within 14 days of having received the terms and conditions of use in Nordea's Netbank or in writing. The withdrawal must be confirmed within the time limit through the Mail function in Nordea's Netbank or by calling Nordea Customer Service 0200 70 000 (local network charge/mobile call charge; calls from abroad: tel +358 200 70 000) or in writing to Nordea Bank Finland Plc, Korttipalvelut/Operations FI, Aleksis Kiven katu 3-5, FI-00020 Nordea. You must include your name in the confirmation and specify the agreement which the withdrawal concerns. You must always sign a written confirmation. 17. Preventing the use of the Nordea Pay app The Bank has the right to prevent the use of the Nordea Pay app, leave an order submitted to it unexecuted or leave an application unprocessed: 1) for security reasons 2) if there is reason to suspect that the identification data is used illegally or fraudulently 3) if you are using the identification data essentially in breach of these terms 4) if you have deceased. The Bank notifies you in advance of preventing the use of the app or leaving an order uncompleted or unprocessed and of the reasons for doing so in writing or as a message in your Nordea Netbank or immediately after the use of the app has been prevented if this is well justified for preventing or restricting damage. No notification will be made if the notification endangered the security or reliability of the payment services or if making such a notification is forbidden by law. If the grounds for preventing the use no longer exist, the Bank will restore your access to the Nordea Pay app on request. 18. Assignment of the agreement The Bank is entitled to assign the Bank's rights and obligations, as referred to in these terms and conditions of use, to a third party. Should the Bank merge or demerge or assign all or part of its business, all rights and obligations based on the Nordea Pay app and these terms

and conditions of use between you and the Bank will remain in force vis-à-vis the receiver of the business. You are not entitled to assign your rights or obligations based on the Nordea Pay app or these terms and conditions of use to a third party. 19. Validity of this agreement The agreement is valid until further notice. You are entitled to give notice on the agreement with immediate effect by reporting the termination to the Nordea Customer Service. The Bank has the right to terminate the Nordea Pay agreement with two (2) months' notice. The Bank will send you a notification of the termination or cancellation of the agreement in writing or to your Nordea Netbank. A written notification is considered having been received by you on the seventh day following the dispatch and an electronic notification on the day it was sent. 20. Supervisory authority Nordea Bank Finland Plc's operations are supervised by the European Central Bank (ECB), FINOR, JST Coordinator / Director General DG/MS I, Sonnemannstrasse 22, 60314 Frankfurt am Main, Germany, tel. +49 69 1344 0, fax +49 69 1344 6000. The National Competent Authority (NCA) is the Finnish Financial Supervisory Authority; visiting address Snellmaninkatu 6; postal address PO Box 159, FI-00101 Helsinki, tel. +358 9 183 51, fax +358 9 183 5328. In addition to the Finnish Financial Supervisory Authority, the Bank's procedures in matters concerning consumer protection are supervised by the Consumer Ombudsman (kkv.fi), the Finnish Consumer and Competition Authority, PO Box 5, FI-00531 HELSINKI, tel +358 29 505 3000 (exchange). 21. Applicable law and settlement of disputes This agreement is governed by Finnish law. Any disputes arising from this agreement are to be settled at the Helsinki District Court. Consumer customers are, however, entitled to submit disputes to the district court of the Finnish municipality in the jurisdiction of which the customer is domiciled or permanently resident. If you do not have permanent residence in Finland, disputes will be settled in the Helsinki District Court. In addition, consumer customers are also entitled to submit any disputes concerning the Nordea Pay app or these terms and conditions of use to out-of-court arbitration bodies, in other words, the Finnish Financial Ombudsman Service FINE (www.fine.fi) or the Consumer Disputes Board (www.kuluttajariita.fi). Before filing a complaint with the Consumer Disputes

Board, consumers must contact the consumer rights advisers at a Local Register Office (www.kuluttajaneuvonta.fi). INSTRUCTIONS FOR USE AND SECURITY INSTRUCTIONS 1. Payments with the Nordea Pay app Start the payment by switching the mobile device used for the payment on and taking the device close to the payment terminal. After this the Nordea Pay app will request you to enter the mobile PIN code chosen for the card and to take the device again close to the payment terminal. Another way to start the payment is to open the Nordea Pay app, tap the Pay button, enter the mobile PIN code and take the device close the payment terminal. You do not have to be logged into the app to make a payment. At present, making a payment always requires a mobile PIN code linked to the card. 2. Card's mobile PIN code Do not use your date of birth, your personal identity number, part of your phone number, consecutive numbers, part of your card number or the like as the mobile PIN code linked to your card. Memorise the mobile PIN code. Do not write it down or save it in an easily recognisable format. 3. Security of the mobile device We recommend that you protect your mobile device in accordance with the manufacturer's data security instructions and updates.
